BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock is hereby authorized and directed to execute for
and on behalf of the City of Lubbock, Contract No. 11706 for tire leasing, by and between the
City of Lubbock and Michelin North America, Inc., of Greenville, South Carolina, and related
documents. Said Contract is attached hereto and incorporated in this resolution as if fully set
forth herein and shall be included in the minutes of the City Council.

CITY OF LUBBOCK, TX
Tire Lease Contract
This Service Agreement (this "Agreement") is entered into as of the 28th day of August 2014,
("Effective Date") by and between Michelin North America. Inc., (the Contractor),and the City of
Lubbock (the "City").
RECITALS
WHEREAS, the City has issued a Request for Proposals RFP 14-11706-DG for tire leasing,
WHEREAS, the proposal submitted by the Contractor has been selected as the proposal which
best meets the needs of the City for this service; and
WHEREAS, Contractor desires to perform as an independent contractor to provide tire leaseing ,
upon terms and conditions maintained in this Agreement; and
NOW THEREFORE, for and in consideration of the mutual promises contained herein, the City
and Contractor agree as follows:
City and Contractor acknowledge the Agreement consists of the following exhibits which are
attached hereto and incorporated herein by reference, listed in their order of priority in the event of
inconsistent or contradictory provisions:

3. Exhibit B — Proposal
4. Exhibit C — Price Sheet
Scope of Work
Contractor shall provide the services that are specified in Exhibit A. The Contractor shall comply with all
the applicable requirements set forth in Exhibit C, and hereto.
Article 1 Services
1.1 Contractor agrees to perform services for the City that are specified under the General
Requirements set forth in Exhibit A. The City agrees to pay the amounts stated in
Exhibit C, to Contractor for performing services.
1.2 Contractor shall use its commercially reasonable efforts to render Services under this
Agreement in a professional and business -like manner and in accordance with the
standards and practices recognized in the industry.
Article 2 Miscellaneous.
2.1 This Agreement is made in the State of Texas and shall for all purposes be construed in
accordance with the laws of said State, without reference to choice of law provisions.
2.2 This Agreement is performable in, and venue of any action related or pertaining to this
Agreement shall lie in, Lubbock, Texas.
2.3 This Agreement and its Exhibits contains the entire agreement between the City and
Contractor and supersedes any and all previous agreements, written or oral, between the
parties relating to the subject matter hereof. No amendment or modification of the terms
of this Agreement shall be binding upon the parties unless reduced to writing and signed
by both parties.
2.4 This Agreement may be executed in counterparts, each of which shall be deemed an
original.
2.5 In the event any provision of this Agreement is held illegal or invalid, the remaining
provisions of this Agreement shall not be affected thereby.
2.6 Tile waiver of a breach of any provision of this Agreement by any parties or the failure of
any parties otherwise to insist upon strict performance of any provision hereof shall not
constitute a waiver of any subsequent breach or of any subsequent failure to perform.
2.7 This Agreement shall be binding upon and inure to the benefit of the parties and their
respective heirs, representatives and successors and may be assigned by Contractor or the
City to any successor only on the written approval of the other party.
2.8 All claims, disputes, and other matters in question between the Parties arising out of or
relating to this Agreement or the breach thereof, shall be formally discussed and
negotiated between the Parties for resolution. In the event that the Parties are unable to
resolve the claims, disputes, or other matters in question within thirty (30) days of written
notification from the aggrieved Party to the other Party, the aggrieved Party shall be free
to pursue all remedies available at law or in equity.
2.9 At any time during the term of the contract, or thereafter, the City, or a duly authorized
audit representative of the City or the State of Texas, at its expense and at reasonable
times, reserves the right to audit Contractor's records and books relevant to all services
provided to the City under this Contract. In the event such an audit by the City reveals
any errors or overpayments by the City, Contractor shall refund the City the full amount
of such overpayments within thirty (30) days of such audit findings, or the City, at its
option, reserves the right to deduct such amounts owing the City from any payments due
Contractor.
2.10 The City reserves the right to exercise any right or remedy to it by law, contract, equity,
or otherwise, including without limitation, the right to seek any and all forms of relief in a
court of competent jurisdiction. Further, the City shall not be subject to any arbitration
process prior to exercising its unrestricted right to seek judicial remedy. The remedies set
forth herein are cumulative and not exclusive, and may be exercised concurrently. To the
extent of any conflict between this provision and another provision in, or related to, this
document, this provision shall control.
2.11 All funds for payment by the City under this contract are subject to the availability of an
annual appropriation for this purpose by the City. In the event of nonappropriation of
funds by the City Council of the City of Lubbock for the goods or services provided
under the contract, the City will terminate the contract, without termination charge or
other liability, on the last day of the then -current fiscal year or when the appropriation
made for the then -current year for the goods or services covered by this contract is spent,
whichever event occurs first. If at any time funds are not appropriated for the
continuance of this contract, cancellation shall be accepted by the Seller on thirty (30)
days prior written notice, but failure to give such notice shall be of no effect and the City
shall not be obligated under this contract beyond the date of termination.

GENERAL REQUIREMENTS
GENERAL
Exhibit A
Tile performance of said contracted services is for the express purpose of leasing transit
bus tires for Citibus. The contractor shall furnish delivery, all labor, materials, supplies,
equipment, transportation, and supervision, necessary to satisfactorily perform the Tire
Leasing Program for Citibus specified herein, and in the manner and at the frequencies
set forth in one of the following specifications.
Ir. PERFORMANCE SPECIFICATIONS SHALL BE BID IN THREE DIFFERENT
VARIATIONS
No.I No tire position requirement, no tread depth reporting requirement, no damage
penalty gross monthly mileage charge only.
No.2 No tire position requirement, no tread depth reporting requirement, damage
charged on a case by case review basis along with a gross monthly mileage
charge.
No.3 Tire position requirement by mile, tread depth reporting requirement, damage
charged on a case by case review basis with a gross monthly mileage charge.
III. TERMS AND CONDITIONS
Tile Contractor shall perform the work according to the procedures outlined in
the proposal price sheet and Specifications attached hereto. The contract shall be
for a term of three years, with the mutual option of two, one year renewals, said
date of term beginning upon formal approval.
This contract shall remain in effect until the expiration date, performance of
services ordered, or termination by either party with a thirty (30) day written
notice. Such written notice must state the reason for cancellation.
Contractor shall not be liable for a failure to perform that arises from causes or
events beyond its reasonable control and without its fault or negligence.
Contractor may suspend performance of its obligations under this Agreement
without obligation to Customer during the occurrence of any excusable delay.
Excusable delays shall include, but not be limited to, results from acts of God or
public enemy, restrictions, prohibitions, priorities or allocations imposed by
governmental authority, strikes or labor disputes, lack of or inability to obtain
raw materials or supplies, floods, fires, earthquakes, epidemics, or unusually
severe weather.
V. INDEPENDENT CONTRACTOR STATUS
Contractor and Owner agree that Contractor shall perform the duties under this Contract
as an independent contractor. The Contractor has the sole discretion to determine the
manner in which the services are to be performed.
VI. INDEMNITY
Tile Owner shall not be liable or responsible for, and shall be saved and held harmless by
Contractor from and against any and all suits, actions, losses, damages, claims, or liability

of any character, type, or description, including all expenses of litigation, court costs, and
attorney's fees for injury or death to any person, or injury to any property, received or
sustained by any person or persons or property, arising out of, or occasioned by, directly
or indirectly, in whole or in part, the performance of Contractor under this agreement,
including claims and damages arising in whole or in part from the negligence of the
Owner.
VII. COMPLIANCE WITH APPLICABLE LAWS
Contractor shall comply with all applicable federal, state and local laws, statutes,
ordinances, rules and regulations relating, in any way, manner or form, to the activities
under this Contract, and any amendments thereto.
INSURANCE Exhibit A
SECTION A. Prior to the approval of this contract by the City, the Contractor shall furnish a completed
Insurance Certificate to the City, which shall be completed by an agent authorized to bind the named
underwriter(s) to the coverages, limits, and termination provisions shown thereon, and which shall furnish
and contain all required information referenced or indicated thereon. THE CITY SHALL HAVE NO
DUTY TO PAY OR PERFORM UNDER THIS CONTRACT UNTIL SUCH CERTIFICATE SHALL
HAVE BEEN DELIVERED TO THE CITY.
INSURANCE COVERAGE REQUIRED
SECTION B. The City reserves the right to review the insurance requirements of this section during the
effective period of the contract and to require adjustment of insurance coverages and their limits when
deemed necessary and prudent by the City based upon changes in statutory law, court decisions, or the
claims history of the industry as well as the Contractor.
SECTION C. Subject to the Contractor's right to maintain reasonable deductibles in such amounts as are
approved by the City, the Contractor shall obtain and maintain in full force and effect for the duration of
this contract, and any extension hereof, at Contractor's sole expense, insurance coverage written by
companies approved by the State of Texas and acceptable to the City, in the following type(s) and
amount(s):
The contractor shall obtain and maintain in full force and effect during the term of the contract,
commercial general liability coverage with insurance carriers admitted to do business in the State of
Texas. The insurance companies must carry a Best's Rating of A- VII or better. The policies will be
written on an occurrence basis, subject to the following minimum limits of liability:

The City of Lubbock shall be named as additional insured on auto/general liability on a primary and non-
contributory basis as it pertains to the Contractor's negligence with a waiver of subrogation in favor of the
City on all coverage's. To include completed removed products operations endorsement. All copies of
the Certificates of Insurance shall reference the RFP or proposal number for which the insurance is being
supplied. The contractor will provide a Certificate of Insurance to the City as evidence of coverage. The
certificate will provide 30 days notice of cancellation, and under the cancellation section, the wording
"endeavor to" and "but failure to mail such notice shall impose no obligation or liability of any kind upon
the company, its agents or representatives" will be crossed out. A copy of the additional insured
endorsement attached to the policy will be included with the certificate.
The contractor shall also maintain workers compensation insurance in the statutory amount.
Exhibit B
Proposed Products
Michelin manufactures a large portfolio of products including bus tires. Michelin does not
offer a specific "Mileage Tire". Instead our Lease product offerings include any tire that is
currently manufactured by Michelin. This allows us to provide the right tire for the
application and, therefore, Michelin would like to propose the XZU2 for use by CITIBUS.
These are tires specifically designed for the urban bus application, which have robust
casings, good mileage performance and excellent capacity for fuel economy. The use of the
Michelin does impact CITIBUS's fuel costs. Michelin's proposed tires conform to and meet
all applicable federal, state and local laws, ordinances and regulations, including all
applicable federal motor vehicle safety standards.

Attached please find product sheets containing technical information related to these
products.
During the last 20 years Michelin tires provided to transit agencies across the US, have
shown proven performance in terms of mileage for both new and retreads. Their ability to
stand up to the rigors of the transit application has been proven in other transit agencies
environment, while achieving mileages in excess of 60,000 miles for new tires.
Specific to the Transit/Bus segment, Michelin Tire Products are continuously evolving.
Michelin currently has a new generation of the transit product line in the design and testing
phase, and is scheduled to start production in 2013. The new tires will be an augmentation
of our existing transit product line, concentrating on enhancing features such as casing
retreadability, sidewall curbing protection and further fuel economy.

Michelin North America's annual revenue was over $11 Billion in 2012 and we had over

Michelin has been operating tire leases for 100+ years in Europe and 25+ years in Worth
America and currently has about 300,000 vehicles uie contract. We have also proven our
ability to do this with integrity and professionalism.
Michelin has a history of innovation, including the introduction of the radial bus and truck
fire to North America and it continues to be the leader in radial fire technology for all
vehicles. Examples of particular innovations that are relevant to the Transit environment
are:
• ,f'he use of an industry specific tire, designed for transit applications
• Constant improvement on design and performance characteristics
+ Michelin uses its own proprietary software system, which gives the ability to deliver
specific data on leased tires by wheel position, bus number, life, etc, and has the
ability to monitor key performance indicators as required.
• Michelin provides operations manuals tailored to the needs and operation of our
customers to ensure that they always have access to expert reference
documentation. additionally, Michelin also has a very strong field engineering
group available for support
Michelin's proposed personnel related to this lease can be seen below in the resumes and
organizational chart below. Together, the Michelin team that will be key to this project has
over 180 years of experience in commercial tire product and service. As can be seen, each
member of the team has diverse knowledge and experience related to aspects of the
project; together the team has vast experience in all elements necessary for the successful
completion of the Contract.

Key Personnel - Operational
Bryan Chandler — Key Account Manager, Michelin Fleet Solutions
Location: Jacksonville FL
Mr. Chandler has 24 years commercial tire experience, with specific expertise in
transit bus, Motor Coach and refuse segments. He is a TIA (Tire Industry
Association) Certified Instructor. This program certifies that the individual has
attained the highest level of expertise in the commercial truck tire industry and is
able to train others to implement best practices in commercial tire set -vice and
comply with OSHA regulations regarding commercial tire service. Mr. Chandler
currently manages Key Performance Indicators (KPI)/Service level Agreements
(SLA) compliance for Michelin, dealers, sub -contractors.
Eddie Langford - Operations Manager, Michelin Fleet Solutions
Location: Greenville, SC
Mr. Langford bas 33 years of experience in commercial tire service and
management, pritnarily involved with managing the large North American fleets. He
is also a TIA (Tire industry Association) Certified Instructor. Mr. Langford currently
IC-1= manages all North American Tire Leasing operations and is responsible for defining
•- operational procedures and setting fire service policy and is accountable for
operational performance. He will ensure we are providing efficient, safe, and quality
assured tire service.
Ed Mata — Leasing Zone Manager, Central
Location: Denver, CO
Mr. Mata has 20 years of experience in commercial tire service and management.
He has received his TIA (Tire Industry Association) Tire Service Certificate. This
certifies that Mr. Mata is knowledgeable in all federal training requirements and can
accurately demonstrate all techniques used in commercial tire service. Mr. Mata
currently manages operations at multiple transits throughout the Central USA and
provides technical support to the transit as needed.

Maxine Osborne - Director, Michelin Fleet Solutions
Location: Greenville SC
Ms. Osborne has been with Michelin for 23 years in a variety of capacities and
countries. She has experience in both the truck tire plant environment and the
commercial environment. Ms. Osborne has experience in Accounting, Law,
Purchasing, Personnel, IS Systems, Sales and Marketing, Project and Personnel
Management. Ms. Osborne has worked for Michelin in the United Kingdom, France
and North America. She has been involved in the area of Tire Leasing for the past 10
years and has been the Director of the department since the end of 2004.
Gabriel Trevino - Business Development / Contract Manager
Location: Houston, IX
Mr. Trevino has been with Michelin for 8 years, He has Military experience, and
experience in Truck Tire Sales as both a TerriLury Manager and a Key Account
Manager, He has gained a lot of general tire knowledge,as well as great experience
in contract sales to both large and small customers. Mr, Trevino has recently joined
Fes„
: the Michelin Fleet Solutions group.
Jamie Owings - Operations Support Manager
Location: Greenville SC
Mr. Owings has been with Michelin for 8 years. He joined the Michelin Leasing
Department in 2006 in the role of Contract Manager and Business Development. He
also has experience working in Finance, Customer Service, and Logistics.
Peggy Mullaney - Operations Support Analyst
Location: Green villeSC
Ms. Mullaney has been with Michelin for 25 years. She has experience in
Manufacturing, Personnel, Consumer- Relations, and Marketing and Sales. She has a
great deal of technical tire knowledge; experience dealing with customers and
dealers; and a background in data analysis. Ms. Mullaney joined the Michelin Fleet
Solutions Department in October of 2009.

certification is administered by a trainer who has been trained to TIA CTS-300 Certified
Commercial Tire Service Technician level.
