Said Contract is attached hereto and incorporated in this resolution as if fully set forth herein and shall be included in the minutes of the City Council. Contract 12631 — Seon Systems Sales, Inc. — Citibus Cameras April 13, 2016 Resolution No. 2016-R0157 Contract 12631 City of Lubbock, TX Citibus Transit Bus and Paratransit Van Security Cameras Service Agreement This Service Agreement (this "Agreement") is entered into as of the 2811 day of April, 2016 ("Effective Date") by and between Seon Systems Sales, Inc., (the Contractor), and the City of Coaquitlam, BC (the "City"). RECITALS WHEREAS, the City has issued a Request for Proposals 16-12631-TF, Citibus Transit Bus and Paratransit Van Security Cameras. WHEREAS, the proposal submitted by the Contractor has been selected as the proposal which best meets the needs of the City for this service; and WHEREAS, Contractor desires to perform as an independent contractor to provide Citibus Transit Bus and Paratransit Van Security Cameras, upon terms and conditions maintained in this Agreement; and NOW THEREFORE, for and in consideration of the mutual promises contained herein, the City and Contractor agree as follows: City and Contractor acknowledge the Agreement consists of the following exhibits which are attached hereto and incorporated herein by reference, listed in their order of priority in the event of inconsistent or contradictory provisions: 1. Exhibit D — Insurance Requirements Scope of Work Contractor shall provide the services that are specified in Exhibit A and B. The Contractor shall comply with all the applicable requirements set forth in Exhibit B and C attached hereto. Article 1 Services 1.1 The contract shall be for a term of one year, with option of two, one year extensions, said date of term beginning upon formal approval. The City of Lubbock does not guarantee any specific amount of compensation, volume, minimum, or maximum amount of services under this proposal and resulting contract. 1.2 The Contractor shall not assign any interest in this Agreement and shall not transfer any interest in the Agreement, whatsoever, without prior consent of the City. 1.3 All funds for payment by the City under this Agreement are subject to the availability of an annual appropriation for this purpose by the City. In the event of non -appropriation of funds by the City Council of the City of Lubbock for the goods or services provided under the Agreement, the City will terminate the Agreement, without termination charge or other liability, on the last day of the then -current fiscal year or when the appropriation made for the then -current year for the goods or services covered by this Agreement is spent, whichever event occurs first. If at any time funds are not appropriated for the continuance of this Agreement, cancellation shall be accepted by the contractor on 30 days prior written notice, but failure to give such notice shall be of no effect and the City shall not be obligated under this Agreement beyond the date of termination. Article 2 Miscellaneous. 2.1 This Agreement is made in the State of Texas and shall for all purposes be construed in accordance with the laws of said State, without reference to choice of law provisions. This Agreement is performable in, and venue of any action related or pertaining to this Agreement shall lie in, Lubbock, Texas. 2.2 This Agreement and its Exhibits contains the entire agreement between the City and Contractor and supersedes any and all previous agreements, written or oral, between the parties relating to the subject matter hereof. No amendment or modification of the terms of this Agreement shall be binding upon the parties unless reduced to writing and signed by both parties. 2.3 This Agreement may be executed in counterparts, each of which shall be deemed an original. 2.4 In the event any provision of this Agreement is held illegal or invalid, the remaining provisions of this Agreement shall not be affected thereby. 2.5 The waiver of a breach of any provision of this Agreement by any parties or the failure of any parties otherwise to insist upon strict performance of any provision hereof shall not constitute a waiver of any subsequent breach or of any subsequent failure to perform. 2.6 This Agreement shall be binding upon and inure to the benefit of the parties and their respective heirs, representatives and successors and may be assigned by Contractor or the City to any successor only on the written approval of the other party. 2.7 All claims, disputes, and other matters in question between the Parties arising out of or relating to this Agreement or the breach thereof, shall be formally discussed and negotiated between the Parties for resolution. In the event that the Parties are unable to resolve the claims, disputes, or other matters in question within 30 days of written notification from the aggrieved Party to the other Party, the aggrieved Party shall be free to pursue all remedies available at law or in equity. 2.8 This agreement includes incorporation of Federal Transit Administration (FTA) Terms. The preceding provisions include, in part, certain Standard Terms and Conditions required by the Department of Transportation (DOT), whether or not expressly set forth in the preceding contract provisions. All contractual provisions required by DOT, as set forth in FTA Circular 422 0. 1 F, are hereby incorporated by reference. Anything to the contrary herein notwithstanding, all FTA mandated terms shall be deemed to control in the event of a conflict with other provisions contained in this agreement. The Contractor shall not perform any act, fail to perform any act, or refuse to comply with any requests which would cause Citibus to be in violation of the FTA terms and conditions. 2.9 At any time during the term of the contract, or thereafter, the City, or a duly authorized audit representative of the City or the State of Texas, at its expense and at reasonable times, reserves the right to audit Contractor's records and books relevant to all services provided to the City under this Contract. In the event such an audit by the City reveals any errors or overpayments by the City, Contractor shall refund the City the full amount of such overpayments within 30 days of such audit findings, or the City, at its option, reserves the right to deduct such amounts owing the City from any payments due Contractor. 2.10 The City reserves the right to exercise any right or remedy to it by law, contract, equity, or otherwise, including without limitation, the right to seek any and all forms of relief in a court of competent jurisdiction. Further, the City shall not be subject to any arbitration process prior to exercising its unrestricted right to seek judicial remedy. The remedies set forth herein are cumulative and not exclusive, and may be exercised concurrently. To the extent of any conflict between this provision and another provision in, or related to, this do. 2.11 The contractor shall not assign or sublet the contract, or any portion of the contract, without written consent from the Director of Purchasing and Contract Management. Should consent be given, the Contractor shall insure the Subcontractor or shall provide proof of insurance from the Subcontractor that complies with all contract Insurance requirements document, this provision shall control. PROJECT OVERVIEW INFORMATION A total of 75 heavy duty urban transit buses and 32 paratransit vehicles shall be installed with digital security camera systems. The full-size transit and cut -away buses are in revenue service daily and the equipment proposed must have reliable and proven success in typical transit operations. 1. All vehicles are owned by the City of Lubbock (dba Citibus) and are operated by the City Transit Management contractor (currently McDonald Transit). The vehicle owner will be hereafter referred to as "Citibus" for the remainder of this proposal. The proposed digital security camera system shall include all necessary hardware, licenses, and equipment needed for complete operation of the security camera system. All necessary hardware, licenses, and equipment must be detailed on and included in the proposal that is to be submitted. Citibus is requesting proposals from qualified mobile video security vendors on 107 mobile digital security camera systems. Proposers are encouraged to provide information regarding the reliability of the particular mobile video security system as used in other public transit (bus) applications. Demonstrated system reliability will be a key evaluation component in the awarding of the bid. B. CITIBUS DIGITAL SECURITY CAMERA SYSTEM DESIGN REQUIREMENTS Camera Qty. Audio Microphone Qty. GENERAL PRODUCT SPECIFICATIONS DIGITAL VIDEO CAMERA SYSTEM Security camera systems: • Recording capacity shall have a minimum of 30 frames per second from a maximum of eight (8) color video cameras. • Recording Time shall have a minimum of 30 days or up to 300 hours. • Recording media shall be hard drive based. • The system shall be capable of simple recording media hard drive swapping from one transit vehicle to another without requiring user intervention to reformat the hard drive. • The system shall have programmable recording start/end times. It shall be capable of continuing to record after the transit unit has been idle for longer than a preset period of time. • The system shall utilize synchronized audio/video/multi-channel video viewing from all installed video cameras and microphones. • Citibus vehicles operate from early in the morning until late at night on both urban and rural routes. The cameras must operate with a LUX rating of 0.0. The cameras mast maximize image quality and automatically adjust throughout the changing light conditions, to include extremely low -light and nighttime operations. The cameras must also maximize image quality and automatically adjust throughout sudden, sometimes severe, changes in the exterior weather conditions. • The cameras shall be mounted in a tamper -resistant and weather -resistant housing. • The digital recording unit shall power down at a user -selectable time after the switched power is removed. If unable to power down automatically, the unit shall be able to tolerate having power removed suddenly with no negative effects on the recording unit, system hardware, operating system, stored data/video/audio, or on the system's ability to function normally once power has been restored. • The installed recording unit shall be vibration -resistant and shall be capable of enduring the rigorous demands associated with public transit vehicles. • The system shall be capable of and display the GPS-automated time/date stamp and shall auto - update for daylight savings time. S:1Purchue Bid Does RFP 16.12631 JF Citibus Transit Bus and Paratransit Van Security Cameras 24 City of Lubbock, TX Citibus Transit Bus and Paratransit Van Security Cameras RFP 16-12631-TF Specifications • The system shall be capable of recording events while the transit vehicle ignition is turned to the OFF position for a preprogrammed time period after the transit unit has been running. • The system shall be capable of optional event recording such as transit vehicle speedometer tracking. • The digital recording unit must support continuous "loop" recording. The system should be encased within a key -operated, locking enclosure. • The system shall be adequately installed to withstand the rigors (starts/stops, shocks and vibrations) of a public transit vehicle, as well as temperature changes that vary from summer highs of 100-plus degrees Fahrenheit to winter lows of 10 degrees Fahrenheit. The system shall also be adequately installed to guard against damage or interference from an accumulation of the sand -like dust that is indigenous to the West Texas area. • From an existing dashboard mounted trigger button, a simple steady ON or OFF warning light must notify the transit operator if the system is active or if it has failed. • All analog cameras proposed must have a 500TVL resolution or better. • The camera system must have the option for a Health Monitor system. Video Playback Minimum Requirements: • Captured video shall not require a specialized Personal Computer (PC) or other proprietary PC equipment to access and view recorded events. All video system components must be compatible with Windows server 2008 or 2012 with the option for virtual server. • The system shall utilize an industry -standard video format for playback on a standard -purchase Windows -based PC. • Captured video must be saved in a tamper -proof recording format. The recorded data shall be capable of being deemed acceptable as evidence in legal proceedings. • Captured incident clip/event data shall be automatically date and time stamped. • All captured video shall have a zoom function to allow the System user to "zoom in" on any chosen area of the recorded video. • The system shall include video manipulation with the ability to clip segments from and capture still images from the original data file. • The system must have the ability to easily transfer video clips/events to a data -storage device of Citibus' choosing in a format that does not require additional software to play it back on a standard Windows -based PC. • Video playback from removable hard -drive recording media shall take no more than 60 seconds to access and view on a standard Windows -based PC. Wiring and Cabling: • The selected vendor shall remove any and all existing security camera system wiring and cabling and replace with new wiring and cabling. • The selected vendor shall submit wiring and cabling diagram of installed video camera equipment upon completion of installation. 5 Purchase Bid Docs RIP 16.12631-TF Citibus Transit Bus and Puatransit Van Sccurity Cameras 's City of Lubbock, TX Citibus Transit Bus and Paratransit Van Security Cameras RFP 16-12631-TF Specifications • All connectors and sockets shall be a positive locking design and shall be equipped with gold contacts or similar other rust- or oxidation -inhibiting contacts. Plug-in connectors shall have soldered wiring. All connections shall be made at terminal block ends or shall be soldered. • Wiring shall be uniformly color -coded and tagged. • The power source wires must be sized and rated appropriately to meet the specified requirements for unit start up and normal operation, and should prevent unacceptable voltage drops. • Wherever there is a possibility of interference, wiring and interconnecting cables shall be properly shielded. Video and audio cables shall be gauged to minimize signal loss. • A protective plastic or rubber grommet must be installed in every hole that provides passage for conduit or wiring to avoid chaffing, fraying, or cutting of the conduit or wiring. • Conduit shall be installed and secured in all vehicles. • All wires and cabling shall be concealed in a vandal -resistant and tamper -resistant manner. System planning and installation: • The vendor shall conduct a detailed survey of each transit vehicle type and develop a vehicle layout plan documenting the location and "field of view" for each vehicle type in the fleet. • Vendor shall assist Citibus in test implementation of the proposed system in order to ensure that the proposed system satisfactorily meet the needs of Citibus. • Vendor shall provide installation, documentation, maintenance and user training for selected Citibus staff. • Vendor shall conduct final acceptance testing as deemed satisfactory by Citibus. • Vendor shall provide a minimum standard warranty on all equipment and shall maintain all equipment throughout the warranty period. D. SPARE PARTS All proposals must provide a list of recommended spare parts, including current part/unit costs. Citibus may elect to purchase some, all, or none of the recommended parts as part of this procurement proposal. E. CONTRACT TERM The contract shall be for a term of one year, said date of term beginning upon formal approval. EVALUATION CRITERIA Each proposal will be evaluated for full compliance with the RFP instructions to the offeror and the mandatory terms and conditions set forth within the RFP document. The objective of the evaluation will be to recommend the firms who are most responsive to the herein described needs of the City. The proposal will be evaluated on the following criteria: A. 30% = Qualifications and Experience B. 20% = Demonstrated system reliability C. 25% = Cost D. 25% = References G. PROPOSAL FORMAT a) Proposals should provide a straightforward, concise description of the Offeror's capabilities to satisfy the requirements of the RFP. Emphasis should be on completeness, clarity of content, and conveyance of the information requested by the City. b) The proposal should be bound in a single volume where practical. All documentation submitted with the proposal should be bound in that single volume. c) If the proposal includes any comment over and above the specific information requested in the RFP, it is to be included as a separate appendix to the proposal. d) The proposal must be organized into the following response item sections and submitted in an indexed binder. i) Cover letter addressed to the Honorable Mayor and City Council that states the Offeror's understanding of the services to be provided. Include any additional information believed necessary that is not requested elsewhere in the RFP. ii) A description of the methodology to be used to complete the project to include, but not be limited to, how recommendations will be formulated and commitment of adequate appropriate resources to the project. iii) Offeror's specific expertise in areas pertinent to the project to include a listing and brief description of similar projects completed (with the dates of completion) or in progress and a list of references by name, address, and telephone number for each project listed. This list of projects in progress shall include the phase of work that each project is currently in (i.e. design, bid, construction), and the estimated completion date. iv) A brochure of past work, with emphasis on comparable projects. v) List of principal(s) of the Proposer and amount of time that principal(s) will be involved in the project. If a joint venture is expected, then provide the organizational structure of the sub -contractor and resumes of those persons who will be involved in the project. viii) The Proposer must assure the City that he -she will to the best of his/her knowledge, information and belief, be cognizant of, comply with, and enforce, where applicable and to the extent required, all applicable federal or state statutes and local ordinances including, but not limited to the Davis -Bacon Federal minimum wage requirements. ix) Describe the Offeror's methodology for handling errors and omissions. x) Disclosure of any obligations posing a potential conflict of interest, including service on City boards and/or commissions and any current contracts with the City of Lubbock. This would apply to the Proposer as well as consultants subcontracted by the Proposer. xi) Any material which the proponent wishes to submit and which is not specifically requested in the above categories. xii) Offerors are strongly encouraged to explore and implement methods for the utilization of local resources, and to outline how they would address outreach issues in their proposal. It is also the desire of the City that the City of Lubbock program serve, as much as practicable, to stimulate growth in all sectors of the local business community. Seon's Explorer line of video recorders, specifically the TX8 eight channel DVR, will offer the City a robust and reliable solution to view, manage save and share video, metadata and other data that is recorded across its fleet. The proposed solution will include industry leading features such as dual streaming technology, up to eight channels of audio and video, user friendly video playback and other sophisticated features that are critical to the operation of a transit authority such as Citibus and the City of Lubbock. Sean is proposing a solution that incudes our 8 channel TX8 digital video recorder that will allow the City to have two configurations In place for the transit bus vehicles (8 cameras) and the paratransit van vehicles (5 cameras). This DVR includes 8 analog video and audio channels to capture critical video in D1 resolution. Each camera will record and archive video embedded with metadata including date, time, and vehicle number. This information will allow the City, using Seon's vMax View viewing software to view video as well as search video and data by alarm, date, and time. These recordings are recorded in a proprietary format that is encrypted for security purposes and admissible in a court of law. In addition to the recording abilities (video and audio) of the DVR, and through the use of an operator 17 "Panic Button", any alarm activated video events are also recorded. Another feature of the Seon system — is the ability to capture, through the use of the optional GPS receiver, GPS data and vehicle speed metadata.
