RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock is hereby authorized and directed to execute for and
on behalf of the City of Lubbock, Contract No. 12672 for the sale of recyclable scrap paper and
plastics, by and between the City of Lubbock and Jarvis Metals Recycling, Inc., of Lubbock,
Texas, and related documents. Said Contract is attached hereto and incorporated in this
resolution as if fully set forth herein and shall be included in the minutes of the City Council.

Sale of Recyclable Scrap Paper and Plastics
Service Agreement
This Service Agreement (this "Agreement") is entered into as of the 25th day of February, 2016
("Effective Date") by and between Jarvis Metals Recycling, Inc., (the Contractor), and the City of
Lubbock (the "City').
RECITALS
WHEREAS, the City has issued a Request for Proposals 16-12672-KK, Sale of Recyclable Scrap
Paper and Plastics.
WHEREAS, the proposal submitted by the Contractor has been selected as the proposal which best
meets the needs of the City for this service; and
WHEREAS, Contractor desires to perform as an independent contractor to provide Sale of
Recyclable Scrap Paper and Plastics, upon terms and conditions maintained in this Agreement; and
NOW THEREFORE, for and in consideration of the mutual promises contained herein, the City
and Contractor agree as follows:
City and Contractor acknowledge the Agreement consists of the following exhibits which are
attached hereto and incorporated herein by reference, listed in their order of priority in the event of
inconsistent or contradictory provisions:

Scope of Work
Contractor shall provide the services that are specified in Exhibit A. The Contractor shall comply with all
the applicable requirements set Forth in Exhibit 13 attached hereto,
Article 1 Services
1.1 The period of this contract shall be for one year contingent upon City Council approval.
This contract rnav be renewed at the expiration of its term by agreement of both parties.
Such renewal may be for four additional one-year periods, if agreeable to all parties for a
total contract length Of five years. The scope of work shall remain the same but may
Include any additional structures and equipment that may have been added by the City of
Lubbock. The City does not guarantee any specific 111101111t of compensation, volume,

1.2 The Contractor shall not assign any interest in this Agreement and shall not transfer any
interest in the Agreement, whatsoever, without prior consent of the City.
1.3 The Contractor shall not assign or sublet the contract, or any portion of the contract, without
written consent from the Director of Purchasing and Contract Management.
1.4 All fiends for payment by the City under this Agreement are subject to the availability Of
an annual appropriation for this purpose by the City. In the event of nonappropriation of
funds by the City Council of the City of Lubbock for the goods or services provided under
the Agreement, the City will terminate the Agreement, without termination charge or other
liability, on the last day of the then -current fiscal year or when the appropriation made for
the then -current year for the goods or services covered by this Agreement is spent,
Whichever event occurs first. If at any time funds tire not appropriated for the continuance
of this Agreement, cancellation shall be accepted by the contractor on 30 days prior written
notice, but failure to give such notice shall be of no effect and the City shall not be obligated
under this Agreement beyond the date of termination.
1.5 House Bill 2015, signed by the Governor on June 14. 2013 and effective on January 1,
2014, authorizes a penalty to be imposed on a person who contracts for certain services
with a governmental entity and who fails to properly classify their workers. This applies to
Subcontractors as well. Contractors and subcontractors who fail to properly classify
individuals performing work under a governmental contract will be penalized $200 for
each individual that has been misclassif led (Texas Government Code Section 2155.001).
Article 2 Miscellaneous.
2.1 This Agreement is made in the State of Texas and shall for all purposes be construed in
accordance with the laws of said State, without reference to choice of law provisions.
2.2 This Agreement is performable in, and venue of all), action related or pertaining to this
Agreement shall lie in, Lubbock, Texas.
2.3 This Agreement and its Exhibits contains the entire agreement between the City and
Contractor and supersedes any and all previous agreements, written or oral, between the
parties relating to the subject matter hereof. No amendment or modification of the terms
of this Agreement shall be binding upon the parties unless reduced to writing and signed
by both parties.
2.4 This Agreement may be executed in counterparts, each of which shall be deemed an
original.
2.5 In the event any provision of this Agreement is held illegal or invalid. the remaining
provisions of this Agreement shall not be affected thereby.
2.6 The waiver of a breach of any provision of this Agreement by an), parties or the failure of
any parties otherwise to insist upon strict performance of ail), provision hereof shall not
constitute a waiver of any subsequent breach or of any subsequent failure to perform.
2.7 This Agreement shall be binding upon and inure to the benefit of the parties and their
respective heirs, representatives and successors and may be assigned by Contractor or the
City to any successor only on the written approval of the other party.
2.8 All claims, disputes, and other matters in question between the Parties arising out of or
relating to this Agreement or the breach thereof, shall be formally discussed and negotiated
between the Parties for resolution. In the event that the Parties are unable to resolve the
claims, disputes, or other matters in question within 30 days of written notification from
the aggrieved Party to the other Party, the aggrieved Party shall be free to pursue all
remedies available at law or in equity.
2.9 At any time during the term of the contract, or thereafter, the City, or a dell)' authorized
audit representative of the City or the State of Texas, at its expense and at reasonable times,
reserves the right to audit Contractor's records and books relevant to all services provided
to the City under this Contract. In the event such an audit by the City reveals anv errors or
overpayments by the City, Contractor shall refund the City the full amount of such
overpayments within 30 days of such audit findings, or the City, at its option, reserves the
right to deduct such amounts owing the City from any payments due Contractor.
2,10 The City reserves the right to exercise any right or remedy to it by law, contract, equity, or
otherwise, including without limitation, the right to seek any and all forms of relief in a
court of competent jurisdiction. Further, the City shall not be subject to any arbitration
process prior to exercising its unrestricted right to seek judicial remedy. The remedies set
forth herein are cumulative and not exclusive, and may be exercised concurrently. To the
extent of any conflict between this provision and another provision in, or related to, this
document, this provision shall control.
2.11 In the event that breaches any term and/or provision of this Contract the City shall be
entitled to exercise any right or remedy available to it at law or equity, including without
limitation, immediate termination of this Contract and assertion of action for damages and
or injunctive relief'. The exercise of any right or remedy shall not preclude the concurrent
or subsequent exercise of an), other right or remedy and all other rights and remedies shall
be cumulative.

Specifications
1. GENERAL INSTRUCTIONS TO BIDDERS
The Recyclable Scrap Paper and Plastic will be sold "as -is, v,-here-is" with no warranties
whatsoever. The Cite of Lubbock reserves the right to reject any or all bids. reject any
particular item on a bid, and to waive immaterial formalities.
2. LOCATION
Recyclable Scrap Paper and Plastic will be delivered to the successful bidder by the City of
Lubbock. (The City of Lubbock will not deliver materials to the successful bidder if the
location is more than 10 miles outside of the Lubbock City limits.)
3. STORAGE AND PROCESSING
Commodities shall be processed inside a facility to eliminate windblown trash and
contamination and shall be stored in a manner that will not reduce their market value.
4. FINAL DISPOSITION OF MATERIALS
It is the intent of this RFP and Contract to have all materials (except for incidental trash)
delivered to successful hidder recycled. If for some reason the successful bidder is unable to
accomplish this, they must notify The City of Lubbock prior to disposal of material.
5. PRICING
Pricing for each category of Recyclable Scrap Paper and Plastics. will be based on the weekly
publication Official Board markets and will be allowed to fluctuate with the market. The base
price paid for each delivery iyill be the Southwest Market High per ton on the day of the scrap
delivery, calculated by multiplying the high base price per ton by the percentage bid of the
successful bidder.
Pricing for each category (separated or mixed) of scrap plastics will be based on the current
mill price, and will be allowed to fluctuate with the market. The base price paid for each
delivery will be the published mill price per ton on the day of the scrap delivery. The net price
paid to the City of Lubbock will be calculated by multiplying the mill price per ton by the
percentage bid of the successful bidder.
Should the Recyclable Scrap Paper and Plastic market drop drastically, and if a0reeable to all
parties, the rates may be adjusted upward or downward at a percentage not to exceed the
effective change in the Consumer Price Index (CIP) or the Product Price Index (PPI).
whichever is most appropriate for the specific contract. At the City's discretion, the effective
change rate shall be based on either the local or national index average rate for all items. If an
agreement cannot be reached. the contract is terminated at the end of the current contract
period.
6. PAYMENT
A copy of the scrap prices page or current mill price, a copy of the certified weight ticket and
a copy of the purchase ticket upon Vdiich the purchase price is calculated must be furnished as
identification of payments to the City of Lubbock within thirty (30) days from the date of
deliver}. Each payment must note that it is for the purchase of scrap paper or plastic goods
from the City of Lubbock.
7. ADDITIONAL REPORTING
Contractor will provide a monthly activity report no later than the 10th day of the following
month. The montlily report will contain a transaction ticket weight by cacti type of material
listed by ticket number for each transaction and will include the total weight of each type of'
material delivered during the month.
8. CONTRACT TERM
The period of this contract shall be for one year contingent upon City Council approval. This

price paid to the City of Lubbock will be calculated by multiplying the Mill Price per ton by
the percentages as follows:

Should the recyclable scrap paper and plastics market drop drastically, and if agreeable to all

exercise of any other right or remedy and all other rights and remedies shall be cumulative.
12. REPRESENTATIONS AND WARRANTIES
A. Existence. Contractor is a corporation duly organized, validly existing, and in good
standing under the laws of the State of'Texas and is qualified to carry on its business in
the State of Texas.
B. Corporate Power. Contractor has the corporate power to enter into and perform this
Contract and all other activities contemplated hereby.
C. Authorization. Execution, delivery, and performance of this Contract and the
activities contemplated hereby have been duly and validly authorized by all the
requisite corporate action on the part of Contractor. This Contract constitutes legal,
valid, and binding obligations of Contractor and is enforceable in accordance with the
terms thereof.
D. Contractor. Contractor shall maintain a professional staff and employs, as needed,
other qualified specialists experienced in operating and maintaining a recycling facility,
and are familiar with all laws, rules, and regulations, both state and federal, including.
without limitation the applicable laws, regarding the activities contemplated hereby.
E. Performance. Contractor will and shall conduct all activities contemplated by this
Contract in a good and workmanlike manner, and comply with all laws, rules, and
regulations. both state and federal, relating to operating and maintaining a recycling
facility, as contemplated hereby. If any of the activities of Contractor or omissions of
the activities required herein, shall cause, in whole or in part, liability or loss oil the:
part of the City, it shall be deemed that did not perform said activities (or omitted the
performance of said activities) in a `good and workmanlike manner.
13. SCOPE OF WORK
A. General. Contractor shall operate and maintain a recycling facility that shall take the:
Citys recyclable scrap paper and plastic goods as set forth in this Contract fin- Services
and the Contract for Specifications and incorporated herein by reference as if fully set
forth here, store and prepare the recyclable materials for shipment to a vendor to
purchase the recyclable materials and ship the recyclable materials to the vendor.
B. Transporting Recyclables. The City shall transport the recyclable materials from the
Recycling Drop-off sites and the City municipal buildings.
C. Transporting equipment. The City shall use City vehicles in transporting the
recyclable materials from the City locations to the recycling facility.
D. Location. Contractor shall accept and store the recyclable materials in an enclosed
facility located at 7825 Olive Ave Lubbock. TX.
E. Hours of Operation. Contractor shall be prepared to receive recyclable materials
Monday through Friday from 8:00 a.m. to 5:00 p.m. daily.
F. Monthly Report. Contractor shall submit to the City a Monthly Recycling Activity
Report, detailing the type and �,yeight of recyclable materials that has been received.
prepared for shipment and shipped to vendors. Copies of purchase tickets shall be
attached to the Monthly Recycling Activity Report. The Monthly Recycling Activity
Report is due to the City no later than the tenth business day of the following month.
G. Storage. Contractor shall ensure that all recyclable material that is received is properly
stored. All recyclable material shall be stored in such a manner that it is protected from
the effects of wind and weather. The recyclable material shall be segregated in such a
manner that the recyclable material remains free from contamination that would make
the materials unacceptable to a vendor.
H. Shipment. Contractor shall ship recyclable materials to a vendor when there is an
economical quantity available for shipment and it is acceptable to the; vendor.
I. Backlog. Contractor shall ensure that the recyclable material is prepared and tagged
for shipment to a vendor and is not allowed to accumulate at the recycling facility
unprepared and untagged.
14. INDEPENDENT CONTRACTOR STATUS
Contractor and City agree that Contractor shall perform the duties under this Contract as
an independent contractor. Contractor has the sole discretion to determine the manner in which
the services are to be performed.
15. CONFIDENTIALITY
Contractor shall retain all information received from or concerning the City and the City's
business in strictest confidence and shall not reveal such information to third parties without prior
written consent of the City, unless otherwise required by law.
16. INDEMNITY
Contractor shall indemnify and save harmless the City of Lubbock and its officers,
agents, and employees from all suits, actions, losses, damages, claims, or liability of any character,
type, or description, including without limiting the generality of the foregoing all expenses of
litigation, court costs, and attorney's fees for injury or death to any person, or injury to any
property, received or sustained by any person or persons or property, arising out of, or occasioned
by, the acts of Contractor, its agents or employees, in the execution of this Contract.
17. COMPLIANCE WITH APPLICABLE LAWS
Contractor shall comply with all applicable federal, state and local laws, statutes,
ordinances, rules and regulations relating, in any way, manner or form, to the activities under this
Contract, and any amendments thereto.
18. NOTICE
A. General. Whenever notice from Contractor to City or City to Contractor is required
or permitted by this Contract and no other method of notice is provided, such notice
shall be given by (1) actual delivery of the written notice to the other party by hand.
(2) facsimile, or other reasonable means (in which case such notice shall be
effective upon delivery). Or (3) by depositing the written notice in the United States
mail, properly addressed to the other party at the address provided in this article,
registered or certified mail, return receipt requested, in which case such notice shall
be effective on the third business day after such notice is so deposited.

D. Change of Address. Either party may change its address or numbers for purposes
of notice by giving written notice to the other party. referring specifically to this
Contract, and setting forth such new address or numbers. The address or numbers
shall become effective on the 15"' day after such notice is effective.
19. MISCELLANEOUS
A. Captions. The captions for the articles and sections in this Contract are inserted in
this Contract strictly for the parties' convenience in identifying the provisions to
this Contract and shall not be given any effect in construing this Contract.
B. Audit. Contractor shall provide access to its corporate books and records to the
City. The City may audit, at its expense and during normal business hours
Contractor's books and records with respect to this Contract between the Contractor
and City.
C. Records. Contractor shall maintain records that are necessary to substantiate the
services provided by Contractor.
D. Assignability: Contractor may not assign this Contract Without the written
approval of the City.
E. Successor and Assigns. This Contract binds and imires to the benefit of the City!
Contractor, and their respective successors, legal representatives, and assigns.
F. Construction and Venue. THIS CONTRACT SHALL BE GOVERNED BY
AND CONSTRUED IN ACCORDANCE WITH TIIE LAWS OF THE STATE
OF TEXAS, THE PARTIES HERETO HEREBY IRREVOCABLY CONSENT
TO THE EXCLUSIVE JURISDICTION AND VENUE OF THE COURTS OF
THE STATE OF TEXAS, COUNTY OF LUBBOCK, FOR THE PURPOSES OF
ALL LEGAL PROCEEDINGS ARISING OUT OF OR RELATING TO THIS
CONTRACT OR THE ACTIONS THAT ARF CONTEMPLATED HEREBY.
G. Severabifity. If any provision of this Contract is ever held to be invalid or
ineffective by any court of competent Jurisdiction with respect to any person or
circumstances, the remainder of this Contract and the application of such provision
to persons and/or circumstances other than those with respect to which it is held
invalid or ineffective shall not be affected thereby.
H. Amendment. No amendment, modification, or alteration of the terms of this
Contract shall be binding unless such amendment, modification, or alteration is in
writing, dated subsequent to this Contract, and duly executed by the Contractor and
City.
1. Entire Agreement. This Contract and related RFP, contains the Entire Contract
between the City and Contractor, and there are no other written or oral promises,
conditions. warranties. or representations relating to or affecting the matters
contemplated herein.
20. EVALUATION CRITERIA
Instructions: When preparing proposals, reply to each of the following proposal
content and evaluation eriteria in the order listed. Please restate each numbered
point listed below followed by your response in full, narrative sentenees and provide
any requested materials.
ABILITY TO PROVIDE SERVICE & FINANCIAL STABILITY
A. A general overview and history of Four company, number of years in business,
number of employees, corporate headquarters location, type of business, names of
the firm's chief officers, and where you do business.
S. Identify proposed staff members who would be involved in providing the services
requested herein and submit statements or resumes detailing their qualifications.
The appointed representative shall be responsible for, but not limited to, the
following services. correct pricing, back -order control, invoice and voucher
procedures, delivery, and in general to provided functions as necessary to ensure
that the account will be maintained in a condition Nvhieh will expedite ordering,
deliveries, and allow the City of Lubbock to promptly pay all invoices as due.
PROPOSED APPROACII TO PROJECT
A. A statement of your understanding of the project and a general description of your
proposed approach to project scope of services.
S. Furnish copies of all forms that you anticipate using to record the purchase of
recyclable scrap paper and plastics delivery.
C. Describe your customer service and complaint resolution policies and practices.
COMPLIANCE WITH SPECIFICATIONS
A. Offeror shall not be merely limited to items as shown in scope of work, but rather
encouraged to recommend other services, products, methods, etc. as he/she feels
would enhance the overall sales of recyclable scrap paper and plastics both with
respect to effectiveness and efficiency.
REVENUE GENERATED
Proposed prices must include all costs associated with the performance of the services
specified, including materials. supervision, labor, insurance, transportation, delivery, fuel
or other surcharges, demurrage, and related costs. Charges not listed in the RFP response
will not be allowed.
Exceptions: If you have any exceptions to this Request for Proposal they must be included
explained in detailed.
21. PROPOSAL FORMAT
a) Proposals should provide a straightforward, concise description of the Proposer's
capabilities to satisfy the requirements of the RFP. Emphasis should be on
completeness, clarity of content, and conveyance of the information requested by the
City.
b) The proposal should be bound in a single volume where practical (Notebook preferred).
All documentation submitted with the proposal should be bound in that single volume.
c) If the proposal includes any comment over and above the specific information
requested in the RFP, it is to be included as a separate appendix to the proposal.
d) The proposal must be organized into the following response item sections and
submitted in an indexed binder.
i) Cover letter addressed to the Honorable Mayor and City Council that states the
Proposer understands of the services to be provided. Include any additional
information believed necessary that is not requested elsewhere in the RFP.

CITY OF LUBBOCK, TEXAS
1. Jarvis Metals Recycling reserves the right to subtract 20% of the net weight due to trash and other
contaminates.
2. Jarvis Metals Recycling reserves the right to deny acceptance of any delivery of material deemed
unacceptable including moisture content.
3. All Materials must be dry and or not sunburned.
4. Jarvis Metals Recycling provides no sorting of higher grade materials, therefore material is graded
based on the lowest grade mixed with the delivery.
5. Material volume results in viable material sales, typically once a year. Jarvis Metals Recycling will pay
the City the MILL Rate percentage on sale and shipment of material on that month which material is sold.
