Plano Parkway, Suite 200 Plano, Texas 75093, a corporation duly chartered under the laws of the State of Texas, and the City of Lubbock, Texas ("Owner"), a Texas home rule municipal corporation. WHEREAS, pursuant to Agreement for Engineering Services, dated on or about October 11, 2004, Resolution No. 2004-RO513 (the "Original Agreement"), Engineer agreed to provide engineering services to Owner consisting of public involvement, route studies (including alternatives analysis), preparation of design schematics, environmental assessments, preliminary cost estimates, and analysis of adjacent property owners' share of the cost of paving improvements to Loop 289, 4"' Street, Erskine Street, Slide Road and the Loop 289/Erskine Street/Quaker Avenue/TT Parkway Interchange for the City of Lubbock; and WHEREAS, pursuant to Agreement for Amendment No. 1, dated on or about November 18, 2005, Resolution No. 2005-RO544 (the "Amendment No. I"), Engineer agreed to provide "PS&E" engineering services to Owner; and WHEREAS, Owner and Engineer now desire to amend the Amendment No. 1, as follows: 1. "ATTACHMENT `A2', SCOPE OF SERVICES", "ATTACHMENT `B2', COMPENSATION", "ATTACHMENT `C2', and "ATTACHMENT `D2', to Amendment 1 of the Original Agreement are Hereby amended by adding ATTACHMENT `AY, ATTACHMENT `BY, and ATTACHMENT `D3' to this "Base Amendment No. 3" resulting in a Base increase of $171,280.89 for additional "PS&E" engineering services for Erskine Street and Slide Road for a total Lump Sum compensation of $1,419,560.89 for "PS&E" engineering services related to Amendment 1. Upon completion of the ongoing drainage analysis along Frankford Avenue related to services enclosed in this Amendment 3, the City will make determination of the continued engineering feasibility of reconstruction of the Erskine Street 1 Frankford Avenue intersection that address both City and TxDOT criteria. If, upon the findings of this drainage analysis, the City determines that TxDOT's requirements for the reconstruction of this intersection are not compatible with the City's design criteria and funding constraints, the City will direct the Engineer to amend the Erskine and Slide PS&E package set to eliminate all elements associated with the reconstruction of the Erskine Street / Frankford Avenue intersection. The resulting effort would be referred to as the "Modified Amendment 3". This effort reflected in the "Modified Amendment 3" would be an additional cost of $20,445.86 (over the `Base Amendment 3") and a resulting "Modified Amendment 3" cost of $191,726.75, for a total Lump Sum compensation of $1,440,006.75 for "PS&E" engineering services related to Amendment 1. 2. Box 2000 Lubbock, TX 79457-0001 RE: Northwest Passage Project Dear Mr. Hertel: Resolution No. 2007-RO427 HNTB HNTB Corporation is requesting a time extension and an amendment on the Northwest Passage Project contract, due to "Uncontrollable Forces" (Article 16) and due to additional services beyond the original scope of work. The existing contract expired on December 31, 2006, and we are requesting a time extension until February 29, 2008. The time extension is based additional project activities as reflected in the enclosed revised scope of services, fee estimate and schedule attachments. The anticipated time will also be needed to accommodate thorough Texas Department of Transportation (TxDOT) and City of Lubbock (City) plan submittal reviews and agency coordination of these additional project services. These project services include: • Subsurface Utility Engineering (SUE) services for the investigation of potential utility conflicts with the proposed roadway and storm -sewer improvements along Erskine Street. • Coordination of construction of new and relocation of existing water and sanitary sewer lines, including incorporation of those design elements in the construction plans. • The analysis and design of roadway and drainage modifications along Frankford Avenue north of the Erskine Street intersection to ensure positive drainage of the Frankford Avenue and Erskine Street intersection. • Additional Design Surveying services along Erskine Street for the identification of floor slab elevations at 13 residential structures to verify the drainage analysis. • Additional Right-of-way Surveying services for the determination and documentation of required drainage and construction easements for parcels at Playa Lake 51, the Future Emory Street tie to Slide road, and Playa Lake 47. • Additional design effort required to provide Storm Sewer and Traffic Control Plan design details for the proposed Erskine Street Storm Sewer extension along Loop 289 to Playa Lake 51. As you are aware, the above additional services have been identified through our detailed design efforts subsequent to the Preliminary Engineering Studies and preliminary information that were used as a basis for the original Scope of Services. We are pleased to inform you that our proposed revised fee will yield our overall Engineering Services at a reduced cost compared to the overall updated estimate of construction cost. Our original fee was approximately 9.1 % of the original construction cost. Our new cumulative fee, including the fee for the proposed additional services, will be only 7.1% of the updated construction costs. This is an effective savings of 24% over the original engineering fee estimate. Per our discussions with you, we have also outlined contingent additional services, through "Modified Amendment 3", to remove the Erskine Street / Frankford Avenue intersection reconstruction from the plans if it is determined from our drainage investigations that there is not a design solution which satisfies both the City and TxDOT criteria. If this project design scenario is chosen, the resulting cumulative fee would only be 7.2% of the updated construction costs, resulting in an effective savings of 23% over the original engineering fee. Sinccrcly, /tttenis: Revised Scope of Services, Fee Estimate, and Schedule Resolution No. 2007—RO427 "Northwest Passage" Erskine Street - From Frankford Avenue (FM 2528) to Salem Avenue Slide Road — From North of Loop 289 to Erskine Street City of Lubbock SCOPE OF SERVICES Amendment 3 Attachment A3 The work to be performed by HNTB Corporation (hereinafter referred to as the Consultant) under this Amendment 3 will consist of; Additional project Design Phase Services to include: (1) Subsurface Utility Engineering (SUE) services for the investigation of potential utility conflicts with the proposed roadway and storm -sewer improvements along Erskine Street. (2) Coordination of construction of new and relocation of existing water and sanitary sewer lines, including incorporation of those design elements in the construction plans. (3) Additional Design Surveying services for the identification of additional residential floor elevations along Erskine to verify drainage design. (4) Additional ROW Surveying and Mapping Services including: (a) Parcel Map preparation and Field Staking for easements needed for the storm sewer tie to the parcel at Playa Lake 51 and the Loop 289 west Frontage Road. (b) Parcel Map preparation and Field Staking for easements needed for the storm sewer tie to the parcel at Playa Lake 47 and Slide Road. (5) Additional Drainage Analysis and Design to facilitate drainage along Frankford Avenue for the current design and evaluation of compatibility with intersection improvements with ultimate reconstruction and widening of Frankford Avenue, north of Erskine Street. (6) Additional Storm Sewer and Traffic Control Plan design details to account for the expanded storm sewer improvements along the Loop 289 west Frontage Road, north- east of Erskine Street to Playa Lake 51. (7) Project Management time associated with a time extension due to an additional three (3) months for SUE services, additional utility coordination services, additional surveying services, and drainage analysis and design along Frankford Avenue. (8) Contingent Additional Services, referred to as "Modified Amendment 3" and only as authorized in writing by the City of Lubbock, (based upon findings of the evaluation of the drainage ditches along Frankford Avenue north of Erskine Street) for effort needed to eliminate the Erskine Street / Frankford Avenue intersection improvements from the overall PS&E package. ADDITIONAL DESIGN SERVICES PHASE (TASKS B-1 — B-7) Task B-1 — Subsurface Utility Engineering (SUE) Investigations Gorrondona and Associates (G&A) Page 1 of 6 The following items are included in the SUE Investigation tasks: The Subconsultant will perform the SUE work required for this project in general accordance with the recommended practices and procedures described in ASCE Publication CFASCE 38-02 (Standard Guideline for the Collection and Depiction of Existing Subsurface Utility Data). As described in the mentioned ASCE publication, four levels have been established to describe the quality of utility location and attribute information used on plans. The four quality levels are as follows: • QuaIity Level D (QL"D") — Information derived from existing records; • QuaIity Level C (QL"C") - QL"D" information supplemented with information obtained by surveying visible above -ground utility features such as valves, hydrants, meters, manhole covers, etc. • Quality Level B (QL"B") — Two-dimensional (x, y) information obtained through the application and interpretation of non-destructive surface geophysical methods. Also known as "designating" this quality level provides the approximate horizontal position of subsurface utilities within approximately one foot. • Quality Level A (QL"A") — Also known as "locating", this quality level provides precise three dimensional (x, y, z) information at critical locations by exposing specific utilities. Non-destructive vacuum excavation equipment is used to expose the utilities at specific points which are then tied down by survey, It is the responsibility of the Subconsultant to perform due -diligence with regard to records research (QL "D") and acquisition of available utility records. The due -diligence provided for this project will consist of reviewing the "As -Built" documents previously compiled by others. Utilities that are not identified through these efforts will be here forth referred to as "unknown" utilities. The Subousultant will scan the defined work area using electronic prospecting equipment to search for "unknown" utilities. However, the Subconsultant is not responsible for designating and locating these "unknown" utilities. SUE Scope of Work The scope of work may be modified, with the City's concurrence, during the performance of the SUE fieldwork if warranted by actual field findings. For this project, the proposed SUE work includes Quality Levels "A" and "B" along Erskine St. from Frankford Ave. to North Salem Ave., a distance of approximately 10,500 linear ft. The Subconsultant will proceed up each side street approximately 50 ft based on actual plans, excluding North Frankford Ave. where we will proceed 1,400 ft from centerline of Erskine St. Based on the current utility information, it is anticipated that water, gas, petroleum lines, and sanitary sewer lines will be encountered totaling approximately 35,000 linear ft. For the purposes of scoping, it is assumed the majority of the electric and telephone are above ground and not a part of this proposal. Once the QL"B", designating, has been completed, Subconsultant will meet with the Consultant to determine where QL"A", locating, will be required. For scoping purposes, it has been assumed that forty-five (45) test holes will be required. All surveying that is required for collection of SUE field data will be performed by the Suconsultant. Upon receipt of the processed survey data, we will perform a preliminary review of the data to check for completeness and accuracy. Once this preliminary review is complete Page 2 of 6 the Subconsultant will prepare the required SUE deliverables which include plan sheets that are signed and sealed. SUE Designating Procedures Prior to beginning field designating activities, the Subconsultant's field manager will review the project scope of work and available utility records. Once these initial reviews are complete, the field manager and technicians will begin designating the approximate horizontal position of known subsurface utilities within the specified project limits. A suite of geophysical equipment (electromagnetic induction, magnetic) will be used to designate metallic/conductive utilities (e.g. steel pipe, electrical cable, telephone cable). Non-metallic/non-conductive utilities will be designated using other proven methods, such as rodding and probing. Where access is available, a sonde will be inserted into the utility line (e.g. PVC gravity sewer pipe) to provide a medium for signal transmission, which can then be designated using geophysical equipment. Accurate collection and recording of designated utilities is a critical component of the SUE process. The Subonsultant's field manager will produce detailed sketches depicting each utility as well as relevant surface features such as roadways, buildings, manholes, fire hydrants, utility pedestals, valves, meters, etc. Each utility will be labeled with a unique ID code. For example, if two buried electric cables exist on the project, one will be labeled E 1 and the other E2. Paint and pin flags will be used to designate the utilities in the field. A labeled pin flag or paint mark will be used to mark each location where a survey shot is required. Shot points will typically be placed at 100-ft intervals on utilities running parallel to the alignment and at 50-ft intervals on utility crossings. The locations will be numbered sequentially for each individual utility line. For example, if there are 50 shots required on buried electric line E1, the points will be numbered E 1-1 through E 1-50. Preliminary field sketches depicting the designated utilities will be prepared for use during subsequent surveying activities. These sketches will also be used to check the survey information for completeness and accuracy. SUE Locating Procedures The Subconsultant will utilize its utility designating marks to layout the test -hole locations. When test holes are required under pavement, G&A will use a 10" core drill to prevent spawling. The test hole will be backfilled with clean, dry backfill and finished with like material, concrete or asphalt. The Subconsultant will utilize non-destructive vacuum excavation equipment to excavate test holes at the required locations. Once each utility is located, the Subconsultant will record the utility type, size, material, depth to top, and general direction. Each test hole will be assigned a unique ID number and will be marked with rebar/cap, nail/disk, or chiseled X, as appropriate. The test -hole ID number and other pertinent utility information will be placed at each test -hole location. Test -hole excavations will be backfilled with appropriate material and the original surface will be restored. The backfill will be compacted in lifts by mechanical means to prevent future settlement. SUE Deliverables The Subconsultant will produce SUE plans depicting the type and horizontal location of the designated utilities. The size of each utility will also be presented on the SUE plans where test - Page 3 of 6 holes have been completed. Where no test -holes have been completed, the size and material type will be provided only if the information is indicated on available record drawings. The Subconsultant will produce a summary sheet containing test hole field notes. A test hole data form will be prepared for each test hole following receipt of coordinate and elevation information from the surveyor. SUE plans depicting designated utility information will be revised to include test hole locations. Task B-2 — Updated Utility Location & Relocation Mapping and Plans The following item is included as a result of the SUE Investigation tasks: 1. The Consultant will coordinate with the SUE Subconsultant to track revised existing utility information for updates to the existing utility plans. 2. The Consultant will provide updated utility layout sheets to reflect the SUE investigations for this project. 3. The Consultant will incorporate water line and sanitary sewer utility new location and relocation plans into the overall PS&E package based on design information and electronic design files provided by the City. As part of this effort, the Consultant will coordinate with the City by providing all base mapping and reference file information necessary for the City to complete the Water Line and Sanitary Sewer Utility Relocation Plans. Task B-3 - Design Surveys/Roadway Design Controls (High -Tech) The following items are included in the additional Design Survey tasks: 1. The Subconsultant will provide finish floor elevations on 13 buildings along Erskine St as previously identified during the drainage design. Task B-4 - Surveys for Right of Way (ROW )/ Map & Deed Preparation (High -Tech) The following items are included in the additional Surveys for ROW/ Map & Deed Preparation tasks: 1. Deed research to determine current ownership of parcel impacted by the proposed storm sewer outfall to Playa Lake 51. 2. From the ROW requirements determined by the proposed storm sewer outfall design at Playa Lake 51, parcel maps and field note descriptions will be prepared to City standards. Computations will be performed to determine the area required from the affected property owner. The parcel map will indicate ties to back corners or corners not impacted by the right-of-way acquisition. Area of additional ROW will be represented in square ft or acres. 3. Once the proposed ROW map at Playa Lake 51 is approved, parcel plats and field note descriptions will be prepared and the corners which define the parcel acquisition will be field staked. Determination and documentation of Drainage and Construction easements for improvements to Slide Road in the vicinity of Playa Lake 47 and the future Emory Street extension including: Field Staking, Parcel Plats, and Field Notes Preparation. Task B-5 — Drainage The following items are included in the additional Drainage tasks: 1. Analyze the re -grading of the existing ditches along Frankford Avenue from Erskine Street to the cross culvert outfall approximately 2,500 ft to the north of Erskine Street (based upon survey data provided by the City). 2. Evaluate the feasibility of providing intersection grading with both the re -grading of the existing ditches and a workable profile grade of the ultimate improvements along Frankford Avenue north of Erskine Street to the outfall. 3. Design of Frankford Ave. side ditches (re -grading) plans to ensure positive drainage to the outfall. (Note that this task is contingent upon the findings of the evaluation of the Frankford Avenue ditch re -grading. If the analysis determines that the design can not be done with the current constraints in a manner acceptable to TxDOT, then HNTB will update the plans to remove the Frankford Avenue intersection improvements under "Modified Amendment 3" provision of this document through written authority of the City of Lubbock.) 4. Provide detail for proposed box culvert storm sewer improvements north-east of Erskine Street along Loop 289 to Playa Lake 51. The original Scope of Services and Fee Estimate was based on a lower level of storm improvements along Loop 289 due to the anticipated sheet flow drainage along Utica Avenue north of Erskine Street. Consequently, the extension of the proposed Storm Sewer east of Salem Avenue along Loop 289 to Playa Lake 51, a design effort subsequently identified as necessary to provide adequate drainage on Erskine Street, is seen as a modification to the original scope. Task B-6 - Traffic Control Plan, Detours and Sequence of Construction The Traffic Control Plans (TCP) needed to accommodate the additional box culvert extension along Loop 289 (noted above) are an additional level of TCP design than was initially scoped for the original drainage design along Loop 289. The following items are included in the additional Traffic Control Plans tasks: 1. Traffic Control Plans and sequencing details for the proposed Storm Sewer construction along Loop 289 West Frontage Road to Playa Lake 51 and to include the Loop 289 west Frontage Road at Erskine Street, Quaker Avenue and at Playa Lake 51 crossings. It is anticipated at least two (2) stages of construction will be required per crossing. Task B-7 - Project Management & Quality Assurance The following items are included in the additional Project Management tasks: Page 5 of 6 1. The Consultant will coordinate, attend, and prepare agendas and meeting minutes for two (2) additional progress meetings with the City and summarize the meetings. It is anticipated, the meetings, will occur in Lubbock. 2. The Consultant will provide three (3) additional monthly status reports to the City in conjunction with three (3) additional monthly invoices; 3. The Consultant will manage three (3) additional monthly invoices and organize and manage project billings and filings; 4. Subconsultant management of G&A (SUE) and High -Tech (Surveying). TASK S-1 "PS&E" Modifications to Eliminate Frankford Avenue Intersection with Erskine Street Reconstruction NOTE: Items below are not included in the Basic Services and are identified as CONTINGENT Additional Services to the above scope: The following tasks are contingent upon the findings of the evaluation of the drainage ditches along Frankford Avenue north of Erskine Street included in this Contract Addendum. If, in this evaluation, it is determined that the ditches can not be modified in a manner satisfactory to the City of Lubbock and TxDOT with the current intersection design configuration and current ROW envelope along Frankford Avenue, then the City will not reconstruct the intersection as currently proposed, and the current plans will need to be modified so that the Erskine Street improvements can adequately transition to the existing intersection footprint. The following items have been identified as potential additional services, but are assumed to be addressed only if the City of Lubbock authorizes, in writing, "Modified Amendment 3": Effort needed to modify the PS&E package to eliminate the Erskine Street / Frankford Avenue intersection improvements from the overall PS&E package. This will require changes to the following plan elements: (1) Index of Sheets (2) Typical Section Sheets (3) Demolition Plans (4) Traffic Control Plan Sheets (5) Project Layout Sheets (6) Roadway Plan & Profile Sheets (7) Intersection Detail and Grading Sheets (8) Storm Sewer Plan Sheets (9) Existing Utility Sheets (10) Illumination Layout Sheets (11) SW3P Sheets (12) Signing and Marking Detail Sheets (13) Quantities and Estimates.
