DAVID A: MILLER, MAYOR ATTEST: Reb ee ca Garza, City Secretary APPROVED AS TO CONTENT: Vickie Bennett Director of Human Resources APPROVED AS TO -FORM: andiver, Attorney ofZ"ounse It I J flies; "horRcad v07("on Kus Apn 15. 2007 Resolution No. 2007-RO136 DeAvdable Tommy tabor AGREEMENT TO SUPPLY TEMPORARY WORKERS The Labor Ready Central, Inc. subsidiary set forth below ("Labor Ready") and City of Lubbock ("Customer"), enter into this Agreement as of the date set forth below: WHEREAS, Customer has requested that Labor Ready furnish temporary workers to be used by Customer in its business; and WHEREAS, Labor Ready has agreed to use its best efforts to furnish its temporary workers ("Workers") to be utilized as part of the Customer's work force; NOW THEREFORE, in consideration of the promises and the covenants set forth herein and other good and valuable consideration, Labor Ready and Customer agree as follows: Duties of Labor Ready. Labor Ready shall: 1.1 Use its best efforts to furnish its Workers to be utilized as part of Customer's work force for the Project in the numbers and at the times and places requested by Customer. 1.2 Replace any Workers without cost if notified by Customer of unsatisfactory performance within two (2) hours of arrival. 1.3 Pay Workers wages as due, Labor Ready will withhold from the Workers' wages and promptly pay to the appropriate governmental agencies all required taxes, FICA and unemployment contributions. Labor Ready shall indemnify and hold Customer harmless from required withholding taxes and FICA and unemployment contributions for Labor Ready's temporary employees. 1.4 Bill to Customer the applicable charges for the worker(s) provided at the hourly rates as set forth in the Schedule attached to and incorporated in this Agreement. 1.5 Provide workers' compensation insurance on the workers furnished in accordance with the laws in the state in which the work is to be performed. Duties of Customer. Customer shall: 2.1 Approve the daily work order form for each Worker to confirm the number of hours worked and the classification of the work. Billing time commences upon the worker's arrival at the requested time. 2.2 Permit Workers to perform services only according to the job classification specified on the work order. 2.3 Pay each invoice from Labor Ready for the worker(s) provided at the hourly rates as set forth in the Schedule attached to and incorporated in this Agreement. 2.4 Comply with, and enforce all, applicable employment laws, including those related to breaks and meal periods, and laws regarding equal employment opportunities. 2.5 Pay each invoice from Labor Ready within seven (7) days after the date of the invoice. 2.6 Pay default charge of 1.5% per month and collection fees for invoices which are overdue. 2.7. In the event that any orders for workers are canceled by Customer, Customer agrees to pay a minimum of four (4) hours for every worker that Labor Ready has available to work pursuant to such canceled order. This amount shall be considered compensation for Labor Ready's efforts in response to Customer's request. 3. Adjustment of Hourly Rate. The hourly rates set forth on the attached Schedule, and/or on a Labor Ready Quote Sheet, are subject to adjustment from time to time to reflect increases in actual cost for wages, withholding amounts, governmental taxes and assessments and worker's compensation insurance coverage. Notice of any proposed increase shall be provided to Customer as soon as reasonably practical, 4. Term. Either party may terminate this Agreement at any time upon 15 days prior written notice. If the Project is owned or funded by an agency or instrumentality of the United States or any state or subdivision thereof, Customer shall determine and notify Labor Ready in writing if a prevailing wage should be paid to temporary workers. Customer shall indemnify and hold harmless Labor Ready for any underpayment, fines, penalties, interest, attorneys' fees, and/or loss of profit margin resulting from failure to ensure compliance with any such law or this paragraph. In no event shall customer be relieved of its primary responsibility for ensuring complete and accurate compliance with all local, state, and federal laws relating to prevailing wages. 5.2. Labor Ready shall maintain records of service performed on such prevailing wage jobs and shall retain all such records for 24 months after the last service was performed under this Agreement. Compliance with Laws. Labor Ready and Customer shall comply with all federal, state and local laws and regulations concerning the hiring and discharge of its employees, and other employment laws, including without limitation Title VII and the FLSA. Labor Ready and Customer shall accurately record and pay temporary employees for their hours of work, rates and/or payment of their wages. Labor Ready is an equal opportunity employer and, as such agrees to comply with Executive Order 11246, the Rehabilitation Act of 1973, the Vietnam Era Veterans Readjustment Assistance Act of 1974 and the rules and regulations issued pursuant to the specified order and acts, as applicable. 7. Lien Releases. Upon request of Customer, Labor Ready shall execute and provide lien waivers and releases, waiving and releasing Labor Ready's right to file and record liens against the Project for any services provided for which payment has been received by Labor Ready, or which are conditional upon the receipt of such payment. pp �Ai n3 8. Supervision_ Customer understands t t Labor Ready wilf not be providing supervision services for its workers under this Agreement and that Customer shall be responsible for supervising, training, and directing the activities of Labor Ready's temporary employees. Customer shall not allow the workers to engage in any unsafe practice and shall provide any safety equipment, clothing or other devices necessary for the work to be performed. Without the prior agreement of Labor Ready, Customer will not entrust Labor Ready's employees with the care of unattended premises, custody or control of cash, credit cards, negotiables, valuables or other similar property or authorize Labor Ready's employees to operate machinery, equipment or motor vehicles without prior written permission in each occasion. 11. Safety. C �A Agreement to Supply Temporary %Tkm Page 2 of4 Rev. 7/06 11.1 Customer shall provide any safety equipment or other devices necessary for the work to be performed. 11.2 Customer agrees that it will not, without the prior written consent of Labor Ready, utilize Labor Ready workers for excavation where proper shoring and protection are not provided, for any work on ladders or scaffolding, or as the member of the crew of any vessel or in maritime work upon the navigable waters of the United States which might be subject to the United States Longshoremen's and Harborworker"s Compensation Act, or the Jones Act. 11.3 Customer agrees to comply with all applicable laws and ordinances relating to health and safety, and in particular agrees and undertakes to include Labor Ready workers, while in the care, custody and control of Customer, in Customer's Safety and Health Program, if applicable, (e.g., Injury and Illness Prevention Program, Accident Prevention Program) which would cover Customer's employees in the performance of similar work and to provide Personal Protective Equipment ("PPE"), clothing or devices necessary or required by law for any work to be performed or used by Customer's employees in the performance of similar work. Customer agrees to provide site specific safety orientation and training to all Labor Ready workers prior to the start of work. 12. Miscellaneous 12.1 Modification and Waiver. No provision of this Agreement shall be amended, waived or modified except by an instrument in writing signed by all parties. 12.2 Severability. The provisions of this Agreement are independent of and separate and severable from each other and no provision shall be affected or rendered invalid by reason of a determination that any other provision or provisions may be invalid or unenforceable in whole or in part. 12.3 Attorneys Fees. The prevailing party in any action or dispute arising out of this Agreement shall be entitled to an award of its costs and reasonable attorneys fees incurred in connection with said action or dispute. 12.4 Waiver of Default. The waiver by any party of any breach or default by the other, under any of the terms of this Agreement shall not be deemed to be a waiver of any subsequent breach or default under the same or any other term of this Agreement. This coverage is offered through National Union and is intended to protect our clients against any losses that might occur. 6.1.2 Labor Ready requires that all temporary employees must be Safety Trained and pass a Safety 'Test before they are sent on any assignment, Because we specialize in almost 100% labor, the written training we provide is generally focused toward job -site safety, lifting techniques, and hazardous material issues. One way we guarantee your complete satisfaction is by requiring our workers to qualify on a behavioral sereening tool designed by American Tescor. Labor Ready also requires that all potential employees report to the focal branch before being assigned a job. We also provide drug testing for all Labor Ready employees at no additional charge. These placements may include employees that have successfully passed a drug screen in the past for other Labor Ready customers. Labor Ready will therefore drug test every employee that is assigned to the City Of Lubbock. Labor Ready dispatches employees through a process known as `Best Match Dispatch." Physcial abilities and work history determine which candidate is most suited to the job requests made by our clients. All Labor Ready employees are given a description of the job before being sent. If they feel they are not capable of doing the task, another employee is selected. All Labor Ready employees are given the opportunity to prove themselves physically capable of handling a task. In order to protect the Right to Privacy of our Clients, these shall be considered Trade Secrets and Confidential Information. 6.1.6 In addition to being able to obtain immediate background checks through The Department of Public Safety, Labor Ready can conduct more thorough nationwide criminal history checks by utilizing TrueScreen.com and Data BaseRecords.com for the MVR reports and TESCOR. We run MVR reports for all CDL drivers. Because Labor heady has 900+ offices worldwide, it is necessary to use a centralized company that specializes in providing driver license checks, background checks, and criminal history checks. TrueScreen.com utilizes county and state records for all searches. Labor Ready also has additional guidelines that must be met before allowing it's employees to drive for one of our customers. Labor Ready requires all CDL drivers to provide us with a current DOT medical card and an MVR obtained from The Department of Public Safety. Labor Ready has developed a pool of qualified potential employees over the past six years for immediate use for the City of Lubbock. 6.1.7 Labor Ready employee weeks run from Saturday through Friday. All invoices are sent from a centralized billing facility on a weekly basis and include all hours worked by a Labor Ready employee that week. Invoices - are then separated by department and taken to City of Lubbock accounting. Invoices include ticket numbers, name of the employee, name of the City of Lubbock supervisor that signed the ticket, and a copy of the original ticket as it was turned in to Labor Ready. Each department and site location is listed on a separate invoice, Invoices should be received by the accounting depart- ment no later than the following Thursday of each week. Billing questions are answered immediately end completely with just 9 phone call. Any dis- crepancies are addressed without delay and if necessary, credits are issued to remedy billing differences. Labor Ready has granted an exception in favor of the City of Lubbock to allow terms of net 30 for the purposes of this proposal only. The current Labor Ready standard is term net 7 for all other customers. Overtime is billed at 1 I/2 times the listed hourly bill rates. As required by law, Labor Ready pays their employees time and a half for any hours over forty that are worked within the pay period from Saturday through. Friday of each week. Accommodations can be made on a per client basis if these days do not coincide with that of the City of Lubbock. For our Customers convenience, we also offer on-line account management. Our offices are open at 5:30 am each morning and we allow our workers to sign in at that time. There are typically 75 to 1.50 workers in the office ready to go to work on any given day. Replacement of unsatisfactory workers can therefore be done almost immediately on an as needed basis. Labor Ready offers a President's Promise to ensure customer satisfaction. If for any reason you are not satisfied with the employee that was provided, they may be sent hack within the first two hours, without a charge. Each supervisor has complete control of whether or not they want the employee to return. The work tickets have spaces provided that allows the supervisor to check yes or no on the employees return. The ticket also allows the supervisor to put the date, time, and number of the workers requested on a daily or weekly basis. A comment section is included on the ticket to allow the supervisor the opportunity to make comments regarding the employee's performance. Computer records are kept on all employees. Utilizing this system, we can tell at a glance if City Supervisors have requested an employee or If for any reason it has been requested that they do not return to the City Departments. Employees are immediately replaced with just a phone call to our office. The .Labor Ready staff takes pride in staying in close communication with our customers to ensure that all their needs are being met. Our staff can be reached 24 hours a day 7 days a week. Office hours are from 5:30 ant until 7:00 pm Monday through Friday and 6:00 am until 10:00 am on weekends. Weekend hours are often extended to meet clients' needs. After hours, we can be reached by simply making a phone call to our office. Labor Ready has an answering service that will page the Branch Manager or on call staff so that we may be reached at any time. In addition, accommodations will be made to keep the Labor Ready branch open past regular business hours if necessary to ensure our customers needs are being met. In office testing can provide response times of 20 minutes. Lubbock Occupational Health currently provides CDL drug testing for Labor Ready with same day results.
