Neither the Client nor Consultant shall assign his interest in this agreement without the written consent of the other. 2. All agreements on Consultant's part are contingent upon, and Consultant shall not be responsible for damages or be in default or be deemed to be in default by reason of delays unavoidable or beyond Consultant's reasonable control, or due to shortages or unavailability of labor at established area wage rate, or delays caused by failure of Client or Client's agent to furnish information, or to approve or disapprove Consultant's work promptly, or due to late or slow or faulty performance by Client, other contractors, or governmental agencies, the performance of whose work is precedent to or concurrent with the performance of Consultant's work. In the case of happening of any such cause of delay, the time of completion shall be extended accordingly. 3. In the event that any changes are made in the scope, plans or specifications of the work by the Client or persons other than the Consultant which affects the Consultant's work, any and all liability arising out of such change(s) is waived by Client against the Consultant, and the Client assumes full responsibility for such change(s), unless Client has given Consultant prior notice and has received, from Consultant, written acknowledgment for such changes. 4. The Consultant is not responsible, and liability is waived by Client against the Consultant, for use by Client, or any other person, of any reports, plans or drawings for purposes other than those for which such documents were expressly prepared by the Consultant to be used for. 5. All original documents as instruments of service are and shall remain property of the Client except where by law or precedent these documents become public property. Client may keep original documents as agreed to. Client agrees to not use the documents for any other purpose than set forth in the scope of work or deliverable requirements as stated in Attachment A, without written permission by the Consultant. Services provided within this agreement are for the exclusive use of the Client. 6. The Owner and Client recognize that the Consultant's fee includes allowances for funding a variety of risks which affect the Consultant by virtue of his or her agreeing to perform services on the Client's behalf. One of these risks stems from the Consultant's potential for human error. In order for the client to obtain the benefits of a fee which includes a lesser allowance for risk funding, the Owner and Client agree to limit the Consultant's liability to the Client, or any other party, arising from the Consultant's professional acts, errors, or omissions, such that the total aggregate liability of the Consultant to all those named and shall not exceed $100,000.00 or the Consultant's total fee rendered on the project, whichever is greater. 7. Fees and other charges will be billed promptly as the work is completed or on a monthly basis, as set forth in Attachment A, and the net amount shall be due and paid by Client with in thirty (30) days of the date of Consultant's invoice. 8. If Client fails to make any payment due Consultant for services and expenses within thirty (30) days after receipt of Consultant's invoice, the amounts due the Consultant shall include a charge at the rate 1.5% per month from said thirtieth day and, in addition, the Consultant may, after giving seven days written notice to the Client, suspend services under this agreement until he has been paid, in full, all amounts due him for services and expenses. Client shall pay all collection costs for accounts unpaid for greater than ninety (90) days. 9. This agreement may be terminated upon 10 days written notice by either party should the other fail and continue to fail to perform his obligations hereunder. In the event of termination, the Client shall pay the Consultant for all services, rendered to the date of termination, all reimbursable expenses, and reimbursable termination expenses. 10. The Client shall pay the costs of checking and inspection fees, zoning and annexation application fees, assessment fees, soils Consultant's fees, soils testing or laboratory fees, aerial topography fees and all other fees, permits, bond premiums, title company charges, blueprints and reproduction costs, and all other charges not specifically covered by the terms of this agreement. 11. In the event all or any portion of the work prepared or partially prepared by the Consultant be suspended, abandoned, or terminated, the Client shall pay the Consultant for the work performed on an hourly basis, not to exceed any maximum contract amount specified herein. 12. Should litigation be necessary to collect any portion of the amount payable under this agreement, then all litigation and collection expenses, witness fees and court costs, and attorney's fees shall be paid to the prevailing party by the defeated party. 13. The Consultant shall not be responsible for the acts or omissions of the Client, the Client's other consultants, contractors, any subcontractors, any of their agents or employees, or any other persons performing any of the Work. 14. THE CLIENT'S RESPONSIBILITIES a. The Client shall, with reasonable promptness, provide all available information regarding the requirements for the Project. b. The Client shall designate, when necessary, a representative authorized to act in the Client's behalf with respect to the Project. The client, or such authorized representative, shall examine documents submitted by the Consultant and shall render decisions within their authority pertaining thereto promptly, to avoid unreasonable delay in the progress of the Consultant's services. c. If the Consultant deems it necessary in Consultant's reasonable professional judgment for His Part of the Project, the Owner shall furnish, with reasonable promptness, a certified land survey and legal description of the site giving, as applicable, grades and line of streets, alleys, pavements and adjoining property: right- of-way, restrictions, easements, encroachments, zoning, deed restrictions, boundaries and contours or the site, locations, dimensions and complete data pertaining to existing buildings, other improvements; and full information concerning available service and utility lines, both public and private, above and below grade, including inverts and depths. d. If the Consultant deems it necessary in Consultant's reasonable professional judgment for the Project, the Client shall furnish, with reasonable promptness, the services of any licensed and registered professional. e.g. Client shall furnish, or cause to be furnished, to Consultant, all documents and information known to the Client that relate to the identity, location, quantity, nature or characteristics of any hazardous waste located at, or under the site. In addition, the Client will furnish, or cause to be furnished, such other information on surface and subsurface site conditions required by Consultant for proper performance of its services. Consultant shall be entitled to rely on Client -provided documents and information in performing the services required under this agreement; however, Consultant assumes no responsibility of liability for their accuracy or completeness. Client -provided documents will remain the property of the Client. 15. DISPUTE RESOLUTION: This Contract is performable, at least in part, in Lubbock County, Texas. ANY DISPUTE HEREUNDER SHALL BE GOVERNED SOLELY BY TEXAS LAW, AND VENUE FOR SAID DISPUTE SHALL LIE SOLELY IN A COURT OF COMPETENT JURISDICTION LOCATED IN LUBBOCK COUNTY, TEXAS. 16. INSURANCE a. The Client and the Consultant shall each effect and maintain insurance to protect themselves from claims arising out of the performance of professional services under this Agreement and caused by any error, omission, or negligent act for which they are legally liable. The Client and the Consultant shall each maintain the insurance or self-insurance in force, if affordable, is available, and providing it is available at rates reasonably comparable to that which we are paying now, after the completion of professional services under this Agreement for one year. b. Unless otherwise agreed, the Client and the Consultant shall each effect and maintain insurance or self-insurance to protect themselves from claims under workers or workmen's compensation acts; from claims for damages because of bodily injury, including personal injury, sickness, disease, or death of any employees or of any other person; from claims for damages because of injury to or destruction of property including loss of use resulting therefrom; and from damage to or destruction of property including valuable papers and records coverage and including loss of use resulting therefrom. 17. INDEMNIFICATIONS: The Client shall indemnify to the extent permitted by law and hold harmless the Consultant and all of its personnel from and against any and all claims, damages, losses and expenses (including reasonable attorneys fees) arising out of or resulting from the performance of the services, provided that any such claims, damage, loss or expense is caused in whole or in part by the negligent act of omission, anyone directly or indirectly employed by the Client (except the Consultant) or anyone for whose acts any of them may be liable. 18. Project Scope and Estimated Budget City of Lubbock Groundwater Utilization Study Introduction This document has been prepared by Daniel B. Stephens & Associates, Inc. (DBS&A), Parkhill, Smith and Cooper, Inc. (PSC) and Freese and Nichols, Inc. (FN), collectively referred to as the DBS&A team. Much of the project scope and estimated cost is based on the scope of work put forth by the City of Lubbock (City) under RFQ No. 242-03-VK. The scope of work and estimated cost is divided into nine major tasks, as outlined in detail below. Task 1 - Project Management and Coordination Formal project coordination and communication will occur between DBS&A's Project Manager, Mr. Neil Blandford, and the City of Lubbock Project Leader. Meetings or conference calls with the City will be held to provide progress reports and/or to present results at the following key points during the project; • Project initiation • Conclusion of the recharge analysis (Task 3) • Conclusion of the groundwater flow modeling (Task 4) • Determination of water use alternatives that will be evaluated (during Task 6) • Submittal of the draft report • Submittal of the final report It is possible that several of these topics may be evaluated at a single meeting or on the same call, depending on project progress. Task 2 - Data Compilation and Review This task involves data compilation and review required for the recharge and groundwater quality analyses and groundwater flow modeling. Data compilation and review required for other tasks are included as part of those tasks. Subtask 2.1- Compilation of Existing Reports and Studies The DBS&A team will compile available reports and data on water levels, water quality, and aquifer properties for the Lubbock and Sandhills well field areas. The DBS&A team already has many of these reports in-house, but additional data may be available from the City, the High Plains Underground Water Conservation District (HPUWCD), the Texas Commission on Environmental Quality (TCEQ), and the Texas Tech Center for Water Resources. Subtask 2.3 - Collection of Additional Water Level Data The existing water level database from the Texas Water Development Board (TWDB) Southern Ogallala groundwater availability model (GAM) study will be updated to include the most recent water level measurements available from the HPUWCD. Unpublished data from a secondary monitor well network maintained by the HPUWCD for the Lubbock area will be collected; these wells are monitored at approximately 5-year intervals. A large amount of water level data also exists for various contaminated sites (primarily leaking underground storage tank sites) throughout the City; DBS&A is the environmental consultant for a large number of these sites. For sites that are not undergoing active pump -and -treat remediation, water levels from observation wells will be used to add greater detail to the delineation of recharge zones. Subtask 2.4 - Development of Saturated Thickness Maps Saturated thickness maps illustrate the difference between the water table and the base of the aquifer. The base of aquifer maps for the entire Southern High Plains that are available from the HPUWCD and other sources have already been digitized and are electronically available for P:LWr04-P001Tev_CostEst.4-04lSotW_510.doc 2 Daniel B. The map for Lubbock County, in conjunction with the most recent water measurements, will be used to develop saturated thickness maps for groundwater conditions within and near the City of Lubbock for several (3 to 4) time periods from about 1980 to present. Subtask 2.5 - Compilation and Analysis of Water Quality Information Water quality information for the Lubbock area will be compiled and analyzed. Maps will be created to illustrate the distribution of major constituents of concern; if sufficient data exist, plots will be constructed of constituent concentrations through time at selected wells to evaluate changes through time. This task will be conducted using a comprehensive geochemical database compiled from TWDB data. Additional chemical analyses will be compiled as needed from the TCEQ public drinking water monitoring program. Additional existing sources of water quality data (e.g. City or HPUWCD records) will be used if necessary. Subtask 2.6 - Mapping of Environmental Sites A map will be constructed of known environmental sites within and immediately adjacent to Lubbock. This task will involve review of Lubbock Office TCEQ records and readily available databases from other entities, such as the U.S. Environmental Protection Agency. Task 3 - Groundwater Recharge Analysis This task involves the estimation of recharge rates within and near the city limits based on observed data collected during Task 2. Subtask 3.3 is optional and is not included in the cost estimate. Subtask 3.1- Recharge Estimation Recharge patterns and rates will be estimated using maps constructed for the Lubbock area of change in saturated thickness through time. Subtask 3.2 - Evaluation of Changes in Land Use Changes in land use through time (increasing urbanization) will be evaluated using either City records, aerial photographs, Landsat imagery, or possibly other types of information, depending upon which source is most readily available electronically and most easily utilized. Several time periods will be evaluated to assess potential correlation with changes in recharge. Impacts of recharge of treated wastewater and potential impacts of the southside drainage system modifications will also be considered. Subtask 3.3 - Collection of Additional Field Data (Optional) If, during execution of the recharge analysis or the water supply alternatives analysis (Tasks 5 and 6), it is determined that additional water levels or water quality data are highly desirable for a certain area or areas, and if wells are accessible for monitoring, the DBS&A Project Manager will coordinate with the City Project Manager to use City staff to collect additional water levels or water quality samples. Water quality laboratory analyses can range from several hundred dollars per sample for basic constituents and from $3,000 to $4,000 per sample for the full suite of TCEQ drinking water constituents. Task 4 - Groundwater Flow Modeling Models of the Lubbock County and Sandhills well field regions will be developed using the telescopic grid approach, where the Southern Ogallala GAM serves as the regional model from which the local (or site) models are developed. Each local model will be developed for the time period 1940 through 2003. The primary purpose of the groundwater flow models is to assess the sustainability of groundwater resources for various alternative use scenarios. Subtask 4.1- Development of Lubbock County Groundwater Model The first step in developing the Lubbock area model will be to select the portion of the GAM that includes Lubbock County and immediately adjacent regions, and to develop a finer model grid (perhaps one -quarter mile on a side or even finer, if needed) for the sub -area. This model will be the Lubbock groundwater model. Next, the aquifer parameters and other model inputs within P:Lwro4Poa1wav_costEst.4-04tsoM_51 o.dm 4 Daniel B. Stephens & Associates, Inc. the local model will be updated to be consistent with the finer mesh and more local information collected for this study as described above. The Lubbock groundwater model will include the following: • Incorporation of enhanced recharge in the Lubbock area that has caused the formation of the groundwater mound beneath the City. This recharge may or may not change with time according to the findings of the recharge investigation. Additional calibration points (observed water levels) in the Lubbock area will be included as part of the model calibration process. • The historical growth of the mound beneath Lubbock will be simulated. This step is necessary to obtain some confidence in the use of the model for predictive simulations of alternative groundwater use options. Where water level changes within the Lubbock area may be influenced by pumping or recharge that occurs outside the local model boundary, the GAM model will be run in conjunction with the local model so that groundwater inflows to, and outflows from, the Lubbock area model are appropriately accounted for. Subtask 4.2 - Sandhills Well Field (Bailey County) Model The Sandhills well field groundwater model will be constructed in a fashion similar to the Lubbock area model. One of the critical concerns for this region is that it is subject to large drawdowns due to widespread pumping for irrigated agriculture. The primary purpose of the Sandhills well field model will be to evaluate well field sustainability for alternative water use options. Subtask 4.3 - Predictive Simulations Once completed, the Lubbock County and Sandhills well field groundwater models will be applied to estimate the hydrologic effects of various water use options and to assess the overall P:LWr04-POO1\Rev_CostEst_4-041SofW_51o.doc 5 Daniel B. Stephens & Associates, Inc. goal of sustainability over a 50-year period. Newly implemented or planned in -City pumping will be included in these simulations. Task 5 - Identification of Alternative Uses/Treatment Requirements This task consists of the identification of alternative uses of the available groundwater beneath Lubbock and treatment requirements associated with those uses. The following potential alternative uses have already been identified: Landscape irrigation Commercial and industrial reuse • In -City residential reuse • Water supply - outside City Other options or scenarios for evaluation, including those related to additional production from the Bailey County well field, may also be included, as determined in conjunction with the City. The following subtasks will be completed as part of this task. Subtask 5.1- Potential Site Identification The work items associated with this subtask will include the identification of potential users of the groundwater. Information regarding high -quantity water users will be obtained from the City, along with distinctions made (as available) for the general type of use, such as potable supply, irrigation, cooling water, etc. In addition, it will be necessary to identify the location(s) of potential use. An inventory and location of the City parks (both developed and undeveloped) will be prepared, with similar information compiled for potential commercial and industrial users, power generation facilities, Texas Tech University, Texas Department of Transportation (DOT) and LISD facilities, as appropriate. Follow-up meetings with each of the identified entities will likely be needed to verify the information, as well as to obtain a level of interest in the project. The potential of residential reuse, both inside and outside the City, will initially be evaluated with City engineering and planning staff, with the intent being to identify those areas most feasible for P:LWro4-Pool\Rev_CostEst.404\SofW_510.doc 6 Daniel B. Stephens & Associates, Inc. consideration of groundwater use. Follow-up meetings with selected area developers may also be required to better identify actual implementation procedures and limitations. Subtask 5.2 — Treatment Requirements Following identification of the potential users of the groundwater, the next task will be to determine the level of treatment required for each type of use. Because the degree of treatment will potentially vary considerably due to existing water quality and the proposed type of use, it will be necessary to prepare a matrix that will readily match the parameters under consideration. Potential alternate uses of the water will include landscape irrigation, cooling water, grey -water, and potable water. Groundwater in certain areas of the City may require little or no treatment prior to use for some applications. Subtask 5.3 — Cost -Effectiveness Analysis With the various options and locations for use likely to be available, a basic cost-effectiveness analysis will be performed to determine the most feasible candidates for further consideration. The factors that will be given the most weight in the cost benefit analysis include location, quantity of water needed, treatment requirements, and general magnitude of cost. The results of the analysis will be reviewed with the City for the purpose of selecting the three most cost- effective options to be studied further. Task 6 - Determination of Capital and Operation and Maintenance Costs of Groundwater Uses The economic considerations associated with the development and use of the three selected groundwater alternatives will include the capital costs of construction, as well as ongoing operation and maintenance (O&M) costs. Standard engineering cost estimates will be made for each alternative evaluated so that alternative groundwater uses can be ranked and considered within a cost context as well as a hydrologic context. Task 7 - Dockum Aquifer Analysis The potential water resource available from the Dockum aquifer beneath and adjacent to the Sandhills well field in Bailey and Lamb Counties will be evaluated based on existing reports and readily available information from other nearby regions. Due to the limited amount of information available for the Dockum aquifer, this assessment will be of a screening nature, but should be sufficient to provide a reasonable estimate of relative magnitude of cost. Recommendations concerning future actions will be provided. Task 8 - Development of Strategies for Improving Groundwater Management and Protection Based on the study results and consultation with City staff, the DBS&A team will recommend appropriate strategies for improving groundwater management and protection that are consistent with City policies and water planning goals. Task 9 - Reporting The study findings, results, and conclusions will be provided in a technical report with an executive summary of findings. A draft report will be provided for the City's review and comment, after which a final report will be prepared taking these comments into account. All supporting data will be provided to the City. Due to the large amount of data that will be applied during the study, the majority of the data will be supplied directly in the form of electronic databases, GIS files, or other electronic files (e.g., Excel spreadsheets) rather than as hard copy. A complete electronic copy of the report will be provided in PDF format or other standard format if requested. The final report will document the findings and conclusions from Tasks 1 through 8.
