RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock is hereby authorized and directed to
execute for and on behalf of the City of Lubbock, Contract No. 11252 for vehicle lease
program, by and between the City of Lubbock and Acme Auto Leasing, LLC, of Oxon
Hill, Maryland, and related documents. Said Contract is attached hereto and incorporated
in this resolution as if fully set forth herein and shall be included in the minutes of the
City Council.

VEHICLE LEASE PROGRAM
SERVICE AGREEMENT
CONTRACT 11252
This Service Agreement (this "Agreement") is entered into as of the 131h day of June 2013, ("Effective
Date") by and between Acme Auto Leasing, LLC of Oxon Hill, Maryland, (the Contractor),and the City of
Lubbock (the "City").
RECITALS
WHEREAS, the City has issued a Request for Proposals 13-11252-DT, Vehicle Lease Program.
WHEREAS, the proposal submitted by the Contractor has been selected as the proposal which best meets
the needs of the City for this service; and
WHEREAS, Contractor desires to perform as an independent contractor to provide Vehicle Lease Program
upon terms and conditions maintained in this Agreement; and
NOW THEREFORE, for and in consideration of the mutual promises contained herein, the City and
Contractor agree as follows:
City and Contractor acknowledge the Agreement consists of the following exhibits which are attached
hereto and incorporated herein by reference, listed in their order of priority in the event of inconsistent or
contradictory provisions:

Scope of Work
Contractor shall provide the services that are specified in Exhibit B. The Contractor shall comply with all the
applicable requirements set forth in Exhibit B, and C attached hereto.
Article 1 Services
1.1 Contractor agrees to perform services for the City that are specified under the General
Requirements set forth in Exhibit B. The City agrees to pay the amounts stated in Exhibit A, to
Contractor for performing services.
1.2 Contractor shall use its commercially reasonable efforts to render Services under this Agreement in
a professional and business -like manner and in accordance with the standards and practices
recognized in the industry.
Nonappropriation clause. All funds for payment by the City under this Agreement are subject to the
availability of an annual appropriation for this purpose by the City. In the event of
nonappropriation of funds by the City Council of the City of Lubbock for the goods or services
provided under the Agreement, the City will terminate the Agreement, without termination charge
or other liability, on the last day of the then -current fiscal year or when the appropriation made for
the then -current year for the goods or services covered by this Agreement is spent, whichever event
occurs first. If at any time funds are not appropriated for the continuance of this Agreement,
cancellation shall be accepted by the contractor on thirty (30) days prior written notice, but failure
to give such notice shall be of no effect and the City shall not be obligated under this Agreement
beyond the date of termination.
Article 2 Miscellaneous.
2.1 This Agreement is made in the State of Texas and shall for all purposes be construed in accordance
with the laws of said State, without reference to choice of law provisions.
2.2 This Agreement is performable in, and venue of any action related or pertaining to this
Agreement shall lie in, Lubbock, Texas.
2.3 This Agreement and its Exhibits contains the entire agreement between the City and Contractor and
supersedes any and all previous agreements, written or oral, between the parties relating to the
subject matter hereof. No amendment or modification of the terms of this Agreement shall be
binding upon the parties unless reduced to writing and signed by both parties.
2.4 This Agreement may be executed in counterparts, each of which shall be deemed an original.
2.5 In the event any provision of this Agreement is held illegal or invalid, the remaining
provisions of this Agreement shall not be affected thereby.
2.6 The waiver of a breach of any provision of this Agreement by any parties or the failure of
any parties otherwise to insist upon strict performance of any provision hereof shall not constitute
a waiver of any subsequent breach or of any subsequent failure to perform.
2.7 This Agreement shall be binding upon and inure to the benefit of the parties and their respective
heirs, representatives and successors and may be assigned by Contractor or the City to any
successor only on the written approval of the other party.
2.8 All claims, disputes, and other matters in question between the Parties arising out of or relating to
this Agreement or the breach thereof, shall be formally discussed and negotiated between the
Parties for resolution. In the event that the Parties are unable to resolve the claims, disputes, or
other matters in question within thirty (30) days of written notification from the aggrieved Party to
the other Party, the aggrieved Party shall be free to pursue all remedies available at law or in
equity.
2.9 At any time during the term of the contract, or thereafter, the City, or a duly authorized audit
representative of the City or the State of Texas, at its expense and at reasonable times, reserves the
right to audit Contractor's records and books relevant to all services provided to the City under this
Contract. In the event such an audit by the City reveals any errors or overpayments by the City,
Contractor shall refund the City the full amount of such overpayments within thirty (30) days of
such audit findings, or the City, at its option, reserves the right to deduct such amounts owing the
City from any payments due Contractor.
2.10 The City reserves the right to exercise any right or remedy to it by law, contract, equity, or
otherwise, including without limitation, the right to seek any and all forms of relief in a court of
competent jurisdiction. Further, the City shall not be subject to any arbitration process prior to
exercising its unrestricted right to seek judicial remedy. The remedies set forth herein are
cumulative and not exclusive, and may be exercised concurrently. To the extent of any conflict
between this provision and another provision in, or related to, this document, this provision shall
control.

II. GENERAL REQUIREMENTS
1. Vehicle Specifications
1.1 The City of Lubbock is seeking proposals to establish a contract for a vehicle lease program
of new or newer used current model year vehicles. Contract term for one year with the option
to renew for three additional one-year terms with 30 day termination clause.
2. Leasing Vehicles General Information
2.1 Number of vehicles will vary based on departmental needs. Notification of either an increase
or decrease will be noted in writing within thirty (30) days of change.
2.2 Twenty-eight (28) vehicles are needed once contract awarded.
3. Offerors Responsibilities

4. City of Lubbock Responsibilities:

5. Evaluation Criteria
5.1 The City of Lubbock reserves the right to negotiate all elements which comprise the
vendor's proposal to ensure that the best possible consideration be afforded to all
concerned.
5.2 The City of Lubbock reserves the right to request the respondents to modify the purchase
price of applications and equipment received as a result of this REP.
5.3 RFP will be evaluated on a percentage point system of:
50% Cost
25% Vendors experience with vehicle lease programs
15% Vendor ability to meet standards and specifications
10% Record of performance based on previous work with the City and/or other
client reference.
6. Proposal Price Sheet
a. Lease rates shall be listed on Appendix A, Proposal Price Sheet.
b. Lease rates shall be based on an eight month or twelve month fixed rate.
c. Proposal rates must be valid for sixty days.
d. Lease rates shall include delivery to Lubbock, Texas.
e. Rates shall include unlimited mileage.
7. Proposal Format
a) Proposals should provide a straightforward, concise description of the Offeror's capabilities
to satisfy the requirements of the RFP. Emphasis should be on completeness, clarity of
content, and conveyance of the information requested by the City.
b) The proposal should be bound in a single volume where practical. All documentation
submitted with the proposal should be bound in that single volume.
c) If the proposal includes any comment over and above the specific information requested in
the RFP, it is to be included as a separate appendix to the proposal.
d) The proposal must be organized into the following response item sections and submitted in an
indexed binder.
i) Cover letter addressed to the Honorable Mayor and City Council that states the Offeror's
understanding of the services to be provided. Include any additional information
believed necessary that is not requested elsewhere in the REP.

"'— ii) A description of the methodology to be used to complete the project to include, but not be
limited to, how recommendations will be formulated and commitment of adequate
appropriate resources to the project.
iii) Offeror's specific expertise in areas pertinent to the project to include a listing and brief
description of similar projects completed (with the dates of completion) or in progress
and a list of references by name, address, and telephone number for each project listed.
This list of projects in progress shall include the phase of work that each project is
currently in (i.e. design, bid, construction), and the estimated completion date.
11 iv) A brochure of past work, with emphasis on comparable projects.

vi) List of other professionals to be used, if applicable, with a record of experience in
projects of this nature. Identification of principal(s) and percentage of time the

with resumes of those individuals. If a joint venture is expected, then provide the
organizational structure of the sub -contractor and resumes of those persons who will be
involved in the project.

The Proposer must assure the City that he/she will to the best of his/her knowledge,

information and belief, be cognizant of, comply with, and enforce, where applicable and
to the extent required, all applicable federal or state statutes and local ordinances
including, but not limited to the Davis -Bacon Federal minimum wage requirements.
ix)
Describe the Offeror's methodology for handling errors and omissions.
x)
Disclosure of any obligations posing a potential conflict of interest, including service on
City boards and/or commissions and any current contracts with the City of Lubbock.
This would apply to the Proposer as well as consultants subcontracted by the Proposer.
xi)
Any material which the proponent wishes to submit and which is not specifically
requested in the above categories.
xii)
Offerors are strongly encouraged to explore and implement methods for the utilization of
local resources, and to outline how they would address outreach issues in their proposal.
It is also the desire of the City that the City of Lubbock program serve, as much as

practicable, to stimulate growth in all sectors of the local business community. Describe
how your firm would facilitate this process, and provide any relevant information about
similar efforts on previous projects.

Honorable Mayor and City Council,
It is Acme Auto Leasing's pleasure to be a service provider of lease vehicles for
the City of Lubbock these past four years and we hope that we are once again
awarded the Vehicle Lease Program.
We understand that the City will require 28 vehicles of a variety described in the
RFP for an 8 to 12 month period with an option to renew for three additional
one-year terms. The City is seeking a flat fee program with unlimited mileage.
The number and type of vehicles will be based on departmental need at the time
of ordering. As has been our practice under the current contract, we will make
every effort to meet make, model, options, and exterior color request.
As Offeror, we further understand that vehicles will be in good condition and
have clean interiors. Vehicles provided will have the manufacturer warranty
intact. Should an accident occur, as Offeror, Acme Auto Leasing will provide a
replacement vehicle within three business days.
Acme Auto Leasing understands the sensitive nature of the work that the Lease
Vehicles are utilized for and we take care to insure the privacy and security of
the vehicle license plate information. In addition we understand that an
uninterrupted program is most advantageous for the City and we feel we have
proven our ability to exceed expectations and perform under the terms of the
current contract. We appreciate this opportunity to provide a proposal.

Methodology
As the incumbent, our implementation will be relatively simple. The existing
vehicles are on an 8 to 12 month replacement cycle. When a vehicle is 60 days
away from the desired replacement date, Acme's designated Account Manager
will contact the City and discuss options for replacement vehicles. The City will
be presented a vehicle selector list or "menu" of vehicles to pick from. Once a
vehicle has been selected from that list, Acme Auto Leasing will order the
vehicles and delivery to a local dealer or to the City will take place within 60 to
90 days. All arrangements will be made by Acme Auto Leasing including
paperwork for the license plates.
The vehicle selector list is created based not only on availability and pricing,
but with the input from the City. Acme's designated Account Manager will make
recommendations based on discussions with the City regarding what type of
vehicle they need for the task at hand, how prior vehicles performed, and what
they liked or disliked about a particular model or make they have had in the past.
The selector list will change from month to month. This accommodates changes
in Manufacturer product lines and model year close-out. This also addresses the
need for a variety of vehicles that will blend into the community.
Acme Auto Leasing has established relationships with major Automobile
Manufacturers, Dealerships, and Auctions. We utilize our partnerships with these
organizations to provide a seamless order -to -delivery program for our customers
in the public sector.
We have a number of Funding Banks with established credit lines and have
adequate financial resources to fund this project.

Organizational Structure
Acme Auto Leasing has been in the business of providing transportation solutions
to governmental entities since 1982. The firm holds two federal government
vehicle supply contracts administered through the US General Services
Administration (GSA). The first is a GSA Schedule 751 contract; contract number
y GS-30E-0005L, for the leasing of sedans and light trucks. The second is a GSA
Schedule 48 contract; contract number GS-33F-0032U, for the rental of sedans

Qualification of Members of Acme Auto Leasing
Anthony R. Kinsley — Chief Financial Officer
Mr. Kinsley's career of twenty -give years included four with Big Four accounting
firms, fourteen with three commercial finance companies and the last eight years
with asset management firms. Having joined Acme in November 2008 as CFO,
Tony is responsible for all accounting/finance and treasury operations, including

business modeling and forecasting throughout the year. Prior to joining Acme,
Tony worked at Proctor Investment Managers, a private equity firm in New York
City. Tony began his involvement in the asset management business by
establishing Penfield Investments, a registered investment adviser. The firm

handled separately managed accounts deploying long and short equity
strategies, through two quantitative proprietary investment models.
From 1994 to 2000 Tony was vice president, treasurer and chief financial officer
of Lyon Credit Corporation (LCC), a subsidiary of Credit Lyonnais. He, along with
'
four others, set vision and strategy for LCC, which with proper execution,
allowed LCC to reach profitability in its second year of operation. The company,
'
which had a $400 million commercial finance portfolio, was sold in 1999. From
1988 to 1994 Tony served as strategic business analyst/financial planner for
various business segments within Chrysler Capital's $7 billion commercial finance
portfolio. Mr. Kinsley holds a BS in accounting from Boston College (1982) and
an MBA in Finance from the University of Connecticut (1990).
Steve Y. Park -- Senior Vice President, Sales
A graduate of the University of Michigan (BA) and Case Western Reserve
University (MBA), Steve joined Acme in September 2009. His entire career has
been spent in the automotive industry which includes ten years at Ford Motor
Company, primarily in fleet sales as federal government account manager,
commercial national account manager, and commercial operations manager. He
spent two years participating in General Motors Corporation's minority dealer
development program learning dealership operations. As a Dealer Academy
Fellow, he graduated from the National Automobile Dealers Association (NADA)
Dealer Academy and held various senior management positions at a large -
volume GM dealership in Michigan. As Senior VP of Sales at Acme Auto Leasing
LLC, Steve is responsible for federal, state and local government sales and
customer service activities.
M. Beth Roth — Government Account Manager, Western States
Beth came to Acme Auto Leasing LLC in 2010 after a long career with Chrysler
Financial LLC. During her tenure working with Chrysler Corporation's captive
finance arm, she held a number of positions within the credit, funding,
collections, sales, and marketing Departments. She has an extensive
background in vehicle financing methods as well as inventory/fleet management.
As Government Account Manager she is responsible for relationship development
of new accounts as well as providing a high standard of customer service to both
new and existing clients. Beth holds an MBA from University of Phoenix.

Steven I Quick — Operations Manager, Western States
Steve joined Acme Auto Leasing in 2011 after holding a number of management
positions at rental car companies Enterprise and Hertz. With a combined ten
years at Enterprise and Hertz as a branch manager, Steve was responsible for
customer service, fleet maintenance, rental operations, and reservations planning

Utilization of Local Resources
Acme Auto Leasing is sensitive to the needs of the communities we serve. As
part of our ordering process, we will reach out to local dealerships in Lubbock to
work with us as partners in fulfilling the requirements of this contract. As stated
in our methodology, we have developed relationships with Dealers in and around
Lubbock over the last four years and we hope to continue to utilize them for
deliveries.
By using these local dealerships, we also bring not only revenue to the bottom
line, but work for the parts department as well as the service department. Local
Auto Transporters will be called upon to do work for us in moving vehicles in and
out of Lubbock to other areas of the United States.
We ourselves are a small business so we understand the importance of
supporting local small business and will make every effort to do so.
