RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock is hereby authorized and directed to
execute for and on behalf of the City of Lubbock an Amendment to a License Agreement
pertaining to obtaining name sponsorship for the Lubbock Auditorium -Coliseum by and
between the City of Lubbock and Civic Lubbock, Inc., a copy of which Amendment to
said License Agreement is attached hereto and which shall be spread upon the minutes of
this Council and as spread upon the minutes of this Council shall constitute and be a part
hereof as if fully copied herein in detail.

AMENDMENT
THE STATE OF TEXAS
COUNTY OF LUBBOCK

Whereas, the City of Lubbock, Texas ("City" hereinafter) and Civic Lubbock,
Inc. ("Corporation" hereinafter) did heretofore on the 23`d day of October, 2003, enter
into a License Agreement; and
Whereas, it is the desire of the City Council and the Corporation to amend said
Agreement between the City and the Corporation; NOW THEREFORE:
WITNESSETH:
Section 1. THAT a new Section 19 shall be added to the License Agreement
entered into by and between the City of Lubbock and Civic Lubbock, Inc., on the 23`d
day of October, 2003, which shall read as follows:
19. The City hereby authorizes the Corporation to solicit "naming rights"
sponsorships for the Auditorium/Coliseum on behalf of the City. Should the Corporation
be successful, Corporation will give 30 days written notice to City of any proposed
naming rights sponsor prior to the Corporation entering into a written agreement with any
sponsor. The City shall have a unilateral right to refuse such sponsor, in which case an
agreement shall not be executed. In the event the City does not refuse such sponsor, the
City further authorizes the Corporation to hold revenues from any naming rights
sponsorship in a reserve account established by Corporation, less any and all facility costs
related to implementing a naming rights sponsorship, including, but not limited to,
replacing the facility signage and any commissions paid to third parties. Any other
expenditure from the reserve account shall require prior approval by the City Council
before such expenditure is made.
Section 2. All provisions of the Agreement, other than that herein added, shall
remain in full force and effect as originally written.
