i BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock is hereby authorized and directed to
execute for and on behalf of the City of Lubbock, Amendment No. 3 to that certain
Contract No. 9786 dated October 14, 2010, by and between the City of Lubbock and
Halff Associates, Inc. of Richardson, Texas, for Video Inspection Professional Services,
and related documents. Said Amendment is attached hereto and incorporated in this
resolution as if fully set forth herein and shall be included in the minutes of the City
Council.

An agreed settlement means a settlement and release
of liability signed by us, the Insured and the clalmant or
the claimant's legal representative_
4. Other Insurance
If other valid and collectible insurance Is available to
the Insured for a loss we cover under Coverages A or
8 of this Coverage Part, our obligations are limited as

a. Primary Insurance
This insurance is primary except when b. below

Paragraphs (a) and (b) do not apply to other

When this insurance is excess, we will have no
duty under Coverages A or B to defend the Insured
against any "suit" if any other insurer has a duty to
defend the insured against that 'suit". If no other
Insurer defends, we will undertake to do so, but we
will be entitled to the insureds rights against all
those other insurers.
When this insurance is excess over other
insurance, we will pay only our share of the amount
of the loss, if any, that exceeds the sum of:
(1) The total amount that all such other Insurance
would pay for the loss in the absence of this
insurance; and
(2) The total of all deductible and self -Insured
amounts under ail that other insurance.
We will share the remaining loss, if any, with any
other insurance that is not described in this Excess
Insurance provision and was not bought specifically
to apply in excess of the Limits of Insurance shown
in the Declarations of this Coverage Part.
c. Method Of Sharing
If all of the other insurance permits contribution by
equal shares, we will follow this method also. Under
this approach each Insurer contributes equal
amounts until it has paid its applicable limit of
insurance or none of the loss remains, whichever
comes first.

AMENDMENT NO.3
TO AGREEMENT

HALFF ASSOCIATES, INC.
FOR ENGINEERING SERVICES
ENGINEERING SERVICES TO: Perform a video inspection and assessment of the storm sewer
infrastructure in the Arnett Benson and Ave. R drainage basins and to develop a comprehensive
geospatial database that integrates the storm sewer schematic with all supporting data, Project NO.
#8070 and Contract NO. # 9786 hereinafter referred to as "the Project."
THIS IS AN AMENDMENT TO THE AGREEMENT dated October 14, 2010 and entered into
by and between the CITY OF LUBBOCK, TEXAS, hereinafter called "Owner," and HALFF
ASSOCIATES, INC., hereinafter called the "Engineer," of 1201 N. Bowser Rd in Richardson,
Texas. The original Agreement was approved by City Council action on October 14, 2010,
Resolution No. 2010 R0492.
This amendment adds additional linear footage of storm sewer pipe to be inspected, fee and
additional time to the original agreement and subsequent amendment, such that the Agreement and
Amendment shall terminate at the close of business on March 31. 2014, unless a mutual agreement
is made by the Owner and the Engineer to extend the agreement. The total fee for Amendment No.
3 is $600,000.
The extended time and fee is necessary because of the additional linear footage added which will
allow the Engineer to perform additional storm water infrastructure inspection, assessment and
analysis on multiple basins within the City of Lubbock. Under this amendment, the Engineer shall
analyze approximately 70,000 linear feet of storm server infrastructure in detail, and conduct
additional video inspection, survey and assessment in order to provide the Owner with a
comprehensive inventory of the City of Lubbock drainage system. Exhibit 1, attached hereto,
depicts the storm sewer infrastructure that will be analyzed under this amendment — labeled as
PH04.
All other portions of the original Agreement and previous Amendments shall remain in place and
are not altered by this amendment.

In signing this Agreement, the CITY grants ENGINEER specific authorization to proceed underthis Agreement.
ENGINEER's services shall be completed within sixteen (16) months of the receipt of the Notice to Proceed,
unless weather constraints do not allow for completion of specified tasks under acceptable conditions.
ENGINEER shall keep the OWNER informed of the progress and identify any circumstances that may affect the

NOTES:
1. Light Cleaning is defined as 2 passes with a 120 G.P.M. Jet -Vac
2. Heavy Cleaning is defined as the additional cleaning necessary to obtain a 95% clean pipe. Mechanical cleaning
for the removal of "fixed or excessive debris, tap removal' will be negotiated on a case by case basis.
3. Reverse setup fee applies if camera will not traverse entire pipe length and a reverse is applicable
4. Mobilization/Demobilization fees are applicable for unscheduled work stoppages, schedule changes, weather
related stoppages, client/owner requested stoppages etc. Scheduled rotations or APC maintenance
demobilizations are not billed.
S. Light traffic control is performed by in-house crews with cones and advanced warning devices. This is applicable
for residential and light commercial
6. Major traffic control applies for TXDOT or major lane closures that are subcontracted to firms specializing in
traffic management.
