RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and
directed to execute for and on behalf of the City of Lubbock a Ratification of
Amendment No. 1 to Agreement for Engineering Services, and any other related
documents, ratifying that certain Amendment No. 1 to Agreement for Engineering
Services, dated June 29, 2004, by and between the City of Lubbock and Parkhill,
Smith & Cooper, Inc. Said Ratification of Amendment No. 1 to Agreement for
Engineering Services is attached hereto and incorporated in this Resolution as if
fully set forth herein and shall be included in the minutes of the Council.

RATIFICATION
OF
AMENDMENT NO. 1
TO
AGREEMENT FOR ENGINEERING SERVICES
KNOW ALL MEN BY THESE PRESENTS THAT,
WHEREAS, effective the 29th day of June, 2004, the City of Lubbock and
Parkhill, Smith & Cooper, Inc. considered that certain Amendment No. 1 to Agreement
for Engineering Services City of Lubbock, Texas and Parkhill, Smith & Cooper, Inc. (the
"Amendment No. I");
WHEREAS, the Mayor of the City of Lubbock, was duly authorized to execute
the Amendment No. 1, by Resolution No. 2004-R0300, passed by the City Council of the
City of Lubbock on June 29, 2004;
WHEREAS, the Amendment No. 1 contains several items not considered by the
City Council as per Resolution No. 2004-R0300, and the City of Lubbock now desires to
ratify the Amendment No. 1 to Agreement for Engineering Services City of Lubbock,
Texas and Parkhill, Smith & Cooper, Inc., attached hereto as Exhibit "A" (the "Revised
Amendment No. 1 "), to remove any uncertainty regarding such matter;
NOW, THEREFORE, in consideration of the sum of One and No/100 Dollar
($1.00) and other good and valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, the City of Lubbock does hereby ratify, adopt and confirm the
Revised Amendment No. 1, in all of its terms and provisions, and acknowledges the
validity, effect, and enforceability of the Revised Amendment No. 1.

AMENDMENT NO.1
TO
AGREEMENT FOR ENGINEERING SERVICES
CITY OF LUBBOCK, TEXAS
AND
PARKHILL, SMITH & COOPER, INC.
THIS Amendment No. 1 to Agreement for Engineering Services ("Amendment No. I"),
dated effective this 29th day of June, 2004, is by and between Parkhill, Smith & Cooper, Inc.
("Engineer"), of 4222 851h Street, Lubbock, Texas, a corporation duly chartered under the laws
of the State of Texas, and the City of Lubbock, Texas ("Owner"), a Texas home rule municipal
corporation.
WHEREAS, pursuant to Agreement for Engineering Services, dated on or about April
22, 2004, Resolution No. 2004-R0210, ("Original Agreement"), Engineer agreed to provide
engineering services to Owner related to the design and construction of Milwaukee Avenue,
between 34th Street to 98th Street, in the City of Lubbock, Texas ("Project");
WHEREAS, it has come to the attention of Owner and Engineer that additional services
are required of Engineer regarding the Project;
WHEREAS, Owner desires Engineer, who is eminently qualified to perform such
services, to provide such services;
WHEREAS, Owner and Engineer now desire to amend the Original Agreement to
establish additional basic services and compensation for profession-t - ssociated with the
design phase from Milwaukee Avenue paving from ' "h ` set forth herein;

ATTACHMENT "B".
3. "ATTACHMENT `D' ENGINEER'S RESPONSIBILITIES", to the Original
Agreement is hereby amended by adding thereto the ATTACHMENT "D" to this
Amendment No. 1, as attached hereto, and including any and all exhibits and
attachments to said ATTACHMENT "D".

4. "ATTACHMENT "A", "ATTACHMENT `B", and "ATTACHMENT "D" to
the Original Agreement shall remain part of, for all purposes, the Original
Agreement. "ATTACHMENT "A", "ATTACHMENT "B", and
"ATTACHMENT "D", including any and all exhibits and attachments thereto, to
this Amendment No. 1, are in addition to said attachments to the Original
Agreement and not in lieu of nor replacements thereto.
5. "ATTACHMENT AA" to this Amendment No. 1, as attached hereto, and
including any and all exhibits or attachments to said "ATTACHMENT AA", is
hereby added to the Original Agreement.
6. "ARTICLE 13- AMENDMENT, TERMINATION AND STOP ORDERS" of the
Original Agreement is deleted in its entirety, and replaced with the following:
ARTICLE 13 AMENDMENT, TERMINATION AND
STOP ORDERS
This Contract may be altered or amended only by mutual
written consent of both parties hereto and may be terminated by
the Owner at any time by written notice to the Engineer. Upon
receipt of such notice, the Engineer shall, unless the notice
directs otherwise, immediately discontinue all work in
connection with the performance of this Contract and shall
proceed to cancel promptly all existing orders insofar as such
orders are chargeable to this Contract. The Engineer shall
submit a statement showing in detail the work performed under
this Contract to the date of termination. The Owner shall then
pay the Engineer promptly that proportion of the prescribed fee
which applies to the work actually performed under this
Contract, less all payments that have been previously made.
Thereupon, copies of all completed work accomplished under
this Contract shall be delivered to the Owner.
The Owner may issue a Stop Work Order to the Engineer at any
time for any reason or no reason, including without limitation,
the inability to obtain agreements satisfactory in form and
substance to Owner with developers affected by the paving
project contemplated by this Contract. Upon receipt of such
order, the Engineer is to discontinue all work under this
Contract and cancel all orders pursuant to the Contract, unless
the order otherwise directs. Notwithstanding anything to the
contrary herein, Engineer shall discontinue all work under this
Contract on October 1, 2004 (the "Developer Agreement
Date"), unless Owner shall issue to Engineer written notice (the
"Continue Notice") to continue work under this Contract. If the
Owner does not issue a Restart Order within sixty (60) days
after receipt by the Engineer of the Stop Work Order or the
Developer Agreement Date if the Owner shall not issue the

Continue Notice, as applicable, the Engineer shall regard this
Contract terminated in accordance with the foregoing
provisions.
The City Council of Owner hereby delegates to the City
Manager, or his or her designee, the authority to issue Stop
Work Orders, Continue Notices, and Restart Orders under this
Article 13.
7. Except as amended herein, the Original Agreement shall remain in force in effect
as originally provided.

A DESCRIPTION OF SCOPE OF SERVICES
The scope of services for Amendment No. 1 is a follows. Work will not proceed until Owner has
authorized Engineer in writing to proceed.
SERVICES
A. Design Phase Services are defined by the tasks and man-hours in EXHIBIT A-1
DESIGN PHASE and generally described as;
i. Project Management / Coordination
ii. Surveying
iii. Right of Way Coordination
iv. Roadway Design
v. Water and Sewer Design and Utility Coordination
vi. Storm Drainage Design
vii. Plans, Specifications and Opinions of Probable Cost for three construction
packages.
II ADDITIONAL SERVICES
A. At the request of the Owner, the Engineer will provide Additional Services upon
agreement between Owner and the Engineer defining the extent of such
Additional Services and the amount and manner in which Engineer will be
compensated for such Additional Services.
B. Additional Services may be authorized by a notice -to -proceed in writing form the
City Engineer and addressed to the Engineer.

COMPENSATION
DESIGN PHASE — BASIC AND SUPPLEMENTAL SERVICES
A. GENERAL
1. The Engineer will be paid on an hourly rate basis shown in Table B-1 and
subcontract personnel services will be billed at cost. Engineer and
subcontractor reimbursable expenses will be billed at cost plus 15 percent
surcharge. Reimbursable expenses are shown in Table B-1
2. The Engineer agrees to use its best efforts to perform services as defined
herein within the billing limits stated below.
3. It is understood and agreed the maximum billing of each of the items
listed below are based on the start of Services being authorized not later
than July 1, 2004. If start of Basic Services is not authorized by date
given, it is understood and agreed that the upper billing limit will be
adjusted accordingly by a supplement to the Agreement.
4. Monthly payments shall be made to the Engineer by the Owner based on
Engineer's statement. The statement shall be itemized to indicate the
amount of work performed and the associated reimbursable expenses and
subcontract costs.
5. The uncontested amount of each statement shall be due and payable upon
receipt by the Owner. Carrying charges of 1-1/2 percent per month from
the billing date shall be due for accounts that are not paid within 60 days
after the billing date.
6. The Engineer shall keep records on the basis of generally accepted
accounting practices of costs and expenses and which records shall be
available for inspection by Owner during normal business hours.
7. The Engineer shall provide adequate resources to complete the services
described herein within 18 months of the date of the Owner's notice -to -
proceed to the Engineer.

C. ADDITIONAL SERVICES
Additional services must be authorized in writing by Owner.
1. The maximum billed for Additional Services will be determined by mutual
consent before the Additional Services are authorized by the Owner.
2. The Engineer shall start the performance of the authorized Additional
Services within the (10) days of the receipt of notice to proceed and will
complete the Additional Services within the time period determined by
mutual consent before the Additional Services are Authorized by the
Owner.

6. Computer time charges, including program use charges.

Project: Milwaukee Avenue paving from 30 Street to 98' Street
PROJECT SCHEDULE
To expedite the project, a proposed phasing schedule has been developed that recommends
constructing Milwaukee Avenue as four separate projects. The schedules outlined below are
preliminary, and are very aggressive. As such, it should be understood that the highest level of
coordination and communication between the City of Lubbock, the engineering consultants, and
the adjacent landowners will be necessary to achieve these goals.
