CITY OF LUBBOCK
CONTRACT FOR SERVICES
THIS AGREEMENT, entered into this 28th day of August , 2003,
between the City of Lubbock ("City"), and West Texas Greenscapes, ("Contractor").
WITNESSETH:
The parties, in consideration of the terms and conditions herein, do hereby
covenant and agree as follows:
1. Compensation.
The City promises and agrees to employ, and does employ, the Contractor to
cause to be done the work provided for in this Contract and to complete and finish
the same according to the attached specifications, offer, and terms and conditions
contained herein. The City agrees to pay the Contractor according to the payment
schedule attached; said payment schedule does not include any applicable sales or
use tax.
Scope of Work.
The Contractor shall perform the work according to the procedure outlined in
the specifications and Invitation to Bid attached hereto and incorporated herein.
III. Contract Term:
The period of this contract shall be for a period of one year beginning upon the
date of execution by all parties, and thereafter from year to year for two additional
years, provided, however, that either party may at any time during the life of this
contract, or any extension thereof, terminate this contract by giving thirty (30) days
notice in writing to the other party of its intention to cancel. Prices shall remain firm
for the first twelve-month period of the contract unless an exception is stated in the
bid.
IV. Relationship between City and Contractor.
Contractor shall at all times be an independent contractor and not an agent or
representative of City with regard to performance of the Services. Contractor shall
not represent that it is, or hold itself out as, an agent or representative of City. In no
event shall Contractor be authorized to enter into any agreement or undertaking for
or on behalf of City.

V. Workers' Compensation and Insurance.
Contractors Liability Insurance: The contractor shall obtain and maintain in
full force and effect during the term of the contract, - commercial general liability
coverage with insurance carriers admitted to do business in the State of Texas. The
insurance companies must carry a Best's Rating of A- VII or better. The policies will
be written, subject to the following minimum limits of liability:
Worker's Compensation and Employer's Liability
Statutory $500,000
(Or other Medical and disability insurance acceptable to the City of Lubbock, Risk
Management)
Commercial General Liability:
General Aggregate: $300,000
Automotive Liability:
Any Auto: Combined Single Limit $300,000
The City of Lubbock, its agents, elected and appointed officials, and employees
are to be listed as additional insured under the policies.
The contractor will provide a Certificate of Insurance to the City as evidence of
coverage. The certificate will provide 30 days notice of cancellation, and under the
cancellation section, the wording "endeavor to" and "but failure to mail such notice
shall impose no obligation or liability of any kind upon the company, its agents or
representatives" will be crossed out. A copy of the additional insured endorsement
attached to the policy will be included with the certificate.
The contractor shall also maintain workers compensation insurance in the
statutory amount.
If at any time during the life of the contract or any extension, the contractor
fails to maintain the required insurance in full force and effect, all work under the
contract shall be discontinued immediately. Any failure to maintain the required
insurance may be sufficient cause for the City to terminate the contract.
VI. Successors And Assigns:
Neither the City nor the Contractor shall assign, transfer or encumber any
rights, duties or interests accruing from this Contract without the written consent of
the other.

VII. Entire Contract
This Contract consists of the following documents set forth herein; Invitation to
Bid #128-03/BM, General Conditions, Specifications, and the Bid Form.
IN WITNESS WHEREOF, the parties hereto have caused this agreement to be
executed the day and year first above written. Executed in triplicate.

IV. Contract Specifications
1. General
1.1 The City of Lubbock is seeking bids to establish firm pricing for one-year, with the option to
renew annually for up to two additional one-year periods, for litter collection at the Sam Wahl
Recreational Area at Lake Alan Henry. This service will provide for the weekly collection of
litter, trash, and garbage deposited upon the grounds of the Sam Wahl Public Access
Recreational Area at Lake Alan Henry. Public use of the recreational area has increased by
approximately 30% per year, resulting in an increase in the amount and distribution of litter
and trash on the grounds. Litter and trash collection from the grounds of the Recreational
Area is necessary to keep the area clean, sanitary, and free of putrescent trash. Trash must
be regularly collected and removed to minimize litter blown by wind into Lake Alan Henry (a
Municipal drinking water supply) to maintain the water quality. A clean "park -like" recreational
area is more attractive to paying customers and reduces possible animal and insect disease
vectors.
2. Definitions
2.1 Each collection effort is defined as one "cycle" and includes: the trip to the property, the
time spent to collect titter from the grounds, and the return trip.
3. Requirements
3.1 Areas to be serviced during each cycle include: all paved road rights -of -way, all unpaved
roads and rights -of -way on the Recreational Area, all of the paved parking lot area and
areas surrounding the parking lot, boat ramp area, fishing pier area, and at[ numbered
camp sites (a total of 100 +/- numbered primitive sites). Contractor wilt provide their own
insurance, vehicle, crew and crew leader, trash bags, and toots used by the crew to pick
up litter. Each crewmember and foreman must wear a bright orange safety vest at all
times while on the property. Contractor's vehicle must be clearly marked as belonging to
the contractor. Contractor will perform service regardless of weather or road conditions
on the scheduled day of service. During March through October service wilt be performed
on specified days of the week regardless of Federal, State, or Local holidays.
During the months of March and April, two cycles per week are required to be performed
on Monday and Friday. During the months of May through October, three cycles per week
are required to be performed on Monday, Wednesday and Friday. During the months of
November through February, one cycle per week performed on Friday, is required.
3.2 During each cycle, contactor must empty all trash receptacles and install a new liner in
each receptacle. Contractor is to provide all liners. Contractor is to transport and discard
trash into a collection container (on -site dumpster provided by City).
3.3 Option - During the months of March through October, perform one cycle per month along
the shoreline of the Sam Wahl Recreational Area. City of Lubbock will provide a boat and
operator for access to the shoreline and for transporting litter to the boat ramp area.
Contractor will be responsible for transporting litter to the titter collection facility. This
will be performed on the first Monday of each month.
3.3 Eighty-five numbered campsites sites are identified on the map by BLACK DOTS.
