RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and
directed to execute for and on behalf of the City of Lubbock an Agreement with the South
Central Chapter of the American Association of Airport Executives for a Basic Aircraft
Rescue and Fire Fighting Academy at Lubbock International Airport. Said Agreement is
attached hereto and incorporated in this Resolution as if fully set forth herein and shall be
included in the minutes of the Council.

AGREEMENT BETWEEN THE SOUTH CENTRAL CHAPTER OF THE
AMERICAIIT ASSOCIATION OF AIRPORT EXECUTIVES
AND THE CITY OF LUBBOCK FOR A
BASIC AIRCRAFT RESCUE AND FIRE FIGHTING ACADEMY
This Agreement is between the South Central Chapter of the American Association of
Airport Executives, (herein after called "the Chapter") an entity organized in the State of
Texas, and the City of Lubbock, Texas (herein after called "the Contractor").
WHEREAS, the Chapter is desirous of sponsoring a Basic Aircraft Rescue and
Fire Fighting Academy (herein after called "ARFF Academy"); and
WHEREAS, the Contractor has submitted a proposal to provide such services and
conduct an annual ARFF Academy; NOW THEREFORE,
The Parties agree as follows:
1. Contractor Responsibilities
1.1 Contractor agrees to plan, coordinate, and conduct ARFF Academy training
in accordance with the Lubbock International Airport 2003 proposal for the
South Central Chapter AAAE, Basic Aircraft Rescue and Fire Fighting
Academy, which is attached as Exhibit A and incorporated herein as if fully
set forth; and
1.2 Contractor agrees to provide training site, all books, printed material, and
handouts as needed to conduct the ARFF Academy training; and
1.3 Contractor agrees, in concert with the Chapter to provide successful
attendees certificates of completion at the end of the ARFF training academy;
and
1.4 Contractor agrees to provide certified instructors who will conduct the ARFF
Academy training; and
1.5 Contractor agrees to seek sponsors and promote the ARFF Academy, through
web page and direct mail outs as appropriate; and
1.6 Contractor agrees to coordinate hotel agreements for attendees and
coordinate transportation to and from the academy as outlined in Exhibit A;
and
1.7 Contractor agrees to pay to the Chapter profits from the conducting of the
ARFF Academy as outlined in the fees schedule in Exhibit A
2. Chapter Responsibilities
2.1 Chapter agrees to sponsor and promote the ARFF Academy; and
2.2 Chapter agrees to seek sponsors to provide evening events, door prizes and/or
breaks as deemed appropriate; and
2.3 Chapter will utilize this Contractor exclusively to conduct South Central
Chapter AAAE ARFF training; and

2.4 Chapter will pay Contractor a minimum of $12,000.00 or $450.00 per
student, whichever is greater, for each ARFF Academy.
3. Fees
3.1 Fees for the ARFF Academy will be set as agreed by both parties based on
the proposal fee schedule in Exhibit A
3.2 The Chapter and the Contractor reserve the right to negotiate the fees for
future ARFF Academies to cover additional costs or to meet new regulatory
requirements.
4. Course Cancellation
Contractor and Chapter may mutually agree to cancel a scheduled academy if the
minimum numbers of enrollees are not obtained.
5. Term of Agreement
The Chapter will use the Contractor to conduct an annual ARFF Academy for a
three-year term beginning in 2003, with an option to renew on a year-to-year basis
thereafter.
6. Termination
This Agreement may be cancelled by a thirty day written notice from either the
Chapter or the Contractor.
7. Amendments
No amendment, modification or alternation of the terms of this Agreement shall
be binding unless such amendment, modification or alteration is in writing, dated
subsequent to this Agreement, and duly executed by Chapter and Contractor.
8. Notices
Any notice, consent or other communication required or permitted under this
Agreement shall be in writing and either delivered in person, sent via facsimile
transmission, or deposited in the United States mail, postage prepaid, registered or
certified mail, return receipt requested.

9. Insurance
Contractor will provide liability insurance as agreed upon between the parties.
10. Governing Law
This contract shall be governed by and construed in accordance with the laws of
the State of Texas.
11. Force Majeure
It is expressly understood and agreed by the parties to this Agreement that if the
ARFF Academy is delayed or cannot be performed as agreed and obligations
cannot be performed by either part under this Agreement because of
circumstances beyond its control, including but not limited to war, civil
commotion, acts of God, inclement weather, fire or other casualty, court
injunction, unavoidable and unforeseen site conditions, then the obligated parry
shall not be responsible for or deemed in breach of this Agreement because of
nonperformance or delay in the performance of its obligation.
12. Severability
If any provision of this Agreement is held to be invalid or ineffective by any court
of competent jurisdiction, the remainder of this Agreement shall not be affected
thereby.
13. Entire Agreement
This Agreement, including Exhibit A attached, contains the entire Agreement
between the Chapter and Contractor, and there are no other written or oral
promises, conditions, warranties, or representations relating to or affecting the
matters in this Agreement.

SCC ARFF ACADEMY 2003
Executive Summary
From 1976 to 1987, Lubbock International Airport (LIA) hosted the SCC ARFF Academy. At that time, the
Academy trained from 90-100 firefighters annually and consistently met the Chapter's goal of providing high -
quality ARFF training at the lowest possible cost to airports. The Academy was relocated in 1988 when LIA
had to shut down its aging fire training facility. The SCC Academy continued to operate successfully through
the mid-90's when it began to struggle due to increased operating costs and competition from other ARFF
academies around the country. The challenge now is to restructure the SCC ARFF Academy so that it can
operate successfully in today's competitive environment. Lubbock International Airport, in cooperation with
the Lubbock Fire Department, has developed a proposal that meets this challenge, and will allow the South
Central Chapter to once again offer the highest quality ARFF training available at a cost that is affordable for
even the smallest of airports.
Lubbock's Proposal
The basic elements of Lubbock's proposal are presented in the order established in the RFP. Additional
information is included in the last section of the proposal and in the attachment.
Classroom Training Facilities
Classroom training for the SCC ARFF Academy
will be conducted in the City of Lubbock's new
Fire Training Academy. Completed in 2001, this
modern, high-tech facility is located less than one
mile from the Live -Fire Training Facility at
Lubbock International Airport. The Fire Training
Academy features a theatre -style classroom that
can seat up to 70 students. Larger classes can be
easily accommodated in the Academy's modular
classroom facility that can be expanded to handle
up to 250 students in a single room. All
classrooms are equipped with PowerPoint and
have access to the internet.

Live -Fire Training Facility
Practical training will be conducted at Lubbock International u
Airport's new Live -Fire Training Facility. Completed in 2002, x
this fully automated state-of-the-art facility features exterior and
interior aircraft mock-ups, allowing instructors to simulate
virtually any aircraft fire -fighting scenario. The exterior mock-
up can simulate four types of engine fires, two types of wheel =
well fires, and three zone
fires. The mock-up is
designed to simulate

mock-up can simulate cockpit, galley and cabin fire scenarios.
Lubbock's Live -Fire Training Facility also includes a briefing room,
restrooms, showers, and a covered break area. Both mock-ups utilize
fossil fuel, creating the most realistic training conditions possible.
Qualifications of Instructors
All instructors are ARFF certified and, at a
minimum, hold an Intermediate Instructors
Certificate from the Texas Fire Commission.

Cancellation Clauses
If this proposal is accepted, Lubbock International Airport will enter into a formal agreement with the South
Central Chapter of AAAE. It is anticipated that remedies for violation of that agreement, including any right
of cancellation, will be specified in the agreement. Cancellation for any other reason will be subject to the
mutual agreement of both parties.

Advertising Restrictions
No restrictions are anticipated on advertising in class handouts or on display advertising at the training
facilities during the SCC ARFF Academy. All such advertisements are subject to prior approval of Lubbock
International Airport.
Marketing and Promotion
Lubbock International Airport will actively market the SCC ARFF Academy. In cooperation with the SCC,
LIA will work to maximize participation from the AAAE national organization with particular emphasis on
the placement of advertisements in AAAE newsletters and on its website. LIA will work with the SCC to
establish a marketing presence at aviation seminars and conferences. In addition, LIA will send out two
direct -mail advertisements per year promoting the SCC ARFF Academy exclusively. The advertising list
will include airport directors and ARFF chiefs at each carrier airport in the US. LIA will also establish a page
on the LIA website with links to the SCC website and other sites as appropriate.
Hotel Accommodations
The Holiday Inn Hotel & Towers has established special rates for
attendees of the SCC ARFF Academy. The Holiday Inn offers all
of the amenities you expect from a
-'' conference hotel combined with
the West Texas hospitality that
makes Lubbock legendary. Hotel
features include modem
connections, laundry facilities,
indoor pool, sauna, gym, a full
service restaurant, a cocktail
lounge and numerous other
services and facilities.
Located in downtown Lubbock, the hotel is less than ten minutes from the
training facilities at Lubbock International Airport, and only minutes away
from Lubbock's Depot Entertainment District. The special rate for SCC
ARFF Academy attendees is a flat rate of $65.00 per night per room. Parking
at the hotel is free. Lower cost accommodations are also available in the
immediate vicinity.
Transportation
Lubbock, Texas is located in the geographic center of the South Central Chapter, allowing for easy access to
the Academy by ground. By air, Lubbock is easily accessible from anywhere in the world, with service
provided by Southwest Airlines, American Eagle, Continental Express, and the Delta Connection. All of
Lubbock's air carriers provide jet service. Upon arrival and departure, the Holiday Inn will provide students
with free on -demand shuttle service between the airport and the hotel. Each morning, students will be
transported at no cost by bus from the hotel to the training facility and back again at the end of the day_ For

those who need a car, rental car service is available at the airport. The on -airport operators are Avis, Hertz,
Advantage, Budget and Alamo/National.
Meals
A catered lunch will be provided on each day of training. Breakfast and dinner are the responsibility of each
attendee of the Academy.
Cost to the South Central Chapter
The proposed cost to the South Central Chapter is a minimum payment of $12,000 or $450 per student,
whichever is higher. This price includes tuitions, instruction materials, fuel, lunches, breaks, shuttle bus
services, marketing costs and administrative overhead. Transportation of students to and from Lubbock, and
meals other than lunch are the responsibility of each attendee. A cost matrix showing projected revenues to
the SCC under this proposal is attached as an Excel file.
Curriculum
All classes at the SCC ARFF Academy in Lubbock will be taught by state -certified ARFF instructors who
will train students in accordance with FAR Part 139.319. Maximum emphasis will be placed on safety, and
NFPA 1403 will be adhered to at all times. Only current materials and high quality supplies will be utilized
throughout the program. Students will receive 40 hours of training as outlined below:

Additional Benefits
Lubbock International Airport is committed to providing the highest possible level of service to the SCC and
participants in the ARFF Academy. Throughout the year, the Academy will be staffed by professionals from
LIA's Operations Department who will have the full support of airport administration. When the Academy is
in session, a member of the Operations Department will be available at all times to host the class and provide
support for the students and instructors.
LIA and the Lubbock Fire Department are also committed to developing an option that will make the SCC
Academy more marketable to airports located in Texas. Discussions are currently underway regarding the
submission of a formal proposal to the Texas Commission on Fire Protection that would give students the
ability to meet Texas curriculum requirements through an add -on training program that would build on the 40-
hour SCC ARFF Academy. LIA would coordinate this effort closely with the Board of Directors of the SCC.
