RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock is hereby authorized and directed to
execute for and on behalf of the City of Lubbock, Amendment No. 2 to that certain
Agreement dated October 23, 2008 for Project #8537 Right -of -Way Acquisition for
Gateway Street Projects, by and between the City of Lubbock and Hugo Reed and
Associates, Inc., and related documents. Said Amendment is attached hereto and
incorporated in this resolution as if fully set forth herein and shall be included in the
minutes of the City Council.

THIS AMENDMENT NO. 2 to THE AGREEMENT for LAND SURVEYING and OTHER
PROFESSIONAL SERVICES for Project #8537, RIGHT-OF-WAY for GATEWAY STREET PROJECTS in
the CITY OF LUBBOCK, said contract dated October 23, 2008 (Resolution No. 2008-R0419), is made by
and between the City of Lubbock, Texas, hereinafter called the OWNER, and Hugo Reed and Associates,
Inc., hereinafter called HRA.
NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the
OWNER and HRA do mutually agree as follows.
ARTICLE 1. CONTRACT PERIOD
The effective date of the original contract was October 23, 2008. This AMENDMENT NO. 2 will extend the
Contract Period through March 31, 2014, unless all work contemplated under the Agreement, and all
Amendments thereto including this AMENDMENT NO. 2, is completed before that date.
ARTICLE 2. SCOPE OF SERVICES
This AMENDMENT NO.2 is being made at the request of the OWNER for the purpose of amending the
Original Scope of Services to include those general professional services detailed in Exhibit A, "BASIC
SERVICES,"
ARTICLE 3. COMPENSATION
The general tasking proposed to perform the additional services authorized by this AMENDMENT NO. 2 is
described in Exhibit A. The basis for payment for services performed under this Amendment is indicated in
Exhibit B, "Basis for Payment." Tasking for the additional Scope in this AMENDMENT NO. 2 will result in a
maximum net increase of $ 199,153 to the maximum amount payable under this contract.
ARTICLE 4. OTHER
No changes to the original contract are requested or granted as a result of this Amendment, other than those
detailed in these Articles 1 through 3, above. Other provisions of the original contract will remain in full force
and effect. This AMENDMENT NO. 2 shall become a part of and be incorporated into the original contract
upon its full execution by both OWNER and HRA.

The undersigned signatory for HRA hereby represents and warrants that he is an officer of the organization
for which he has executed this contract and that he has full and complete authority to enter into this contract
on behalf of his firm.
The undersigned signatory for the OWNER hereby represents and warrants that he/she has full and
complete authority to enter into this contract on behalf of this organization.
IN WITNESS WHEREOF, the parties hereto have caused this AMENDMENT NO. 2 to the original contract
to be executed, but this AMENDMENT NO. 2 to the original contract shall not be valid until signed by a duly
authorized representative of each party.

AMENDMENT NO. 2 to AGREEMENT for PROFESSIONAL SERVICES,
BASIC SERVICES
OWNER: City of Lubbock, Texas
PROJECT: Project #8537 - Land Surveying and Other Professional Services for ROW
Acquisition for Gateway Street Projects
The scope of services for this project is as follows:
BASIC SERVICES
I. The Basic Services are outlined in detail in Worksheet A-1, according to the tasking and man-hours
indicated therein. Following is a general summary of the major categories for the Basic Services to be
performed:
A. Determine priority listing of thoroughfare streets, with direction and coordination of the Owner.
B. Based on priority listing, and written authorization from the Owner, perform the work tasks on a
per mile basis. The Owner may authorize multiple miles at one time (on one work schedule), or
may authorize overlapping work on multiple miles of thoroughfares (with differing work
schedules).
C. The work tasks to be performed per mile of thoroughfare street include:
1. Identify and document existing ROW data for the thoroughfare street.
2. Prepare a map ("Existing ROW Map") of the mile of thoroughfare, at a 1:100 scale, indicating
the limits of the existing ROW data, the volume and page if dedicated by separate instrument,
the subdivision name if dedicated by plat, and any private easements for utility companies or
other entities discovered within the existing or proposed ROW area needed.
3. Prepare a map ("Proposed ROW Map"), at a 1:100 scale, indicating the existing ROW lines,
and the limits of the ROW needed for the thoroughfare street.
4. Research the ownership of the properties from which ROW is needed, and furnish copies of
warranty deeds for affected properties.
5. Include the names, addresses, and telephone numbers of the property owners of needed
ROW on the Proposed ROW Map.
6. (RESERVED).
7. Coordinate with landowners and Owner with securing "right of entry' for survey work.
8. Prepare certified Parcel Survey Maps. Parcel Survey Maps will indicate improvements and
acreage of proposed ROW. Prepare certified metes and bounds descriptions (on separate 8
112 X 11 document) of the needed ROW parcels.
9. Provide signed and sealed original hard copies of proposed ROW Parcel Survey Maps and
ROW parcel metes and bounds descriptions.

10. Provide electronic and mylar copies of Existing ROW Maps and Proposed ROW Maps to
Owner, if requested. IF MYLAR COPIES ARE REQUESTED BY OWNER, HRA WILL
INVOICE OWNER AT ACTUAL COST AS A DIRECT REIMBURSABLE EXPENSE AND
SUCH COST SHALL BE IN ADDITION TO ALL OTHER COSTS AND FEES SPECIFIED
ELSEWHERE IN THIS AMENDMENT NO. 2.
11. Assist Owner with securing signatures on Dedication Deeds for needed ROW, if requested.
II. The Owner may issue a "Stop Work Order" on any specified mile of thoroughfare street, at any point
in the progress of the Work, at the discretion of the Owner. HRA will be paid on the actual amount of
work performed, at the hourly rates and schedules, as set forth in this Agreement.

PROJECT: Project #8537 - Land Surveying and Other Professional Services for ROW
Acquisition for Gateway Street Projects
For Services rendered under this agreement, OWNER agrees to pay HRA as follows:
A. GENERAL
HRA will be paid according to the personnel classification and hourly rate
scheduled shown in Table B-1, based on actual services performed on the project
by classification and hours. Hourly rates by classification are unchanged from
the original Agreement dated October 23, 2008.
Monthly payments will be made to HRA based on the uncontested amount of
each monthly invoice prepared and submitted by HRA. Each monthly invoice will
be itemized to show the amount of work actually performed by each personnel
classification and with associated reimbursable expenses. Invoices will be
submitted in a format acceptable to OWNER.
Delivery schedules for the work will be determined based on the number and
sequence of Tasks authorized by OWNER.
B. BASIC SERVICES
The maximum compensation to be billed OWNER by HRA for performance of the
Basic Services and Reimbursables is as follows.
