RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock is hereby authorized and directed to
execute for and on behalf of the City of Lubbock an Professional Services agreement for
Code of Ordinances Supplementation Services with Franklin Legal Publishing, Inc., of
Lubbock, and any associated documents, for Lubbock Code of Ordinances
supplementation services, a copy of which professional services agreement is attached
hereto and which shall be spread upon the minutes of this Council and as spread upon the
minutes of this Council shall constitute and be a part hereof as if fully copied herein in
detail.

PROFESSIONAL SERVICES PROPOSAL FOR
CODE OF ORDINANCES SUPPLEMENTAMN SERVICES
FRANKLIN LEGAL PUBLISHING, INC., a corporation duly authorized and existing under
the laws of the State of Texas, hereinafter referred to as "Franklin Legal Publishing," hereby
agrees to edit, codify and publish a new and revised Code of Ordinances for the CITY OF
LUBBOCK, TEXAS, hereinafter referred to as "City," according to the following terms and
conditions.
(1) Pcovb oo of Maknials by City. The City will provide one complete and updated
printed copy of the City of Lubbock Code of Ordinances, along with one copy of the Code of
Ordinances in an electronic format. The City will also provide one copy of every ordinance
duly enacted by the City Council since the Code was last suppkmwiftd. The City will
provide ordinances in the future upon their adoption for incelusion in the Code.
(2) Savloe Provided As Requeded by City. Code sWlemetrtstion service will be
provided to the City quarterly or on a more frequent schedule as requested by the City. All
supplements will be completed and delivered to the City widths forty-five (43) days from the
date of receipt of the m+dWances.
(3) Incorpom loa of New Ordkumm= We Code.. All new ordinances adopted by the
City since the adoption of the Code or since the last supplement will be reviewed by Franklin
Legal Publishing editorial and legal staff in conjunction with existing Code provisions to
determine if any provisions of the Code are n4taI4 amcwkxi, or t+eplacel. The new
ordinances will also be reviewed with regard to their legality and codstitutionaality. Should
there be a need for any remedial action by the City to rectify any pbtiaatl conflicts with
other Code provisions, questions with regard to legality, eac., Franklin Mega! Publishing will
immediately notify the City so drat such remedial action can be taken.
New pages will be printed to remove any repealed or amended provisions and to allow for the
insertion of any newly adopted provisions. The same numbering systeta will be used as in
the original Code.
(4} index, Tsbks of Cats, D poaitioa Tables, State Law Rderasces, Cep
Re[� and EditwW Notes. The index, Tables of Contents, Cone Comparative Table,
and Ordinance Disposition Table will be fully updated with each supplement. Additionally,
where appropriate, state law refoonces, cpAw references and editorial notes, will be pmprued
and included in the. Code in their appropriate locations.

Instmalon Skeet will be prepared with each supplement to provide instructions for the
removal of obsolete pages and the insertion of new pages. Franklin Legal will also provide a
Checklist of Up -to -Date pages with each supplement.
(h) Degvery and Imerdan. The required number of completed Code supplements will be
delivered to the City with no charges for stripping or dandling. Additionally, Franklin Legal

Publishing will provide personnel on -site to insert the printed supplements into each of the
City's binders.
(7) Termination of Agreement. Code supplementation services as set forth herein shall
be in effect for a period of five (5) years. Thereafter, the service shall be renewed year to
year, provided that either party may alter or cancel the terms of this agreement upon sixty
(60) days' written notice.
PART II. ADDITIONAL SERVICES
(1) Reprints. Reprints of specific chapters or of the entire Code shall be available and
may be printed and bound in either paper or plastic covers at the option of the City.
(2) Information Retrieval Software. Franklin Legal Publishing can provide the City with
the Code of Ordinances in an "Infobase" format for use with Folio Views by Folio
Corporation (also to be provided). The Code and software will be provided on CD-ROM by
Franklin Legal Publishing.
(3) Code on the Web. Franklin Legal Publishing can place the Code on the Internet for
use by anyone with Internet access. The Code can be accessed through the Franklin Legal
Publishing homepage (www.franklinlegal. net) and can also be linked directly from the City's
own homepage.

PART IV. PAYMENT
Payment will be due upon receipt of invoice submitted by Franklin Legal Publishing. All
services provided for herein shall not be billed until completed and delivered to the City.
There are no other agreements or representations other than those set forth in this proposal.
The proposed terms of this agreement shall remain in force and effect for a period of sixty
(60) days from the date appearing below, unless sooner accepted by the City.
