("Contractor"), WITNESS.ETH: WHEREAS, the City of Lubbock duly advertised for proposals for ekluminurn Sulfate,Polymer Blend and were received and duly opened as required by law; and WHEREAS, after careful consideration of the proposals submitted by Contractor, the City of I:.ubbock has heretofore adopted a resolution authorizing the acceptance of such proposal and the execution, in the name of the City of Lubbock a contract with said Contractor covering the of the said Aluminum SulfateiPolymer Blend . NOW, THEREFORE, in consideration of the mutual agreement contained herein, as well as the financial consideration hereinafter referred to, the parties hereby covenant and agree as follows: ARTICLE 1: SCOPE To furnish Aluminum Sulfate/Polymer Blend to the City of Lubbock Water Treatment Plant. The Specifications for Aluminum Sulfate/Polymer Blend is attached and made part of this contract for the entire duration thereof. ARTICLE II: CONTRACT DOCU,INIENTS AND ORDER OF PRECEDENCE The following contract documents shall be construed in a court of law in this order of precedence: (1) Contract; (2) the Request for Proposal Number 08-076-MA entitled Aluminum Sulfate Polymer Blend (the "RFP") and all terms, conditions, and requirements thereto, is incorporated into this Agreement by reference as if fully set forth herein. In cases wherein the terms, conditions, and requirements of this Agreement conflict with the Rhl', the terms, conditions, and requirements of the RFP shall prevail. COST PER POUND OF CHEMICAL 2.1. WHAT ALTIVIA WILL PROVIDE TO THE CITY OF LUBBOCK ALTIVIA will provide the following chemicals to the City of Lubbock. CHEMICALS: • AQUALUM92434 in full truckload quantities delivered to the City of Lubbock • AQUALUMS2403 in full truckload quantities delivered to the City of Lubbock The following product data is provided in Exhibit B • MSDS NSF Certification Specification Sheet 2.2. PROPOSAL ALTIVIA would like to offer the City of Lubbock a contract for the supply of AQUALUM® 2434 and/or AQUALUM® 2403 over a three year period with price being evaluated and adjusted every four (4) months from the start of the contract. Written consent from both parties will be required for all price adjustments. AQUALUM82434 will be provided for $0.1575/lb delivered to the City of Lubbock in full truckload quantities. AQUALUMS2403 will be provided for $0.1850/lb delivered to the City of Lubbock in full truckload quantities. Note: Copper Sulfate is an ingredient in the above blends and therefore there will be no additional up charge for the Copper Additive. 2.3. TECHNICAL SUPPORT ALTIVIA will schedule routine visits at lease every three (3) months to perform jar testing and consult with operations staff on any questions or problems with the product. ALTIVIA will provide a telephone response time of one (1) business day or less in cases of product performance problems. If a site visit is required, ALTIVIA will be on site in five (5) business days or less. If at any time during the contract a significant change in water source occurs, ALTIVIA will respond in five (5) business days or less to test and evaluate the current process and recommend changes in the product if needed.
