Said First Amendment to Professional Services Agreement is attached hereto and incorporated in this Resolution as if fully set forth herein and shall be included in the minutes of the Council. SERVICES AGREEMENT This First Amendment to Professional Services Agreement (the "Amendment") is entered into this 9 t-6 day of February, 2006, by and between the City of Lubbock (the "City"), a Texas home rule municipal corporation, and Chris Brown Consulting (the "Contractor"), a sole proprietorship. WITNESSETH: WHEREAS, the City and Contractor entered into that certain Professional Services Agreement, dated on or about August 22, 2005, Resolution No. 2005-R0384, (the "Original Agreement"), wherein Contractor agreed to perform water loss audit plans, and conduct various other activities related to same, for the City; WHEREAS, Contractor has yet perform all of the activities to be provided to the City under the Original Agreement and has requested an extension of the term of the Original Agreement so that such services can be properly performed; WHEREAS, City is amenable to such extension of time; WHEREAS, the City and Contractor now desire to amend the Original Agreement to provide for such extended term. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the City and Contractor hereby agree to amend the Original Agreement as follows: 1. Section 2.03 of the Original Agreement is hereby deleted in its entirety and replaced with the following provision: 2.03 This Agreement shall expire on April 1, 2006. Additionally, the City may terminate this Agreement by providing written notice to Contractor at least thirty (30) days prior to the effective date of termination as provided in such notice. In the event this Agreement is so terminated, the City shall pay Contractor only for services actually performed by Contractor up to and including the date the Contractor is deemed to have received the City's notice of termination. 2. Except as expressly amended hereby, the Original Agreement shall remain valid and subsisting as originally provided.
