HomeMy WebLinkAboutResolution - 2006-R0407 - Agreement To Provide Civil Service Pre-Employment And Promotional Exams - 08_24_2006Resolution No. 2006—RO407 August 24, 2006 Item No. 5.15 RESOLUTION BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK THAT the Mayor of the City of Lubbock BE and is hereby authorized and directed to execute for and on behalf of the City of Lubbock, an Agreement to provide the civil service pre -employment and promotional/annual exams, disability assessments and blood borne pathogens, per RFP #06-042-RW, by and between the City of Lubbock and OCC MED Associates, LP, of Lubbock, Texas, and related documents. Said agreement is attached hereto and incorporated in this resolution as if fully set forth herein and shall be included in the minutes of the City Council. Wade, Natural Resources Attorney docs/Agrmnt-OCCMED Associates.res 18, 2006 Resolution No. 2006-RO407 EMPLOYMENT PHYSICAL EXAMINATIONS AND DRUG/ALCOHOL SCREENING RFP#06-042-RW THIS PROFESSIONAL SERVICES AGREEMENT (this "Agreement') is entered into this day of August 30, 2006 by and between the City of Lubbock, Texas (the "City") and OccMed Associates, LP of Lubbock, Texas (the "Service Provider"). WHEREAS, the City desires, pursuant to the terms and conditions of this Agreement, to engage the Service Provider to perform the services set forth herein; and WHEREAS, the Service Provider desires to perform the described services pursuant to the terms and conditions of this Agreement. NOW, THEREFORE, in consideration of the promises contained herein and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the City and Service Provider hereby agree as follows: TERMS: A. This Agreement shall be effective for one (1) year, commencing August 30, 2006, and continuing until August 29, 2007, and shall automatically renew for two (2) additional one year terms, upon the expiration of its initial term. B. Either party may terminate this agreement upon providing ninety (90) days prior written notice to the other party. C. City agrees to pay Providers pursuant to Section A-E for the service provided under this agreement within thirty (30 days of receipt by City's Human Resources Department of a "clean claim" from Service Provider. A "clean claim" is defined as a claim for authorized services, with supporting documentation, rendered by the Service Provider at the request of the City's Human Resources Department. D. This agreement may be amended or modified only by a further instrument, in writing, executed by both parties. E. To the extent allowed by the laws and the Constitution of the State of Texas, each party agrees to indemnify, defend and hold the other party, its officers, employees and agents harmless in the performance of this Agreement. F. Service Provider will perform the services requested by the City for fees indicated in Exhibit A, attached hereto and incorporated herein by reference for all purposes (the "Fees"), to include civil service pre -employment, annual and promotional physicals, asbestos physicals, blood borne pathogen exposures and disability assessments, including physical exam and job site evaluations. G. Service Providers will submit reports with final recommendations no later than fifteen (15) days following the service. Failure to timely submit this report shall negate the obligation of the City to honor paying the claim for the service. INSURANCE: General Liability: Service provider's insurance shall contain broad form contractual liability with a combined single limit of a minimum of $1,000,000 each occurrence and in the aggregate and shall include the following: • Bodily Injury and Property Damage • Broad Form Contractual Liability • Personal Injury and Advertising Injury • Products and completed operations Professional Liability: Service Provider shall procure and maintain during the term of this Agreement Professional Liability insurance in the amount of $1,000,000. Business Automobile Liability: Service provider's insurance shall contain a combined single limit of at least $300,000 per occurrence, and include coverage for but not limited to the following: • Bodily injury and property damage • Any and all vehicles owned, used or hired Workers' Compensation and Employers Liability Insurance: Service provider shall elect to obtain workers' compensation coverage pursuant to Section 406.002 of the Texas Labor Code. Further, Service provider shall maintain said coverage throughout the term of this Lease and shall comply with all provision of Title 5 of the Texas Labor Code to ensure that the Service provider maintains said coverage. Any termination of workers' compensation insurance coverage by Service provider or any cancellation or non -renewal of workers' compensation insurance coverage for the Service provider shall be a material breach of this contract. The service provider may maintain Occupational Accident and Disability Insurance in lieu of Workers' Compensation. In either event, the policy must be endorsed to include a waiver of subrogation in favor of the City of Lubbock. Employer's Liability with limits of at least $500,000 each accident, $500,000 by disease policy limit, and $500,000 by disease each employee shall also be obtained and maintained throughout the term of this Lease. Other Insurance Requirements: Service provider's general liability insurance policy, through policy endorsement, must include wording, which states that the policy shall be primary and non-contributory with respect to any insurance carried by City of Lubbock. The certificate of insurance described below must reflect that the above wording is included in evidenced policies. All policies must be endorsed to include a waiver of subrogation in favor of the City of Lubbock. Our relationship with the City of Lubbock over the past nearly 4 years has enabled our facility to have a very solid working relationship with the methodology and requirements the city requires. Dr. Archibald is very well versed in providing pre- employment physical examinations for specified job applicants as well as promotional applications. She is familiar with the civil service and non -civil service requirements. She is also an expert in the American Disability Act that causes the significant impact when hiring and retaining persons with disabilities.
