BE IT RESOLVED BY THE CITY COUNCIL OF THr CITY CF LUTES :
TEAT the. Fayor of the City of Lubbock. BE and is hereby authorized
and directed to execute for and on behalf of the City of Lubbock a
contract between the City of Lubbock and hone well, Inc. for as Energy
Yanagement system , attached herewith which shall be spread upon the
minutes of the Council and as spread upon the minutes of this Council
shall constitute and ' b+e a part of this Resolution as if fully copied
herein in detail.

Building Systems Agreement
By and between:

THE WORK
Honeywell will do all things necessary to provide the following System(s) in strict
accordance with the Agreement Documents, in Owner's building located at:
(State here a general description of the project and address where work is to be done.) .
We propose to extend the energy management capabilities of the existing
DELTA 2000 located at the Lubbock Memorial Civic Center, to the Lubbock
Municipal Air Terminal and the city hall --police department facility.
This will include all the energy management functions presently on the
civic center DELTA.
CONTRACT PRICE
All for the sum of FIFTY EIGHT THOUSAND, THREE HUNDRED NINETEEN----- Dollars .
($58,319. 00), which Owner agrees to pay on terms provided herein.
START AND COMPLETION
Honeywell will commence the Work as soon as practical after execution of this
Agreement or at a later time as requested by Owner, 5pp embl: 15, 191$ Except for
delays caused by actions, events or circumstances reasonably beyond its control,
Honeywell will complete the Work by January 15 , 1978

AGREEMENT DOCUMENTS
The Agreement Documents listed below, along with this Agreement are the entire
contract between us and supersede all prior negotiations and representations, written or
oral. In the event of conflict between this Agreement and other Documents listed, the
terms of this Agreement shall be the controlling terms of the contract. The meaning of
technical and trade language used . in these Documents will be determined based on
definitions commonly recognized in the Construction Industry.
The Agreement Documents, which are incorporated by reference herein, consist of the .
following:

CHANGES IN THE WORK
Owner may request changes to the Work during its progress. If those changes result in a
change in cost of performance, time for completion, or both, it is agreed that Honeywell
shall not, and shall have no obligation to, execute such changes in the Work until Owner
provides a written order which includes an agreed change in contract price, time for
completion or both as appropriate.
SITE PREPARATION AND USE
Owner agrees to provide and prepare space at the Work site for installation of the Work
and for the acceptance and secure storage of materials, tools and equipment during the
progress of the Work.
Owner will provide reasonable means of access and during all normal working hours, to
Work areas as necessary for the performance of the Work. Honeywell will be free to start
and stop equipment incidental to the operation of Owner's mechanical and electrical
systems on schedules arranged with Owner's representative.

Honeywell agrees to keep its work areas clean and free of trash, and to leave those areas
�i broom clean on completion of work.
Honeywell agrees to use all reasonable means to avoid damage to finished spaces, but it
may be necessary to cut into walls or ceilings or make exposed runs of conduit in order to
complete the installation. Unless specifically provided otherwise in the Agreement
Documents, required patching and or redecoration shall be Owner's responsibility.
ACCEPTANCE OF THE WORK
Except as modified by any specific plan for acceptance in the Agreement Documents,
acceptance of the Work shall be accomplished as follows:
Prior to system checkout and startup, Honeywell will provide Owner with a step-by-step
checkout plan in sufficient detail to demonstrate that all components of the system are
operational, and including a description of the application of test gear, exercise of inputs,
trouble isolation and correction techniques.
Upon completion of the installation, Honeywell will demonstrate all functions of the
system to the satisfaction of the Owner's representative according to the checkout plan.
Upon demonstration that all parts of the system are operational as described in the
Agreement Documents, Owner shall formally accept the Work and the guarantee period
shall commence.
When the total Work under this Agreement extends over an appreciable period of time,
and the Work can be separated into identifiable segments such that Owner may have
beneficial use of parts of the Work before the total Work is completed, it is agreed that

the plan for acceptance will include checkout and acceptance by segment, and the
guarantee period shall begin on those segments at the time each segment is accepted.
SCHEDULE OF PAYMENTS
Owner agrees to make payments on account of the contract price as follows:

Progress Payments — On or about the fifteenth of each month while the Work is in
progress, Honeywell will submit an invoice covering the portion of the contract price
allocable to Work, material and services provided since the preceding invoice. Owner
agrees to pay these invoices in full within ten business days after the date of each invoice.

Final Payment — When the aggregate of the Initial Payment and Progress Payments equal
ninety-five percent of the Contract Price, no further invoices need be paid until
acceptance of the Work as defined in this Agreement. Upon acceptance, Owner agrees to
pay the remainder of the Contract price.
GUARANTEE
Honeywell guarantees the complete system, covered in this Agreement, including all
component parts, fora period of one year from the date of acceptance, against defects in
material and workmanship. Any such defect discovered in any part of the system covered,
during this guarantee period, will be corrected without cost to Owner.
Proper use and maintenance of the system are Owner's responsibility. Honeywell makes
available a variety of service plans for maintenance of the systems it sells. Services
performed by Honeywell on the system during the guarantee period, solely in the nature
of maintenance in the absence of a maintenance agreement, or to make repairs required as
a result of Owner's misuse, abuse or neglect of the system will be performed at
Honeywell's spot service rates in effect at that time.
Honeywell warrants that the System will operate as described in the Agreement
Documents, but expressly does not guarantee operating results in terms of cost savings or
beneficial effects on other components of Owner's building.
With the exception of the foregoing, Honeywell makes no other warranties, express or
implied, including any warranty of merchantability or fitness for a particular purpose. In
no event will Honeywell be responsible for consequential damages of any nature
whatsoever. This guarantee extends only to persons or organizations who purchase
Honeywell Commercial Division products for resale, or users for other than personal,
family or household purposes. This guarantee does not constitute a written warranty
under the Magnuson -Moss Consumer Product Warranty Act.

INSURANCE
Honeywell represents that it maintains adequate and customary amounts of
Comprehensive General Liability, Comprehensive Automobile Liability, and Workmen's
Compensation Insurance.
Owner agrees to purchase and maintain Builder's Risk Insurance upon the Work at the
site to the full insurable value thereof, insuring against risks of fire, extended coverage,
vandalism and malicious mischief. The insurance shall cover the interests of Owner,
Honeywell, and subcontractors if any, in the Work.
Title to the equipment and material furnished shall pass to Owner upon Honeywell's
receipt of payment therefor.
LIMITATION OF LIABILITY
Honeywell's responsibility for damage or injury to persons or property that may be
caused by or arise through the furnishing, installation, functioning or use of the system(s)
included in the Work shall be limited to damage or injury caused directly by its negligence
in performing its obligations under this Agreement, and in no event shall Honeywell be
liable for speculative, indirect, or consequential damages.
When and if the Work under this Agreement includes fire acid/or safety protection
systems, it is further agreed that Honeywell is not an insurer and will not be liable for,
and Owner agrees to indemnify and save Honeywell harmless in respect of any injury,
damage or claim, whether direct or consequential, to persons or property, that may arise
through the installation or operation of such fire or safety systems, or lack or failure
thereof.
DEFAULT
In the event that Owner becomes insolvent, files or has filed against it a petition for
protection under any debtors act, purports to sell, assign or otherwise transfer the
equipment installed hereunder before final payment, does not make payments according
to terms of this Agreement, or otherwise unreasonably delays or prevents performance of
the Work; then Honeywell shall have no further obligation to perform any remainder of
the Work, and may pursue any remedy in law or equity for the recovery of costs incurred,
expected profits under this Agreement, and attorney's fees expended to effect settlement.
COMPLIANCE WITH REGULATIONS
Honeywell agrees to comply with all laws, regulations and codes in effect at the date of
this Agreement as they are relevant to the Work. Changes in such codes or regulations
after that date which affect the cost or time for completion shall be treated as changes in
the Work as provided for in this Agreement.
PATENTS
Honeywell agrees to defend all suits or claims for infringment of patents which may arise
in connection with the Work, provided that Owner gives Honeywell prompt notice of
such claims or actions and provides needed information, assistance, and authority to

enable Honeywell to do so; except that Owner shall defend any claims or actions arising
out of specific processes or unique applications of products which are directed by Owner.
NONDISCRIMINATION
Unless exempt under the rules and regulations of the Secretary of Labor or other proper
authority, this Agreement is subject to applicable laws, regulations and executive orders
relating to equal opportunity and nondiscrimination in employment. The parties hereto
agree that they will not discriminate in their employment practices as applicable to
performance of the Work contemplated in this Agreement.

The Energy Management applications proposed for the City
of Lubbock would be accomplished by the direct utilization of
the existing Delta 2000 located at the Lubbock Memorial Civic
Center. The only addition required to the existing Delta
would be that of the W935A Modem, which permit the operation
of multiple remote buildings over phone lines.
FUNCTIONAL DESCRIPTION
Optimal Start -Stop - The basic concept behind this program
is to delay the equipment morning start --up and accelerate the
evening shut -down based on both the outside weather conditions
and the associated area space conditions.
Given the following conditions, an example of the program
would be......

The Delta 2000 would determine that with these conditions,
the area served by this air handling unit will require only
forty-five (45) minutes to provide the desired comfort conditions
by`the time the building is occupied. Thus, the air conditioning
equipment will be started up at 7:15 A.M. This reduced the run
time on this air handling unit by one hour fifteen minutes (1:16:00).
This same program applies the "Flywheel" effect in the afternoon.
to ghut equipment off earlier than scheduled when conditions allow.
It should be stressed that this program is applied to each indivi-
dual air handling unit,not just to the building as a whole.
Equipment Duty Cycling - Honeywell's approach to equipment
cycling is to reduce the equipment run time as much as possible
without causing discomfort to the people occupying the building.
Because of this, anytime the spacial environment approaches con-
ditions that are deemed unexceptable, an alarm is automatically
generated at.the central control console and at the existing
remote printer location. This allows immediate action to be
taken.
The Delta 2000 will, after the building conditions have
stabilized, begin to shut selected HVAC equipment off for short
periods of time (i.e.,`15 min. out of each 60 min.) This can be
done because all HVAC equipment is sized to maintain spacial
comfort at "design conditions This means that no matter how
hot or how cold it becomes outside, the HVAC equipment must
maintain comfort. Anytime the outside conditions are other
than design (90% of the time) the equipment is oversized. This
allows up to a 20% - 25% reduction in equipment run time, 90%
of the year. Because of the unique capabilities of your Delta
2000, it can monitor and control each and every Air Handling
Unit in dozens of city buildings anywhere in or around Lubbock.
It should.be recognized that the ability to cycle any
equipment is based on the existing outside weather conditions
being well within the limits imposed by local design conditions.
As the outside air temperature approaches design conditions, it
means that the heating or�cooling equipment must ran continuously
to maintain the desired conditions, and the Delta 2000 will -auto-
matically lock out this program when this condition is approached.
Your Delta 2000 System with its Energy Management Programs
can and will provide all of the functions described above, to any
remote facilities desired, such as City Hall or the Lubbock
Municipal Air Terminal. The major expenditures such as the pur-
chase of the Delta 2000.and the addition of the energy management
functions have already been made, and as such; the City has at
their command a system capable of substantially reducing the
present utility expenditures for every city -owned building in
Additionally, for future consideration, Delta has the
capability to provide fire alarm reporting to City Fire
Stations; and security alarm reporting to the City Police
Headquarters. These alarms would include the location of
the alarm, the type of alarm, the date and time of the
alarms.
1 would, at this time, like to make one additional
recommendation for your consideration. There is presently
a maintenance man on duty at the City Hall Building,twenty
four hours a day. With the addition of City Hall and the
Air Terminal to the Delta 2000 located at the. Civic Center,
we would suggest relocating this night maintenance man to the
Civic Center Console, thus effectively monitoring five build-
ings, twenty-four hours,a day with no increased -manpower.
Past experience has shown that in most cases, manpower can
.also be reduced with no loss to the operational efficiency.

This report covers only the expected cost avoidance in electrical charges
as a direct result of the expanded installation of your DELTA 2000 System. The
cost justification does not include the reduced gas consumption as a result of
closer control and reduced run time of the units. Neither does it cover the effect
of central control of multiple city -owned buildings on the maintenance staff.
This system expansion would allow one person to monitor the Civic Center, City
.Library, Municipal Air Terminal, City Hall and the Police Building. If an air
handling unit shuts down through failure or human error, it is reported; allowing..
in many instances, repairs to be made.even without the occupants being aware a
problem every existed.
The payback period for the DELTA 2000 expansion covering the City Hall and
Nfunicipal.Air Terminal are extremely good and Honeywell recommends that steps
be taken for immediate installation.
