Said contract is attached hereto and incorporated in this resolution as if fully set forth herein and shall be included in the minutes of the City Council. Res January 19,1999 Resolution No. 6168 Item No. 29 January 28, 1999 SOFTWARE LICENSE AGREEMENT THIS AGREEMENT is made by and between the City of Lubbock located in Lubbock, Texas (hereinafter referred to as the "City") and Control Software Inc., 998 Old Eagle School Rd., Suite 1215, Wayne, Pennsylvania, 19087 (hereinafter referred to as CSI). WHEREAS, the Clients have issued a Request for Proposal (RFP#98208) for Fleet Management Software, and; WHEREAS, the proposal submitted by CSI, has been selected as the best proposal, and; WHEREAS, the "City" and CSI, desire to enter into an agreement with regard to the proposal to provide the software solicited by Request for Proposals No. 98208, and; WHEREAS, the response to the original RFP is to be considered an addendum to this contract as if fully copied therein and made a part hereof by reference, except where it conflicts with this contract, wherein this contract shall take precedence; NOW THEREFORE, for and in consideration of the mutual promises contained herein, the City and CSI agree as follows: ARTICLE I — LICENSE A. CSI grants to the City a non-exclusive, perpetual (subject to Article VI) non- transferable license to use the software modules referred to as the M/4 System specified in Schedule 1 (herein referred to as "Software") on City - owned computers. The City receives a site license for twenty (20) concurrent users. B. The specific material included in the term Software and the training to be provided to the City hereunder are as outlined in Schedules 1 and 2. ARTICLE II — FEES AND PAYMENTS A. The City shall pay CSI the fees specified in Schedule 3. All fees are payable by the City within thirty (30) days of acceptance of the milestones as outlined in Schedule 3. B. The City is tax exempt and will provide a tax exemption certificate upon request. Software License Agreement City of Lubbock & Control Software, Inc. C. The City shall be entitled to support as described in this Agreement. Charges for any additional requested services will be negotiated on a case by case basis. ARTICLE III — NON -DISCLOSURE A. Subject to the other paragraphs in this Article III, the City agrees that the software shall be held in confidence by the City and shall not be disclosed to others, except as required by the Texas Public Information Act. B. The City may copy, in whole or in part, any printed material relative to the Software which may be provided by CSI under this Agreement. Additional copies provided by CSI will be billed to the City at CSI's standard rates. C. Any Software provided by CSI in machine-readable form may be copied by the City for use by the City to the extent necessary for archive or emergency restart purposes, to replace a worn copy, to understand the contents of such machine-readable material, or to modify the Software as provided below. D. The City agrees to keep the original and any copies of the Software at the City's location, except that a machine-readable copy of the Software may be kept for archive or emergency restart purposes only, at another facility. ARTICLE IV — WARRANTIES A. CSI represents that it has the right to license the Software to the City as provided in ARTICLE I. CSI further represents that the Software will conform to the description contained in the Response to the original RFP. CSI warrants that the Software shall be free of defects and shall be in accordance with the requirements of this Agreement. B. CSI will defend, at its own expense, any action brought against the City to the extent that it is based on a claim that the Software supplied by CSI infringes a United States patent or copyright, and CSI will pay those costs and damages finally awarded against the City in any such action which is attributable to any such claim, but such defense and payments are conditioned on the following: (1) that CSI shall be promptly notified in writing by the City following its receipt of any such claim; (2) should the Software become, or in CSI's opinion is likely to become, the subject of a claim of infringement of a United States patent or copyright, then the City shall permit CSI at its option and expense either to (A) procure for the City a license to use the Software; (B) modify the Software so that it becomes non -infringing; or (C) procure for the City a credit for the Software and accept its return. CSI shall have no liability to the City Software License Agreement City of Lubbock & Control Software, Inc. under any provision of this clause with respect to any claim of patent or copyright infringement which is based on the City's unauthorized use or combination of the Software with software or data not supplied by CSI as part of the Software. C. The warranty period for each system module shall extend for a period of fifteen months from the Final Installation date. The warranty also extends for any maintenance period as long as payments are kept current. During the warranty period, in the event that the City encounters an error and/or malfunction whereby the Software does not conform to the description in the Response to the RFP, CSI will respond as follows: 1. In the event that there exists an error or nonconformance to the RFP Response, CSI will take such steps as are required to correct the error with due dispatch. 2. In the event that, in the mutual and reasonable opinion of CSI and the City, the error or nonconformance to the RFP Response does not constitute a serious impediment to the normal intended use of the Software, CSI will, at no cost to the City, correct the error and distribute the correction to the City in accordance with CST's normal Software revision schedule. ARTICLE IV — INSTALLATION A. Both parties shall mutually agree upon the installation date of the Software. The City agrees to provide, at no cost to CSI, such access to its CPU and such systems and production support as may be required by CSI to properly install and test the Software. B. Installation Criteria 1. Test Data Bases have been formulated by CSI to assist the City in the determination of the success of CSI and the City in the installation of the Software. The installation criteria are based upon the ability of the Software to perform all functions defined in the RFP Response, including the interfaces and data conversion. 2. CSI, with the City's approval, shall define the test criteria and supply test data. 3. Installation shall be complete upon successful execution of the test data in performing all of the functions set forth in the RFP response. ARTICLE VI — TERMINATION A. The licenses conveyed pursuant to Article I -A may be terminated by CSI in the event of breach or default by the City, provided CSI notifies the City hereunder of the breach or default and the City does not correct same within thirty (30) days of CSI's notice. In addition, the City shall have the right to Software License Agreement City of Lubbock & Control Software, Inc. terminate the license anytime after one (1) year from the effective date of the Agreement. B. All Software supplied hereunder by CSI shall be and remain the property of CSI. Upon termination of the license, whatever the reason, such Software and any copies thereof made by the City pursuant to Article III-B, shall be returned to CSI. C. If, through no fault of the City, the provisions of this contract are not completed within six (6) months of contract signing, the City can, at its sole discretion, terminate the contract and receive a refund of all monies paid. ARTICLE VII —ASSIGNMENT This agreement shall not be assignable by either party without the prior written consent of the other party, and any attempted assignment shall be void. No assignment of this Agreement shall be valid until and unless consented to in writing by the consenting party and assumed by the assignee in writing. When duly assigned in accordance with the foregoing, this Agreement shall be binding upon and shall inure to the benefit of the assignee. ATTN: James Paulits 998 Old Eagle School Road Suite 1215 Wayne, Pennsylvania 19087 Phone (610)687-9202 Fax (610)971-9447 ARTICLE VIII — ENTIRE AGREEMENT This agreement supersedes all prior proposals, oral or written, all previous negotiations and all other communications or understandings between CSI and the City with respect to the subject matter hereof. It is expressly agreed that if the City issues a purchase order or other document for the services provided under this Agreement, such instrument will be deemed for the City's internal use only, and any provisions contained therein shall have no effect whatsoever upon this Agreement. This Agreement sets forth the sole and entire understanding between CSI and the City with respect to the subject matter. No amendments to Software License Agreement City of Lubbock & Control Software, Inc. this Agreement, either at the execution or subsequently, shall be binding on CSI or the City unless agreed to in writing by both parties. ARTICLE IX —GOVERNING LAW This Contract shall be governed by, subject to, and construed according to the laws of the State of Texas. CSI agrees to comply with all applicable local, state, and federal laws, regulations, and orders relating to the services, including but not limited to fair and equal opportunity practices and policies. ARTICLE X -- PERFORMANCE BOND Upon execution of this Contract, CSI shall provide the City with a performance bond in accordance with Chapter 2253, Texas Government Code in the amount of 100% of the total contract price and a payment bond in accordance with Chapter 2253, in the amount of 100% of the total contract price. Said statutory bonds should be issued by a company carrying a current Best Rating of A or superior. ARTICLE XI — YEAR 2000 COMPLIANCE CSI warrants that all of its software is Year 2000 compliant. ARTICLE XII— SCHEDULES Schedules 1,2,3,4 and any additional schedules specified below are hereby incorporated into this Agreement. Software License Agreement City of Lubbock & Control Software, Inc. SCHEDULE ONE — SOFTWARE DESCRIPTION The M/4 SYSTEM M/4 is an on-line, interactive system that is applicable to any type of vehicle or equipment that requires significant maintenance and parts to support that maintenance. Major System Modules The M/4 system includes these modules, which may be implemented together or individually: 1. System Management System Management configures M/4 for the client. Customization information includes module specific flags, login user information, customized menus, fiscal calendar, shift codes, shift schedules, direct and indirect account codes, systems/components/parts codes, and miscellaneous codes. 2. Asset Management Asset Management tracks and analyzes information relative to equipment inventory. The module manages vehicles, stand-alone pieces of equipment and other maintained items. The module allows for a flexible hierarchy of vehicles, systems and components when building the equipment database. Accounting, downtime, product (consumable) and warranty data is collected. Codes are maintained that enable assets to be grouped and analyzed by similar operating, accounting and physical characteristics. Information available for each vehicle includes accounting, performance history, repair history, unit associations, location assignment, operating information, maintenance schedules, downtime, fuel & oil usage, multiple warranties, technical specifications, components, and historical usage. 3. Parts Inventory Control Parts Inventory Control includes automatic parts ordering, automatic calculation of inventory stock levels, parts transfers among warehouses, inventory review, automatic purchase order generation, and purchase order tracking. Users can describe as well as cross-reference parts information. The physical inventory capability operates in conjunction with tracking and accounting for all parts issues, receipts and transfers, including cyclical count capability. The Parts Module includes notification of parts warranty failure and parts estimated life failure. Time and usage criteria notification is also available. Labor/Personal Management Labor/Personal Management tracks employee certification and licensing, operator accident and safety records, time and attendance reporting, including absences, sick days and vacations, mechanic performance, and mechanic safety records. Overtime, as well as time and attendance, can be tracked via bar code data entry. Labor tracking can be followed by employee transfers and define employee fuel/products. 5. Forecaster Forecaster generates work requests with calculated due date from standard job information. The forecast function bases its calculation on the unit's meter usage, fuel usage, or a time interval. The forecast will use the earliest of these intervals to establish a due date of when a job should be done next. Usage and fuel due dates are calculated based on the usage or fuel used during the current and two proceeding periods. The process determines the usage at the beginning of this time frame, and the latest date of any usage update. The number of days between these two points is then divided into the amount of usage to determine the average daily usage. The identical calculations are also done for fuel when it is specified as an interval. After the average daily usage and/or the average daily fuel consumption are determined, they are divided into the interval(s) specified on the job to determine the number of days required to reach the interval with which to create work requests. 6. Work Order Processing Work Order Processing creates work order, applies charges and closes an order from a single point of entry. A single work order supports job estimates, multiple reasons for repair, multiple jobs, unlimited mechanics, unlimited charges and, unlimited parts charges. Parts and labor can be entered on-line, in real time, with the optional bar code labor and parts modules. The user is able to estimate labor requirements and cost at the job level. When the work order is closed, a comparison of actual versus estimated charges can be generated. Data from the detailed maintenance history can be readily accessed either by repair summary, in chronological order or with full work order details. 7. Billing Billing lets the user set up billing codes, fixed charges and special billing items. Billing allows direct charge -back of expenses, cost average charge -back (rental billing) or a combination of both. It supports direct billings to departments or outside agencies. Features include the billing of all labor, material and commercial charges posted to a unit, work order, department or indirect account. This module supports the distribution of costs over multiple accounts for a single unit. The distribution is based upon usage (miles or hour) that is input by Software License Agreement City of Lubbock & Control Software, Inc. account number. It then prorates the monthly charge based upon the percent of usage. 8. Unit Acquisition/Disposal Unit Acquisition/Disposal maintains unit acquisition and disposal information. The module creates purchase orders for new unit acquisitions, tracks delivery schedules, receives new units into inventory and prepares the new unit for service. When a unit is ready for disposal, it can be identified and flagged, prepared for disposal, and the final sale proceeds will be recorded. 9. Unit Replacement Modeling Unit Replacement Modeling is designed to aid the fleet manager in determining which units should be scheduled for replacement and then in developing a replacement plan. This plan selects and prioritizes equipment based on a variety of characteristics, and on the availability of replacement funds. The goal is to replace units that will result in the best investment through reduced operation costs and downtime. 10. Motor Pool Motor Pool manages all the tasks involved in running a fleet of rental vehicles, including checking unit availability, entering customer reservation information, generating check-out tickets, entering meter readings and additional charges when the unit is brought back, completing the motor pool ticket and closing the transaction. The system automatically generates a billing for the rental transaction when the next billing report is run. 11. License and Permit Tracking License and Permit Tracking assigns codes for special vehicle licenses or operating permits. With this module, the user can quickly tell the type of license or permit used, the units assigned to the license or permit and when a license or permit expires. The user can maintain letters used to notify the license or permit holder that the license or permit must be renewed, Warning and expiration letters can also be maintained. 12. Commercial Repair Tracking Commercial Repair Tracking authorizes commercial repairs, tracks the progress of the repairs, and enter costs. Commercial repairs are tracked by seeing the length of time a work order job has a particular commercial repair status (e.g., build, at Vendor, complete or closed.) Additional functions of tracking commercial repairs include entering downtime information for a unit and warranty maintenance. Software License Agreement City of Lubbock & Control Software, Inc. 13. Warranty Claims Administration Warranty Claims Administration tracks the whole unit (chassis) or and unlimited number of system, component and part warranties. Warranties are categorized by usage (miles, kilometers, hours, etc.) and time. A warrantable repair on a work order will trigger a "possible warranty" message to appear on- line as well as flagging the transaction reporting and generation of a warranty claim. The system also tracks outstanding claims and posts reimbursements back to the original work orders. Reporting includes comparisons between requested and received adjustments. 14. Fuel Management Fuel Management manages the used of consumable products. This includes not only purchasing products, but also managing inventories, dispensing products and tracking product usage data. Software License Agreement City of Lubbock & Control Software, Inc. SCHEDULE TWO — MATERIAL, SUPPORT AND TRAINING PROVIDED MATERIAL One copy of the User Manual One copy of the System Manual One copy of M14 Object Code Additional copies will be billable at cost ($250 each). Customer can reproduce copies of the documentation for their own internal use. Source Code SUPPORT TELEPHONE HOTLINE ASSISTANCE On a twenty-four hour basis, CSI shall make available during the warranty and maintenance periods technically qualified personnel to respond to all reasonable telephone requests which may be made by the City relating to the application and operation of the Software. In the event that an issue cannot be responded to immediately, a call back will occur within one hour of the initial call. TRAINING CSI will provide, at no cost to the City, fifteen days of on -site training and project management. Additional days of training will be at $1000 per day. Edwards Financial System, to include Fixed Assets, Purchasing, General Ledger TOTAL $45,000 All conversions, interfaces, and modifications shall be made in such a way as to not have to be changed upon upgrade of the software. PAYMENT SCHEDULE These fees will be paid as follows: Acceptance of M/4 installation 50% and successful test with test data Acceptance of converted data and 25% interfaces Successful usage of M/4 in a 25% production environment for thirty (30) days Software License Agreement City of Lubbock & Control Software, Inc. SCHEDULE FOUR — MAINTENANCE The Software paid -up license fee includes maintenance without charge for fifteen months after the Final Installation. Thereafter, maintenance is available as an option as set forth below. Maintenance includes program updates and enhancements as well as an extended warranty for the Software. Term After the free one year, Optional Maintenance shall have a term of twelve months and shall automatically renew each year thereafter for an additional twelve (12) month period unless terminated as set forth below. Correction of Deviations In the event that the City encounters an error and/or malfunction (hereafter referred to as Deviation) in the Software, it shall communicate the circumstances and any supporting information to CSI. Upon receipt CSI will respond as follows: A. In the event that, in the reasonable opinion of CSI and the City, there exists a Deviation which does not constitute a serious impediment to the normal intended use of the Software, CSI will correct the Deviation and distribute the correction to the City in accordance with CST's normal Software revision schedule; B. In the event that, in the reasonable opinion of CSI and the City, there exists a Deviation which does not constitute a serious impediment to the normal intended use of the Software, CSI will take steps as are required to correct the Deviation with all due dispatch. Software Revisions The Software may be revised by CSI as a result of the correction of Deviations and/or the release of upgrades or improvements or modifications designed to improve the performance of the Software and/or to increase the capabilities of the Software (hereafter referred to as "Revisions"). Revisions shall be of two kinds: A. Revisions which the City is obligated to implement (hereafter referred to as "Mandatory Revisions"). B. Revisions which may be implemented by the City at its option (hereafter referred to as "Optional Revisions"). No charge shall be made to the City for either Mandatory Revisions or Optional Revisions. CSI shall maintain the Software in a state fully compatible with its other modules which are not covered by the Software License, and for which additional license fees would be required in order to entitle the City to the use of the capabilities of such modules. B. CSI shall solely be responsible for determining the capabilities included in each of the modules of the Software and in deciding which increased capabilities shall be released as Revisions pursuant to the Software Revision paragraph above and which increased capabilities shall be released as part of other modules, which the City has not acquired and for which the City must pay additional fees. C. CSI shall make all modifications, conversions, and interfaces in such a manner that they are not impacted by the subsequent Revisions. Telephone Hotline Assistance CSI, at its expense, shall make available technically qualified personnel to respond to all reasonable telephone requests which may be made by the City relating to the application and operation of the Software. This Hotline shall be available twenty-four (24) hours a day. In the event that a question cannot be addressed immediately, a call back will occur within one hour. Technical Literature CSI, at its expense, shall make available to the City all Technical Literature which is considered by CSI to be relevant to the Software and its use within the scope of the City's operations. Software Releases All revisions will be transmitted to the City on a media mutually agreed upon. The City shall be solely responsible for mounting the media and executing the appropriate instructions in order to transfer the Revisions on to its system. Remote Diagnostic Access The City shall provide appropriate modem facilities by which CSI may, with the permission of the City, remotely access the Software for the purpose of remote diagnostics and support. The City agrees that all reasonable effort shall be taken to ensure that neither the Software nor data files are misused. B. In the event that the City and CSI agree that misuse of the Software or data files has occurred, CSI shall be entitled to correct the situation at the City's expense. Software Maintenance Fee — Paid Up License In consideration of the maintenance services to be provided by CSI for each twelve month period hereunder, the City shall pay to CSI an amount equal to eighteen percent (18%) of the total amount of the then current License Fee for the Software in effect at the time of each twelve (12) month renewal. This maintenance fee shall not be increased for four years after the initial maintenance term and shall not be increased more than five percent (5%) per year thereafter. Additional Software Maintenance Fee — Paid Up License In the event the City acquires modules for the Software in addition to those indicated in Schedule 3 of this Agreement (the "Additional Software"), the maintenance shall automatically be extended to cover the Additional Software, and the City shall pay an additional annual maintenance fee in an amount equal to eighteen percent (18%) of the then current license fee for the Additional Services, Additional Copy Maintenance Fee — Paid Up License In the event the City acquires an additional copy of the Software (hereafter referred to as "Additional Copy") pursuant to Schedule 1 of this Agreement, this maintenance shall automatically be extended to cover the Additional Copy, and the City shall pay an amount equal to eighteen percent (18%) of the then current License Fee for the Additional Copy. Other Fees and Expenses If on -site maintenance is required, the City will pay reasonable travel and living expenses. Travel and expenses will be billed at cost and shall not exceed four trips. Annual payments for the maintenance will henceforth be due in advance on the first day of the calendar year of the anniversary of the Final warranty period date. Default and Termination A. The City shall have the right to terminate maintenance upon delivery of at least thirty (30) days written notice prior to the next anniversary date. B. CSI may cancel maintenance in the event that the City does not implement a Mandatory Revision within one hundred twenty (120) days of receipt thereof, or such longer period as CSI may consent to in writing. C. In the event of any breach of the terms and conditions of this maintenance schedule by the City, CSI will, by written notice to the City, give the City a period of thirty (30) days within which to institute remedies to correct such breach. In the event that such breach has not been corrected to CSI's satisfaction within said thirty (30) day period, CSI may then cancel maintenance by notice in writing to the City. D. In the event that maintenance is terminated by CSI, CSI shall have no continuing obligations to the City of any nature whatsoever with respect to maintenance. A critical element of this initiative is conveying the totality of MAXIMUS services and capabilities to our clients. I am writing to you today to share with you my perspective about this effort. Since we were acquired by MAXIMUS 2 years ago, you have known us as CSI-MAXIMUS. You may even remember that prior to being acquired, we were known as Control Software. As part of this branding effort, we will now be known as MAXIMUS. You may only be familiar with a small part of what this Company does. This name change to MAXIMUS is intended to focus attention on the Company as a whole so that you can develop a better understanding of all that we are able to do. In addition to uniting under a single name, our division has also been renamed The Asset Solutions Division.
