RESOLUTION October- 8, 1998
WHEREAS, the City of Lubbock (the "City") has contracted with Market
Lubbock, Inc. ("MLI"), a Texas nonprofit corporation, to promote economic
development within the City and the surrounding area; and
WHEREAS, the City of Lubbock previously contracted with Marketing,
Entertainment, Travel, Tourism and Sports, Inc. ("METTS") to provide convention and
tourism services for the City; and
WHEREAS, the Board of Directors of METTS has voted to dissolve the METTS
corporation; and
WHEREAS, the City, as the named successor in interest to METTS, has accepted
an assignment of all assets and liabilities from METTS; and
WHEREAS, the City has contracted with MLI to conduct the convention and
tourism services previously provided by METTS; and
WHEREAS, the City desires to transfer the assets and liabilities previously held
by METTS; NOW THEREFORE:
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and
directed to execute for and on behalf of the City of Lubbock an Assignment of assets,
liabilities, and contracts previously held by METTS to MLI. Said Assignment is
attached hereto and incorporated into the minutes of this Council as if fully set forth
herein.

ASSIGNMENT
THE STATE OF TEXAS §
COUNTY OF LUBBOCK §
WHEREAS, the Board of Directors of Marketing, Entertainment, Travel,
Tourism, Sports, Inc. ("METTS"), a Texas nonprofit corporation elected to disolve. The
City of Lubbock (the "City") is the designated successor in interest to METTS and has
accepted all of METTS' assets, liabilities and contracts; and
WHEREAS, the City desires to execute a contract with Market Lubbock, Inc.
("MLI") to perform the functions previously conducted by METTS; and
WHERAS, the City desires to assign the assets, liabilities and contracts
previously held by METTS to MLI; and
WHEREAS, MLI, in consideration of contracting with the City and other valuable
consideration, desires to accept the assets, liabilities and contracts previously held by
METTS subject to the approval of MLI; NOW THEREFORE:
WITNESSETH:
The City of Lubbock, Texas, a Texas Municipal Corporation, by this instrument
grants and conveys to Market Lubbock, Inc., a Texas nonprofit corporation all of the
outstanding contracts, assets, debts, obligations, duties and property of whatever kind that
the City acquired by and through METTS, a dissolved Texas nonprofit Corporation.
A listing of the known contracts, assets, debts, obligations, duties and property
transferred by METTS to the City is attached to this Assignment as Exhibit A.
The assignment of the above described property is subject to the acceptance of
said property by MLI.
This Assignment and all of its terms and conditions are binding on City and all of
it successors and assigns, and on MLI and all of its successors and assigns.

Market Lubbock, Inc., for valuable consideration, hereby accepts those assets and
obligations attached to this Assignment as Exhibit B and MLI hereby agrees to assume
and perform all of the duties of the City of Lubbock assigned hereby.

The following are the METTS's assets, liabilities and Contracts that are to be
assigned by the City of Lubbock to Market Lubbock, Inc.

The City of Lubbock assigns all funds previously held by METTS with the
exception of all of the Special Events Promotion Fund that is on hand as of October 8,
1998.

RESOLUTION October 8, 1998
WHEREAS, the City of Lubbock (the "City') has contracted with Market
Lubbock, Inc. ("MLI'), a Texas nonprofit corporation, to promote economic
development within the City and the surrounding area; and
WHEREAS, the City of Lubbock previously contracted with Marketing,
Entertainment, Travel, Tourism and Sports, Inc. ("METTS') to provide convention and
tourism services for the City; and
WHEREAS, the Board of Directors of METTS has voted to dissolve the METTS
corporation; and
WHEREAS, the City, as the named successor in interest to METTS, has accepted
an assignment of all assets and liabilities from METTS; and
WHEREAS, the City has contracted with MLI to conduct the convention and
tourism services previously provided by METTS; and
WHEREAS, the City desires to transfer the assets and liabilities previously held
by METTS; NOW THEREFORE:
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and
directed to execute for and on behalf of the City of Lubbock an Assignment of assets,
liabilities, and contracts previously held by METTS to MLI. Said Assignment is
attached hereto and incorporated into the minutes of this Council as if fully set forth
herein.
