Said Agreement is attached hereto and incorporated in this Resolution as if fully set forth herein and shall be included in the minutes of the Council. STATE OF TEXAS COUNTY OF LUBBOCK This Agreement is between the CITY OF LUBBOCK, a municipal corporation, hereinafter referred to in this agreement as "CLIENT", and TMG Consulting, Inc., a Texas corporation located at 9210 Honeycomb Dr., Austin, TX 78737, hereinafter referred to as "CONSULTANT" WHEREAS, the CLIENT is seeking to replace its existing utility billing/customer information system; WHEREAS, the CONSULTANT is an experienced professional information system and management consulting firm with particular knowledge of this Project, possesses the skills required, and has the personnel resources to perform the required work; and, WHEREAS, the Agreement allows the performance by the CONSULTANT of required services for the Project, as requested by the CLIENT; NOW, THEREFORE, for and in consideration of the promises, covenants and agreements herein contained, the parties mutually agree as follows: I. SCOPE OF SERVICE CONSULTANT agrees to perform the services described in the Presentation Submitted to CLIENT, attached to this Agreement as Exhibit A and incorporated herein, relating to the replacement or upgrade to CLIENT's utility billing/customer information system (collectively, the "Services"). CONSULTANT shall furnish all necessary labor and supervision, except as specified hereunder to be furnished by CLIENT, and shall perform the Services subject to and in accordance with the terms and conditions of this agreement. CLIENT may elect to forego any particular Service or Services by providing written notice of such election to CONSULTANT at any time. CONSULTANT may also provide such other services not specified in the Proposal as the CLIENT may request in writing from time to time (the "Additional Services"). PSA080398TMG II. SOLE AGREEMENT This Agreement shall supercede all prior agreements, and understanding between the parties with respect to all subject matter hereof, except as may be otherwise specifically provided in this Agreement. The agreement specifically supercedes the prior agreement between these parties dated July 13, 1998. The parties may amend this Agreement to more specifically define the Services, to engage CONSULTANT for Additional Services, or to define the Additional Services. Any amendment to this Agreement shall be in writing executed by both parties. III. INCORPORATION OF CONTRACT DOCUMENTS Exhibit A, the presentation provided by TMG Consulting to the City of Lubbock, Texas, is hereby made an integral part of this Agreement. IV. ASSIGNED EMPLOYEES CONSULTANT personnel performing Services and Additional Services shall be and will remain at all times, employees, and/or sub -contractors of CONSULTANT. CONSULTANT employees and/or sub -contractors assisting the CLIENT under this Agreement who are found, in the CLIENT's sole opinion, to be unsatisfactory for services to be performed hereunder, shall be removed by CONSULTANT immediately upon receipt of such written request by the CLIENT. Such employee shall be replaced with another CONSULTANT employee satisfactory to the CLIENT as soon as possible. V. INSURANCE A. CONSULTANT shall procure and carry, as its sole cost and expense through the life of this Contract insurance protection hereinafter specified, in form and substance satisfactory to the CLIENT. CLIENT must approve all policies prior to the commencement of any activities whether performed by the CONSULTANT, subcontractor, agents, or third parties. The insurance carrier must be an insurance company authorized to transact business in the State of Texas and have a Best's Financial rating of A:VII. A Certificate of Insurance specifying each and all coverage shall be submitted to CLIENT prior to the execution of this Contract. All insurance shall be prepared and executed by the insurance company or it's authorized agents and shall contain an endorsement naming the CLIENT an additional insured. Written notice of cancellation or any material change will be provided thirty (30) days in advance of cancellation or change. All insurance, other than Worker's Compensation, shall provide a waiver of subrogation in favor of CLIENT, and shall contain cross liability and severability clauses. B. CONSULTANT shall obtain and maintain policies of insurance throughout the Contract term in limits specified below. PSA080398TMG 2 1. Worker's Compensation. The CONSULTANT shall maintain Worker's Compensation and Employer's Liability insurance coverage as required by statute or coverage approved by the City Risk Management Coordinator. 2. Commercial General Liability. The CONSULTANT shall maintain Commercial General Liability coverage endorsed to include premises/operations, contractual liability, independent contractors' and completed operations. The policy shall have a minimum of One Million and no/100 Dollars ($1,000,000) combined single limit in the aggregate and per occurrence. C. CONSULTANT and its insurers providing the required coverages shall waive all rights to recovery against CLIENT and its directors, officers, employees, and agents. VI. PAYMENT CLIENT shall pay CONSULTANT upon the timely completion of the Services according to the schedule set forth below. CONSULTANT's professional fees for the Services shall not exceed $150,000 (the "Fee Cap"). This is a total fixed fee contract and includes the cost of any out-of-pocket expenses incurred in connection with the services. If the CLIENT elects to forego a Service after CONSULTANT has commenced performing such service, CLIENT shall reimburse CONSULTANT for costs incurred prior to receiving CLIENT's notice to forego such Service, provided that such costs shall not exceed the cost specified in the table below. The rest of the funds are to be paid upon acceptance of each milestone as identified above. The CLIENT shall make payments to the CONSULTANT under this Agreement based on the successful and timely completion of the scheduled services by CONSULTANT. Payment by the CLIENT shall be initiated upon receipt of the invoice and are due no later than thirty (30) days from invoice receipt. Box 2000 Lubbock, TX 79457 It is expressly agreed that under no circumstances shall the CLIENT be responsible for payment or CONSULTANT be entitled to compensation for any services or expenses, other than as set forth herein, unless such additional amounts are approved by CLIENT in writing and in advance. CONSULTANT shall pay any fees owed to its employees or subcontractors for their services rendered in connection with this Agreement from the fees paid by CLIENT pursuant to this Agreement. VII TERMINATION OF AGREEMENT The CLIENT shall have the right to terminate this Agreement at any time for the CLIENT's convenience by giving five (5) days written notice of such to CONSULTANT. Upon receiving notice of termination, CONSULTANT shall discontinue the work on the date and to the, extent specified in the notice and place no further orders for sub -services except as needed to continue any portion of the work that was not terminated. CONSULTANT shall also make every reasonable effort to cancel, upon terms satisfactory to the CLIENT, all orders or subcontracts related to the terminated work. If this Agreement is terminated for the CLIENT's convenience after CONSULTANT has commenced any work, mobilization, or other off -site activities under this Agreement, CONSULTANT will be paid its actual costs incurred prior to receiving the notice of termination, including administrative and general overhead costs, and reasonable demobilization costs, determined in accordance with generally accepted accounting principles consistently applied; provided that, if compensation under this Agreement is on a time and materials basis, CONSULTANT will be compensated at rates specified in the Agreement for work actually accomplished prior to the notice of termination. Fees for Services actually performed shall not exceed the cost of such Services specified in the table in Section F. Notwithstanding the foregoing, CLIENT may terminate this Agreement without prior notice if for cause. VIII. CONFIDENTIALITY OF INFORMATION The parties acknowledge that in the course of this Agreement they will have access to, and/or will be in possession of, confidential information of the other. "Confidential Information" shall mean information regarded by that party as confidential, including information relating to its past, present or future research, PSA080398TMG development or business affairs; future project purchases; and any proprietary products, materials, or methodologies. Under the Texas Open Records Act the CLIENT is required by law to disclose any information requested regarding the CONSULTANT and/or the project that may be requested from any outside sources. Each party shall hold in confidence, in the same manner as it holds its own confidential information of like and kind, all Confidential Information of the other to which it may have access hereunder. Access to Confidential Information shall be restricted to those of the party's personnel with a need to know and engaged in a permitted use. The foregoing shall not prohibit or limit either party's use of information (including, but not limited to, ideas, concepts, know-how techniques, and methodologies) (i) previously known to it, (ii) independently developed by it, (iii) acquired by it from a third party without continuing restriction on use, (iv) which is, or becomes, publicly available through no breach of this Agreement, or (v) as may be required by law under the Texas Open Records Act. This section shall survive termination of the Agreement for any reason. The CLIENT shall be the owner of all work papers created and software developed or delivered in connection with this Agreement. CONSULTANT shall deliver such work papers created in connection with this Agreement. CONSULTANT shall be entitled to retain a duplicate set of work papers for its files for informational purposes and not for duplication or distribution. Upon completion of the Services, or upon termination of this Agreement, CONSULTANT shall return to CLIENT all Confidential Information provided to CONSULTANT by CLIENT or CLIENT's employees, affiliates or agents, unless otherwise instructed by CLIENT. IX. RESPONSIBILITY OF THE CLIENT The CLIENT will: A. Provide information as to its requirements for the Project as described in the approved final schedule. B. Assist CONSULTANT by placing at its disposal all available information pertinent to the Project including previous reports and any other data relative to the project as is requires by the approved final schedule. C. Furnish to CONSULTANT, as required for performance on CONSULTANT services, data, and other special research and available and appropriate professional interpretations of all the foregoing, provided that CLIENT in its sole opinion is not unduly burdened with complying with this provision. D. Examine all studies, reports, specifications proposals, and other documents presented by CONSULTANT, in a timely manner, and render in writing the PSA080398TMG decisions pertaining thereto within time as described in the approved final schedule. E. Designate an individual to act as the CLIENT's Project Manager on behalf of the CLIENT, with respect to the work to be performed under this Agreement. F. Give prompt written notice to CONSULTANT whenever the CLIENT observes or otherwise becomes aware of any development that affects the scope or timing of the CONSULTANT's services. X. WARRANTY A. CONSULTANT warrants that the Services and Software shall be free of defects and shall be in accordance with the requirements of the Agreement, and that the Software shall be merchantable and suitable for the use intended, and shall be compatible with, and capable of efficiently operating on the systems described in Item I of the Agreement. Any corrected Services and Software shall be similarly warranted. B. CONSULTANT expressly warrants that, in providing the CLIENT with these services, they do not in any way invalidate the licenses given to the CLIENT by various software vendors, nor do they breach the confidentiality of such software, documentation, or related materials. C. CONSULTANT agrees to comply with all applicable local, state, and federal laws, regulations, and orders relating to the services, including but not limited to fair and equal opportunity practices and policies. XI SPECIAL CONDITIONS The following conditions are incorporated into the understandings associated with this Agreement: A: If the project scope of work is increased or changed by the CLIENT in such a manner as to require additional labor or expenses, CONSULTANT, with written Project Manager approval, will adjust both scope and fees through written amendment to this Agreement. B. CONSULTANT's project team members will have the opportunity and authority to contact personnel of the CLIENT directly in the performance of consulting duties. C. CONSULTANT shall testify, when required by CLIENT, on CLIENT's behalf, in any court or governmental or regulatory agency hearings or proceedings relative to the work performed under this Agreement. D. Disputes on any matter relating to this Contract shall be discussed and resolved by authorized representatives of each Party who have the authority to bind the party that they represent. The Parties shall use their best efforts to amicably and promptly resolve the dispute. However, pending resolution of any dispute, and at CLIENT's option, CONSULTANT shall proceed with the Work, or that portion thereof, in dispute, as directed by CLIENT and the cost of such Work, or the portion thereof in dispute shall be accounted for in a segregated account pending resolution of the dispute. APPLICABLE LAW A. This contract shall be governed by and construed in accordance with the laws of the State of Texas. The parties hereto hereby irrevocably consent to the exclusive jurisdiction and venue of the courts of the State of Texas, County of Lubbock, for the purposes of all legal proceedings arising out of or relating to this contract or the actions that are contemplated hereby. B. This Agreement will be governed by the laws of the State of Texas. C. CONSULTANT shall maintain records that are necessary to substantiate the services provided by CONSULTANT. D. CONSULTANT agrees to protect, defend, hold harmless, indemnify the CLIENT against any claim, damages, liability, losses, and expenses arising out of any threatened, actual, or alleged claim that the provisions of such services violate any rights held by the owners of such software licenses. E. The term of this Contract commences on the Effective Date and continues without interruption for a term of one (1) year from and after the Effective Date. The term may be extended for one (1) year with the written consent of both parties.
