Said agreement is attached hereto and incorporated in this Resolution as if fully set forth herein and shall be included in the minutes of the Council. Lewis, Assistant City Manager APPROVED AS TO FORM: 4analuni,ega Advisor /CCD0CS/PNA_RES.D0C June 4, 1998 Resolution No. 5885 Item No. 80 June 11, 1998 MEDICAL SERVICES AGREEMENT This MEDICAL SERVICES AGREEMENT is made and entered into by and between the City of Lubbock, Texas, hereinafter referred to as "City", and the Physicians Network Association, hereinafter referred to as "PNA". The City of. Lubbock Police Department shall hereinafter be referred to as L.P.D. Whereas, the City Council for the City of Lubbock, Texas has resolved that it is in the public interest to provide medical services to those who are in the L.P.D.'s temporary holding facility; Whereas Physicians Network Association is qualified to provide the medical services necessary for operation of the L.P.D.'s Temporary Holding Facility; NOW THEREFORE, the City and PNA, the parties hereto, mutually agree that medical services shall be provided by PNA to the City upon the following terms and conditions, to wit: I. DEFINITIONS The following terms shall have the meanings indicated when used in this Agreement; PNA agrees to perform the services set forth within these definitions. I. L First Aid Assessment. Training in first aid assessment will be given by PNA's staff to personnel designated by the L.P.D., for purposes of training L.P.D. personnel in the recognition of certain medical symptoms that may require immediate attention or the need to contact professional medical services. The training given shall include instruction on identifying situations that require medical intervention in basic patient triage, and includes: (a) pain assessment, including (i) head, (ii) chest, and (iii) extremities; and (b) illness, including (i) nausea, (ii) intoxication, (iii) temperature, (iv) blood pressure, and (v) diabetes. The training is not for certification and does not include C.P.R. or provision of "hands-on" first aid. 1.2. Intake Personnel. Intake personnel are those persons assigned by the L.P.D. to, or having as a part of their duty work at, the City of Lubbock Temporary Holding Facility. 1.3. Primary Care Physician (PCP). Primary care physician is the medical doctor (MD), nurse practitioner (NP), or physicians assistant (PA) on call for the care of the inmates in the City of Lubbock Temporary Holding Facility. PNA medical staff will determine medical necessity and appropriateness for calling the primary care physician (PCP). Medical Services Agreement, Page 1 1.4. Primary Care Physician Case Management. Primary care physician case management will be the monitoring by Dr. Vernon C. Farthing, Jr., or his designee, of any person in the custody of the L.P.D. to be held as an inmate in the City of Lubbock Temporary Holding Facility, who is admitted as a patient at the University Medical Center for medical necessity. This will assure appropriateness of ancillary services. Primary care physician case management will be performed by PNA at no charge to the City of Lubbock. 1.5. Standing Orders and Nursing Protocols. Standing orders and nursing protocols shall be directives or instructions provided by PNA to aid medical personnel. These standing orders and nursing protocols will remain on -site at the City of Lubbock Temporary Holding Facility for the sole use and assistance of attending medical staff. 1.6. Suicide Assessment. PNA will train City / L.P.D. personnel in recognizing and evaluating warning signs for potential suicide victims. The training schedule will be arranged and coordinated through PNA Vice President of Operations. II TERM 2.1 Term. The term of this Agreement is for twelve (12) consecutive months, commencing on the 1 st day of July 1998, and ending on the 1st day of July , 1999. COMPENSATION 3.1 Compensation. For services rendered under this Agreement, PNA shall be entitled to $20,000.00 for each twelve (12) month term. The fee for services will be payable by the City monthly, at the rate of One Thousand Six Hundred Sixty -Six Dollars and 66I100 ($1,666.66), payable on or before the fifteenth (15) day of each calendar month, following the month in which services are provided. IV. TERMINATION 4.1 Termination. Either party to this Agreement, during the term hereof or any extension or renewal of the term hereof, may terminate this Agreement upon sixty day written notice, first delivered in person or addressed by certified mail, to the other party. PNA will provide the template � for intake screening, assessment, and evaluation forms to be used by the L.P.D. for operation of the City of Lubbock Temporary Holding Facility. 5.2 Standing Orders. PNA will provide standing orders and nursing protocols. 5.3. On Call. PNA will provide continuously on call either a paramedic or a licensed vocational nurse (LPN) to respond to requests for health evaluations at the City of Lubbock Temporary Holding Facility. 5.4. Access to Physician, Nurse Practitioner or Physicians Assistant. PNA will provide continuous access to either a physician, nurse practitioner or physicians assistant. 5.5. Primary Care Physician Case Management. Primary care physician (PCP) case management for inpatients at the University Medical Center (UMC) will be provided at no charge to the City. 5.6. Basic First Aid Assessment Training. PNA will provide basic first aid assessment training in a class format for up to four (4) classes per twelve month term of this Agreement at no additional charge to the City. PNA will provide additional basic first aid assessment training upon request at the rate of twenty-five dollars ($25.00), per hour per additional class. 5.7. Suicide Assessment PNA will provide suicide assessment training in a class format for up to two (2) classes per twelve month term of this Agreement at no additional charge to the City. PNA will provide additional suicide assessment training upon request at the rate of fifty dollars ($50.00), per hour per additional class. 5.8. Training on Forms. PNA will provide training on the use of intake screening and evaluation forms. 5.9. First Aid Kit PNA will provide replacement supplies for the first aid kit maintained at the City of Lubbock Temporary Holding Facility. 5.10. PNA Not Responsible for Payment of Costs. PNA will not be responsible for payment of transportation costs or admittance costs to any clinic, hospital, or health Medical Services Agreement, Page 3 care provider for any inmate, resident, or person being held by the City in the City of Lubbock Temporary Holding Facility. Payment for all x-ray, lab tests, ancillary services, or necessary medical examinations delivered or provided off site from the holding facility shall be the responsibility of the individual receiving medical care or other responsible party, not PNA or the City of Lubbock. Any medications prescribed shall be the responsibility of the patient or other responsible parry, other than PNA or the City of Lubbock. 5.11 Special Services. PNA will provide for on site personnel on request of the City / L.P.D. at the hourly rate of twenty dollars ($20.00), which rate shall be in addition to the compensation provided for under Part III of this Agreement. This additional service is provided in anticipation of extraordinary needs for operation of the City's Temporary Holding Facility, such as may occur during holidays. VI. INSURANCE 6.1. Insurance Requirements of PNA. PNA will provide proper insurance that includes insurance with the following limits: a. Professional liability insurance having minimum limits of one million dollars ($1,000,000.00). b. General liability insurance having minimum limits of three hundred thousand dollars ($300,000.00). c. Worker's Compensation of the minimum limits as required under state law. d. Employer liability having minimum limits as set by state law. e. PNA will ensure that all of its subcontractors, i.e., nurse practitioners, physicians assistants, and others, are covered by medical malpractice insurance. Ince, Executive Vice President Medical Services Agreement, Page 5 0 University Medical Center April 20, 1998 To Whom It May Concern: This letter is to confirm University Medical Center's liability coverage. The Lubbock County Hospital District, d/b/a University Medical Center C UMC"), is a political subdivision of the State of Texas. As such, it is immune from liability except to the extent waived by the Texas Tort Claims Act, Tex. Civ. Prac. & Rem. Code Chap. 101. UMC's limit of liability for bodily injury is $100,000 per person, $300,000 aggregate per occurrence. UMC maintains self insurance sufficient to meet claims. By a policy adopted by the Lubbock County Hospital District Board of Managers, UMC indemnifies its employees within the limit of the Tort Claims Act for claims arising against the employee for acts or omissions by the employee acting within the course and scope of his or her employment with UMC. K §9, and by special legislation, Acts 1967, 60'h Legislature, Chapter 484, as amended. The Hospital District owns and operates University Medical Center. The Hospital District is a "political subdivision" under the Texas Workers' Compensation Act § 504.001(3). The Texas Workers' Compensation Act §504.011 allows a political subdivision to provide workers' compensation to its employees by becoming a self -insurer. Therefore, the Hospital District has elected to become a self -insurer for the employees of University Medical Center.
