HomeMy WebLinkAboutResolution - 112173A - Master Engineering Service Contract - Hicks & Ragland Engineering Co - 11_21_1973KJ•EW t RES.OLUT I;ON BE IT RESOLVED BY THE CITY COUNCIL 'OF THE CITY OF LUBBOCK: THAT the Mayor of the City of Lubbock BE and is hereby authorized and directed to execute for and on behalf of the City,of Lubbock a MASTER ENGINEER- ING SERVICE CONTRACT between the City of Lubbock and Hicks & Ragland Engi.,,- Bering Co., Inc. covering Electric Power Generation, Transmission, and IlDistribution System, attached herewith which shall be spread upon the minutes of he Council and as spread upon the minutes of this Council shall constitute and be a part of this Resolution as if fully copied herein in detail. P. & L. initials for Lubbock Power and Light)_ and Hicks, & Ragland Engineering .Co. ,, . Inc. (hereinafter called .the "Engineer") WHEREAS, L. P. & L., as the -Electric Department of the City of Lubbock, - is responsible for the construction and operation of an Electric Power Generation, Transmission, and Distribution System, which provides electric service to residents of the City of Lubbock and'contiguous areas;(hereinafter called the "Electric System"), and _ WHEREAS, the ENGINEER represents that it has sufficient experienced personnel to perform, and-L. P. & L desires the Engineer to -perform, the engineering services herein described in, respect to the System. k NOW, THEREFORE, in consideration of the mutual undertakings herein contained, L. P. L. and the Engineer agree as follows: ARTICLE I - GENERAL" When directed in writing by.L. P: & L. to proceed, on each of the. Projects described'in the Schedule A, B, and C, of Article II,.the Engineer shall render diligently and competently the engineering services so designated, and as further detailed.in that certain proposal offered to the Mayor and City Council, City of Lubbock, by, the Engineer, in letter proposal dated November 2, 19i ARTICLE II - SCHEDULE OF SERVICES A. .Schedule A - Specific Services, Studies Project 1. System Study`- Long Range Plan and Load Flow Project 2. Feasibility Study for Intertie with Texas Electric Service Company Project 4. Short Circuit Studies a. Existing Transmission Loop System b. First Major.Transmission Loop System Change." C. First Transition Step (Long Range Plan) • d. Others, as directed by L. P. & L. . j S. Schedule S -'Specific Services, Substations Project 3. All required Engineering Services in connection with •... removal of existing switching components from the Lowery .,Switching Station; relocation of such components (as applicable) into the Slaton Substation; and re -design ' of existing Slaton Substation facilities.to accommodate. switching components relocated.therein from Lowery Switching Station as well as. provisions for future I circuits entering and exiting the Slaton.Substation. Project.5. All required engineering services in connection with f design, and construction of a new substation,.to be located in the vicinity of.19th Street and University Avenue. j C. Schedule C - Specific Services, Transmission Lines Project 6. All required Engineering Services in connection with the design and construction of new.69 KV transmission Tie Line. a....:Slaton Substation to New Substation :.., b. Erskine Substation to New Substation D. Schedule•D - Specific Services, Miscellaneous Project .7. When. requested by L. P. & L. from time to time, the Engineer shall furnish consultation services in connection with the Design, Construction, Operation, and Maintenance . • of miscellaneous facilities, now included as a part of the .Electric. System, or scheduled to be added to the - System from time to time, and not otherwise included: as a part of the Specific Projects detailed hereunder _ (or which may be added later as -a Specific Project). . Such miscellaneous services may include design . recommendations, drafting assistance, map posting, etc..,* as well as any other type of engineering service in connection with the Electric System as L. P. & L. may require. For record purposes, each miscellaneous service requirement'sh'all be covered by written "Notice to Proceed", from L. P. &. L. to the Engineer,s7etting forth services required, and priorities.regarding completion. ARTICLE III - BASIC DATA FURNISHED BY L. P. & L. Section 1. Record Data L. P. & L. shall furnish to the Engineer, and the Engineer shall retain in his office during the term of this Agreement copies of engineering studies, maps and map tracings, and other pertinent data in 'respect of the system, as may be available to assist the Engineer in performance of services detailed hereunder. The Engineer shall deliver to L. P. & L. a written itemized receipt for such material and shall be responsible for its safe keeping (or replacement if lost or damaged by other than normal wear and tear), and shall.return it.to L. P. & L., upon request. Section 2. Periodic Records L. P. & L. shall furnish to the Engineer such historical records of accumulated data, and such current data as may be applicable, as may be found available, to assist the Engineer in the performance of services included hereunder. ARTICLE IV - L. P. & L. FURNISHED PERSONNEL When requested by the Engineer, L. P. & L. shall furnish the services of such operating and maintenance personnel as may be required by the Engineer to obtain access to, or measurements of, existing Electric System facilities; all for the purpose of securing information to be used by the Engineer in the performance of services included hereunder. ARTICLE: V - COMPENSATION Section 1. The compensation payable by L. P. & L. to the Engineer for —services performed by the Engineer on Projects listed under Schedule A and Schedule D, herein, shall be computed on a "Time and Expense" Fee Basis, using the schedule for hourly rate/job classification, Schedule #l, attached .hereto and made a part hereof. a; "Time" charges, each month, shall be determined by su.-=arizing total hours worked, for each job classification, applying hourly, rate for such job classification to compute an extended total for such, then further summarizing extended totals for all such job classifications applicable to that month's services, to arrive at total."Time" charges due for said month, for each such Project. b. "Expense" charges, each month, shall be determined as follows; (1) For each employee of the Engineer, while that employee is engaged in the performance of services (pursuant to any of the Projects included in this agreement) at locations remote from the existing L. P.. & L. System, subsistence expense shall be payable to the Engineer at the rate of Thirty dollars ($30.00) per day; plus (2) Travel expense at the rate'of Fourteen Cents (14c.) per mile if by automobile,. Twenty Cents (20G) per mile if by private airplane, and reimbursement for actual,costs if by common carrier. c. The Engineer shall maintain accurate records of all man hours expended in respect of these Projects; plus subsistence days, and transportation expense items; with respect to the services performed pursuant to this Agreement, and in sufficient detail to serve as a.basis for the preparation of monthly statements of Engineer's charges, and as a basis for L. P. & L.'s approval of such statements. Engineer's.records of such information shall -be made available to L..P. & L., at any reasonable time, during normal -working hours. Section 2. Schedule B.Projects a. The compensation payable by L. P. & L. to the Engineer for services . performed pursuant to Projects listed under Schedule.B, herein, shall be computed at the -rate of Five Percent (5%) of -the estimated. construction costs for each such Project; during intermediate months, subject to final determination of actual total fee upon - completion of all such construction (based on actual total costs of such construction), for such Project. ` b. The term "construction costs" shall be defined as the actual . installed costs to L. P. & L., both labor and material costs " for all materials and equipment included in such installation,' as determined upon the completion of addition or revision to existing substation or switching station, or upon.completion of new substation. Should existing equipment or materials be used, or re -used, then a. "fair market value" shall be detcrm-'nad for such materials andlor.equipment (using book value, when applicable), f _. and the fee shall then be computed, using material and/or equipment costs so determined. c. This fee does not include any architectural responsibilities, such as aesthetic compatible buildings, landscaping, etc. However, the fee does include all necessary consultations and coordination with architects who may be selected by L. P. & L. to undertake such architectural responsibilities. Section 3. Schedule C Projects a. The. compensation payable by L. P. & L. to the Engineer, for services performed pursuant to Projects listed under Schedule C, herein, shall be computed at the rate of'Twenty Six Hundred Dollars ($2,600.00) _ per mile of transmission line included as a part of each segment of the Project. b. For compensation purposes, horizontal measurements shall be determined from the beginning point to the end point of each such transmission line segment, based on initial route miles, (measured to nearest ti 1/1000th of a mile) for interim invoicing purposes, subject to final. determination of actual distances so constructed as set down.on the "As -built" Plan and Profile Sheets. i c. In such event that partial services should be performed along certain route miles, which were initially planned by L. P. & L., but which might subsequently be abandoned, or deferred for an extended period of time, then compensation shall be due and payable to the Engineer in proportion to services actually performed as a percentaie of services which would have been performed had such construction actually been completed. Section 4 a... On or before the tenth day of each month the Engineer shall submit to L. P. & L. for approval, the Engineer's invoice for services rendered (pursuant to this agreement) by the Engineer during the preceding month. Such invoice shall list man hours and expense items (by Project) for Schedule A Projects; and percent completion for Schedule B and Schedule C Projects,as a basis for determination of invoice amounts for such items. A short progress report shall accompany.the Engineer's statement, covering work accomplished on each referenced Project during such billing period.. Such statement of compensation due shall be considered approved by L. P. & L. unless L. P. & L. shall notify the Engineer, in writing, within fifteen (15) days of receipt of such statement, of any discrepancies or changes which should be made as a condition of approval by L. P. & L. b. Itemized invoices submitted by the Engineer, as a -part of such monthly statement, shall be due.and payable ten (10) days after receipt of same by L. P. & L. and approval by L. P. & L. as provided in Subsection .a., of this Section 4. ARTICLE VI MISCELLANEOUS Section 1. License The Engineer warrants that the services to be performed hereunder shall, be under the direction of John R. Ragland,. P.E., who possesses License No. 7658, issued to him by the State'of Texas on the 6th Day of May, 1949. Section 2. 'Term This Agreement shall become effective as of the date of execution, hereof, by the Parties,'and shall remain in effect until terminated at any time during the term hereof by L. P. & L. giving thirty (30) days notice in writing (of such termination) to the Engineer; or by the Engineer giving six (6) months notice in writing (of such termination) to L. P. & L. Upon such termination, the Engineer shall be entitled to receive compensation for services rendered, up to the date of termination, at rates herein set forth for completed services, based on percent completion of-such services as of the date of termination.
