RESOLUTION
THAT the Mayor of the City of Lubbock BE and is hereby authorized and
directed to execute for and on behalf of the City of Lubbock an Amendment to Contract
for Environmental Engineering Services, by and between the City of Lubbock and
Enprotec, Inc. and related documents. Said Amendment is attached hereto and
incorporated in this Resolution as if fully set forth herein in and shall be included in the
minutes of the City Council.

AMENDMENT TO CONTRACT
BETWEEN THE CITY OF LUBBOCK AND ENPROTEC, INC.
FOR ENVIRONMENTAL ENGINEERING SERVICES
This Amendment to Contract for Environmental Engineering Services is made and
entered into this 6th day of November 2003, by and between the CITY OF LUBBOCK, a
Texas Home Rule Municipal Corporation (the "CITY") and ENPROTEC, INC., a Texas
Corporation ("ENPROTEC").
WHEREAS, on or about November 16, 1995, the CITY and ENPROTEC entered into
that certain Contract for Environmental Engineering Services (the "Contract") for the
provision of services described therein; and,
WHEREAS, on or about July 10, 2003, the CITY and ENPROTEC did agree to amend
this Contract to amend Exhibit A-1 of said Contract; and
WHEREAS, due to the lack of eligibility of reimbursement by the Texas Commission
on. Environmental Quality (the "TCEQ"), authorization is needed to direct ENPROTEC to
perform necessary services for the CITY; and
WHEREAS, due to the passage of time and other factors, the Contract is in need of
amendment in certain other respects; and
WHEREAS, the CITY and ENPROTEC desire to amend this Contract; (i) to amend
Section 7.1 of the Contract to delegate the authority to direct the work of ENPROTEC to the
City Manager of the CITY; (ii) to add "Exhibit A-6", contemplating additional projects; and
(iii) to delete Exhibit "B" and add "Exhibit B-l" regarding pricing of the services to be
performed by ENPROTEC.
NOW, THEREFORE, the CITY and ENPROTEC agree as follows:

1. Article VII, Section 7.1 is deleted in its entirety and replaced with the
following, to -wit:
7.1 For engineering services as outlined in Exhibit A, payment shall be
on the basis of work performed and shall be based on the rate
structure as outlined in Exhibit B. Estimated costs are itemized in
Exhibit A. A scope of work and cost estimate shall be provided for
each site prior to initiation of the work to be performed at the site.
Work shall not begin at a site until the scope of work and cost
estimates are approved in writing by an authorized representative of
the CITY. All charges must be eligible for reimbursement by TCEQ
unless expressly authorized in writing by the CITY. The authority to
provide such authorization is herein delegated to the City Manager
of the City of Lubbock, or his/her designee. However, in the event
of an emergency situation, verbal approval may be given with follow-
up authorization in writing as outlined above.
2. The Contract shall have added, as an exhibit thereto, "Exhibit A-6", as attached
hereto and incorporated herein for all purposes.
3. Exhibit "B" shall be deleted from the Contract in its entirety and "Exhibit B-1",
attached hereto and incorporated herein for all purposes shall be added to the
Contract.
4. Except as expressly amended herein, the Contract shall remain in full force and
effect as originally provided.

IN WITNESS WHEREOF, the parties have caused this Amendment to Contract for
Environmental Engineering Services to be executed by duly authorized representatives on the
6th day of November 2003.

Additional Remediation Activities
The scope of this exhibit includes the remediation of various sites, as designated by the City of
Lubbock, acting through the City Manager, or his/her designee, to include but not be limited to
the former West Texas Aviation site at Lubbock Municipal Airport.
Refer to Exhibit B-1 for the FEE SCHEDULE associated with these services.
