RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized
and directed to execute for and on behalf of the City of Lubbock, an Amendment
to the Contract between the City of Lubbock and Physicians Network Association
for medical services at the City of Lubbock Temporary Holding Facility, and
related documents. Said Amendment is attached hereto and incorporated in this
resolution as if fully set forth herein and shall be included in the minutes of the
Council.

AMENDMENT TO MEDICAL SERVICES CONTRACT
This amendment to the June 30, 1999, Medical Services Contract between the City of Lubbock
and Physicians Network Association, to provide medical services for the inmates at the Lubbock Police
Department Temporary Holding Facility, effective as of July 1, 2000, the "Effective Date."
WHEREAS, City entered into a Contract with Physicians Network Association dated June 30,
1999, to provide medical services for the inmates at the Lubbock Police Department Temporary Holding
Facility, and
WHEREAS, both parties desire to amend this Contract; and
NOW THEREFORE, for and in consideration of the mutual covenants herein, the parties do
agree to amend the Contract as follows:
Section II is deleted and replaced with the following:
"Term. The term of this Agreement is for a term, commencing on the 1st day of October,
2001, and ending the 30'h day of September, 2004."
Executed as of the Effective Date.

MEDICAL SERVICES AGREEMENT
This MEDICAL SERVICES AGREEMENT is made and entered into by and between the City
of Lubbock, Texm, hereinafter referred to as "City", and the Physicians Network Association,
hereinafter referred to as "PNA". The City of Lubbock Police Department shall hereinafter be
referred to as L,P.17..
Whereas, t1w City Council for the City of Lubbock, Texas has resolved that it is in the
public interest to provide medial services to those who are in the L.P.D.'s Temporary 1-folding
Facility;
Whereas, Physicians Network Association is qualified to provide the medical services
necessary for oper<<tion of the L.P.D.'s Tcunporary Holding, Facility;
NOW THEREFORE. the City and PNA. the parties hereto, mutually agree that medical
services shall be pr)vided by PNA to the City upon the following terms and coilditiolls. to wit:

DEFINITIONS
The following.terrn;3 shall have the meanings indicated when used in this Agreement; PNA
agrees to perfonn the services set forth within these definitions.
1.1 First Aid Assessment. Training in first aid assessment will be given by DNA's
staff ta, personnel designated by the L.P.D., for purposes of training L.P.D.
personnel in the recognition of certain medical symptoms that may require
immediate attention or the need to contact professional medical services. The
training riven shall include instruction oil Identifying Situations that require
medii.al intervention in basic patient triage, and includes- (a) pain assessment,
including (i) head, (ii) chest, and (iii) extremities; and (b) illness, including (I)
nausea, (ii) intoxication, (iii) temperature, (iv) blood }pressure, and (v) diabetes.
The training is not for certification and does not include C.P.R. or provision of
"hands-on" first aid.
1.2 Intake Personnel. Intake personnel arc those assigned by the L_P.D. to, or
Ravin , ,:ts a part of their ditty work at, the City of Lubbock Temporary Holding
Facility.
1.3 Primary Care Physician (PCP). Primary care physician is the medical doctor
(NO), nurse practitioner (NP), or physicians assistant (PA) on call for the care of
the inviates in the City of Lubbock Temporary Holding Facility. PNA medical

staff will determine medical necessity and appropriateness for calling the primary
cares physician (PCP).
1.4 Pi rmary Caro Physician Case Management. Primary care physician case
management will be the monitoring by Dr. Vernon C. Farthing, Jr., or his
designee, of any person in the custody of the L.P.D. to be held as an inmate in the
City of Lubbock Temporary Holding Facility, who is admitted as patient at the
University Medical Center for medical necessity. This will assure
appropriateness of ancillary services. Primary care physician case management
will be performed by PNA at no charge to the City of Lubbock.
1.5 Standing Orders and Nursing Protocols. Standing orders and nursing
protocols shall be directives or instructions provided by PNA to aid medical
pe:-sonnel. These standing orders and nursing protocols will remain on -site at the
Ci:.y of Lubbock Temporary Holding Facility for the sole use and assistance of
att^-nding medical staff.
1.6 Sckide Assessment. PNA will train City/L.P.D. personnel in recognizing and
evaluating warning signs for potential suicide victims. The training schedule will
be arranged and coordinated through PNA Vice President of Operations.

TERM
2.1 Te. m_ The term of this Agreement is for twelve (12) consecutive months,
cor..imencing on the I" day of October, 2000, and ending the 30`s' play of
September, 2001.

COMPENSATION
3.1 Compensation. For services rendered under this Agreement. PNA shall be
entitled to $20,000.00 for each twelve (12) month terni. The fee for services will
be payable by the City quarterly at the rate of Five Thousand Dollars and no/cents
(S5.000.00), payable on or before the fifteenth (15) day of the calendar month,
following the quarter in which services are provided.
TERMINATION
4.1 Ternination. Either party to this Agreement, during the term hereof or any
extension or renewal of the term lhcreof, may terminate this Agreement upon sixty
day written notice. first delivered in person or addressed by certified mail, to the

other party. Unless otherwise notified any notice required under this Agreement
shall be delivered to respective party at the following address.

V.
SCOPE OF SERVICES
5.1 Intake Forms. PNA will provide the template for intake screening, assessment,
and r�alttation forms to be used by the L.P.D. for operation of the City of Lubbock
T'emparary Holding Facility.
5.2 Standing Orders. PNA will provide standing orders and nursing protocols.
5.3 On Call. PNA will provide continuously on call either a paramedic or a licensed
vocational nurse (LVN) to respond to requests for health evaluations at the City of
Lubbock Temporary Holding Facility,
5.4 Acce: s to Physician, Nurse Practitioner or Physicians Assistant. PNA will
provice continuous access to either a physician. nurse practitioner or physicians
assistant.
5.5 Prim iy Care Physician Case Management. Primary care physician (PCP)
case management for inpatients at the University Medical Center (tlMC) will be
provided at no charge to the City.
5.6 Basic First Aid Assessment Training. PNA will provide basic first aid
nssess;.uent training; in a class format for up to four (4) classes per twelve month
term of this Agreement at no additional charge to the City. PNA will provide
additional basic first aid assessment training upon request at the rite of twenty -Give
dollar:, ($25.00), per Hour per additional class-
5.7 Suicic"e Assessment. PNA will provide suicide assessment training in a class
format for up to two (2) classes per twelve Month term of this Agreement at no
additional charge to the City. PNA will provide additional suicide assessment
training upon request at the rate of fifty dollars (S50.00), per hour per additional `

5.8 Training on Forms. PNA will provide training on the use of intake screening and
evaluation forms.

5.9 First Aid Kit. PNA will provide replacement supplies for the first aid kit
maintained at the City of Lubbock Temporary Holding Facility.
5.10 PNA /'Jot Responsible for Payment of Costs. PNA will not be responsible for
payment of transportation costs or admittance costs to any clinic, hospital, or
healthcare provider for any inmate, resident, or person being held by the City in the
City of Lubbock Temporary Holding Facility. Payment for all x-ray, lab tests,
ancill wy services, or necessary medical examinations delivered or provided off site
from the holding facility shall be the responsibility of the individual receiving
medical care or other responsible party, Not PNA or the City of Lubbock. Any
medications prescribed shalt be the responsibility of the patient or other responsible
party„ other than PNA or the City of Lubbock.
5.11 Special Services. PNA will provide for on site personnel on request of the
City/L.P.D. at the hourly rate of twenty dollars ($20.00), which rate shall be in
addition to the compensation provided for under Part [1[ of this Agreement. This
additional services is provided in anticipation of extraordinaty needs for operation
of the City's Temporary Holding Facility, such as may occur during holidays.
VI.
INSURANCE
6.1 Insur.-�nce Requirements of PNA.
Gene,at. PNA shall procure and carry, at its sole cost and expense through the term
of this Agreement and any extensions thereof insurance covera;c that includes at
least the limits hereinafter specified. PNA shall secure the approval of City of all
required insurance policies prior to the commencement of any activities under this
Agreement whether performed by PNA, or its subcontractors. agcnts, or third
parties. The insurance carrier must be an insurance company authorized to transact
busine;ts in the State of Texas and have a Best's Financial rating of A:VII. A
Certifi n.te of Insurance specifying each and all coverages shall be submitted to City
prior to the execution of this Agreement. All insurance shall be prepared and
executi:d. by the insurance company or it's authorized agents and shall contain an
endom.ment naming the City of Lubbock an additional insured. Written notice of
cancellation or any material change in an insurance policy maintained by PNA
pursuant to this Agreement must be provided thirty (30) days in advance of
cancellation or change_ Each insurance policy, other than Worker's Compensation
insufar.ce required hereunder, shall provide a waiver of subrogation in favor of the

6.2 Required Coverage. PNA shall obtain and maintain policies of insurance
throughout the term of this Agreement and any extension thereof in limits specified
below.

6.3 Workew's Compensation. The Contractor shall maintain Workers' Compensation
and Employer's Liability insurance coverage as required by law and as approved by
the City Risk Management Coordinator.
6.4 Commercial General Liability. PNA shall maintain Commercial General Liability
coverage endorsed to include premises/operations, contractual liability, and
independent contractors' and completed operations. The policy shall have a
minimum of Three Hundred Thousand and no/200 Dollars ($300,000.00) combined
single limit in the aggregate and per occurrence.
6.5 Commercial Automobile Liability. Commercial Automobile Liability. PNA shall
maintain Commercial Automobile Liability coverage with a minimum of Three
Hundred Thousand and no/100 Dollars ($300,000.00) combined single limit for
Bodily Injury and Property Damage and shall include any auto or in the alternative,
owned autos, non -owned autos and hired autos.
6.6 Profeesional Liability Insurance. PNA shall maintain Professional Liability
Insurance coverage with a minimum of One Million and no/100 Dollars
($1,000,000,00) combined single limit in the aggregate and per occurrence.
