HomeMy WebLinkAboutResolution - 4565 - Termination Of Agreement & Release - LCOC - Convention & Tourism Service - 07_28_1994Resolution No. 4565 Item #29 July 28, 1994 I S aII��IlIC� BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK: THAT the Mayor of the City of Lubbock BE and is hereby authorized and directed to execute for and on behalf of the City of Lubbock a Termination of Agreement and Release between the City of Lubbock and Lubbock Chamber of Commerce, attached herewith, which shall be spread upon the minutes of the Council and as spread upon the minutes of this Council shall constitute and be a part of this Resolution as if fully copied herein in detail. Passed by the City Council this 28th ATTEST: 1 etty ohnson, ity Secretary APPROVED AS TO FORM: Attorney DGV.YP0A-LC0C.RES oWoa/3uly 20, 1994 Resolution No. 4565 Item #29 July 28, 1994 TERMINATION OF AGREEMENT AND RELEASE THE STATE OF TEXAS § COUNTY OF LUBBOCK § WHEREAS, the Lubbock Chamber of Commerce, the City of Lubbock and the City of Lubbock Board of Development have heretofore on the 4th day of October, 1979, entered into a Convention and Tourism Service Agreement, which agreement has been amended by a First Amendment on the loth day of September, 1981; a Second Amendment on the 23rd day of February, 1984; and a Third Amendment on the 22nd day of March, 1984; and WHEREAS, the Board of City Development has been heretofore dissolved pursuant to a Charter Amendment Election conducted on January 18, 1992, and is no longer in existence; and WHEREAS, the Chamber of Commerce and the City of Lubbock have continued to operate under said Convention and Tourism Service Agreement, as amended, to date; and WHEREAS, both parties believe that the relationship created by the said Convention and Tourism Service Agreement has been very beneficial for the citizens of the City of Lubbock in the area of convention and tourism activity; and WHEREAS, the dissolution of the Board of City Development and other changes in conditions require changes to be made in the performance of tourism and convention services; and WHEREAS, the Chamber of Commerce and the City of Lubbock hereby mutually agree that it would be beneficial to both parties to terminate the said Convention and Tourism Service Agreement, as amended, as of September 30, 1994; NOW THEREFORE: WITNESSETH: The Convention and Tourism Service Agreement of October 4, 1979, by and between the Lubbock Chamber of Commerce, the City of Lubbock and the City of Lubbock Board of City Development and all amendments thereto shall be terminated and shall be of no further force and effect as of September 30, 1994, and the parties hereto for and in consideration of the mutual benefits that will accrue to each hereby agree to fully release and completely discharge each other, and their employees, agents, officers and all persons in privity with either party, forever from any duties, obligations, responsibilities or liabilities of any nature whatsoever whether past, present or future, known or unknown, arising from said agreement and the amendments thereto.
