BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and
directed to execute for and on behalf of the City of Lubbock an Agreement with the
Burlington Northern and Santa Fe Railway Company for abandoning a mineral
reservation and access reservation for mineral exploration and an easement for pipeline
and fiber optic communication lines in the section of former railroad right-of-way
required for the Marsha Sharp Freeway and all related documents. Said Agreement is
attached hereto and incorporated in this Resolution as if fully set forth herein and shall be
included in the minutes of the Council.

AGREEMENT BETWEEN THE BURLINGTON NORTHERN AND SANTA FE
RAILWAY COMPANY AND THE CITY OF LUBBOCK REGARDING RELEASE
AND CONVEYANCE OF MINERAL RIGHTS AND EASEMENTS UNDER A
PORTION OF THE RAILROAD RIGHT-OF-WAY TO THE STATE OF TEXAS FOR
HIGHWAY CONSTRUCTION
This agreement is entered into by and between The Burlington Northern and Santa Fe
Railway Company hereinafter called "BNSF," the City of Lubbock, Texas, hereinafter
called "CITY," and the Texas Department of Transportation, hereinafter called "STATE"
to be effective on the date last executed.
WHEREAS, the Texas State Department of Highways and Public Transportation
Commission by its respective Minute Orders 88,791, 88,792, and 88,793, made offers
to the CITY to participate in the construction and/or reconstruction of U.S. Highway 82
from Loop 289 Northeast to Interstate Highway 27 which was accepted in City of
Lubbock Resolution No. 3173, dated August 10, 1989; and
WHEREAS, the Texas Department of Transportation (hereinafter called
"ST ATE") and the CITY have deemed it necessary to relocate the right-of-way of the
railroad for highway construction improvements; and
WHEREAS, the CITY and the STATE entered into an agreement February 12,
1991, which was modified by agreements dated on or about June 5, 1991 and May 30,
1997, setting forth the respective responsibilities of the STATE and the CITY in the
relocation of the railroad; and
WHEREAS, the West Texas & Lubbock Railroad Company, the City of Lubbock,
and the State of Texas entered into an Agreement dated on or about June 28, 2000,
hereinafter called the "CONVEYANCE AGREEMENT" for the purpose of conveying a
portion of the West Texas and Lubbock Railroad right-of-way ("the PROPERTY") for
construction of a controlled access highway facility in the City of Lubbock known as the
Marsha Sharp Freeway; and
WHEREAS, BNSF, as successor to the Atchison, Topeka and Santa Fe Railway
Company, retained certain mineral rights and easements for pipelines or fiber optic
communication lines in the PROPERTY that was eventually owned by West Texas &
Lubbock Railroad and became the subject of the CONVEYANCE AGREEMENT; and
WHEREAS, an Escrow Agreement was set up in the CONVEYANCE
AGREEMENT whereby the CITY was given the responsibility to negotiate an agreement
with BNSF that would result in the ST ATE' s ability to construct a highway on the
PROPERTY; and
WHEREAS, BNSF desires to release and quitclaim all interest in the PROPERTY
and the CITY desires to obtain clear title to the PROPERTY for the STATE;
NOW THEREFORE, in consideration of the monetary payment herein described
and the mutual promises, covenants and agreements of the parties hereto, it is agreed as
follows:
CONVEYANCE AGREEMENT
ARTICLE 1. Parties: For and in consideration of the payment by the CITY (with
participation from the STATE) to the Burlington Northern & Santa Fe Railway Company
(BNSF), as set forth in Article 3 below, BNSF agrees to convey to the State of Texas
(STATE) as nominee for the City of Lubbock (CITY) by a Release and Quitclaim Deed
in substantially the form as attached hereto and marked Exhibit "l ", all interest owned by
it in the Property described in Article 2 below, including without limitation that interest
reserved and retained by that certain instrument dated the 29th day of March, 1990,
recorded in Volume 3313 at Page 275, Deed Records of Lubbock County, Texas, or by
any other instrument, whether recorded or not.
ARTICLE 2. Property: That certain railroad right-of-way and real property situated, lying
and being all in the County of Lubbock, State of Texas, which was conveyed by The
Atchison, Topeka and Santa Fe Railway Company (now known as The Burlington
Northern and Santa Fe Railway Company) to Seagraves, Whiteface and Lubbock Railroad
Corporation by deed dated March 29, 1990,and recorded in Volume 3313 at Page 275 of
the Official Public Records of Lubbock County, then to West Texas & Lubbock Railroad
Co., Inc. by deed dated October 30, 1995, and recorded in Volume 5007, Page 207 of the
Official Public Records of Lubbock, County, Texas, which is in the process of being
conveyed to the State of Texas acting by and through the Texas Transportation
Commission, and more fully described by metes and bounds description in Exhibit "A" of
Exhibit "l" attached hereto and made a part hereof for all purposes.
ARTICLE 3. Consideration: CITY (with participation from the STATE) agrees to pay
BNSF ten thousand dollars ($10,000.00) in the form of cash, certified funds or wire
transfer funds for the release and conveyance of all those property interests retained in the
Quitclaim Deed dated March 29, 1990, recorded in Volume 3313 at Page 275 of the Deed
Records of Lubbock County, Texas, including, but not limited to the entire mineral estate
in and under the Property below a depth of twenty-five feet; access easements to extract
such minerals; easements for construction, reconstruction, maintenance, use and/or
operation of one or more pipelines or fiber optic communication lines, facilities and
appurtenances in, under, across, along and through the Property and the right to enter the
Property for constructing, maintaining, or operating said lines.
ARTICLE 4. Entire Understanding. This agreement contains the entire understanding
between the parties hereto and no modification of this agreement shall be valid until it is
agreed upon by all parties in writing.
IN TESTIMONY WHEREOF, BNSF and the CITY have executed duplicate
counterparts of this Conveyance Agreement on the dates indicated.

For the consideration, the receipt of which is acknowledged, Grantor acknowledges its
release of the Easements and Mineral Interests, and does hereby remise, release, and
relinquish all Easement and Mineral Interests and does further hereby quitclaim to the
State of Texas all of its right, title and interest in the Property, including without
limitation the .Easements and Mineral Interests owned at the time of this conveyance.
