Vandiver, First Assistant City Attorney DGv4P/ oa=/c%V=o.= Aprs3 29,1997 RESOLUTION NO.5484 Item #26 May 8, 1997 THE STATE OF TEXAS CONTRACT FOR SEPARATION AND COMPOSTING OF RECYCLABLE MATERIALS CITY OF LUBBOCK WHEREAS, the city of Lubbock heretofore solicited Request for Proposals pursuant to Bid No. 97063 for the separation and composting of recyclable materials, a copy of which is attached hereto as Exhibit A and made a part hereof for all purposes; and WHEREAS, the best proposal for such services was made by Nature's Way Inc.; NOW THEREFORE: WITNESSETH: THIS, contract, made this $ t% day of , 1997, by and between the City of Lubbock, Texas hereinafter called "City," and Natu 's Way Resources, Inc., hereafter called "NWR." 1. The City, provided that the City does receive a $190,000.00 rebate from the Texas Natural Resource Conservation Commission (TNRCC) on the landfill charge paid to the State of Texas, retroactive to the second quarter of 1994 for the composting of the 45,000 cubic yards of stockpiled wood waste at the City Landfill, a 15 % discount from the TNRCC on future landfill fees for material taken to the City's landfill, and if the TNRCC rebate is less than $190,000.00 NWR will reduce NWR's total bill on a dollar for dollar basis, hereby hires NWR to perform the duties set forth in the Request for Proposals attached hereto as Exhibit A and NWR hereby agrees to perform such duties as quoted. In the event of a conflict between the Request for Proposals Terms and Conditions or General Conditions and this Contract, this Contract shall control. A copy of NWR's proposal is attached hereto as Exhibit B for establishing the consideration to be paid by the parties hereto and said exhibit shall be valid for no other purpose. 2. The City of Lubbock will receive for their beneficial reuse 20% (Twenty Percent) of all compost that is generated at the compost site. 3. Performance surety and indemnity insurance shall be in accordance with RFP #97063 which is attached. 4. Nothing herein shall be construed as creating the relationship of employer and employee between the City and NWR's employees. NWR shall be deemed at all times to be an independent contractor. In carrying out the terms of this contract, NWR shall select its own employees and such employees shall be and act under the exclusive and complete supervision and control of NWR. 5. NWR agrees to indemnify and hold the City harmless from any and all loss or damage and from all claims for injury, death, loss or damage of any kind or character, and by whomsoever suffered or occasioned by or in connection with the activities of NWR or its employees as a result of this contract. rl NWR shall at all times observe and comply with all federal, state and local laws, ordinances and regulations, which in any manner affect the contract or the work. 7. Payments shall be determined by weigh scale tickets and made in accordance with the schedule contained in Exhibit A attached hereto. 3 The terms of this contract shall be for a period of three (3) years and it shall be renewable annually for two additional years. The term shall commence upon the date of execution hereof. a If NWR defaults in the performance of any of its obligations hereunder and remains in default for thirty (30) days after receipt of a written notice of such default from the City, the City may declare this contract terminated immediately. 10. NWR shall not assign or sublet this contract without the prior written approval of the City. 12. The City shall be entitled to inspect NWR's books and records during regular business hours of the City with regard to such matters as are relevant to this contract. Do -not wish to do business with the City of Lubbock (Letterhead attached with explanation.) 15 CITY OF LUBBOCK REQUEST FOR PROPOSALS #97063 COMPOSTING OF RECYCLABLE MATERIALS NATURE'S WAY RESOURCES, INC. P.O. BOX 79429 HOUSTON, TEXAS 77279 8.2 Nature's Way Resources, Inc. (NWR) will use an assortment of processing equipment as required. This will include the following major components: tub grinders for particle size reduction, front end loaders to handle and move materials, water trucks to haul and apply moisture, trommel screens to size final product and assist in quality control, delivery trucks and walking floor trailers to deliver finished compost to end users ( other equipment will be used if needed). Existing wood wasteisawdust and other carbon rich materials will be blended with nitrogen rich materials ( acquired by NWR and brought to the composting facility). Also'any other amendments required to produce quality composts, mulched, and soil amendments will be brought in. These materials will be processed in very large windrows using static pile compost engineering techniques to lower the water requirements and ensure a higher quality compost. Windrows will be turned as required untill a mature finished compost is produced. The compost will then be screened and allowed to cure before selling to the end user. Large bulk distribution will be from the composting facility and we have made arrangements to open a retail wholesale soil yard in the North side of the city located on loop 289. 8.3 Nature's Way Resources, Inc. (NWR) was founded to take advantage of changing conditions in the "Waste Management (Recycling) and Green Industries" due to the intense need for environmentally friendly waste management solutions for municipalities, homeowners, and businesses. NWR was incorporated in May of 1994 and opened its first Houston Green Waste Recycling facility in Northwest Houston in November, 1994 with a second facility on FM 1488 just North of the Woodlands and South of the City of Conroe in December, 1995. Since opening our facilities. NWR has received over 350,000 cubic yards of green waste saving valuable landfill space. Due to the cleanliness and safety of our facilities, NWR has operated as an "exempt" facility as defined in the Texas Register, Title 30, Chapter 332 Composting. 8.4 NWR has over 500 private companies and several municipalities (directly and indirectly) now using our recycling and composting services. Additionally, we have hundreds of landscapers, nurseries, dirt yards and thousands of homeowners using our compost, mulch and other end products. Included in this price will be the Nitrogen sources required to complete the composting process. The additional material used in the composting process will be delivered by Nature's Way Resources, Inc. or by Graves & Gibson Industries without a Landfill gatefee being charged to either company. A mobilization and setup fee of $30,000.00, to bring in equipment , will be invoiced upon signing of this contract and will be payable within ten business days. The cost for composting the continuous stream of wood waste and other compostable material will be S20.00 ( Twenty Dollars) per ton of material diverted to the compost site. The weigh scale tickets from the Lubbock Landfill will be used as a referrence for billing. There will be a minumun annual billing of 3600 ( Thirty Six Hundred) tons with the S 20.00 per ton cost on any additional tonnage. Other material that will be needed to complete the composting process will be delivered by Nature's Way Resources, Inc. or by Graves & Gibson Industries without a Landfill gatefee being charged to either company. The City of Lubbock is responsible for: 1) any permit changes that might be required to use the landfill for composting and 2) for any dirt work at the landfill required to restore the designated composting area to a final and useable condition ready for composting. 8.6 The City of Lubbock will receive as payment for the composting services being provided : 1. A rebate from TNRCC on the Landfill charge paid to the State of Texas, retroactive to the second quarter of 1994 for the composting of the 45,000 cubic yards of stockpiled wood waste. This should be approximately S 190,000.00 . 2. A discount of 15% ( fifteen percent) on the Landfill charge paid to the State of Texas for material taken to the Landfill. This will amount to between $ 65,000.00 and S 72,000.00 per year. A savings in the cost of operation at the Landfill workfare of S 5.00 ( Five Dollars ) per ton of material that is composted instead of being buried in the workfare. This will amount to approximately S 18,000.00 per year. As more material is diverted and composted, this savings will increase. 4. The City of Lubbock will receive for their beneficial reuse, 20% ( Twenty Percent ) of the compost that is generated from the "Blue Bag" compostable material delivered to the compost site. 8.7 NWR staff has been involved with the making and using compost for over 20 years. Prior to (lie formal start of NWR, 2 full years were spent in research on commercial compost technology. Our staff includes soil scientists, horticulturalists and master gardeners. The management team currently has over 70 years experience in sales and marketing. NWR owns a Morbark 1400 tub grinder ( 14 fl. wide, I,000 hp with grapple loader), and a ReTech 723 trommel screen ( 7 fl. diameter barrel, 23 fl. long, dual sort). Brochures are attached. Additionally, NWR owns front end loaders, backhoes, several delivery trucks, and a 107 cubic yard walking floor delivery trailer. The name recognition of NWR and our reputation for quality products will help develop the compost market in Lubbock and surrounding areas as well as develop a state wide name recognition for our products. The required educational and promotional materials have already been developed and been market tested. 8.8 The proposed personnel schedule will be Monday - Friday, from 9:00 A.M. till 5:00 P.M., excluding national holidays. Extra hours will be worked if required. 8.9 The number of employees needed to provide the composting service will be four. One operations manager, one equipment operator and two general labor workers. 8.10 The work schedule will be Monday thru Friday 8:00 A.M. to 5:00 P.M. , excluding national holidays, and closed for bad weather days that close the Landfill. 8.11 The training will be provided on location for each new employee that is hired with a training period of two weeks. The employees that will start up the project will have already completed training on equipment and processing of compost in the Houston, Texas location and in Plainview, Texas. 8.12 Resumes of key staff are included in the attachments. Technical & Marketing: John Ferguson, President and founder of NWR Operations: Rick Graves, Manager GGI 8.13 8.13.1 - 8.13.5 NWR is a private corporation in the State of Texas that provides organic waste recycling services. Our customers include the City of Oakridge North. and WMX, Inc. ( a five year contract for green waste recycling for the Woodlands area). We have also served as the Christmas Tree recycling site for the City of Houston the last two years processing over 45,000 trees each year. Since the commercial composting industry is relatively new to the State of Texas ( final regulations passed in November 1996) there is not a lot of history available. As mentioned, NWR has received and processed over 350,000 cubic yards of green wasste from grass and leaves to logs and stumps. We handle C&D wood waste, manures and any other organic material recyclable by composting liquid or solid. We look forward to providing these services to the City of Lubbock. 8.14 Goals and objectives of NWR is to work with the City of Lubbock to improve the current recycling program by finding methods to divert all organic waste from the landfill. This will include composting of all organic non-recyclable(s) separated from the city blue bag program. NWR is also willing to work with the City of Lubbock to lower waste disposal costs by composting the biosolids produced from Lubbock's waste water treatment program and any other organic waste generated by the city. NWR will work with the City of Lubbock to develop a transfer station at the current Landfill location that will house a combination of services such as a separation of recyclable and compostable material and a transfer of material to go to the new landfill. 8.15 8.15.1 A NWR specialty equipment available: Morbark 1400 tub grinder, road towable, approximately 3 years old and in good condition. will process 75-100 tons(hour (brochure attached). ReTech 723 trommel Screen (1996 model) 7 ft. diameter barrel that is 23 ft long, fully automatic and road towable (brochure attached). Walking floor delivery trailer, 1997, 17 c.y. capacity for bulk or palletized material. Loaders, delivery trucks, and miscellaneous equipment will be obtained from local vendors if required. 8.15.1 B Equipment provided by Graves & Gibson Industries to be used in processing the above listed material: A-66 Ford frontend Loader with four ( 4 ) yard bucket. Loader has been rebuilt in 1997 and in good operational condition. Ford Water truck with 1500 gallon capacity with a side discharge and rear discharge for watering the compost piles. I have studied the biology as a hobbyist since the mid 70's when I started gardening as a hobby. Horticulture/Gardening: I have been an active gardener and landscaper as a hobby for over 25 years and for the last 15 years I have been propagating plants from seed, cuttings, etc. in a greenhouse environment. Additional copies may be requested by the City of Lubbock if deemed necessary. Each proposer may submit more than one proposal as long as each proposal is complete. The proposer must sign and date their proposal in the space provided on the Proposal Submittal Form. 6.3 All proposals, responses, inquiries, or correspondence relating to or in reference to this RFP, and all reports, charts, and other documentation submitted by proposers shall become the property of the City of Lubbock when received. 7 PROPOSAL PREPARATION COSTS 7.1 Issuance of this RFP does not commit the City of Lubbock, in any way, to pay any costs incurred in the preparation and submission of a proposal. 7.2 The issuance of this RFP does not obligate the City of Lubbock to enter into contract for any services or equipment. 7.3 All costs related to the preparation and submission of a proposal shall be paid by the proposer. 8 TRADE SECRETS, CONFIDENTIAL INFORMATION AND THE TEXAS PUBLIC INFORMATION ACT 8.1 If you consider any portion of your proposal to be privileged or confidential by statute or judicial decision, including trade secrets and commercial or financial information, clearly identify those portions. 8.2 Proposals will be opened in a manner that avoids disclosure of the contents to competing offerors and keeps the proposals secret during negotiations. In the event a public information request is received for a portion of your proposal that you have marked as being confidential information, you will be notified of such request and you will be required to justify your legal position in writing to the Texas Attorney General pursuant to Section 552.305 of the Government Code. In the event.that it is determined by opinion or order of the Texas Attorney General or a court of competent jurisdiction that such information is in fact not privileged and confidential under Section 552.110 of the Government Code and Section 252.049 of the Local Government Code, then such information will be made available to the requester. 8.4 Marking your entire proposal CONFIDENTIAL/PROPRIETARY is not in conformance with the Texas Open Records Act. 9 LICENSES, PERMITS, TAXES 9.1 The price or prices for the work shall include full compensation for all taxes, permits, etc. that the proposer is or may be required to pay. 9.2 The City is exempt from all State sales taxes. Tax exemption certificates will be supplied upon request. 10 DISADVANTAGED BUSINESS ENTERPRISE (DBE) REQUIREMENTS 10.1 The City of Lubbock hereby notifies all proposers that in regard to any contract entered into pursuant to this RFP, Disadvantaged Business Enterprises (DBEs) will be afforded equal opportunities to submit proposals and will not be discriminated against on the grounds of race, color, sex, disability, or national origin in consideration of an award. 10.2 A DBE is defined as a small business concern which is at least 51% owned and controlled by one or more socially and economically disadvantaged individuals, or in the case of any publicly owned business, at least 51% of the stock of which is owned by one ore more socially and economically disadvantaged individuals. It shall be the proposers responsibility to advise the Purchasing Manager if any language, requirements, etc., or any combinations thereof, inadvertently restricts or limits the requirements stated in this RFP to a single source. SEPARATION SPECIFICATIONS INTENT 1.1 The City of Lubbock (hereinafter called "City") is seeking proposals from a company or individual, (hereinafter called "Contractor") to provide separation, beneficial re -use, including marketing of post consumer recyclable materials. The Contractor's proposal must include a PROPOSED CONTRACT for Separation, Beneficial Re -Use, Including Marketing of Post Consumer Recyclable Materials on 3.5" diskette in either Microsoft Word for Windows or ASCII format. 1.2 The intent of this request is to furnish a base requirement, while not limiting new ideas, to provide Separation, Beneficial Re -Use, Including Marketing of Post Consumer Recyclable Materials. 2 SCOPE OF WORK 2.1 The City of Lubbock through its Solid Waste Management Department is requesting proposals from qualified vendors for the separation, beneficial re -use, and marketing of post consumer recyclable commodities. 2.2 The City's Solid Waste Management Department will collect and dispose of the residue generated from the separation, and procession of the recyclables only. The City will furnish side loading dumpsters for the collection and disposal of the residue. 3 BACKGROUND 3.1 The City of Lubbock initiated a Residential Blue Bag Recycling Program on August 3, 1992. The program currently collects recyclables placed inside the blue tinted plastic bags. The blue bag recycling program is servicing every household (total households 54,000) in the City. The City is currently looking at other collection alternatives, and may implement a collection program that does not entail blue bags. If the City continues the blue bag program or any other collection method, the commodities would be collected and delivered to the vendors location for separating or composting and marketing four days per week (Monday, Tuesday, Wednesday, and Thursday). The previous schedule will be kept except for weeks which include a holiday. Holiday weeks may include a Friday delivery. Inclement weather may also require Friday or Saturday deliveries. The recyclable commodities being collected are commingled and are as follows: 3.1.1 Food and Beverage Glass Containers (clear, amber and green) 3.1.2 Steel Cans 3.1.3 Aluminum beverage Cans 3.1.4 Newspaper 3.1.5 Plastic Containers - Type 1 and 2 3.2 The City reserves the right to modify the collection/delivery days and to change the types of commodities accepted. The commodities should be covered or enclosed if stored for more than 24 hours from the date of delivery. The site for the storage and processing of commodities shall be maintained to be clear of liter and debris at all times. The separation of the recyclable commodities shall be in an area that protects the employees from the elements of weather. This enclosure shall comply with all City Codes and Ordinances where applicable. FLOW STREAM DATA 5.1 The Estimated Recyclable Flow Stream Data is listed below. (Annual tonnage is subject to increase if commodities collected are expanded to include other recyclables such as wood waste, magazines, junk mail, and OCC). 5.1.1 Weekly , 50 tons 5.1.2 Monthly, 200 tons 5.1.3 Annual, 2,400 tons 5.1.4 Aluminum, 1.7% 5.1.5 Glass, 10.1 % 5.1.6 Plastic, 5.2% 5.1.7 Newspaper, 65.2% 5.1.8 Steel, 4.0% CONTRACT TERM 6.1 The contract period for processing and marketing shall be for a period of one year and shall be renewable for up to two additional years upon mutual agreement of both parties. PERFORMANCE SURETY 7.1 Contractor shall execute and deliver to the City, within 15 days of award on contract, a Performance Surety with a corporate Surety duly authorized to do business in the State of Texas, conditioned upon the faithful performance of the contract. The Performance Surety shall be in an amount equal to twenty five thousand dollars ($25,000) in a form acceptable to the City covering the faithful performance of the contract. The City may allow an irrevocable letter of credit in lieu of the Performance Surety with a banking institution and on terms and conditions acceptable to the City. 7.2 The City will not deliver the Notice to Proceed to the Contractor until such Surety or letter of credit has been delivered to the City and approved by the City Attorney. 7 RFP #97063, Separatim end Cm4)osting of Recyclable Materials 7.3 Should the financial condition of the Surety or banking institution become unacceptable to the City, the Contractor shall promptly furnish such additional Surety or substitute bond or letter of credit at the Contractor's expense as may be required by the City to protect its interests. 8 INDEMNITY & INSURANCE 8.1 The Contractor will hold the City of Lubbock harmless from any claim of liability asserted by reason of the negligence of the Contractor, its agents, servants, and employees in the performance of this agreement. Throughout the term of this agreement, the Contractor will maintain Worker's Compensation and liability insurance in the following minimum amounts: Type of Insurance Minimum Liability Comprehensive General Liability $500,000 Limit Owner's Protective or Contingent Public Liability $1,000,000 Limit Comprehensive Automobile Liability $1,000,000 Limit Umbrella Liability $1,000,000 Worker's Compensation $ 500,000 8.2 The Contractor shall file copies of all insurance policies with the City Purchasing Manager and will not cancel any of them without the Purchasing Manager's written approval. 8.3 All policies shall contain an agreement on the part of the insurer waiving the right to subrogation. 8.4 The insurance certificates furnished shall name the City as an additional insured, or in the alternative, shall be accompanied by a statement from the Contractor to the effect that no work on this particular project shall be subcontracted. COMPOSTING SPECIFICATIONS INTENT 1.1 The City of Lubbock (hereinafter called "City") is seeking proposals from a company or individual, (hereinafter called "Contractor") to begin composting approximately 45,000 cubic yards of wood waste that has been previously ground, as well as the composting of the continuous stream of wood waste. This material has been collected over a period of three years. The Contractor's proposal must include a PROPOSED CONTRACT for Separation, Beneficial Re -Use, Including Marketing of Post Consumer Recyclable Materials on 3.5" diskette in either Microsoft Word for Windows or ASCII format. 1.2 The intent of this request is to furnish a base requirement, while not limiting new ideas, to provide composting at the City of Lubbock wood recycling facility. 2 SCOPE OF WORK 2.1 The City's Solid Waste Management Department will collect and dispose of the residue generated from the processing, and composting only. The City will furnish side loading dumpsters for the collection and disposal of the residue. The City will also provide the water needed for composting. 3 BACKGROUND 3.1 The City of would like to request the composting occur on -site at the landfill wood waste facility. The facility currently accepts a continuous stream of approximately 200 - 500 tons of wood waste on a monthly basis. 3.2 Operating hours at the landfill are from 7:00 a.m, to 5:00 p.m., Monday through Friday, and 7:00 a.m. to 12:00 p.m. on Saturday. The previous schedule will be kept except for weeks which include a holiday. Inclement weather may also require a day of closure. The material currently at the wood waste facility consists of the following: 3.2.1 Wood pallets 3.2.2 Grass clippings 3.2.3 Saw dust 3.2.4 Lumber 3.3 The City's main objective is to achieve 100% cost recovery on any composting project. 4 PROCESSING AREA 4.1 The site for processing of materials shall be maintained to be clear of liter and debris at all times. This processing areas shall comply with all City Codes and Ordinances where applicable. 11 RFP 097063, Separatim and Composting of Recyclable Materials 5 CONTRACT TERM 5.1 The contract period for processing, composting and marketing shall be for a period of one year and shall be renewable for up to two additional years upon mutual agreement of both parties. 6 PERFORMANCE SURETY 6.1 Contractor shall execute and deliver to the City, within 15 days of award on contract, a Performance Surety with a corporate Surety duly authorized to do business in the State of Texas, conditioned upon the faithful performance of the contract. The Performance Surety shall be in an amount equal to twenty five thousand dollars ($25,000) in a form acceptable to the City covering the faithful performance of the contract. The City may allow an irrevocable letter of credit in lieu of the Performance Surety with a banking institution and on terms and conditions acceptable to the City. 6.2 The City will not deliver the Notice to Proceed to the Contractor until such Surety or letter of credit has been delivered to the City and approved by the City Attorney. 6.3 Should the financial condition of the Surety or banking institution become unacceptable to the City, the Contractor shall promptly furnish such additional Surety or substitute bond or letter of credit at the Contractor's expense as may be required by the City to protect its interests. 7 INDEMNITY & INSURANCE 7.1 The Contractor will hold the City of Lubbock harmless from any claim of liability asserted by reason of the negligence of the Contractor, its agents, servants, and employees in the performance of this agreement. Throughout the term of this agreement, the Contractor will maintain Worker's Compensation and liability insurance in the following minimum amounts: Type of Insurance Minimum Liability Comprehensive General Liability $150,000 Limit Owner's Protective or Contingent Public Liability $150,000 Limit Comprehensive Automobile Liability $150,000 Limit Worker's Compensation $500,000 7.2 The Contractor shall file copies of all insurance policies with the City Purchasing Manager and will not cancel any of them without the Purchasing Manager's written approval. 7.3 All policies shall contain an agreement on the part of the insurer waiving the right to subrogation. 7.4 The insurance certificates furnished shall name the City as an additional insured, or in the alternative, shall be accompanied by a statement from the Contractor to the effect that no work on this particular project shall be subcontracted.
