RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and directed to
execute for and on behalf of the City of Lubbock a Third Amendment to an Agreement for
Engineering Services with Black & Veatch for certain improvements to the Southeast Water
Reclamation Plant and related facilities, attached hereto, which shall be spread upon the minutes
of the Council and as spread upon the minutes of this Council shall constitute and be a part of this
Resolution as if fully copied herein detail.

THIRD AMENDMENT TO
AGREEMENT FOR ENGINEERING SERVICES
THIS THIRD AMENDMENT between the City of Lubbock, Texas (herein-
after called the Owner), and Black & Veatch, (hereinafter called the
Engineer);
WITNESSETH: WHEREAS, effective on September 28, 1990, the Owner
and Engineer entered into an agreement, hereinafter called the "Original
Contract", which provided for design phase services for certain
improvements to the Owner's Southeast Water Reclamation Plant and
related facilities, (hereinafter referred to as the Project); and
WHEREAS, design phase and construction phase services for
rehabilitation of Anaerobic Digester No. 8 and No. 9 at the Plant are
desired by the Owner and need to be incorporated into the Original
Contract; and
WHEREAS, Engineer is prepared to provide design phase and
construction phase services for Anaerobic Digesters No. 8 and No. 9
rehabilitation.
NOW THEREFORE, in consideration of the mutual covenants herein
contained, the Owner and Engineer hereto agree as follows:
ARTICLE 1 - EFFECTIVE DATE
The effective date of this Third Amendment shall be Fbruayy I,, 1997
ARTICLE 2 - SERVICES TO BE PERFORMED BY ENGINEER
Engineer shall perform the Services described in Attachment A, Scope of
Services, which is attached hereto and incorporated by reference as part
of this Third Amendment.
ARTICLE 3 - COMPENSATION
Owner shall pay Engineer for Services in accordance with Attachment B,
Compensation, which is attached hereto and incorporated by reference as
part of this Third Amendment.
ARTICLE 4 - OWNER'S RESPONSIBILITIES
Owner shall be responsible for all matters described in Attachment C,
Owner's Responsibilities, which is attached hereto and incorporated by
reference as part of this Third Amendment.
ARTICLE 5 - ORIGINAL CONTRACT
The remainder of the Original Contract effective on September 28, 1990,
remains unchanged.

TO THIRD AMENDMENT TO
AGREEMENT FOR ENGINEERING SERVICES
Owner: City of Lubbock, Texas
Project: Southeast Water Reclamation Plant Expansion
and Improvements
Rehabilitation of Existing Anaerobic Digester No. 8
and No. 9
A DESCRIPTION OF SCOPE OF SERVICES
The scope of services for rehabilitation of Anaerobic Digester No. 8 and
No. 9 at the Southeast Water Reclamation Plant project is as follows.
Work will not proceed until Owner has authorized Engineer in writing to
proceed.
Digester modifications and rehabilitation shall include the following:
SCOPE OF PROJECT
1. Rehabilitate existing Digesters No. 8 and 9 covers.
2. Modify Digester No. 8 and No. 9 gas system piping from cover to
flares.
3. Replace existing boilers, heat exchangers, pumps, piping, valves,
controls, and accessories.
4. Modify existing digester control room piping and accessories to
comply with applicable codes.
5. Modify existing digester control room ventilation and heating
system.
6. Relocate digester motor control center.
7. Upgrade sludge transfer piping system.
8. Provide sludge piping modifications to digesters 8 and 9 and, 6
and 7.
It is anticipated that the work will be constructed under two separate
construction contracts.

SECTION A. DESIGN PHASE: FINAL DESIGN, CONSTRUCTION DRAWINGS AND
SPECIFICATIONS, BID, AND PREAWARD SERVICES
A. Preliminary and General Work
1. Conduct two project initiation meetings to clarify Owner's
requirements prior to beginning design for each construction
project; review available data and project organization and
staffing; and present initial work plan and schedule.
2. Prepare and distribute the minutes for project meetings.
B. Design Memorandum
1. Prepare detailed design memorandums and preliminary drawings
as required to supplement the Technical Memorandums for the
work, to establish agreement on scope, parameters,
requirements, and project approach. Submit five (5�erformance
copies to
Owner for review.
2. Meet with Owner and secure Owner's comments on the design
memorandums and preliminary drawings. Resolve any questions,
revise documents if necessary, and resubmit five copies to
Owner.
3. Update and distribute the design memorandums periodically as
required during the design phase.
C. Construction Drawings and Specifications
1. Prepare detailed drawings and specifications for the proposed
construction work and for all equipment required.
2. Work will be performed in two construction contracts.
3. Provide five (5) sets of the drawings and specifications, for
each construction contract, to Owner for formal review at 75
percent project completion.
4. Attend one (1) meeting, for each construction contract, with
the Owner in Lubbock after documents have been reviewed to
discuss them and to resolve any questions. Incorporate Owner
comments into drawings and specifications.
5. Review the construction contract drawings and specifications
for completeness, bidability, and constructability.
6. Provided five (5) sets of the complete drawings and
specifications to Owner for review.

7. Meet with the Owner after review to discuss them and resolve
any questions. Incorporate Owner comments into final
drawings and specifications.
8. Prepare an opinion of probable construction cost for the
proposed work covered by the drawings and specifications.
9. Submit three sets of revised detailed drawings and
specifications to the TNRCC for review as required.
10. After receipt of agency review comments, revise the documents
if necessary.
11. Upon completion of the drawings and specifications, review
the opinion of probable construction cost and revise and
expand as required.
12. Prepare Bid Forms and preliminary Invitation to Bid form for
each construction contract.
D. Permits Acquisition
Assistance to the Owner in obtaining permit approvals is not
anticipated for this project.
E. Preaward Services
Preaward Services shall be as listed in the Original Contract.
SECTION B. CONSTRUCTION PHASE SERVICES
A. Project Administration
Engineer will perform services during the construction phase of
the project including clarifying documents, shop drawing review,
answering requests for information, and reviewing proposed change
orders. By performing these services, Engineer shall not have
authority or responsibility to supervise, direct, or control the
Contractor's work or the Contractor's means, methods, techniques,
sequences, or procedures of construction. Engineer shall not have
authority or responsibility for safety precautions and programs
incident to the Contractor's work or for any failure of the Con-
tractor to comply with laws, regulations, rules, ordinances,
codes, or orders applicable to the Contractor furnishing and
performing the work. Specific services to be performed by
Engineer are as follows:
1. Review of the Contractor's bonds and Contractor executed
construction contract documents to determine that their
contents comply with the requirements of the specifications.

2. Review the Contractor's insurance certificates and forward
the certificates to the Owner for acceptance by the Owner's
legal counsel. Engineer's review of the insurance
certificates is only for the purpose of determining if the
Contractor maintains the general types and amounts of
insurance required by the contract documents, and is not a
legal review to determine if the Contractor's insurance
coverage complies with all applicable requirements.
3. At a date and time selected by Owner and at a facility
provided by Owner, conduct a preconstruction conference for
each contract. Engineer shall prepare an agenda for the
conference, and prepare and distribute minutes. The precon-
struction conference will include a discussion of the
Contractor's tentative schedules, procedures for transmittal
and review of the Contractor's submittals, processing payment
applications, critical work sequencing, change orders, record
documents, and the Contractor's responsibilities for safety
and first aid.
4. Review and comment on the Contractor's initial and updated
construction schedule and advise Owner as to acceptability.
5. Analyze Contractor's construction schedule, activity
sequence, and construction procedures as applicable to
Owner's ability to keep existing facilities in operation.
Advise Owner and Contractor of items needing further review
and consideration.
6. Review the Contractor's initial and updated schedule of
estimated monthly payments and advise Owner as to
acceptability within 10 days following receipt in Engineer's
office.
7. Make periodic visits to the construction site to observe
progress of the work, and consult with Owner and the
Contractor concerning problems and/or progress of the work.
A total of 12 visits, in each construction contract, are
anticipated. (One visit equals one trip to Lubbock by one
person.)
8. Review drawings and other data submitted by the Contractor as
required by the construction contract documents. Engineer's
review shall be for general conformity to the construction
contract documents and shall not relieve the Contractor of
any of his contractual responsibilities. Such reviews shall
not extend to means, methods, techniques, sequences, or
procedures of construction, or to safety precautions and
programs incident thereto. Review comments will be provided
to Owner. Owner will forward comments to Contractor.

9. Receive and review guarantees, bonds, and certificates of
inspection, and tests and approvals which are to be assembled
by the Contractor in accordance with the construction
contract documents, and transmit them to Owner.
10. Interpret construction contract documents when requested by
Owner and issue written interpretations to Owner.
11. Provide documentation and administer the processing of change
orders, including applications for extension of construction
time. Evaluate the cost and scheduling aspects of all change
orders and, where necessary, negotiate with the Contractor to
obtain a fair price for the work. Said negotiation shall be
subject to the approval of Owner.
Work related to unusually complex or unusually numerous
claims is covered in Supplemental Services.
12. Upon completion of the project, revise the construction
contract drawings to conform to the construction records.
Submit one copy of the mylars to Owner within 60 days
following Engineer's receipt of Record Drawings from the
Contractor and Owner's representative.
13. Act as initial arbiter on all claims of Owner and the
Contractor relating to the acceptability of the work or the
interpretation of the requirements of the construction
contract documents pertaining to the execution and progress
of the work.
14. Analyze data from performance testing of equipment by
Contractor or supplier when the construction contract
documents require the equipment to be tested after
installation. Submit conclusions to Owner within 21 days
after completion of the test and receipt of all test data.
15. Upon substantial completion, inspect the construction work
and prepare a punch -list of the items to be completed or
corrected before final completion of the project. Submit
results of the inspection to Owner.
16. Upon completion or correction of the items of work on the
punch -list, conduct a final inspection to determine if the
work is completed. Provide written recommendations
concerning final payment to Owner, including a list of items,
if any, to be completed prior to making such payment.
17. Advise Owner of defective of neglected work by the
Contractor.
18. Advise Owner of Contractor's or other's filing of
unreasonable or an extensive number of claims.. -

SECTION C. OPERATIONS AND MAINTENANCE MANUAL
The Engineer will prepare an operation and maintenance manual for
the Digester Improvements. Specific services to be performed by
the Engineer will be to prepare the manual in the format as
follows.
1. Prepare a draft of Part I which will include a description of
the facilities and recommendations for operation. The
following topics should be included:
a. Introduction. Brief statement of manual purpose;
operator and management responsibilities; treatment
requirements; design flows and description of unit
processes; and flow path.
b. Description and Operation of Sludge Facilities.
Discussion of each unit process for the sludge portion
of the facilities.
c. Description and Operation of Gas Facilities. Discussion
of each unit process for the gas portion of the
facilities.
d. Description and Operation of Auxiliary Facilities.
Discussion of auxiliary systems including alternative
fuel system, HVAC, and flow measurement devices.
e. Laboratory Controls. General discussion of purpose and
definitions; references; listing of sampling frequency
and location of sampling points; tests to be performed
on each sample; laboratory worksheet; individual
laboratory tests, expected results, and significance of
test results are discussed with respective unit
processes.
f. Records. Description of records and reports which
should be maintained.
g. Emergency Operation and Response Program. General
discussion of appropriate responses to various emergency
situations.
h. Safety. A discussion of WPCF Manual of Practice No. 1.
i. Electrical and Instrumentation Systems. Detailed
description of the electrical and instrumentation
systems.

2. Prepare a draft of Part II which will include discussion of
the general requirements for maintenance of the facilities
including general maintenance program, routine equipment
maintenance, pumps, drive equipment, boilers, heat
exchangers, piping and valves, electrical equipment,
instrumentation, and HVAC.
3. Prepare a compilation of Part III which will include a
collection of the operation and maintenance manuals supplied
by the manufacturers of the equipment. The manuals will be
reviewed by the Engineer to determine that complete manuals
are provided with listings of equipment parts and spare parts
inventory.
4. Furnish two copies each of volume(s) prepared under the above
to the Owner for review and comments.
5. Revise the manual volumes as required and submit 5 copies to
the Owner for his reference.
I. Operation Initiation and Personnel Training
1. Develop and conduct 1 week of pre -startup training for plant
supervisors, operators, maintenance personnel, and laboratory
personnel. It is anticipated that training will be conducted
during a week-long training period. Instruction will include
"hands on" onsite training sessions for plant personnel
through individual counseling and group meetings.
SUPPLEMENTAL SERVICES
A. Any work requested by the Owner that is not included in one of the
items listed in any other phase will be classified as supplemental
services.
B. Supplemental services shall include, but are not limited to:
1. Additional meetings with local, State, or Federal agencies to
discuss the project.
2. Appearances at public hearings or before special boards.
3. Changes in the general scope, extent, or character of the
project or its design, including but not limited to changes
in size, complexity, Owner's schedule, character of
construction or method of financing; and revising previously
accepted design documents, or construction contract documents
when such revisions are required by changes in laws, rules,
regulations, ordinances, codes or orders enacted subsequent
to the preparation of such studies, reports, documents, and

designs or due to any other causes beyond the Engineer's
control.
4. Special consultants or independent professional associates
requested or authorized by the Engineer.
5. Assistance with bid protests and rebidding, preparation for
litigation, arbitration or other legal or administrative
proceedings, and appearances in court or at arbitration
sessions.
6. Preparation for litigation, arbitration, or other legal or
administrative proceedings; and appearances in court or at
arbitration sessions in connection with bid protests, change
orders, or construction incidents.
7. Revision of designs, drawings, and specifications to
incorporate changes arising from Value Engineering review.
8. Value Engineering reviews and services.
9. An environmental assessment report and/or environmental
impact statement as requested by Owner or required by review
agencies.
10. Provision, through a subcontract, of a cultural resources or
archaeological study and report on the construction site.
11. Provision, through a subcontract, of archaeological consulta-
tions regarding artifacts that may be uncovered during
construction.
12. Provision, through a subcontract, of laboratory and field
testing required during design or during construction and of
any special reports or studies on materials and equipment
requested by Owner.
13. Observing factory tests and/or field retesting of equipment
that fails to pass the initial test.
14. Visits to the construction site during construction phase, or
monthly progress meetings during design phase in excess of
the stated number.
15. Receiving wage rate information submitted by the Contractor
and forward the information to Owner.
16. Assistance in financially related transactions for the
project.

17. Special reports requested by Owner concerning facilities
operation and personnel matters during the operation startup
period.
18. Where field conditions differ from the conditions indicated
in the construction contract documents or soil boring
reports, preparing sketches of construction work for approval
by Owner, to supplement the drawings and specifications as
may be required; and providing redesign or relocation
information if required by underground obstructions,
utilities, or other conditions.
19. Services for making revisions to drawings and specifications
made necessary by the acceptance of substitutions proposed by
the Contractor; and services after the award of contract for
evaluating and determining the acceptability of substitutions
proposed by the Contractor.
20. Services resulting from significant delays, changes, or price
increases caused directly or indirectly by shortages of
materials, equipment, or energy.
21. Evaluation of unusually complex or unreasonably numerous
claims submitted by the Contractor or others in connection
with the work.
22. Review and analysis of claims for differing subsurface and
physical conditions submitted by the Contractor or others in
connection with the work.

COMPENSATION

For the services covered by this amendment, the Owner agrees to pay the
Engineer as follows:
A. For the entire scope of services defined in Attachment A, an
hourly billing fee for Engineer's personnel services. The
fee schedule for the Engineer's personnel services are
specified in the schedule at the end of this Attachment B.
Subcontract personnel services shall be reimbursable expenses
and are to be billed at cost. The maximum billed for these
Engineer's personnel services shall not exceed $300,000
without further authorization. In addition, Engineer's and
subcontractors reimbursible expenses shall be billed at cost.
Billings for reimbursible expenses are estimated to be
$20,000.
B. For supplemental services, an hourly fee for Engineer's
personnel as listed in the attached schedule plus
reimbursible expenses and subcontract billing at cost to
Engineer. Each item of supplemental services shall be
established before the work is started. The amount billed
for each item of supplemental services shall not exceed the
amount established for it without further authorization.
Additional amounts for supplemental services may be
authorized, if necessary, as the work progresses.
C. Hourly fees listed herein for Engineer's personnel services
will apply until December 31, 1997, and shall be changed
annually on January 1st for the upcoming twelve (12) month
period.
D. The following expenses are reimbursable:
1. Travel, subsistence, and incidental costs.
2. Use of motor vehicles on a monthly rental basis for
assigned vehicles and on a current mileage basis or
rental cost basis for vehicles used for short periods.

3. Telegraph costs, long distance telephone costs and
project "onsite" telephone costs.
4. Reproduction of reports, drawings, and specifications.
5. Postage and shipping charges for project -related
materials.
6. Computer time charges including program use charges.
7. Rental charges for use of equipment, including equipment
owned by the Engineer.
8. Cost of acquiring any other materials or services
specifically for and applicable to only this project.
D. The Engineer agrees to use its best efforts to perform the
services as defined in Attachment A within the billing limits
stated above.
E. Billing period payments (monthly) shall be made to the
Engineer by the Owner based on the Engineer's statement. The
statement shall be itemized to indicate the amount of work
performed and the associated reimbursable expenses and
subcontract costs.
F. The uncontested amount of each statement shall be due and
payable upon receipt by the Owner. Carrying charges of 1-1/2
percent per month from the billing date, shall be due for
accounts which are not paid within 60 days after the billing
date.
G. It is understood and agreed that the maximum billings of each
of the above items are based on the start of the services
being authorized not later than the dates given below. If
start of services is not authorized by dates given, it is
understood and agreed that the billing limits will be
adjusted accordingly by a supplement to this Amendment. The
authorization dates are as follows:

• Construction Phase and 0&M

H. It is understood and agreed that the Engineer shall start the
performance of the services within ten days of receipt of notice

and expenses and which records shall be available to inspection

OWNER'S RESPONSIBILITIES
The Owner will furnish, as required by the work and not at the expense
of the Engineer, the following items:
1. All maps, drawings, reports, records, audits, annual reports,
and other data that are available in the files of the Owner
and which may be useful in the work involved under this
contract.
2. Access to public property when required in performance of the
Engineer's services.
3. Office desk space for the Engineer's personnel during
preliminary investigations.
4. Property, boundary, easement, right-of-way, topographic, and
utility surveys and property descriptions.
5. Confined space entry plans for Anaerobic Digesters No. 8 and
No. 9, and any other confined spaces that Engineer may enter
during the work involved under this contract.
6. The services of at least one of the Owner's employees or staff
who has knowledge of the existing anaerobic digester
facilities.
7. Shop, mill, or laboratory inspection of materials, laboratory
and field testing. field sampling services.
8. Releases to the news media concerning prebid conferences and
preconstruction conferences.
9. Hall and auditorium space for prebid conferences and
preconstruction conferences and the audio equipment and
projection equipment required for such conferences.

10. Legal advertisement of project letting or bid date and such
other publications of the "Invitation to Bid" as desired by
Owner.
11. Distribution of bid sets of drawings, specifications, and
addenda during bid phase.
12. Construction contract administration and inspection services.

AGREEMENT FOR ENGINEERING SERVICES

Project: Southeast Water Reclamation Plant Expansion and
Improvements
Rehabilitation of Anaerobic Digesters No. 8 and No. 9
OWNER'S RESPONSIBILITIES
The Owner will furnish, as required by the work and not at the expense
of the Engineer, the following items:
1. All maps, drawings, reports, records, audits, annual reports,
and other data that are available in the files of the Owner
and which may be useful in the work involved under this
contract.
2. Access to public property when required in performance of the
Engineer's services.
3. Office desk space for the Engineer's personnel during
preliminary investigations.
4. Property, boundary, easement, right-of-way, topographic, and
utility surveys and property descriptions.
5. Confined space entry plans for Anaerobic Digesters No. 8 and
No. 9, and any other confined spaces that Engineer may enter
during the work involved under this contract.
6. The services of at least one of the Owner's employees or staff
who has knowledge of the existing anaerobic digester
facilities.
7. Shop, mill, or laboratory inspection of materials, laboratory
and field testing, field sampling services.
8. Releases to the news media concerning prebid conferences and
preconstruction conferences.
9. Hall and auditorium space for prebid conferences and
preconstruction conferences and the audio equipment and
projection equipment required for such conferences.

10. Legal advertisement of project letting or bid date and such
other publications of the "Invitation to Bid" as desired by
Owner.
11. Distribution of bid sets of drawings, specifications, and
addenda during bid phase.
12. Construction contract administration and inspection services.
