RFSOLUTIOIY
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and directed to
execute for and on behalf of the City of Lubbock an Agreement, attached herewith, by and
between the City of Lubbock and Sandhurst Associates, and any associated documents, which
shall be spread upon the minutes of the Council and as spread upon the minutes of this Council
shall constitute and be a part of this Resolution as if fully copied herein in detail.

I want to thank you and Gavino Sotelo for taking the time yesterday to meet with me and discussing
your need for a senior executive for the Power and Light organization. As a means of establishing
our agreement, please accept this Confirmation Letter as a working document, and as the basis for
your engagement of Sandhurst Associates to conduct this search for a Managing Director for
Lubbock Power and Light.

Our existing knowledge of the utilities industry, plus the information you have provided gives us a
clear understanding of your basic needs and requirements. Enclosed is the draft position
specification for this assignment that will be shared with prospective candidates. Please review this
at your earliest convenience and make whatever changes you deem necessary. Also enclosed is the
Credentials, Experience, and Capabilities Chart for this position. Again, please edit as needed, and
let me know of any changes regarding the categories and their level of importance to the overall
profile.
OUR APPROACH
Our approach to this search assignment will be very straight forward. Once we have your
concurrence on the basic profile of the individual we are seeking, a strategy will be developed by
our staff to create the broadest possible list of source companies and prospects.
Information about potential candidates will be gathered from a variety of sources. These consist
primarily of contacts which have been developed in a variety of industries, our staff research, and
via personal referrals from individuals who are well respected in organizations that have
sophisticated business planning and marketing functions.

Once prospective candidates are identified, we telephone screen them to ascertain their interest in
the position, their technical and educational qualifications, salary requirements and history, plus their
demonstrated professional growth. For purposes of confidentiality, we generally will not identify
Lubbock Power and Light as the client organization during the preliminary telephone conversations.
Once candidates have indicated continued interest in pursuing discussions and have satisfied the
necessary criteria during our telephone interviews, we will arrange a face-to-face meeting with us.
After our interviews, given the candidates demonstrate the appropriate capabilities and interest level,
we will perform initial reference checks and present the candidates and their qualifications to you.
The most likely prospects will be introduced to you on a composite of information we refer to as the
Candidate Evaluation and Comparison Chart. Additionally, background information in the form of
resumes will be provided on those candidates you decide to personally interview. We will then
arrange for the selected individuals to meet with you and your management team. After you have
completed your process of interviews and are comfortable with your final selection, we will mediate
as necessary to help close the employment transaction.
The time frame in which we anticipate the presentation of the candidates is on or before April 1,
1997. As your management's schedules permit, we should be able to interview finalists and possibly
have a designee named by April 30th.
FEE ARRANGEMENT
Our professional fee for conducting a search assignment is traditionally one-third of the candidate's
initial cash compensation plus any out-of-pocket expenses. We understand the targeted range for
this assignment will be a base of $90,000 to $110,000. For initial billing purposes, we will target
at $90,000.
Our billing procedure will entail three (3) separate invoices. The first is due and payable upon
initiation of the assignment; a second invoice will then be rendered upon presentation of a field of
candidates; and a final invoice due upon a candidate's acceptance of employment. Out-of-pocket
expenses including travel, interview costs, telephone, research and administrative services will be
billed to you and exclusive of travel, these expenses are normally less than 9% of the overall fee.
While we hope it is not necessary, you have the right to cancel this search at any time, incurring only
those expenses associated with accrued fees to the date of your notification of cancellation.
