AGREEMENT OF AERIAL PHOTOGRAPHY AND RELATED PHOTOGRAMMETRIC SERVICES This agreement made this day of 1 1986, by and between Kucera International, Incorporated, an Ohio Corporation, 7000 Reynolds Road, Mentor, Ohio, qualified to do business in the State of Colorado through its subsidiary office Kucera/West, Inc., 4690 Monaco Park- way, Denver, Colorado, herein referred to as Kucera and the City of Lubbock, Texas, herein referred to as the City, mutually bind the parties hereto as follows: ARTICLE ONE Location Location of the work for which Kucera shall perform aerial photographic and photogrammetric services is the City of Lubbock, Texas, and its environ- ments as outlined in your Request for Proposal #8737, an area of 133 square miles. ARTICLE TWO Statement of Work The services to be rendered by Kucera under this agreement include aerial photography, ground control, analytical aerial triangulation, photogrammetric mapping, along with rectified photographic enlargements. The above mentioned services will adhere to City of Lubbock's specifications for contour mapping and Request for Proposal #8737 hereto attached and made a part of this agreement as Exhibit "B" and in Kucera's proposal in the Technical Procedure dated October 7, 1985 and hereto attached and made a part of this agreement as Exhibit "A". ARTICLE THREE Materials to be furnished by the City to Kucera The City shall make whatever records, control data, maps, etc., in its possession that may be useful for, or otherwise aid Kucera in the preparation of the ground control, contour maps and/or rectified enlargements as described in Article Two available to Kucera. -1- ARTICLE FOUR Ownership of Materials Acceptable aerial photographic negatives, ground controls, map tracings, reproductions of maps and other items and associated materials used in fulfilling this agreement shall be the property of the City or others so designated by the City. The City may allow any and all such agreement items of a deliverable character to be retained by Kucera for a period of ten years without giving instructions regarding their delivery. Kucera, if it does not desire to continue storing said materials, may request instructions of the City as to their disposition. While in its possession, Kucera shall not reproduce, sell, convey or other- wise utilize any of the information prepared in the furtherance of the project for others than the City without the expressed written consent of the City. ARTICLE FIVE Changes in Agreement City may desire Kucera to render services for changes in connection with this project in addition to that provided for by the express intent of the agreement. This will be considered as Extra Work subject to an Agreement Change Order, supplemental to this agreement, setting forth the nature and scope thereof and the compensation therefor as determined by mutual agree- ment between Kucera and City. Work under such Change Order shall not pro- ceed until approved and authorized by City. ARTICLE SIX Control All work by Kucera shall be done in a manner satisfactory to the City in accordance with established practices and procedures of the industry and in conformity with the standards in the publication "Reference Guide Outline - Specifications for Aerial Surveys and Mapping by Photogrammetric Methods for highways" as printed by the United States Government Printing Office and the attached specifications that are a part of this agreement. ARTICLE SEVEN Inspections Kucera shall furnish reasonable facilities for making inspections which the City may reasonably deem necessary to ascertain whether the agreement work is being done in conformance with specifications. Any such inspections shall be performed within thirty (30) days of delivery of materials specified in this agreement. Should the City fail to notify Kucera that any segment is not acceptable within this thirty (30) day period, this work will be deemed acceptable. Should any items or segments not be acceptable when inspected, the City shall advise Kucera of any alleged deficiencies promptly and Kucera shall do whatever is necessary within the terms of the agreement to correct data which fails to meet specifications. -2- Any and all inspections by the City shall be at its expense and Kucera shall not be responsible or liable for any costs, expenses or fees incurred by the City for such inspections. Kucera, upon notification of any item or segment of the work under this agreement is considered incorrect, shall at its expense make whatever field checks, edits, and/or revisions necessary to bring actual inaccuracies up to specifications. In the event that the City fails to notify Kucera as provided herein of any discrepancies, Kucera shall not be responsible or liable for any costs, claims, expenses or fees incurred by the City in correcting any deficiencies. ARTICLE EIGHT Warranty Kucera warrants that the work performed or to be performed shall be complete in compliance with specifications in this agreement. If the City, or its employees, discover any error in the work by Kucera, Kucera shall promptly correct such error at its cost. Kucera agrees to endemnify the City from any damages caused by any such error discovered by the City providing that Kucera is notified and given the opportunity to correct such err.or. ARTICLE NINE General Compliance with Laws Kucera is assumed to be familiar with and at all times shall observe and comply with all Federal, State and Local Laws, ordinances and regulations in any manner affecting the conduct of the work and all instructions and prohibitive orders issued by the City and Federal government regarding fortifications of military and naval establishments. ARTICLE TEN Subletting, Assignment or Transfer Kucera shall not assign, sublet or transfer any of the work except as other- wise provided for under the terms of this contract or with written consent of the City. Such consent does not release or relieve Kucera, as principal, from any of its obligations and liabilities under the contract. ARTICLE ELEVEN Commencement and Completion Kucera shall commence the agreement work immediately upon authorization to -3- proceed and shall obtain the necessary photography as soon as weather andground conditions permit. Kucera will abide by the time schedule as outlined in Exhibit A. ARTICLE TWELVE Delays and Extensions Reasonable extensions of promised times shall be mutually arrived at by parties in the event of unavoidable delays such as weather and unforeseen occurances that are ,beyond Kucera's control. ARTICLE THIRTEEN Insurance Kucera represents and states that it has and shall maintain during the term of the agreement the following insurances: a) Workmen's compensation insurance in compliance with the Laws of Colorado; b) Public liability and property damages liability insurance including automobile coverage with limits of $500,000/$1,000,000 as to bodily injury liability of anyone accident and $200,000 as to property liability; c) Aircraft liability with limits of $3,000,000 for single limit bodily injury and property damage liability. Kucera shall file with the City at the time the agreement is returned for execution, certificates of all insurance policies if so desired. ARTICLE FOURTEEN Progress Reports At the end of each month following the first day of this agreement, Kucera shall submit to the City Engineer of the City of Lubbock a brief progress report describing work under the agreement that has been completed through the date of such report. The reports may be verbal or in writing as may be deemed necessary by the City. October 7, 1985 TECHNICAL PROPOSAL CITY OF LUBBOCK, TEXAS RFP #8737 GENERAL Kucera International provides complete aerial photography, surveying, photogrammetric, ortho photo and cartographic mapping, and other services closely related to these des ciplines. The work is accomplished on a national basis through strategically located offices in the United States. STATEMENT OF WORK The specification for this project and the addendums define the work sufficiently. We understand that the work to be performed consist of obtaining aerial photography, ground control along with monumentations of the ground control, contour mapping along with screened cronar positives. AERIAL PHOTOGRAPHY The aerial photography would be obtained by utilization of our Cessna TU206 aircraft along with our six inch focal length Zeiss RMK 15/23 A-4 aerial mapping camera. This camera holds a current certification of calibration and is approved for mapping by the U. S. Geological Survey and other state and federal agencies. The aerial photography would be taken, processed, checked and lettered in accordance with the requirements of your specifications. To assure the quality of the aerial nega- tives, the photography will be processed under sensitometric and densitometric quality control procedures. At the close of the project, the aerial negatives would be delivered to the City of Lubbock or stored in our files until requested to deliver them. GROUND CONTROL Prior to the aerial photography, the monuments to be utilized in our Second Order Traverse Line will be panelled. The monu- ments will be the Burelleson type, which are 36" aluminum flanged stakes with an aluminum cap set in concrete. The horizontal control would consist of Second Order Traverse Lines tied to the existing monuments from the previous mapping. The vertical control would consist of Third Order Level Lines tied to Mean Sea Level datumn. Along with the horizontal monu- ments, vertical TBM (Temporary Bench Marks) will be established throughout the project. These TBM's would be cross cuts in pavement, capped rebar, etc. Each bench mark would be refer- enced for ease of recovery. ANALYTICAL AERIAL TRIANGULATION As the control surveys are completed, the controls will be verified for accuracy and supplemented by fully analytical aerial triangulation methods. Control model setup and tie points will be pugged using the Wild Zoom Pug 4 Transfer Scope, model coordinates read on the Kern Monocomparator and computation and adjustment run on the PDP 11/23. Kenefick's RABATS and BRATS Bundle programs will be used for the analytical computations and adjustments. After the analytical aerial triangulation is completed, com- puter plotted base manuscripts will be prepared for usein map compilation.. The Kern GP1 Flatbed Plotter will be used to construct the manuscripts. The manuscripts will be prepared on stable base mylar material and will show the state plane coordinate system, location of ground control points used to establish monument and bench mark locations, as well as model setup points. TECHNICAL PROPOSAL +� CITY OF LUBBOCK. MAPPING The pencil manuscript phase of the project would begin as the above mentioned manuscripts are being completed. The compilation will be accomplished directly at the final map scales on our First Order optical train plotting equipment, the Kern PG2 or PG3, MAPS 200 Computer aided graphic plot- ting systems. The 1"=200', one (1) foot contour interval pencil manuscripts will be constructed and along with the topography, all planimetric detail with the exception of buildings and fence lines will be plotted DRAFTING The drafting will be accomplished by the scribe method to insure uniform line weights and pleasing appearance through- out the mapping. The mapping will be reverse printed, right reading, 34"x34" formatted on .004 mil mylar sheets. AERIAL ENLARGEMENTS Rectified 1"=200' enlargements will be produced from infor- mation obtained through the analytical aerial triangulation method. The rectification will be accomplished on the Zeiss Seg V Restitutional Enlarger. These photos will be screened for maximum reproductive quality, reverse printed, right reading; that is, with the emulsion on the back of the sheet so that detail may be added to the front without disturbing the photographic image. The "PHOTOGRAMMETRIC ENGINEER' shall perform all work, furnish all plant equipment, supplies and materials required for the compilation, completion and delivery of contour maps 34" x 34" overall size at a scale of 1" = 200', as indicated in Items I and II of the Proposal. These maps are to be compiled on the basis of adequate ground con- trol from new aerial photography accomplished after the date of this Agreement. All maps are to be scribed (engraved) on stable base mat- erial. All maps shall show section lines or network base lines. Match lines shall be provided for the map sheets so that adjacent sheets can be accurately joined. 2. Horizontal and Vertical Control: The "PHOTOGRAMMETRIC ENGINEER" shall establish basic horizontal and vertical control of second order accuracy. Such basic control surveys shall originate and terminate on existing monuments or monuments established by the "PHOTOGRAIZETRIC ENGINEER" of equal or higher order accuracy. The "PHOTOGRA2*4ETRIC ENGINEER" shall use high order surveying instruments including elec- tronic distance measuring equipment, and all existing monuments used in conjunction with the basic control network and all monuments established by the "PHOTOGRAMr1ETRIC ENGINEER" in the extension of the second order basic control network shall be shown and identified on the maps. Note: Please describe the new monuments proposed to be used, materials, size, etc. The "PHOTOGRAMMETRIC ENGINEER" shall furnish descriptions, elevations, and/or coordinate values based on 271ean Sea Level Datum of each ex- isting monument used and each monument established in conjunction with the "PHOTOGRA=RIC ENGINEER'S" basic control network. Supplemental horizontal and vertical control as necessary for map control will be of third or fourth order accuracy, as appropriate. Monuments, descriptions, and/or elevations of these points are not required, however, when convenient to the "PHOTOGRANTIETRIC ENGINEER", semi -permanent markers will be placed along such third order lines. 3. Contours: Contours shall be shown at intervals of one foot. Every fifth interval shall be accentuated on the final maps. Spot elevations shall be shown on all saddles, suits, bottoms of depressions, main road intersections, railroad and/or highway intersections; and such elevations shall be accurate to within at least one -quarter of the contour interval. At least ninety percent (90%) of,all elevations determined from the solid line contours on the topographic maps shall have an accuracy with respect to true elevation of one-lalf of. the r contour interval and the remaining ten percent (107.) of the elevations shall not be in error by more than one contour interval after allowing for the horizontal tolerances described in paragraph 4 of these specifications. In heavily shadowed or other ground obscured areas the "PHOTOGRAMMETRIC ENGINEER" shall showy the contours by dashed lines to the -best of his ability by photogrammetric methods and it is probable that the ac- curacy of the dashed contour lines will approximate the accuracies specified above, however, this cannot be guaranteed. 4. Planimetry, Drainage and Styling: All lettering, numbers and symbols shall be in accordance with accepted standards. The "PHOTOGRAMMETRIC ENGINEER" shall, within thirty (30) calendar days after the date of this Agreement, submit a "style" sheet showing the proposed sizes of numbers, letters and conventional symbols proposed to be `used. The "CITY" shall approve the "style" sheet or advise the "PHOTOGRAM- METRIC ENGINEER" of desired changes within fourteen (14) calendar days. The City's existing Aerial Photo Index sheet shall be used as a master index sheet. The plotted position of each section or base line shall not vary more than one -hundredth of an inch (1/100") from true grid value on each map manuscript and final map sheet, and each horizontal control point shall be plotted thereon within equal accuracy. All maps will show channels, ditches, roads, railroads, ponds, oil wells, and major power transmission lines (cross-country). Structures such as bidges, trestles, dams, and power plants shall also be shown. Buildings and fences shall.NOT be shown. Ninety percent (90%) of the well defined required planimetric features on the maps shall be plotted within one -fortieth of an inch (1/40") of their true positions and no such point shall be misplaced by more than one -twentieth of an inch (1/20") of its true position. The curb lines or width of traveled surface of all streets and roads shall be shown to scale. The net image on the final maps shall be 26.4 inches North -South by 26.4 inches East-West, appropriately positioned on a gross sheet size thirty-four inches by thirty-four inches (34" x 34"). The "PHOTOGPUAIKMTRIC ENGINEER" shall design an appropriate sheet format and marginal data including scale, sheet number, adjacent sheet number, date and other data and submit said design to the "CITY" for approval within thirty (30) days after the date of this Agreement. The "CITY" shall approve the proposed format or request changes within fourteen (14) calendar days. 5. Field Inspection and Testing:" The "PHOTOGRAbMTRIC:::ENGINEER" shall furnish the "CITY" one set of paper proof prints of all photogrammetric manuscripts for the purpose of inspection and testing. The "CITY", if it so desires, may inspect and test all or a representative portion of the sheets within thirty (30) calendar days after receipt of the proof prints. However, if map sheet is not returned indicating desired corrections within thirty (30) days, after receipt by the "CITY", it will be deemed to be acceptable. The completeness of cultural and topographic details may be determined by inspection in the field. Accuracy tests shall be made by the test plan/profile method; that is, by running two (2) plan/profiles over different sections of a map sheet, then comparing the location of points and elevations determined by field methods, with the locations and elevations on the map sheet. In case a sheet appears to be of doubtful quality, an additional test profile similar to the first will be run in some other part of the sheet and the average of the three profiles will be the means of determining if the sheet meets the accuracy requirements and final acceptability of the sheet. If a sheet fails to meet the horizontal and vertical accuracy specifications •- the "CITY" may reject not only the sheet tested but all adjacent sur- rounding sheets and the "PHOTOGRAKHETRIC ENGINEER" will be required to bring the tested sheet to proper accuracy and to check the adjacent r surrounding sheets at his own expense within thirty (30) calendar days after receipt of the rejection notice. All test plan/profiles run by the "CITY" shall originate and terminate on third or higher order accuracy points, shall be run by third order or higher methods, shall be a minimum of two thousand feet (2,000') long and shall cross a minimum of five (5) contours. Complete in- formation on all such tests made by the "CITY" shall be furnished to the "PHOTOGRAMMETRIC ENGINEER". The "CITY" shall have the right to inspect any and all phases of the work at any time, either by visiting the "PHOTOGRAMMETRIC ENGINEER'S" parties in the field or by reviewing work in process at the "PHOTO- GRAMMETRIC ENGINEER'S" office. The "CITY" will do whatever testing, editing and checking it deems necessary. 6. Workmanship: Only first class work shall be performed by the "PHOTO- GRArMTRIC ENGINEER" and all materials furnished in carrying out this Agreement shall be of the character and quality required by this Agreement. Where no standard is specified for such work and materials, they shall be performed or furnished in accordance with the normal accepted standards of the photogra=etric engineering profession. The contour maps specifications are on the„ following three pages. The aerial photographs shall be black and white photography, with each screened j cronar positive overlapping the adjacent cronar positive by two inches, positioned T on a gloss sheet -size x 34") matching the one square mile reproducible p'hoto- .graphic sheets on file in the Engineering record room. Item ;61 of the proposal shall indicate the estimated cost of personnel, and the estimated cost of related expenses associated with the production of the 110 sets of 1' contour map scale 1" to 2001.'(see the 110.red sections on the attached photo index) The item #2 of the proposal shall be the estimated cost of personnel and the estimated cost of related expenses associated with the production of the aerial photographic 'sheets: Item #3 of the proposal will be the estimated cost of personnel and the estimated cost of related expenses associated with the production of each additional set of sheets (see the 23 yellow section on attached photo index map).
