RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and
directed to execute for and on behalf of the City of Lubbock an Amendment
No. 2 to a Contract dated May 28, 1983 entered into by and between said
City and Henningson, Durham & Richardson, Inc., herein called "HDR", said
Amendment No. 2 adding special and miscellaneous services herein authorized
by the City by execution of this said amendment pursuant to Subdivision VII
(17) of said original contract, this said Amendment No. 2 being submitted
in form of letter of agreement submitted by HDR for acceptance by said City
dated November 30, 1983, attached herewith which shall be spread upon the
minutes of the Council and as spread upon the minutes of this Council shall
constitute and be a part of this Resolution as if fully copied herein in
detail.

Gentlemen and Mrs. Baker:
In accordance with your request, Henningson, Durham & Richardson,
Inc. (HDR), hereinafter referred to as the Engineer, in
association with Parkhill, Smith &Cooper, Inc. (PSC) is pleased
to submit to the City of Lubbock (city) the following proposal for
providing additional professional services with regard to the
Quirt Avenue grade separation project, specifically the Overpass
"C-1" Design Concept as identified in the HDR memorandum report
entitled "City of Lubbock - Quirt Avenue - Schematic Design
Overpass "C-1" Concept" dated October, 1983. The additional
Special Services will include the following elements of work, all
in accordance with our present Agreement for Engineering Services
dated May 28, 1983, with amendments and additions as follows:
A. SCOPE OF ADDITIONAL SPECIAL SERVICES
Section VII (17) - PRELIMINARY DESIGN OF OVERPASS "C-1"
DESIGN CONCEPT
After written authorization by the City to proceed with the
Preliminary Design Phase, the Engineer shall:
1. Establish the scope, and advise the -City, of any. soi 1
and foundation investigations or any special surveys or

3. Prepare preliminary design of the approved schematic
plan, including preliminary drawings and sketches of
roadway, approaches, bridge structures, drainage
facilities, cross -sections, frontage roads, roadway
illumination, and landscaping.
4. Prepare design criteria.
5. Prepare outline specifications.
6. Prepare preliminary plans for necessary utility
adjustments.
7. Determine right-of-way requirements.
8. Furnish five (5) copies of the preliminary drawings,
design criteria, outline specifications and cost
estimates to the City for review and approval.
Section VII (17) - FINAL DESIGN OF OVERPASS "C-1" DESIGN
CONCEPT
After written authorization by the City to proceed with the
Final Design Phase, the Engineer shall:
1. Prepare detailed specifications and contract drawings
for construction authorized by the City, including
detailed specifications and contract drawings for the
relocation of water distribution and sanitary sewage
collection lines. All other utility relocation designs
will be performed by others as determined by the City.
These designs shall in all respects combine the
application of sound engineering principles.
2. Prepare general and special conditions using City of
Lubbock standard contract conditions and construction
specifications.
3. Prepare instructions to bidders, proposal forms and
notice to bidders.
4. Prepare a cost estimate, based on the final design, for
construction authorized by the City including water and
sanitary sewer utility adjustments. Cost estimates for
all other relocated utilities will be prepared by the City.
5. -Furnish to the City five (5) copies of the completed
plans, specifications and contract documents for review
and approval.

Section VII (17) - BIDDING OF OVERPASS "C-1" DESIGN CONCEPT
After written authorization to proceed with the Bidding
Phase, the Engineer shall:
1. Assist the City in the advertisement of the Project for
bids.
2. Furnish twenty (20) copies of approved contract
documents, including plans, specifications, proposals
and notice to bidders, as required for bidding purposes.
Compensation for copies in excess of twenty shall be
determined in accordance with Section VII.
3. Assist the City in the opening and tabulation of bids
for construction of the Project, and recommend to the
City as to the proper action on all proposals received.
4. Assist City in the preparation of formal Contract
Documents.
Section VII (17) - CONSTRUCTION OF OVERPASS "C-1" DESIGN
CONCEPT
After written authorization to proceed with the Construction
Phase, the Engineer shall:
1. Make periodic visits to the site (as distinguished from
the continuous services of a Resident Project
Representative described in Subparagraph 3 below) to
observe the progress and quality of the executed work
and to determine in general if the work is proceeding in
accordance with the Contract Documents. In performing
this service, the Engineer will make spot observations
to check the quality or quantity of the work or
material; he will not be responsible for the techniques
and sequences of construction or the safety precautions
incident thereto, and he will not be responsible or
liable in any degree for the contractor's failure to
perform the construction work in accordance with the
Contract Documents. During visits to the construction
site, and on the basis of the Engineer's onsite
observations as an experienced and qualified design
professional, he will keep the City informed of the
extent of the progress of the work.

2. Consult and advise with the City; make recommendations
to the City regarding materials and workmanship; and
prepare.and issue change orders with City's approval.
Routine change orders, such as substitution of material
or equipment and extension of time are considered a part
of the maximum compensation noted in Paragraph B as
follows, therefore no extra charge could be made for
these services. However, change orders requested by the
City, or made necessary by changed site conditions,
shall be considered special services and shall be paid
for as specified in Section VII.
3. If specifically authorized by City in writing, furnish
the services of Resident Project Representatives, and
other field personnel for continuous on -the -site
observation of construction and for the performance of
required construction layout surveys. Furnishing the
services of a Resident Project Representative is not
included in the maximum compensation noted in Paragraph
B as follows. If provided, compensation shall be
determined under Section VII. The authority and duties
of such Resident Project Representatives are limited to
examining the material furnished and observing the work
done, and to reporting their findings to the engineer.
The Engineer will use the usual degree of care and
prudent judgement in the selection of competent Project
Representatives, and the Engineer will use his best
efforts to see that the Project Representatives are on
the job to perform their required duties. It is agreed,
however, that the Engineer does not underwrite,
guarantee, or insure the work done by the contractors.
Failure by any Project Representative or other personnel
engaged in on -the -site observation to discover defects
or deficiencies in the work of the contractors shall not
relieve the contractor for liability therefore or
subject the Engineer to any liability for any such
defect or deficiencies.
4. Review samples, catalog data, schedules, shop drawings,
laboratory, shop and mill tests of material and
equipment and other data which the contractor is
required to submit, for compliance with the information
given by the Contract Document; and assemble written
guarantees which are required by the Contract Documents.
5. Prepare or review monthly and final estimates for City's
payments to contractors.

B. BASIS OF COMPENSATION

For providing the Scope of Additional Special Services outlined
above, we propose to be paid in accordance with Section VII of
our contract dated May 28, 1983. Section VII covers special
assignments and services not included in our basic
compensation. For the above services rendered, the City shall
pay HDR on an hourly basis in accordance with the schedule set
forth in Section VII. As stipulated in our May 28, 1983
agreement, the compensation schedule as shown in Section VII of
our contract dated May 28, 1983 shall be revised as follows for
special services and basic services required after December 31,
1983. In addition, the City shall pay HDR for all non -labor
and sub -contract expenses at .cost plus fifteen percent (15%).
The total amount which the City shall pay to HDR for the above
additional special services rendered shall not exceed Three
Hundred Six Thousand and No/100 Dollars ($306,000), unless the
scope of services is increased and the City and HDR mutually
agree to increase the maximum amount.

Partial payments for the above services shall be made monthly,
by the City, in accordance with Section VI, Paragraph A of our
contract dated May 28, 1983, upon presentation of monthly
statements by HDR for such services.
C. PERIOD OF SERVICE FOR ADDITIONAL SPECIAL SERVICES
The provisions of this Proposal and the various rates of
compensation for the Engineer's services provided herein have
been agreed to in anticipation that the preliminary Phase will
proceed immediately in an orderly and continuous manner. Each
phase of the Engineer's services shall be completed as
follows, after the City's written authorization to HDR to
proceed with each phase of the work.

The time of completions stated above are exclusive of the time
required for review and approval by the City, each Railroad
and other affected utility companies.
If the Engineer's services for design or during construction
for the Overpass "C-1" Design Concept are delayed or suspended
in whole or in part by City for more than three months for
reasons beyond Engineer's control, Engineer shall on written
request to City (but without termination of this Agreement) be
paid for services performed to date. If such delay or
suspension extends for more than one year for reasons beyond
Engineer's control, the various fees for compensation provided
for elsewhere in this Agreement shall be subject to
renegotiation.

We are submitting this proposal in six (6) copies. This proposal
shall constitute Amendment No. 2 to the contract between HDR and
the City of Lubbock dated May 28, 1983. If this proposal meets
with your approval, please execute.all copies in the space provided
below and return all copies to this office for further processing.
We certainly appreciate the privilege of performing these
additional services for the City of Lubbock and stand ready to
commence work at your direction.
