HomeMy WebLinkAboutResolution - 4091 - Supplemental Agreement #1 - EG&G Special Projects Inc - Security System, LIA - 02_25_1993Resolution No. 4091 February 25, 1993 Item #36 RESOLUTION BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK: THAT the Mayor of the City of Lubbock BE and is hereby authorized and directed to execute for and on behalf of the City of Lubbock, subject to Federal Aviation Administration approval, if necessary, Supplemental Agreement No. 1 to Security and Computerized Access Control System Improvements Engineering Services Agreement with EG&G Special Projects, Inc., attached herewith, which shall be spread upon the minutes of the Council and as spread upon the minutes of this Council shall constitute and be a part of this Resolution as if fully copied herein in detail. Resolution No. 4091 February 25, 1993 Item #36 SUPPLEMENTAL AGREEMENT NO. 1 TO SECURITY AND COMPUTERIZED ACCESS CONTROL SYSTEM IMPROVEMENTS ENGINEERING SERVICES AGREEMENT THIS AGREEMENT is made and entered into as of the 25th day of February , 1993, by and between the CITY OF LUBBOCK, TEXAS, hereinafter called "City", and EG&G SPECIAL PROJECTS, INC., a/k/a EG&G AVIATION SECURITY SERVICES, hereinafter called "Engineer". WITNESSETH WHEREAS, on or about July 11, 1991, City and Engineer executed an Agreement in which Engineer agreed to serve as the City's professional engineering representative to design and oversee the Security and Computerized Access Control System Improvements described in an Exhibit to such Agreement; and WHEREAS, the Agreement executed on or about July 11, 1991, limited the amount of compensation payable to the Engineer for Special Services to an amount not to exceed Eighty Four Thousand Five Hundred Eighteen Dollars ($84,518); and WHEREAS, the Contractor responsible for the construction and installation at the City's Airport of the Security and Computerized Access Control System Improvements, and whose work Engineer oversees, has failed to complete such construction and installation as scheduled; and WHEREAS, the City desires for Engineer to continue to oversee the work of the Contractor; and WHEREAS, the Engineer has agreed to continue to oversee the work of the Contractor at the same hourly rates of compensation expressed in the Agreement executed on or about July 11, 1991, provided such Agreement is amended to remove the limitation placed on the total amount of compensation payable to the Engineer for Special Services; NOW THEREFORE, for the reasons hereinabove indicated, the parties to this Supplemental Agreement do hereby agree to amend the Agreement executed on or about July 11, 1991, as follows: 1. Numbered paragraph 3 on page 2 of the Agreement is hereby amended as follows: 3) FEES AND PAYMENTS Payment to the Engineer for the Basic Services shall be as follows: Total compensation for Design Phase Services will be on a Lump Sum basis for $271,576 as specified in Exhibit "B". Invoiced amounts will be accepted monthly, and shall be based on a percentage of the work completed. Payment to the Engineer for the Special Services shall be as follows: The Engineer shall be reimbursed for the special services on a monthly basis. Compensation for these services will be in the amount of fees set forth in Exhibit "CO. If the amount of compensation for special services exceeds Eighty Four Thousand Five Hundred Eighteen Dollars ($84,518), Engineer will continue to provide special services as are reasonably necessary at the hourly rates set forth in Exhibit OCO until such time as the Security and Computerized Access Control System Improvements are accepted by the City or September 30, 1993, whichever occurs first. All costs incurred by the Engineer for travel and the procurement of materials and/or other services will be invoiced at actual direct costs plus a 25% handling charge. 2. All other terms and conditions of the Agreement executed between the City and Engineer on or about July 11, 1991, are hereby ratified and except as above amended shall be and remain the same.
