BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby authorized and directed to
execute for and on behalf of the City of Lubbock an Amendment No. 2 to Management
Service Agreement, attached herewith, by and between the City of Lubbock and Bob Cass,
which Agreement shall be spread upon the minutes of the Council and as spread upon the
minutes of this Council shall constitute and be a part of this Resolution as if fully copied
herein in detail.

AMENDMENT NO. 2

This Amendment to that existing Agreement by and between the City of Lubbock
and Mr. Bob Cass executed on the 23rd day of September 1993, is hereby entered into on
the date last written.
WITNESSETH:
WHEREAS, the City Council and Mr. Bob Cass desire to extend the term of the
above agreement for a period of two additional months.
NOW THEREFORE, KNOW ALL MEN BY THESE PRESENTS:
1. That Section 7 of the Agreement first above mentioned is hereby amended
to read as follows:
7. Termination - In the event CASS' employment is
terminated by the City Council by written notice while CASS is willing
and able to perform the duties of City Manager, the CITY agrees to
compensate CASS' payment equal to 12 months salary provided, however,
that CASS has not secured other employment. Should CASS obtain
employment within the 12 month period, then the termination pay will
cease upon that employment and the CITY shall be only obligated to pay a
percentage of the salary allowances and all benefits received equal to the
number of days that CASS was unemployed. Such termination pay is to
be distributed in accordance with the same pay period for City employees
of equal longevity and pay status.
2. That all other terms and provisions of said Agreement remain effective
between the parties as originally set forth in the Management Agreement of September
23, 1993, executed by the parties hereto, save and except, as amended by paragraph 1 of
this Amendment.
