Resolution No. 3874 April 23, 1992 Item #26 RESOLUTION RESOLUTION ACCEPTING A BID FOR THE CONSTRUCTION OF THE OMNIMAX THEATER (EXHIBITION HALL/AUDITORIUM); AUTHORIZING THE MAYOR TO EXECUTE A CONTRACT FOR CONSTRUCTION; AND ACCEPTING ASSIGNMENT OF CONTRACTS FOR THE PROJECTOR SCREEN AND ELECTRONIC CONTROLLER. WHEREAS, the City of Lubbock, pursuant to the authority granted to it in Art. 1269j 4-1, V.A.T.S., intends to construct an exhibition hall/ auditorium within the City to be known as the Omnimax Theater; and WHEREAS, the City of Lubbock finds that such project is a public purpose and will benefit the City and its citizens; and WHEREAS, the City did enter into a "Land Acquisition and Management Agreement" with Science Spectrum, Inc., a nonprofit Texas Corporation, on the 28th day of February, 1991; and WHEREAS, the above contract authorized Science Spectrum, subject to the approval of the City and in compliance with procurement laws applicable to the City, to solicit sealed bids for the construction of the Omnimax Theater; and WHEREAS, the Science Spectrum did solicit such seal bids and now presents same to the City Council for acceptance or rejection; and WHEREAS, the City Council of the City of Lubbock believes it is in the best interest of the City and its citizens to accept the low bid for the construction of the Omnimax Theater; and WHEREAS, the Science Spectrum did present all bids received for the construction of said theater to the City Council on the 23rd day of April, 1992, in open session; and WHEREAS, Science Spectrum, pursuant to the terms of the agreement with the City of Lubbock and acting as its agent, did enter into two contracts for the procurement of the dome screen and media control/theater automation system; and WHEREAS, both contracts referred to in the proceeding paragraph were and are single source items necessary for the construction of the theater; and WHEREAS, said contracts are exempt from the provisions of Sec. 252.021 of the Local Government Code of the State of Texas being single source items, (Sec. 252.022, Sec. (a) 7A, Local Government Code); and WHEREAS, said contracts must be assigned at this time to the City of Lubbock so that all construction and procurement on this project will be coordinated; BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK: THAT the bid of Lee Lewis Construction, Inc. is the low bid for the construction of the Omnimax Theater and such bid so submitted is hereby accepted and the Mayor is authorized to execute a construction contract for the amount of the bid price submitted with Lee Lewis Construction, Inc. for the construction of the Omnimax Theater complex. BE IT FURTHER RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK: THAT the Mayor is authorized to execute all necessary documents accepting the assignment by Science Spectrum, Inc. of the contracts for the procurement of the dome screen and the procurement of the media control/theater automation system heretofore executed on behalf of the City by its agents under the contract of February 28, 1991, between the City of Lubbock and Science Spectrum, Inc. The Schedule of Values shall allocate the entire Contract Sum among the various portions of the Work and be prepared in such form and supported by such data to substantiate Its accuracy as the Architect may require. This Schedule, unless objected to by the Architect, shall be used as a basis for reviewing the Contractor's Applications for Payment. 5.5 Applications for Payment shall indicate the percentage of completion of each portion of the Work as of the end of the period covered by the Application for Payment. 5.6 Subject to the provisions of the Contract Documents, the amount of each progress payment shall be computed as follows: 5.6.1 Take that portion of the Contract Sum properly allocable to completed Work as determined by multiplying the percentage completion of each portion of the Work by the share of the total Contract Sum allocated to that portion of the Work in the Schedule of Values, less retainage of FIVE percent ( 5 %). I AUTHORIZED RES ACORD 2S-S 7/90 1I ®ACORD CORPORATION 1990 ADDENDUM 1 THE FOLLOWING EXCEPTIONS AND ADDITIONS NEED TO BE MADE TO THE SCIENCE SPECTRUM OMNI THEATER COMPLEX CONTRACT IN VIEW OF THE CITY OF LUBBOCK BEING THE CONTRACTING ENTITY. General Conditions, Sec. 1.3.1. Add the following sentence. The Owner is entitled to have a complete set of the drawings, specifications and other documents pertaining to the Work to use as needed for repair and similar uses. The Owner shall not use such drawings, specifications or other documents in connection with any other project without the prior written approval of the Architect. General Conditions, Sec. 2.2.1. This paragraph shall be deleted from the General Conditions and shall be of no effect. General Conditions, Sec. 3.4.2. The following language shall be added to such paragraph. During the performance of this contract, the contractor agrees as follows: 1. The Contractor shall not discriminate against any employee or applicant for employment because of race, color, religion, sex, or national origin. The Contractor shall take affirmative action to ensure that applicants for employment are employed, and that employees are treated during employment, without regard to their race, color, religion, sex, or national origin. Such action shall include, but not be limited to, the following: employment, upgrading, demotion, or transfer; recruitment or recruitment advertising; layoff or termination; rates of pay or other forms of compensation; and selection for training, including apprenticeship. 2.' The Contractor shall post in conspicuous places, available to employees the applicants for employment, notices to be provided by Contracting Officer setting forth the provisions of this nondiscrimination clause. The Contractor shall state that all qualified applicants will receive consideration for employment without regard to race, color, religion, sex or national origin. 3. Contractor shall comply with the Americans with Disabilities Act of 1990, and shall not discriminate against a qualified individual with a disability because of the disability of such individual in regard to job application procedures, the hiring, advancement, or discharge of employees, employee compensation, job training, and other terms, conditions, and privileges of employment. 4. Contractors shall incorporate foregoing requirements in all subcontracts. Supplemental General Conditions, Sec. 3.18. This paragraph shall be deleted from the Supplemental General Conditions and shall be of no effect. General Conditions, Sec. 4.2.4. Delete the first sentence of said paragraph. General Conditions, Sec. 4.2.8. Delete the phrase, "and may authorize minor changes in the Work as provided in Paragraph 7.4." General Conditions, Sec. 4.3.2. Delete from the first sentence, the phrase, ",including those alleging an error or omission by the Architect,". General Conditions, Article 7. Changes in the Work may be accomplished only by change orders executed by the Owner in accordance with Chapter 252 of the Texas Local Government Code. Changes in the Work and Minor Changes in the Work shall not be executed in connection with this contract. General Conditions, Sec. 13.7.1. This paragraph shall be deleted from the General Conditions and shall be of no effect. General Conditions, Sec. 14.2.2. Delete from the first sentence, the following phrase, ", upon certification by the Architect that sufficient cause exists to justify such action,". General Conditions, Sec. 3.8.
