RECITALS WHEREAS, the City has issued a Request for Proposal 22-16647-MA Temporary Employment Services. WHEREAS, the proposal submitted by the Contractor has been selected as the proposal which best meets the needs of the City for this service; and WHEREAS, Contractor desires to perform as an independent Contractor to provide Temporary Employment Services, upon terms and conditions maintained in this Agreement; and NOW THEREFORE, for and in consideration of the mutual promises contained herein, the City and Consultant agree as follows: City and Contractor acknowledge the Agreement consists of the following exhibits which are attached hereto and incorporated herein by reference, listed in their order of priority in the event of inconsistent or contradictory provisions: 1. This Agreement 2. Exhibit A — General Requirements 3. Exhibit B — Proposal 4. Exhibit C — Best and Final - Bill Rate Sheet Scope of Work Contractor shall provide the services that are specified in Exhibit A. The Contractor shall comply with all the applicable requirements set forth in Exhibit B, and C attached hereto. Article 1 Services 1.1 The contract shall be for a term of one (1) year, with the option of four (4), one year extensions, said date of term beginning upon formal approval. This contract shall remain in effect until the expiration date, performance of service ordered, or termination by either party with a thirty (30) day written notice. Such written notice must state the reason for cancellation. The City of Lubbock does not guarantee any specific amount of compensation, volume, minimum, or maximum amount of services under this proposal and resulting contract. The Contractor must maintain the insurance coverage required during the term of this contract including any extensions. It is the responsibility of the Contractor to ensure that valid insurance is on file with the Purchasing and Contract Management Department as required by contract or contract may be terminated for non-compliance. 1.2 This contract shall remain in effect until the first of the following occurs: (1) the expiration date, (2) performance of services ordered, or (3) termination of by either party with a 30 day written notice. Such written notice must state the reason for cancellation. The City of Lubbock reserves the right to award the canceled contract to the next lowest and best bidder as it deems to be in the best interest of the city. 1.3 The Contractor shall not assign any interest in this Agreement and shall not transfer any interest in the Agreement, whatsoever, without prior consent of the City. 1.4 All funds for payment by the City under this Agreement are subject to the availability of an annual appropriation for this purpose by the City. In the event of non -appropriation of funds by the City Council of the City of Lubbock for the goods or services provided under the Agreement, the City will terminate the Agreement, without termination charge or other liability, on the last day of the then -current fiscal year or when the appropriation made for the then -current year for the goods or services covered by this Agreement is spent, whichever event occurs first. If at any time funds are not appropriated for the continuance of this Agreement, cancellation shall be accepted by the Contractor on 30 days prior written notice, but failure to give such notice shall be of no effect and the City shall not be obligated under this Agreement beyond the date of termination. Article 2 Miscellaneous. 2.1 This Agreement is made in the State of Texas and shall for all purposes be construed in accordance with the laws of said State, without reference to choice of law provisions. This Agreement is performable in, and venue of any action related or pertaining to this Agreement shall lie in, Lubbock, Texas. 2.2 This Agreement and its Exhibits contains the entire agreement between the City and Contractor and supersedes any and all previous agreements, written or oral, between the parties relating to the subject matter hereof. No amendment or modification of the terms of this Agreement shall be binding upon the parties unless reduced to writing and signed by both parties. 2.3 This Agreement may be executed in counterparts, each of which shall be deemed an original. 2.4 In the event any provision of this Agreement is held illegal or invalid, the remaining provisions of this Agreement shall not be affected thereby. 2.5 The waiver of a breach of any provision of this Agreement by any parties or the failure of any parties otherwise to insist upon strict performance of any provision hereof shall not constitute a waiver of any subsequent breach or of any subsequent failure to perform. 2.6 This Agreement shall be binding upon and inure to the benefit of the parties and their respective heirs, representatives and successors and may be assigned by Contractor or the City to any successor only on the written approval of the other party. 2.7 All claims, disputes, and other matters in question between the Parties arising out of or relating to this Agreement or the breach thereof, shall be formally discussed and negotiated between the Parties for resolution. In the event that the Parties are unable to resolve the claims, disputes, or other matters in question within 30 days of written notification from the aggrieved Party to the other Party, the aggrieved Party shall be free to pursue all remedies available at law or in equity. 2.8 At any time during the term of the contract, or thereafter, the City, or a duly authorized audit representative of the City or the State of Texas, at its expense and at reasonable times, reserves the right to audit Contractor's records and books relevant to all services provided to the City under this Contract. In the event such an audit by the City reveals any errors or overpayments by the City, Contractor shall refund the City the full amount of such overpayments within 30 days of such audit findings, or the City, at its option, reserves the right to deduct such amounts owing the City from any payments due Contractor. 2.9 The City reserves the right to exercise any right or remedy to it by law, contract, equity, or otherwise, including without limitation, the right to seek any and all forms of relief in a court of competent jurisdiction. Further, the City shall not be subject to any arbitration process prior to exercising its unrestricted right to seek judicial remedy. The remedies set forth herein are cumulative and not exclusive, and may be exercised concurrently. To the extent of any conflict between this provision and another provision in, or related to, this do. 2.10 The Contractor shall not assign or sublet the contract, or any portion of the contract, without written consent from the Director of Purchasing and Contract Management. Should consent be given, the Contractor shall insure the Subcontractor or shall provide proof of insurance from the Subcontractor that complies with all contract Insurance requirements document, this provision shall control. The City utilizes approximately 25 to 35 clerical and professional temporary workers per year. Each clerical or professional temporary worker requested works from a few days to several months, where the majority of requests are two to six weeks in duration. The City also utilizes approximately 150 to 225 trade's temporary workers per year. The majority of these workers are utilized during the summer months as seasonal workers and work from about the middle of May through the middle of September. A Medical category is included for the Health Department on a contingency basis or as needed. 1.2 The City may select more than two temporary employment agencies, per job family category, to service this contract and will provide personnel requests to the agencies that provide the most prompt and quality placement by category. The City has spent an average of $1.9 million each year over the past four years for temporary employment services. The total appropriation for temporary employment services in FY 2021-20 budget is $1.6 million. 1.3 The City of Lubbock will require the successful temporary employment agencies to conduct a standard background check for all temporary employees placed with the City and provide copies to the designated representative at the City of Lubbock. 1.3.1 Telephone reference checks to ensure education and skills are correct, as presented on an applicant's application. 1.3.2 Conduct criminal history checks, through the Texas Department of Public Safety or State of Current Residence, on all applicants who are being referred for City jobs. 1.3.3 Make every reasonable effort to contact past and present employers to gain information about the work habits of the applicant(s). 1.3.4 The Lubbock Police Department will conduct a more thorough background check on any temporary employee(s) who will be required to work in confidential police work areas or police records. 1.4 The City of Lubbock will require the temporary employment agencies to conduct pre- employment screening for all temporary employees placed with the City and provide documentation that the temporary employees passed to the designated representative at the City of Lubbock prior to placement. 1.4.1 All temporary employees must have a drug screening completed within ten (10) days prior to placement. 1.4.2 Temporary employees in trades' positions will have a physical exam, as needed, completed within thirty (30) days prior to placement, unless they have had one within the last six (6) months. 1.4.3 Temporary employees who drive City vehicles must have a driver's license check completed within one (1) year prior to placement. 1.4.4 Prior to placement at the City, Human Resources will run a check through our internal databases and approve all temporary applicants for placement. 1.5 The City currently uses Microsoft Office Products. GENERAL CONDITIONS 2.1 Agency will quote an hourly wage and bill rate at various levels (EXHIBIT C) for each type of temporary worker described in the job descriptions in EXHIBIT B, as applicable. These rates will remain effective for one year. Any increases in the second and third year of the contract shall be in accordance with the Consumer Price Index; however, a three to five year price guarantee will be looked on favorably. The rate should encompass any payments to the temporary employee as well as applicable costs for conducting Driver's License Checks, Criminal History Background Checks, Drug/Alcohol Screens, Physicals, etc. Workers compensation coverage will be the responsibility of the agencies. Agency must notate any difference in mark-up percentage for overtime pay. Overtime is defined as more than 40 hours actually worked in any one week beginning on Saturday and ending on Sunday. City of Lubbock Retirees, returning to their same position, are an exception to the quoted rates. They can return through a staffing agency at the same hourly rate upon retirement. The hourly wage shall be verified with the designated representative at the City of Lubbock prior to the temporary assignment. The bill rate for these employees shall be at the same percentage or better as all other temporary employees. The City reserves the right to request a temporary employee for a position that is not included in this contract. The hourly wage shall be verified with the designated representative at the City prior to the temporary assignment. These rates will be at 5% under the City's pay plan but no lower than minimum wage. The bill rate for these temporary employees shall be at the same percentage as all other temporary employees. 2.2 The selected agencies will appoint one person who is an employee of the agency who will service this contract and who will be the liaison between the City and their agency. 2.3 The agencies will be solely responsible for ensuring the workers they provide the City meet all legal requirements to be able to work in the United States and complete the I-9 form accurately and in its entirety. 2.4 The agencies will be able to provide temporary workers within 8 hours of the request and if the City is not contacted and/or provided with a temporary within that time period the City reserves the right to contact another agency for service. 2.5 The agencies will provide workers who possess the necessary skills, knowledge, and ability to perform the jobs into which they are to be placed, as per attached job description. 2.6 The City reserves the right to reject workers provided by the successful agencies, if they are found to be unacceptable before or after starting on the job to which they have been assigned. 2.7 There shall be no obligation on the part of the City to hire any temporary worker it is supplied under the terms of this RFP on a full time basis following the term of the temporary employment. 2.8 Should the City wish to hire an individual who has been filling the temporary position, neither the individual nor the City will be required to pay a placement fee. 2.9 The selected agencies will have and maintain a $500,000 crime bond on the employees it provides to the City to protect the City from any loss caused by the workers it provides. 2.10 The successful agencies are to provide the City with weekly billing by department. Normal payment terms are Net 30. The ability to accept a City purchasing card for payment is preferred. 3 CONTRACT TERM/TERMINATION 3.1 The contract shall be for a term of one year with the option to renew for four additional one year terms, said date of term beginning upon City Council date of formal approval and shall continue without interruption from the executed date, under the same terms and conditions. 3.2 The City reserves the right to terminate the contract in whole or in part, for any reason, by providing a thirty (30) day written notice to the Agency. 4 INDEMNITY INSURANCE PROOF OF COVERAGE SHALL BE FURNISHED TO THE CITY OF LUBBOCK IN THE FORM OF A CERTIFICATE OF INSURANCE. THE INSURANCE CERTIFICATES FURNISHED SHALL NAME THE CITY OF LUBBOCK AS A PRIMARY ADDITIONAL INSURED AND PROVIDE A WAIVER OF SUBROGATION IN FAVOR OF THE CITY OF LUBBOCK, OR IN THE ALTERNATIVE, SHALL BE ACCOMPANIED BY A STATEMENT FROM THE CONTRACTOR TO THE EFFECT THAT NO WORK ON THIS PARTICULAR PROJECT SHALL BE SUBCONTRACTED. IT SHALL BE THE CONTRACTOR'S RESPONSIBILITY TO PROVIDE TO THE OWNER ALL PROOF OF COVERAGE INSURANCE DOCUMENTS INCLUDING WORKERS COMPENSATION COVERAGE FOR EACH SUBCONTRACTOR. 4.1 Agency shall indemnify, hold harmless, and defend the City of Lubbock, its officers and employees from and against any and all liability or alleged liability without fault and liability by virtue of the obligations that the City of Lubbock assumes toward its indemnity(s) insofar as applicable to this Contract or the work to be performed hereunder and including cost of suit, attorneys' fees, and all other related costs and expenses of whatever kind or character arising directly or indirectly from any cause whatsoever in connection with or incidental to this Contract or the work to be performed hereunder, including such injury or harm as may be caused in part by any neglect, act, or omission of the City, its officers and employees, excepting only such injury or harm as may be caused solely by an act or omission of the City, its officers and employees. Notwithstanding the foregoing, the Agency specifically agrees to so indemnify, hold harmless, and defend the City from and against any and all such liability, suits, action, legal proceedings, claims, or demands that may be made or pursued by an employee of Agency, or of any subcontractor, or materials man, or anyone acting on behalf of contractor in connection with or incidental to this Contract which are alleged to be attributable to any condition of or upon the City's property facilities, materials, or equipment, including where such condition and resulting injury or harm is caused in part by any negligent act or omission of City, its officers and employees, but excepting only such injury or harm as may be caused solely by an act or omission of City, its officers and employees. Agency agrees to waive any and all claims and suits covered by this indemnity agreement and agrees that any insurance carrier involved shall not be entitled to subrogation under any circumstance against City, its officers and employees. 4.2 The Agency shall secure and maintain insurance for the duration of the contract. Proof of the Agency's liability insurance shall be provided prior to receipt of a signed contract. The following insurance is required. Commercial General Liability Requirements: $2M occurrence / $4M aggregate (can be combined with an Excess Liability to meet requirement). CGL is required in ALL contracts. It is perhaps the most important of all insurance policies in a contractual relationship. It insures the Contractor has broad liability coverage for contractual activities and for completed operations. Automobile Liability Requirements: $1 M/occurrence is needed Professional Liability Requirements: $ 1 M occurrence / $2M aggregate Workers Compensation and Employer Liability Requirements: Statutory. If the vendor is an independent contractor with no employees and are exempt from providing Workers' Compensation coverage, they must sign a waiver (obtained from COL Purchasing) and include a copy of their driver's license. Special Insurances Crime Protection Coverage Requirements: Employee Dishonesty or Fidelity Bond coverage 4.3 All policies or certificates shall also contain the following endorsements: 4.3.1 Name insured wording which includes the Agency, Subcontractors, and the City of Lubbock with respect to general liability and automobile liability. 4.3.2 All liability policies shall contain cross liability and severability of interest clauses. 4.3.3 A waiver of subrogation in favor of the City of Lubbock for all types of insurance coverages. 4.3.4 The policy shall be endorsed to require the insured to immediately notify the City of Lubbock of any changes in the insurance coverage. 4.4 All insurance shall be purchased from an insurance company that meets the following requirements. 4.4.1 A Best financial grading of A:VII or better 4.4.2 Licensed and admitted to do business in the State of Texas and is a subscriber to the Texas Guaranty Fund. 4.5 All insurance must be written on forms filed with and approved by the Texas State Board of Insurance. Certificates of insurance shall be prepared and executed by the insurance company or its authorized agent and shall contain provisions representing and warranting the following: 4.5.1 The company is licensed and admitted to do business in the State of Texas. 4.5.2 The company's forms have been approved by the Texas State Board of Insurance. 4.5.3 Sets forth all endorsements as required above. 4.6 The City of Lubbock shall receive at least twenty (20) calendar days' notice prior to cancellation or termination of insurance, except in the case of non-payment. KT Black employees are properly trained for the specific job requirements in accordance with industry standards. Our internal data base has a list of skills tied to each job title. This assessment is performed by the sales and recruiting team for each employee as they are entered into our pool of employees. Additionally, the online employee profile has a section for the employee to identify their skill set, job titles, licenses, credentials, and desired geographic work locations. Each time an employee is assigned to a new client, the sales and recruiting team reassess the employee's qualifications. Employee credential files are kept current and upon request copies of employee licenses and credentials will be provided to the City. KT Black will immediately notify the City should any employee lose their credentials, licensures, or certifications required to perform their assigned job. 2.0 Methodology used to supply qualified personnel after notification of need (criminal history checks through the Texas Department of Public Safety, drug testing, etc.). Time and experience have prepared our team for the ongoing and upcoming demands of the job and KT Black acknowledges it can provide temporary workers within 8 hours of the request. Criminal history checks will be conducted on all applicants referred to the City and will be through the Texas Department of Public Safety or the employee's State of Current Residence. The resources, levels of exclusion, and output format are all customized to meet the specific needs of each client. This flexibility appeals to clients such as educational institutions, food service companies, construction contractors, and both the federal and public sectors. Proof of background checks will be provided to the City when the applicant is presented for review KT Black Services uses a variety of drug testing services. A few of the more common entities are Quest Diagnostics, Concentra, and Prime Medical Testing. The KT Black HR department will work with each employee to identify a drug screen location that is easily accessible from the employee's residential location. KT Black will conduct a ten (10) panel drug testing on all temporary employees within ten (10) days prior to placement. Proof of testing will be provided to the City on the first day of employment. Any candidate who fails the drug screen will not be considered for employment. Temporary employees in trades' positions will have a physical exam, as needed completed within thirty (30) days prior to placement, unless they have had one within the last six (6) months. 3.0 Ability to provide driver's license checks completed no longer than one year before placement. A required part of the KT Black employee onboarding process is verification of current status for all employee certifications and licenses which includes driver's and CDL licenses. When employees are assigned to a new client, expiration dates are reviewed, Motor Vehicle Records (MVR) reverified along with any and all other license and certifications. 4.0 Describe procedures to replace workers that do not meet job expectations. At the beginning of each assignment, we stress to our customers that any concerns they have should promptly be addressed with their KT Black representative so that we can immediately address those concerns. KT Black Acknowledges the City reserves the right to reject workers they find to be unacceptable before or after starting on the job to which they have been assigned. Once the City representative notifies the KT Black Point of Contact, our staff will notify the employee immediately. Depending on circumstances, this may be done by phone or in -person. Should the City deem an employee unsuitable within the first four (4) hours of employment, KT Black Services will remove and replace the employee at no additional cost. Additional follow-up will be conducted with both the City and the employee by KT Black to gain a better understanding of the situation, behavior, and impact to the City. 5.0 Describe normal billing procedures, include sample invoice, and state overtime rates. Describe any special billing procedure, particularly markup on overtime rate and any other special circumstance. KT Black Services will submit electronic invoices to the City on a weekly basis by department. Invoices will include the applicable purchase order number and provide the employee name, hours worked and bill rate. KT Black acknowledges that the normal payment terms for the City are Net 30 and that it can accept a City purchasing card for payment. The Overtimes Rate is the rate sheet hourly rate times 1.5. There are no additional markups or special circumstances. Should the City wish to hire a temporary employee, neither the individual nor the City will be required to pay a placement fee. Additionally, KT Black acknowledges that that City reserves the right to request a temporary employee for a position that is not included in this contract. The hourly rate shall be verified with the City prior to the assignment and be at 5% under the City's pay plan but no lower than minimum wage. KT Black will perform random drug testing on a quarterly basis and Staffing Executive Crystal Dominguez will select and notify the employees. Temporary employees will have no more than 60 minutes to arrive at the designated testing location. KT Black has an established working relationship with B Black Agency in Amarillo, Texas to provide any and all required Payment and Performance bonds. KT Black does not have any work restrictions for the job descriptions listed in Exhibit B Temporary Worker Qualifications. KT Black personnel are covered by both workers compensation and general liability policies and coverage that meets or exceeds the requirements.
