HomeMy WebLinkAboutResolution - 2015-R0026 - Civic Lubbock, Inc. - 01/08/2015Resolution No. 2015-R0026 Item No. 5.26 January 8, 2015 RESOLUTION BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK: THAT the Mayor of the City of Lubbock is hereby authorized and directed to execute for and on behalf of the City of Lubbock, an Amendment to that certain License Agreement dated September 10, 2013, by and between the City of Lubbock and Civic Lubbock, Inc., and related documents. Said Amendment is attached hereto and incorporated in this resolution as if fully set forth herein and shall be included in the minutes of the City Council. December 12, 2014 Resolution No. 2015-R0026 AMENDMENT TO LICENSE AGREEMENT THE STATE OF TEXAS COUNTY OF LUBBOCK WHEREAS, the City of Lubbock ("City" hereinafter) and Civic Lubbock, Inc. ("Corporation" hereinafter) did heretofore on the 10'" day of September, 2013, enter into a License Agreement (the "Agreement") via Resolution No. 2013-110279; and WHEREAS, it is the desire of the City Council and the Corporation to amend said Agreement between the City and the Corporation; NOW THEREFORE, in consideration of the mutual promises contained herein, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, City and Corporation hereby amend the Agreement as follows: SECTION 1. New Sections 4a and 4b are hereby included in the Agreement to read as follows: 4a. For the purposes of Section 4 above, the term "salaries" shall include all applicable categories of pay for eligible City of Lubbock employees as set forth in the City Employee Policy Manual, including without limitation full-time pay, overtime pay, stability pay, bilingual pay, and accounting entries to salaries and compensated absences for accrued vacation, sick leave, and compensatory leave. 4b. For the purposes of Section 4 above, the term "benefits" shall include those benefits for which the City of Lubbock provides to every eligible City of Lubbock employee, including required City of Lubbock contributions on behalf of the employee to the Texas Municipal Retirement System, employer's share of social security and Medicare tax, health and dental insurance coverage, workers compensation insurance, and basic life insurance coverage. Reimbursement by Corporation to the City shall be based on actual contributions that the City pays for the benefit, but shall exclude accounting entries to benefits to record long-term liabilities for pension and other postemployment health benefits. SECTION 2. New Sections 6a and 6b are hereby included in the Agreement to read as follows: 6a.
