Said Contract is attached hereto and incorporated in this resolution as if fully set forth herein and shall be included in the minutes of the City Council. ("Effective Date") by and between Complete Power Pole Inspections, Inc. , (the Contractor),and the City of Lubbock (the "City"). RECITALS WHEREAS, the City has issued a Request for Proposals RFP 15 -12103 -MA for, Service Contract for Recloser Replacements, WHEREAS, the proposal submitted by the Contractor has been selected as the proposal which best meets the needs of the City for this service; and WHEREAS, Contractor desires to perform as an independent contractor to provide Service Contract for Recloser Replacements, upon terms and conditions maintained in this Agreement; and NOW THEREFORE, for and in consideration of the mutual promises contained herein, the City and Contractor agree as follows: City and Contractor acknowledge the Agreement consists of the following exhibits which are attached hereto and incorporated herein by reference, listed in their order of priority in the event of inconsistent or contradictory provisions: 1. Exhibit D — Insurance Scope of Work Contractor shall provide the services that are specified in Exhibit A. The Contractor shall comply with all the applicable requirements set forth in Exhibit B, and hereto. Article 1 Services 1.1 Contractor agrees to perform services for the City that are specified under the General Requirements set forth in Exhibit A. The City agrees to pay the amounts stated in Exhibit B, to Contractor for performing services. 1.2 Contractor shall use its commercially reasonable efforts to render Services under this Agreement in a professional and business -like manner and in accordance with the standards and practices recognized in the industry. Nonappropriation clause. All funds for payment by the City under this Agreement are subject to the availability of an annual appropriation for this purpose by the City. In the event of nonappropriation of funds by the City Council of the City of Lubbock for the goods or services provided under the Agreement, the City will terminate the Agreement, without termination charge or other liability, on the last day of the then -current fiscal year or when the appropriation made for the then -current year for the goods or services covered by this Agreement is spent, whichever event occurs first. If at any time funds are not appropriated for the continuance of this Agreement, cancellation shall be accepted by the contractor on thirty (30) days prior written notice, but failure to give such notice shall be of no effect and the City shall not be obligated under this Agreement beyond the date of termination. Article 2 Miscellaneous. 2.1 This Agreement is made in the State of Texas and shall for all purposes be construed in accordance with the laws of said State, without reference to choice of law provisions. 2.2 This Agreement is performable in, and venue of any action related or pertaining to this Agreement shall lie in, Lubbock, Texas. 2.3 This Agreement and its Exhibits contains the entire agreement between the City and Contractor and supersedes any and all previous agreements, written or oral, between the parties relating to the subject matter hereof. No amendment or modification of the terms of this Agreement shall be binding upon the parties unless reduced to writing and signed by both parties. 2.4 This Agreement may be executed in counterparts, each of which shall be deemed an original. 2.5 In the event any provision of this Agreement is held illegal or invalid, the remaining provisions of this Agreement shall not be affected thereby. 2.6 The waiver of a breach of any provision of this Agreement by any parties or the failure of any parties otherwise to insist upon strict performance of any provision hereof shall not constitute a waiver of any subsequent breach or of any subsequent failure to perform. 2.7 This Agreement shall be binding upon and inure to the benefit of the parties and their respective heirs, representatives and successors and may be assigned by Contractor or the City to any successor only on the written approval of the other party. 2.8 All claims, disputes, and other matters in question between the Parties arising out of or relating to this Agreement or the breach thereof, shall be formally discussed and negotiated between the Parties for resolution. In the event that the Parties are unable to resolve the claims, disputes, or other matters in question within thirty (30) days of written notification from the aggrieved Party to the other Party, the aggrieved Party shall be free to pursue all remedies available at law or in equity. 2.9 At any time during the term of the contract, or thereafter, the City, or a duly authorized audit representative of the City or the State of Texas, at its expense and at reasonable times, reserves the right to audit Contractor's records and books relevant to all services provided to the City under this Contract. In the event such an audit by the City reveals any errors or overpayments by the City, Contractor shall refund the City the full amount of such overpayments within thirty (30) days of such audit findings, or the City, at its option, reserves the right to deduct such amounts owing the City from any payments due Contractor. 2.10 The City reserves the right to exercise any right or remedy to it by law, contract, equity, or otherwise, including without limitation, the right to seek any and all forms of relief in a court of competent jurisdiction. Further, the City shall not be subject to any arbitration process prior to exercising its unrestricted right to seek judicial remedy. The remedies set forth herein are cumulative and not exclusive, and may be exercised concurrently. To the extent of any conflict between this provision and another provision in, or related to, this document, this provision shall control. GENERAL REQUIREMENTS 1.0 General Exhibit A 1.1 The City of Lubbock owns and operates an electrical power distribution system for a water well field in Bailey County, located in the area surrounding Muleshoe, Texas. 1.2 The City of Lubbock is seeking to secure the services of a firm that is trained and talented in the repair of overhead electrical power distribution systems. This firm must be capable of replacing five primary power oil contact reclosers, defective poles, conductors, and associated hardware and appurtenances in order to improve the integrity of the electrical infrastructure. 1.3 One scheduled site visit shall be granted to all interested parties for this project. The site visit will be coordinated by the City of Lubbock Purchasing Department. Contact Marta Alvarez at 806-775-2572 or by email at malvarez(c't),mylubbock.us. 2.0 Scope of Work 2.1 Contractor shall remove existing oil contact reclosers (OCR's), any defective poles, cross arms, conductors, and hardware. Existing OCR data is found on Exhibit "A". 2.2 Any defective poles that are immediately adjacent to the pole upon which the OCR is mounted may also be evaluated for replacement by each proposer. These poles may include but may not be limited to guy poles, distribution poles, or other equipment that could compromise the integrity of the newly replaced OCR pole(s). 2.3 All work shall be performed in a de -energized condition. Contractor shall be responsible for coordinating power outages with the electrical service provider and with City staff in order to minimize disruption to the water supply to Lubbock. 2.4 The contractor shall coordinate with City staff to remove old equipment and install new automatic vacuum reclosers (AVR's), necessary poles, cross arms, conductors, hardware, and appurtenances. Contractor will be responsible for proper wiring of each new AVR including lightning arresters, poles and equipment installed by the contractor, and all wiring and hardware terminations at the top of the poles. Information regarding the new AVR's is supplied with the RFP and identified as Exhibit `B". 2.5 It is important to note that City electrical staff will be working in conjunction with the contractor to install necessary AVR controls, data communication devices, programming, and etc. Each new AVR is supplied with a separate control box that will be installed by City staff. Contractor will not be responsible for proper operation of control devices installed by City staff. 2.6 Contractor shall perform witness testing of each AVR upon completion of installation by both parties. Only one unit shall be replaced at a time. Only after successful testing of each unit will the contractor be permitted to continue to the next OCR replacement. Testing must be performed during energized conditions. Automatic and manual switch operations must be performed to successfully open and close each AVR. Contractor shall not be required to perform testing under fault conditions. 2.7 The contractor shall provide all required labor, tools, equipment, and trucks to remove the OCR's, replace defective poles, perform overhead line repairs, and install the new AVR's and associated equipment. Any poles that are replaced shall be properly tamped during installation according to industry standards to avoid movement of the pole after installation is complete. 2.8 The City shall provide all necessary poles, cross arms, braces, conductors, hardware, and etc. to the contractor for the project. These materials will be available within the secured fenced compound of the Sudan Pump Station. 2.9 It is important to note the terrain of the wellfield is very deep sand. Caution is advised whenever navigating trucks and equipment off the established roads. It may become necessary to perform work off the established roads. In these events, it may become necessary to be pulled into these locations with a four wheel drive tractor. The City of Lubbock owns a tractor that is used exclusively for this purpose. The City also has staff available to operate this unit and pull line trucks through the sandy areas. During these events, it will be necessary to coordinate work with City staff. 2.10 All equipment shall be installed as originally designed by the manufacturer. All hardware must be tightened to proper torque requirements on every pole that is worked. 2.11 Each pole is marked with a weatherproof number that identifies each pole. If the contractor replaces any pole, a replacement identification numbering tag shall be supplied by the contractor and placed seven feet above ground line on the road side of the pole. Identification shall correspond to the number from the pole that was removed. Replacement ID numbers shall be the same as original numbers used, or as closely matched as possible. Deviance from the original number type and size must be approved by the City representative prior to installation. 3.0 Treatment 3.1 For any pole that is removed and replaced, remedial ground line chemical preservative Copper Naphthenate Cu -Rap 20 as manufactured by ISK, or approved equal shall be applied to the distribution pole(s). The coating shall be not less than 1/8 inch and up to 1/4"inch thick. 3.2 The pole shall then be wrapped with a polyethylene paper moisture barrier with a minimum thickness of six (6) mils to cover the external treatment. The wrapping shall be a minimum of 22 inches wide so that it extends one inch above the treated area and shall be of sufficient length to go around the pole with an overlap of approximately four inches and shall be stapled securely to the pole at the top and bottom of the paper. 3.3 All fumigants, preservatives, and insecticides will be applied in strict compliance with labeling specifications. A copy of the commercial applicator license as issued by the Texas Department of Agriculture shall be provided with the proposal. The successful proposer shall include current copies of all material safety data sheets for each chemical used in the project. 4.0 Safety 4.1 Contractor shall be responsible for maintaining a safe worksite. 4.2 City staff will adhere to the contractor's safety policies, as minimum, but shall also adhere to their own safety policies. 4.3 All workers on each crew shall adhere to safety practices using industry standards, as minimum. Crew foremen may make additions or improvements to minimum safety standards if, in his opinion, the worksite will be safer by doing so. Safe work practice shall be enforced by the contractor's company representative. Workers that do not follow safe work practices shall be excused from the job and asked to vacate the premises. 4.4 Primary circuits that are de -energized shall be grounded and tagged out of service. 4.5 City personnel that approach the job site shall adhere to the same standards as the crew performing the work. The crew foreman shall have the authority to request all persons on the job site to adhere to these standards or vacate the job site. 5.0 Job Cleanup 5.1 Upon completion of all work at each work site, the contractor shall remove all debris and rubbish. No trash or discarded materials of any type shall be buried anywhere on the property in the well field. 5.2 All empty containers shall be properly disposed of according to manufacturer recommendations. 5.3 All discarded poles, cross arms, wire, transformers, hardware, and etc., shall be removed from each job site and properly discarded by the contractor. These items may not be left at any job site nor discarded at the pump station. Costs associated with removal of all discarded materials shall be included in the proposer's bid. 5.4 Unauthorized removal of new materials by the work crew shall be viewed by the City as theft. Theft of City property will result in permanent dismissal of the contractor or their employees from this project and could face criminal prosecution. 5.5 Final inspection shall be made to make sure no debris is left on the job site. All items removed from the poles, including the pole itself, shall be removed from the job site by the contractor. In no case shall any waste materials be left in the excavated hole prior to backfilling. Evidence of this will result in contract nullification and the contractor will be asked to leave the job site immediately. It is important that each job site be left clean. 6.0 Workmen Qualifications 6.1 All crew foremen shall be a professional journey lineman with a minimum of five years training and experience 6.2 Persons well versed and talented in the art of pole maintenance shall perform all pole work. All foremen and workmen shall maintain a positive and respectful relationship with City's representative(s). 6.3 All services performed shall comply with applicable codes, local and state policies, guidelines, and specifications. Contractor shall secure any required licenses or permits, as required by law. 6.4 Contractor shall maintain control and be responsible for their own tools, equipment, and vehicles. The City of Lubbock will provide a secured location at the pump station that may be utilized by the contractor for outdoor storage of the Contractor's equipment, if so desired. However, theft or loss of these items shall not be the responsibility of the City of Lubbock. 7.0 Quality Control 7.1 Completed work will be checked by the owner's representative and the lineman's supervisor. The inspection will consist of checking proper operation of the new AVR's 7.2 The Contractor's supervisor shall notify the City's representative and report work completion status, any problems encountered, and offer possible solutions to those problems during the course of this project. 8.0 Payment 8.1 Upon completion of all work, the contractor shall provide full disclosure statements of work completed and total billing for the project. 8.2 Within 30 days of invoice date, the City shall pay the invoice in full, barring any discrepancies. It is expected that we will complete replacement of four of the five units during these next two weeks. • The final OCR replacement can be performed with minimal disruption to the well field and no disruption to the Sudan pump station. Water treatment and flow to the City of Lubbock will not be impacted by this operation. However, the work activities will be coordinated between operations and maintenance just as the fust two phases. • The SCADA system should still have electrical power throughout all phases of the project. This will allow continued monitoring of the pump station and water quality monitoring devices. • It is important for all groups to coordinate their respective activities with one another. These tasks are not extremely difficult but they must be communicated between each group throughout the entire process in order to insure a smooth project. In the days leading up to de -energizing and re -energizing the well field, if anyone discovers a conflict, please notify me at once in order that we may develop a contingency plan.
