RESOLUTION
WHEREAS,pursuant to Article IV,Section 5 of the Amended and Restated Bylaws of the
Market Lubbock Economic Development Corporation (the "Corporation"),the City Council
of the City of Lubbock (the "City Council"),as the Corporation's authorizing unit, has the
authority to approve all programs and expenditures of the Corporation;and
WHEREAS,the City Council finds that it is in the best interest of the public to approve the
program or expenditure,as proposed to the City Council by the Corporation,as set forth in
Exhibit "A"attached hereto and incorporated herein by reference;NOW THEREFORE:
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the program or expenditure of the Corporation,in the amount set forth in Exhibit
"A"attached hereto and incorporated herein by reference, to be provided to RTGS
Broadway Development, LP, is hereby approved pursuant to Section 5 of the Amended and
Restated Bylaws of the Corporation.

RESOLUTION APPROVING RTGS Broadway Development LP
THE STATE OF TEXAS
COUNTY OF LUBBOCK
At a regular meeting of the Board of Directors of MARKET LUBBOCK ECONOMIC
DEVELOPMENT CORPORATION, INC., a Texas nonprofit corporation (MLI), on Wednesday,
August 23, 2017, held in conformity with the bylaws, after due notice as therein provided, a
quorum being present and acting, the following resolution was unanimously adopted:
WHEREAS, MLI presented to members of the Board the proposal of a possible Downtown
Permittable Grant and Contract to RTGS Broadway Development LP. The terms and conditions
of such Downtown Permittable Grant and Contract, other than the normal terms and conditions
applicable to all such Downtown Redevelopment Grant and Contracts by the Corporation, are
described generally as follows, to wit:
Grant RTGS Broadway Development LP $60,426 towards converting the second -floor
courtroom into a living space and building out multiple new offices on the basement level at
their property at 800 Broadway, located within the Downtown TIF. The scope of work will
include remodeling the second -floor courtroom and converting it into an apartment, and
converting the basement into four offices with total rentable square footage of 6,513 totaling
$604,257 in expenses.
WHEREAS, The Board of Directors of MLI finds that an Downtown Permittable Grant
and Contract offering the incentive for providing assistance to get the remodeling their facility
meet and comply with the qualifications and purposes of the Corporation for the granting of such
Downtown Redevelopment Grant and Contract.
Upon Motion by Director, Mr. Calvin Davis, and Seconded by director, Mr. Jim Gilbreath,
it was approved,
IT WAS RESOLVED that MLI offer and, if accepted by Recipient, enter into an
Downtown Redevelopment Grant and Contract with RTGS Broadway Development LP. This
Downtown Redevelopment Permittable Grant and Contact will be on the normal terms and
conditions of such Downtown Grant Program and Contract offered by MLI to existing businesses
and business prospects and authorize the CEO to enter into and negotiate Performance Agreement.

RTGS Broadway Development LP converting the second -floor courtroom into a living space and building
out multiple new offices on the basement level at their property at 800 Broadway, located within the

The Downtown Grant Committee was presented the project details on August 17, 2017 to consider a
Downtown Permittable Grant for RTGS Broadway Development LP totaling $60,426 at 800 Broadway
and approved the grant on August 23, 2017.

1. Courtroom Apartment
a. We have completed the construction documents for the courtroom apartment and
obtained approval from the National Park Service and the Texas Historic Commission of
the design. A copy of the Construction Documents is enclosed as an attachment to this
letter.

2. English Basement Commercial Office
a. We have developed the conceptual plan for the commercial office space. The plan is
based on the idea of providing rentable space optimizing the areas proximate to the
exterior windows.
t
i. The plan provides a central corridor providing secure tenant access, exit egress
and centrally located male and female toilet rooms.
ii. The plan allocates tenant spaces in four locations identified as A, B, C and D.
iii. Should a user require the entire floor, the corridors can be removed to provide a
contiguous space totaling 6,513 RSF.
iv. Space A at 2,435 Rentable Square Feet (RSF), is located along the windows to
the south fronting Broadway and can be combined with space D to provide a
total contiguous space of 2,792 RSF.
v. Space B at 2,496 RSF is located along the windows to the east fronting the alley
and can be combined with space C to provide a total contiguous space of 2,931
RSF.
vi. In total, spaces A, B, C and D provides a total of 5,723 RSF.
vii. We have provided this to the Hoverstate technology which is considering this
space for their Lubbock based office.
viii. The shell and core construction documents are currently in development
