RESOLUTION
BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF LUBBOCK:
SECTION 1. THAT the Mayor be and he is hereby authorized and directed
for and on behalf of the City of Lubbock to execute the attached Contract for
Engineering Services to which the said City of Lubbock, Southwestern Public
Service Company and Black & Veatch, Consulting Engineers, are parties,, which
said Contract for Engineering Services is hereby incorporated herein by referenc
for all purposes.
SECTION 2. THAT the City Secretary -Treasurer is authorized and directed
to attest the Mayors signature to such Contract for Engineering Services,, affix-
ing the ;seal of the City of Lubbock thereto.

CONTRACT
FOR
ENGINEERING SERVICES
THIS CONTRACT, made and executed in triplicate this thirteenth day of October,
1960, by and between the City of Lubbock, Texas and Southwestern Public Service
Company (a Corporation organized and existing under the laws of the State of
New Mexico and authorized to transact business in the State of Texas) as joint
participants, hereinafter called the Utilities, Parties of the First Part, and
Black & Veatch, Consulting Engineers, Kansas City, Missouri, hereinafter called
the Engineers, Party of the Second Part,
WITNESSETH:
THAT WHEREAS, competing systems of the Utilities are operated for the purpose
of supplying electric service to users within and immediately adjacent to the
City of Lubbock, and
WHEREAS, each Utility must now construct, maintain and operate completely
separate and parallel electric systems, and
WHEREAS, it is the desire of the Utilities to obtain an engineering study of
the most feasible alternate solutions to the problem of providing electric
service to their respective customers in a more economical manner, and
WHEREAS, the Engineers are qualified to do this work, and the Utilities wish to
employ them to make the necessary studies and to assist in obtaining a mutually
agreeable and satisfactory solution to the problem;
NOW, THEREFORE, in consideration of the mutual covenants herein contained, the
Utilities hereby agree to employ the Engineers to perform the services herein-
after outlined, and to pay them for such services according to the schedule of,
fees set forth herein;
Section X. The Engineers agree to perform the following services:
A. Analyze the operations of the respective utility systems within and
immediately adjacent to the city limits of Lubbock, including, but
not necessarily limited to the following items:
1. Number of customers in each customer classification from 1930
to date.

' 2. Kilowatt hour sales and revenues from the sale of power and
energy under each customer classification during the period 1950
to date.
3. Maximum net power requirements during summer and winter seasons
and the monthly net energy deliveries to the -systems from 1950
to date.
4. Cost factors relating to parallel construction, maintenance and
operation of the two utility systems in the same general service
area.
5. Construction and operating practices of the two systems.
6. Other factors affecting electric service.
B. Study the probable power requirements to meet expected future needs
to 1970-
C. Develop feasible alternate plans for the supply of electric service
to all customers within and immediately adjacent to the city limits
of Lubbock, and estimate the comparative costs for the respective
plans.
D. Give due consideration to intangible factors affecting the alternate
plans for supply of electric service.
E. Consult with the Utilities separately and jointly as required.
F. Summarize the investigations, conclusions and recommendations in a
formal written report to the Utilities.
G. Make all reasonable personal efforts during the progress of this work
to effect agreeable solutions to the many basic problems, and continue
such efforts during negotiations and until agreement has been achieved;
provided, that if all such reasonable efforts shall have failed to
achieve satisfactory agreements within a period of 24 months from the
date of this contract, the obligation of the Engineers to continue
such efforts shall cease. This work will be personally supervised by
R. D. Woodson; important conferences will be attended by R. D. Woodson
and/or H. F. Spainhour.
Section II. The Utilities agree to supply information to the Engineers as may

A. System maps showing routing and sizes of existing transmission, sub -
transmission and primary distribution circuits. Also, insofar as
information is available, the size, location and electrical arrange-
ment of major substations and the size and location of distribution
transformers.

B. Records and information necessary in connection with the analyses to
be made under Section I, paragraph A, and the estimates under Section
I. paragraph B.
C. Such other available information and data as may reasonably be required
during the progress of the Engineers' work.
The Engineers will send a representative to Lubbock to assist the Utilities in
assembling the necessary detailed information.
Section IM It is understood and agreed that appraisals or property valuations
are not included as a part of this contract.
Section IV. For all of the services outlined in Section I, the Utilities agree
to pay tEe Engineers the lump sum amount of twenty-five thousand dollars
($25,000), such payment to be made in accordance with a mutually agreeable
schedule. Billings and payments for these services shall be divided equally
between the two participating Utilities.
IN WITNESS WHEREOF, the Parties of the First and Second Parts have hereunto
set their hands and seals on the date first above written.

I Gentlemen:
During the joint meeting on October 13 between the City Commission,
Southwestern Public Service Company and ourselves, the desire was
expressed on the part of the Commission to establish at that time a
schedule for payment of the engineering fee provided in our contract
for engineering services.
This is to confirm that the schedule mutually agreed upon is as follows:
1. An amount of $7500 to be paid approximately six months from
the contract date.
2. An amount of $7500 to be paid approximately one year from the
contract date or upon completion of theengineering services,
whichever date is first to occur.
3• The remaining amount of $10,000 to be paid upon completion of
the engineering services.
As stated in the contract
