WHEREAS, Lubbock Power & Light is the municipally owned
electric utility of the City of Lubbock ("LP&L");
WHEREAS, by Professional Services Agreement dated effective
June 14, 2018 (the "Original Agreement'), the City of Lubbock, acting
by and through Lubbock Power & Light, through action by the Electric
Utility Board and the City Council, contracted with TMG Utility
Advisory Services, Inc. ("TMG"), to perform professional consulting
services related to implementation of various systems for LP&L, as
more particularly described in the Original Agreement;
WHEREAS, by First Amendment to Professional Services
Agreement dated August 20, 2019, Resolution EUB 2019-R0054, and
City Council Resolution No. 2019-R0320 ("First Amendment'), LP&L
and TMG agreed to amend the Original Agreement as regards certain
matters relating to the TMG Utility Forum;
WHEREAS, by Second Amendment to Professional Services
Agreement dated May 19, 2020, Resolution EUB 2020-R0083, and City
Council Resolution No. 2020-R0186 ("Second Amendment'), LP&L
and TMG agreed to extend the term and increase the not -to -exceed
amount of the Original Agreement, as amended;
WHEREAS, by Third Amendment to Professional Services
Agreement dated January 19, 2021, Resolution EUB 2021-R0008 and
City Council Resolution No. 2021-R0036 ("Third Amendment'),
LP&L and TMG agreed to provide for additional support hours
necessary to complete the Services and increased the not -to -exceed
amount provided for in the Original Agreement, as amended;
WHEREAS, the Original Agreement, as amended, is in need of
further to provide for additional support hours necessary to complete the
Services, and to increase the compensation paid to TMG for such
additional work; and
WHEREAS, LP&L desires to further amend the Original
Agreement, as amended, to provide for such matters;
WHEREAS, the City Council of the City of Lubbock desires to
authorize the execution of the Fourth Amendment to TMG Advisory
Services Professional Services Agreement by the Mayor of the City of
Lubbock. NOW, THEREFORE:
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF LUBBOCK:
THAT the Mayor of the City of Lubbock BE and is hereby
authorized and directed to execute, for and on behalf of the City of
Lubbock that certain Fourth Amendment to TMG Advisory Services
Professional Services Agreement, by and between the City of Lubbock,
acting by and through Lubbock Power & Light, and TMG Utility
Advisory Services, Inc., as attached hereto and incorporated herein as
though set forth fully herein in detail, and any documents related thereto.

TMG Utility Advisory Services Professional Services Agreement
This Fourth Amendment to Professional Services Agreement (`Fourth Amendment"), is
entered into this 20th day of April 2021, by and between the City of Lubbock, Texas, acting by
and through Lubbock Power & ("LP&L"), and TMG Utility Advisory Services, Inc. (`TMG").
WITNESSETH
WHEREAS, LP&L and TMG entered into that certain Professional Services Agreement,
dated effective June 14, 2018, Resolution No. EUB 2018-R0044, and City Council Resolution No.
2018-RO195 (the "Original Agreement"), wherein LP&L, contracted with TMG to perform
professional consulting services related to implementation of various systems for LP&L, as more
particularly described in the Original Agreement;
WHEREAS, LP&L and TMG entered into that certain First Amendment to Professional
Services Agreement dated August 20, 2019, Resolution EUB 2019-R0054, and City Council
Resolution No. 2019-RO320 ('First Amendment'), wherein LP&L and TMG agreed to certain
matters related to the TMG Utility Forum;
WHEREAS, LP&L and TMG entered into that certain Second Amendment to Professional
Services Agreement dated May 19, 2020, Resolution EUB 2020-R0083, and City Council
Resolution No 2020-RO186 ('Second Amendment'), wherein LP&L and TMG agreed to perform
additional work and provided additional time required to complete the Services;

WHEREAS, LP&L and TMG entered into that certain Third Amendment to Professional
Services Agreement dated January 19, 2021, Resolution EUB 2021-R000S and City Council
Resolution No. 2021-R0036 ("Third Amendment'), to provide for additional support hours
necessary to complete the Services and increase the not -to -exceed amount provided for in the
Original Agreement, as amended;
WHEREAS, LP&L desires to further amend the Original Agreement, as amended, to
perform additional walk and provide additional time required to complete the Services;
WHEREAS, to accommodate for such additional work and time, an increase is required in
the not -to -exceed amount provided for in the Original Agreement, as amended;
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of
which is hereby acknowledged, LP&L and TMG agree as follows:
The first sentence of Article I, Term, is hereby deleted in its entirety and replaced as
follows:
"The Term of this Contract commences on the Effective Date and continues without
interruption until and including May 31, 2022."
2. Article 11, Services and Compensation, Section C, is deleted in its entirety and hereby
replaced with the following:
"Except as provided below, the total sum to be paid hereunder shall not exceed, in any
circumstance, the sum of Five Million Two Hundred Sixty-six Thousand Three
Hundred Five and 25/100 Dollars ($5,266,305).
3. Exhibit A to the Original Agreement, as amended, is hereby further amended by Exhibit 3,
to supplement existing tasks and provide for additional tasks as identified and described in
Exhibit 3, as attached hereto and incorporated herein.

4. Except as amended hereby, the terms and conditions of the Original Agreement, as
amended, shall remain valid and subsisting as originally provided.
IN WITNESS WHEREOF, the parties have executed this Fourth Amendment by their duly
authorized representatives as of the date First written above.

ACTIVITY 1.2: PROJECT MANAGEMENT —AM I IMPLEMENTATION AND SYSTEM MANAGEMENT
TASK 1.2.4: IMPLEMENTATION ACTIVITIES — PROJECT MANAGEMENT, FIELD INSTALLATION
TMG will provide additional services to support finalizing field installation. Activities
will include:
• Final Acceptance Test execution;
• Global managed service transition;
• FAT report analysis;
• Resolution of non-Itron caused deficiencies; and
• Project close out activities.
TASK 1.2.5: NETWORK PERFORMANCE MITIGATION — PROJECT MANAGEMENT
Network performance has not been to the level of ITRON's contractual commitments.
Additional services will be provided to support pre -final acceptance. Activities will include:
• Oversight of contractual obligations;
• Analysis of "in -scope" / "Out -of -scope" meter performance;
• Negotiation of any proposed solutions to performance issue;
• Detailed network performance measurement and reporting;
• Identification of poor performing meters and assigning responsibility;
• Scheduling;
• Progress reports;
• Formal and informal communication on all relevant events;
• Participation in staff meetings to ensure information sharing, problem solving and decision
making;
• Manage and document issue resolution activities; and
• Provide project advice and recommendations.
TASK 1.2.6: ITRON DATA CENTER MOVE — PROJECT MANAGEMENT
TMG will provide the services identified in Task 1.2.6, included in Exhibit 2 to the Third Amendment of
the Professional Services Agreement by and between the City of Lubbock, acting by and through
Lubbock Power & Light and TMG, entered into on or about January 19, 2021. In addition, TMG will
continue to support the data center move. Activities include:
• Coordination and task planning
• VPN testing
• Go -live monitoring and troubleshooting
TASK 1.2.7: MDM DATA INTEGRITY
TMG will support the evaluation and adjustment of meter data in MDM. Activities include:
• MDM/OWOC Register, Meter Brass investigation
• Water Invoice Credit register mix up
TASK 1.2.8: ADDITIONAL OWOC CHANNEL CONFIGURATION CHANGES

This task is in addition to Task 1.3.11, both are required. TMG will support the changes required in the
AMI system to support the additional channels requested in CCS. Activities include:
• Test Reconfiguration of AMI system interrogations
• Validation of data flow
• Full scale reconfiguration of all interrogations
• Define new meter configuration settings
• Push new meter configurations via the network to each meter
• Monitor and troubleshoot re -configuration activity impact to the system performance
TASK 1.2.9: ESTABLISH A FULL OWOC TEST ENVIRONMENT WITH HARDWARE (TASK
ASSOCIATED WITH OWOC UPGRADE)
TMG will support COLU with the establishment of a physical test environment. Activities include:
• Define requirements for a full end -to -end test system
• Develop test plan and use cases
• Execute test plan associated with OWOC upgrade
LP&L will provide the equipment for the services identified in this Task 1.2.9,
TASK 1.2.10: OWOC UPGRADE TO NEXT MAJOR RELEASE
TMG will lead the effort, and train COLU to be able to handle future upgrades. Activities include:
• Detailed project planning and project auditing
• Managing the preparation of plans (e.g., training plan, cutover plan, etc.)
• Scheduling
• Progress reports
• Issue tracking between the vendor and City of Lubbock Utilities
• Formal and informal communication on all relevant events
• Oversee and transition Management and documentation issue resolution activities
• Provide project advice and recommendations.
TASK 1.2.11: NETWORK OPTIMIZATION (ON -GOING)
TMG will support COLU in optimization of the headend and AMI network. Activities include:
• Elimination of legacy Banner support jobs
• Removal of legacy orphaned database records from ongoing Banner use
• Monitoring of data integrity between CCS and OWOC
• Identification of poor performing modules
• Process development between Itron GMS and COLU
• Training and transition to COLD employees

ACTIVITY 1.3: PROJECT MANAGEMENT - CIS/MDMS/MWFM IMPLEMENTATION
TASK 1.3.3: SFTP LOCATION
TMG will provide an SFTP location beginning upon signature of this amendment and ending November
1, 2021 that will be used by LP&L to transfer files produced by CCS or receive from vendors to be used
by Oracle CCS.
TMG will provide support and guidance to migrate the transfer of files produced by Oracle CCS or
received from vendors to be used by Oracle CCS to the SFTP server provided by Lubbock. Activities will
include:
• Document the steps to transition;
• Provide guidance to change processes to utilize Lubbock SFTP server;
• Support testing the new processes; and
• Support transitioning vendors to the new SFTP server.
TASK 1.3.5: CCS STABILIZATION SUPPORT
Note: The CCS project has used TMG's SharePoint site to store project artifacts. These project artifacts
must be moved to a City of Lubbock SharePoint so that these artifacts can be retained for future
reference.
CCS is in production but guidance on issues resolution and procedures is still needed. TMG will provide
resources to work with the City and City of Lubbock Utilities to resolve on -going issues that require more
experienced knowledge of the Oracle software and tools (CCS, OIC, OFS and SQL). Assignments will be
managed by City of Lubbock Utilities.
TASK 1.3.6: PRODUCTION REPORTS
TMG will provide on -shore and off -shore resources that will define, develop, test, and migrate reports
needed by the City Services departments and City of Lubbock Utilities. Assignments will be managed by
City of Lubbock Utilities. TMG will work with the requesting department for each report to:
• Create a design document that will be used to define the requirement;
• Develop the report based on the design document;
• Unit Test the report and provide the results; and
• Support department acceptance of the report.
TASK 1.3.7: ORACLE CCS 20C UPGRADE
Oracle provided monthly patch sand 3 times per year releases to the CCS product. The patches and
releases must be tested and accepted into production based upon the yearly schedule that Oracle
provides. Currently the releases are in April, August, and December. TMG will support City of Lubbock
Utilities as they test and accept the 20C release. This release must be accepted by City of Lubbock
Utilities by August 2021. TMG will:

• Review the 20C Oracle documentation and recommend changes that may have to be made to
interfaces and integration;
• Document the steps Lubbock will need to take for future releases;
• Support 20C testing in preparation for acceptance into production; and
• Support monitoring new production release and issue resolution after production acceptance.
TASK 1.3.8: AZURE TRAINING
Note: City of Lubbock IT will be required to initialize Azure within Office 365
TMG will train City of Lubbock and City of Lubbock Utilities on the Azure DevOps tool. This tool has been
used throughout the AM[ / CCS Solution Program and has been a useful tool to support after go -live
issues. TMG will provide training two courses to support this task:
Course 1: Basics —This course will train the student on navigation, communication within the tool, status
monitoring and how to create and execute queries within the tool.
Course 2: Test Manager: Prerequisite = Basic — This course will train the student on how to create a test
case, review of test cases for Regression testing, grouping test cases into a test plan, test tracking and
reporting.
TASK 1.3.9: CREDIT & COLLECTIONS DATABASE
The scope of data migration was to bring 2 years of billing, payments, and adjustments into the CCS
system. All outstanding debt was brought into CCS but if the debt was greater than two years, the debt
was brought into the system as a balance without detail. It was anticipated that the Credit and
Collections (C&C) group would need more detail when responding to a previous customer inquiry. It
was anticipated that the Legacy (Banner) data would be stored in an Oracle database that could be
access by the C&C group. This is still a requirement of this group. TMG will support this task by:
Create an Autonomous Data Warehouse in the cloud that can be used to store the legacy data;
Work with City of Lubbock IT staff to migrate the data from the current location to this data
warehouse; and
• Support C&C group by extracting data as needed from the data warehouse.
TASK 1.3.10: BILLING SUPPORT
In any software project it takes time to become proficient with the new process changes and location
of needed information. The City of Lubbock Utilities Business Office has requested assistance solving
billing issues, monitoring field activities and generating customer bills. TMG will provide resources to
supplement the Account Support Department. Assignments will be made by the City of Lubbock
Utilities Business Office.
TASK 1.3.11: CHANNEL CONFIGURATION FOR ELECTRIC
The initial meter configuration within CCS was designed to support customer billing. There is additional
information that can be provided by AMI to assist other departments within LP&L. This task will

complement the AMI changes required to accept and store the information into CCS. Activities include
the following:
• Validation of data flow;
• Full scale reconfiguration of all interrogations stored into CCS; and
• Support training material generation and class instruction on the use of the additional channels.

RESOLUTION

CITY OF LUBBOCK:
THAT the Director of Electric Utilities BE and is hereby authorized
and directed to execute for and on behalf of the City of Lubbock, acting by
and through Lubbock Power & Light, the municipally owned electric utility
of Lubbock, Texas ("LP&L"), that certain Fourth Amendment to
Professional Services Agreement, by and between LP&L and TMG Utility
Advisory Services, Inc., as attached hereto and incorporated herein as though
set forth fully herein in detail, and any documents related thereto.
BE IT FURTHER RESOLVED BY THE ELECTRIC UTILITY BOARD
OF THE CITY OF LUBBOCK:
THAT this Resolution shall be null and void if the City Council of the
City of Lubbock shall not likewise authorize and direct the Mayor of the City
of Lubbock to execute this Fourth Amendment to Professional Services
Agreement by and between LP&L and TMG Utility Advisory Services, Inc.
within thirty (30) days of the date hereof.
