SCHEDULE C
AUTOMATION SYSTEM MAINTENANCE
Honeywell will maintain the Automation System described on the following system drawings:
987-74009 pages 1 thru 17 and 1.0. summary pages 1 thru 22.
987-75018 pages 1 thru 4.
Preventive Maintenance
Each scheduled preventive maintenance call shall include all services required to maintain the systems at maximum
performance and reliability levels.
Maintenance intervals are determined by system design, application, location, and the Honeywell computer data bank
of system experience and specifications.
Each computer printed service report details exactly what tasks to perform, when, and what special tools, instru-
ments, or supplies are needed.
Tasks include analysis, examination, adjustment, calibration, and cleaning of all central (mainframe), remote
(peripheral), and interface systems.'
System analysis, with emphasis on operational integrity and mechanical subsystem correlation, will be completed at
established intervals.
After each service call is signed off, details from the completed service report will be re-entered in the data bank to
assure closed-loop performance control and continuous program updating.
Component Replacements
Honeywell will replace worn, failed, and doubtful components and parts. Replacements will be of like or current
design to minimize system depreciation and obsolescence.
Where statistical data on similar equipment indicates that the failure point is approaching for any component, such
component may be repaired or replaced in advance to prevent a system failure.
Emergency Service
Every activity performed under this agreement is designed to minimize the incidence of emergency situations.
However, backup emergency service will be provided 24 hours a day to minimize downtime and inconvenience.

SCHEDULE X
SPECIAL SERVICES/ PROVISIONS
Included in this proposal is the Honeywell Automation System consisting of
the following:

Alarm Printer
Security Printer
Remote data gathering panels and associated function cards
Automatic Selectographic Projection System
Energy Management Expansion System
Also provided in this agreement is a three day school for one of your operating
personnel. The school will be in Minneapolis February 8, 1977 and will cover
all operating procedures of the Delta 2000. Travel expense to and from
Minneapolis and room and board are not included in the price of this agreement.

STANDARD TERMS AND CONDITIONS OF SALE
General Provisions
All planned maintenance service under this agreement will be performed during normal working hours.
Client will provide reasonable means of access to all equipment covered by this agreement. Honeywell will be free.to
start and stop all primary equipment incidental to the operation of the mechanical system(s) as arranged with client's
representative.
This Agreement will commence on the date indicated for a term of one year and shall continue from year to year until
terminated (unless otherwise specified). Either party may terminate this agreement by giving written notice thirty (30)
days prior to the anniversary date.
In the event the system is altered, modified, changed, or moved, this agreement is immediately terminable at
Honeywell's option.
Charges
In addition to the agreement price set forth, client will be liable for the amount of any present and future taxes or any
other governmental charges now or hereafter imposed by existing or future laws with the respect to the transfer, use,
ownership or possession of the equipment to which this agreement relates.
The agreement price may be adjusted yearly based on prevailing labor and material costs.

Limitation of Liability
Honeywell will not be liable for arty delay in furnishing or failure to furnish service due to fire, flood, strike, lockout,
dispute with workmen, inability'to obtain material, commotion, war, act of God, or any cause beyond reasonable
control_
Our responsibility for injury to persons or property that may be caused by or arise through the maintenance, service,
functioning, or use of the system(s) shall be limited to injury caused directly by our negligence in performing our
obligations under this agreement, and in no event shall we be liable for speculative, indirect, or consequential damages.
Additional limitations of liability apply to protection system schedules.
Honeywell will not be required to make safety tests or to install new attachments, additional controls,or equipment as
recommended or directed by any insurance company, laboratory or governmental authority, or to make replacements
mentioned herein with parts or devices of a different design for any reason.
This agreement assumes the systems covered to be in maintainable condition. If repairs are found necessary upon
initial inspection or initial seasonal startup, repair charges will be submitted for approval. Should these restoration
charges be declined, those nonmaintainable items will be eliminated from the program and the agreement price
adjusted accordingly.
It is understood 'that the repair, replacement and emergency service provisions apply only to the systems and
equipment covered by this agreement. Repair or replacement of non -maintainable parts of the system such as
ductwork, boiler shell and tubes, unit cabinets, boiler refractory material, electrical wiring, hydronic and pneumatic
piping, structural supports, etc. is not included under the agreement.
Honeywell will not make repairs or replacements necessitated by reason of negligence or misuse of the equipment by
others or by reason of any other cause beyond our control except ordinary wear and tear.
If an emergency service call is made at client's request and inspection does not reveal any defect for which Honeywell
is liable, client will be liable for regular charges prevailing for such service.
