Tom, Asst. City Attorney McALISTER, RESOLUTION #583 - 8/14/80 LANDLORD WAIVER WHEREAS, U.S. Bancorp Financial, Inc. (Secured Party) has or is about to enter into a security transaction with General Steel & Wire Co., Inc. (Debtor) covering the following personal property (equipment), including but without limitation, furniture, furnishings, machinery, equipment, tools, dies, jigs, and conveyors and, WHEREAS, said equipment has or may become affixed wholly or in part to the real estate located and described as building 714, Avenue C, East Industrial Section, Lubbock International Airport and, WHEREAS, the undersigned, City of Lubbock, has an interest in said real estate as owner, NOW, THEREFORE, in consideration of any financial accommodation extended by Secured Party to Debtor, at any time, and other good and valuable considerations, the undersigned agrees as follows: (a) That said equipment which may now or hereafter be installed in said premises shall not be deemed a fixture or part of the real estate but shall at all times be considered personal property. (b) That it disclaims any interest in the equipment and agrees to assert no claim to the equipment while Debtor is indebted to Secured Party or its assignee. (c) That Secured Party or its assignee may.enter upon the premises at any time and remove the equipment. (d) That at the option of Secured Party or its assignee said equipment may remain upon said premises upon payment of the building rental fee for so long as the building is not available for occupancy in its entirety to a new tenant, but with a maximum period of forty-five days, unless a longer period is negotiated. This waiver is binding upon the undersigned, City of .Lubbock, its agents and employees, successors and assigns and inures to the benefit of Secured Party and the heirs, personal representatives, successors and assigns of Secured Party.
