RESOLUTION
WHEREAS, pursuant to Article IV, Section 5 of the Amended and Restated Bylaws of the
Market Lubbock Economic Development Corporation (the "Corporation"), the City Council
of the City of Lubbock (the "City Council"), as the Corporation's authorizing unit, has the
authority to approve all programs and expenditures of the Corporation; and
WHEREAS, the City Council finds that it is in the best interest of the public to approve the
program or expenditure, as proposed to the City Council by the Corporation, as set forth in
Exhibit"A"attached hereto and incorporated herein by reference; NOW THEREFORE:
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Downtown Permittable Grant program or expenditure of the Corporation, in the
amount set forth in Exhibit "A" attached hereto and incorporated herein by reference, to be
provided to Auld Brewing Co., is hereby approved pursuant to Section 5 of the Amended
and Restated Bylaws of the Corporation.

Auld Brewing Company, owned by Ray and Andrea Auld, is renovating the building at 515 Broadway,
located within the Downtown TIF.
Ray Auld grew up in Gustine, California. Brewing alongside his good friend,Jerel Steckling, Ray developed
a love for IPAs and the art of making beer. Becoming more than just a hobby, Ray was building a dream
with each new brew. Moving to Texas in 2008, he continued to re-invent the recipes that family and
friends loved to drink.Although raised in New York,Andrea is proud to call herself a Texan. Returning to
the Lone Star State years ago, she fell in love with the ambiance of the people and never left.As Ray's wife
and business partner, she chose to leave her own career-to manage the business, but credits all the
achievements and future success to Ray. "Without his superb beer and innovative thinking, we would just
be another-brewery." With their strong commitment to each other, this dynamic team plans great things
ahead.
The scope of facade work will include installation of a concrete pad in the rear-space, overhead doors
replaced with new doors and windows, totaling$7,225 in expenses and the scope of permittable work
will include installation of utilities, mechanical, electrical, plumbing, installation of new bathrooms,
sealing of concrete floors and new walls totaling$207,583 in expenses.
The MLI Board is being asked to consider a Downtown Facade Grant for Auld Brewing Company totaling
$3,613 and a Downtown Permittable Grant totaling$20,758 at 515 Broadway.

RESOLUTION APPROVING AULD BREWING COMPANY
DOWNTOWN FACADE & PERMIITTABLE GRANT

THE STATE OF TEXAS
COUNTY OF LUBBOCK
At a regular meeting of the Board of Directors of MARKET LUBBOCK ECONOMIC DEVELOPMENT
CORPORATION, INC., a Texas nonprofit corporation (MLI), on Wednesday, December 18, 2019, held in
conformity with the bylaws,after due notice as therein provided, a quorum being present and acting,the following
resolution was unanimously adopted:
WHEREAS, MLI presented to members of the Board the proposal of possible Economic Development
Grants and Contracts to Auld Brewing Company, Managing Partner, Andrea Auld, formerly from New York,
who moved to Texas with her husband, Ray,who was from originally from California, to pursue their dream and
re-invent recipes that family and friends loved to drink. With their strong commitment to each other and this
project, they are remodeling the property at 515 Broadway, located in the Downtown TIF, and will convert to a
brewery tasting room. The terms and conditions of such Economic Development Grant and Contract, other than
the normal terms and conditions applicable to all such Economic Development Grants and Contracts by the
Corporation, are described generally as follows, to wit:
Grant for the Auld Brewing Company, a Facade Grant in the amount of$3,613 for the installation of a
concrete pad in the rear space, overhead doors replaced with new doors and windows, totaling $7,225 in
expenses and a Permittable Grant in the amount of $20,758 which will include installation of utilities,
mechanical, electrical, plumbing, installation of new bathrooms, sealing of concrete floors and new walls
totaling$207,583 in expenses, once proof of payment has been submitted.
WHEREAS, The Board of Directors of MLI finds that the Economic Development Grants and Contracts
offering the incentive for providing assistance to renovate the facility, meet and comply with the qualifications
and purposes of the Corporation for the granting of such Economic Development Grants and Contracts.
Upon Motion by Director, Mr. Chris Carpenter, and Seconded by Director, Dr. John Oppen-nan,
IT WAS RESOLVED that MLI offer and, if accepted by Recipient, enter into an Economic Grant and
Contract with Auld Brewing Company at 515 Broadway, Lubbock, Texas. This Economic Development Grant
and Contract will be on the normal terms and conditions of such Downtown Grant Program and Contract offered
by MLI to existing businesses and business prospects and authorize the CEO to enter into and execute all
documents related to the Economic Grant and Contract.
