RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock is hereby authorized and directed to
execute for and on behalf of the City of Lubbock, an Agreement for Professional
Engineering Services, by and between the City of Lubbock and Halff Associates, Inc, of
Richardson, Texas, and related documents. Said Agreement is attached hereto and
incorporated in this resolution as if fully set forth herein and shall be included in the
minutes of the City Council.

AGREEMENT FOR PROFESSIONAL ENGINEERING SERVICES
This Agreement for Professional Engineering Services, hereinafter called "Agreement," is entered into by
the City of Lubbock, Texas, a municipal corporation, duly authorized to act by the City Council of said
City, hereinafter called "City," and Halff Associates, Inc., a Texas corporation, acting through a duly
authorized officer, herein called "Engineer," relative to Engineer providing professional engineering
services to the City. City and Engineer when mentioned collectively shall be referred to as the "Parties".
WITNESSETH:
For the mutual promises and benefits herein described, the City and Engineer agree as follows:
1. Term of Agreement. This Agreement shall
become effective on the date of its execution by both
Parties, and shall continue in effect thereafter until
terminated as provided herein.
2. Services to be Performed by Engineer.
Engineer shall provide to the City basic engineering
services in accordance with the scope and schedule as
detailed in Attachment A and Attachment B attached
hereto and incorporated fully herein. The services
outlines in said attachments shall be completed within
ten (10) months of receipt of Notice to Proceed, unless
weather constraints do not allow for the completion of
specified tasks under acceptable conditions. Should
the City require or request that Engineer perform
additional or alternative services, whether such as
based upon newly defined City services or changes in
field conditions, such requests shall be in the form of
written contract amendment/addendum executed by
both City and Engineer.
3. Compensation of Engineer. The City agrees
that Engineer shall be paid on an hourly not to exceed
contract, totaling $955,000, for services requested by
the City, at the hourly rate ranges and unit costs
reflected on Attachment C, attached hereto, plus
reasonable and necessary reimbursable expenses
(Direct Costs) incurred by Engineer in the performance
of the requested services. Direct costs shall include, but
are not limited to, long distance telephone, postage,
equipment, expendables, mileage, subcontractors or
special consultants, freight, testing fees, copies and
blueprints. Direct Costs shall be billed at 1.1 times
actual costs. If additional services, trips or expenses
are requested, Engineer will not provide such additional
services until authorized by the City in writing to
proceed.
Engineer agrees to submit monthly statements
to the City for basic professional engineering services.
These statements will be based upon Engineer's actual
services performed and reimbursable expenses
incurred, if any, and the City shall endeavor to make
prompt payments. Each monthly invoice submitted by
Engineer to the City shall be reasonably itemized to
show the amount of work performed during that month
broken down by the identity of the person(s) performing
such work, the amount of time expended by such

person(s) in performing that work, the billing rate for
each such person, and a brief summary of the work
performed by each such person. If the City fails to pay
Engineer within thirty (30) calendar days of the receipt
of Engineer's invoice, Engineer may, after giving ten
(10) days written notice to the City, suspend
professional engineering services until payment is
received. City agrees that Engineer shall be entitled to
interest on accounts that are greater than 45 days and
such interest shall be reimbursed to Engineer at a rate
of one percent (11%) per month. The assessment of
interest on accounts receivable shall not preclude
Engineer from suspending services as described
above.
Nothing contained in this Agreement shall
require the City to pay for any work that is unsatisfactory
as reasonably determined by the City or which is not
submitted in compliance with the terms of this
Agreement.
4. City's Obligations. The City agrees that it will
provide the services outlined in Attachment D attached
hereto and incorporated fully herein. Engineer is
entitled to rely upon and use, without independent
verification and without liability, all information and
services provided by the City or the City's
representatives.
5. Termination. The obligation to provide further
services under this Agreement may be terminated by
either party in writing upon thirty (30) calendar days
notice. In the event of termination by the City, Engineer
shall be entitled to payment for services rendered
through receipt of the termination notice.
6. Ownership and Reuse of Documents. Upon
completion of Engineer's services and receipt of
payment in full therefore, Engineer agrees to provide
the City with an irrevocable license to use the materials
and documents prepared or assembled by Engineer
under this Agreement. Engineer may retain in its files
copies of all drawings, specifications and all other
pertinent information related to the work it performs for
the City. City's reuse of documents and/or materials
provided by or through Engineer on a subsequent or
unrelated project or projects shall result in the City
automatically indemnifying, defending and holding
harmless Engineer from any and all claims, causes of

action, suits, disputes or circumstances that in any way
result from such reuse by City, its agents, or others
possessing such information by or through City.
7. Notices. Any notices to be given hereunder by
either party to the other may be affected either by
personal delivery, in writing, or by registered or certified
mail.
8. Sole Parties and Entire Agreement. This
Agreement shall not create any rights or benefits to
anyone except the City and Engineer, and contains the
entire agreement between the parties. Oral
modifications to this Agreement shall have no force or
effect.
9. Indemnification. Engineer does hereby
covenant and agree to release, indemnify and hold
harmless the City and its officials, officers, agents,
representatives, employees and invitees from and
against liability, claims, suits, demands and/or causes
of action, (including, but not limited to, reasonable
attorney's fees and costs of litigation), which arise
directly and proximately by reason of death or injury to
property or persons but only to the extent occasioned
by the negligent act, error or omission of Engineer, its
officials, officers, agents, employees, invitees or other
persons for whom Engineer is legally liable with regard
to the performance of services under this Agreement.
In the event that the City and Engineer are
alleged or found to be concurrently negligent, the
Parties agree that all liability shall be calculated on a
comparative basis of fault and responsibility and that
neither Party shall be required to defend or indemnify
the other Party for that Party's negligent or intentional
acts, errors or omissions.
10. Insurance. Engineer shall, at its own
expense, purchase, maintain and keep in force
throughout the duration of this Agreement and for a
period of three years thereafter, professional liability
insurance. The limits of liability shall be $1,000,000.00
per claim and in the aggregate. For coverage provided
on a claims -made basis, Engineer agrees to use its
best efforts to maintain this policy for a period of four (4)
years after the cessation of any work for the City or
shall purchase the extended reporting period or "tail"
coverage insurance providing equivalent coverage for
the same period of time. Additional limits of liability are
reflected on Attachment E attached hereto and fully
incorporated within. Engineer shall submit to the City a
certificate of insurance prior to commencing any work
for the City.
11. Prompt Performance by Engineer. All
services provided by Engineer hereunder shall be
performed in accordance with the degree of care and
skill ordinarily exercised under similar circumstances by
competent members of the engineering profession in
the State of Texas applicable to such engineering
services contemplated by this Agreement. Engineer
shall perform all duties and services and make all
decisions called for hereunder promptly and without

unreasonable delay as is necessary to cause
Engineer's services hereunder to be timely and properly
performed. Notwithstanding the foregoing, Engineer
agrees to use diligent efforts to perform the services
described herein and further defined in the specific task
orders or project scope(s) of work, in a manner
consistent with therewith. However, the City
understands and agrees that Engineer is retained to
perform a professional service and such services must
be bound, first and foremost, by the principles of sound
engineering judgment and reasonable diligence.
12. City Objection to Personnel. If at any time
after entering into this Agreement, the City has any
reasonable objection to any of Engineer's personnel, or
any personnel, professionals and/or consultants
retained by Engineer, Engineer shall promptly propose
substitutes to whom the City has no reasonable
objection, and Engineer's compensation shall be
equitably adjusted to reflect any difference in Engineer's
costs occasioned by such substitution.
13. Assignment and Delegation. Neither the City
nor Engineer may assign their rights or delegate their
duties without the written consent of the other party.
This Agreement is binding on the City and Engineer to
the fullest extent permitted by law. Nothing herein is to
be construed as creating any personal liability on the
part of any City officer, employee or agent.
14. Texas Law to Apply; Successors;
Construction. This Agreement shall be construed
under and in accordance with the laws of the State of
Texas. It shall be binding upon, and inure to the benefit
of, the parties hereto and their representatives,
successors and assigns. Should any provisions in this
Agreement be held invalid, illegal or unenforceable,
they shall be deemed void, and this Agreement shall be
construed as if such provision had never been
contained herein.
15. Conflict of Interest. Engineer covenants that
during the Agreement period that Engineer shall have
no interest and shall not acquire any interest, direct or
indirect, which will conflict in any manner or degree with
the performance of the services to be performed under
this Agreement. All activities and other efforts made by
Engineer pursuant to this Agreement shall be
conducted only by Engineer and professionals and/or
consultants retained by Engineer. Any actual violation
of this Paragraph, with knowledge, express or implied,
by Engineer shall render this Agreement voidable by the
City.
16. Venue. The parties herein agree that this
Agreement shall be enforceable in Lubbock, Texas, and
if legal action is necessary to enforce it, exclusive
venue shall lie in Lubbock County, Texas.
17. Dispute Resolution. In the event of any
disagreement or conflict concerning the interpretation of
this Agreement, and such disagreement cannot be
resolved by the signatories hereto, the signatories
agree to schedule a series of no less than two meetings

of senior personnel of City and Engineer in which the
disagreement or conflict will be discussed. The first of
such meetings will be scheduled as soon as possible
following identification of such disagreement or conflict
and the second meeting must occur within thirty (30)
days following the initial meeting. Subsequent
meetings, if any may be scheduled upon mutual
agreement of the parties. The parties agree that these
two meetings are conditions precedent to the institution
of legal proceedings unless such meetings will
adversely affect the rights of one or more of the parties
as such rights relate to statutes of limitation or repose.
18. Prevailing Party. Intentionally left blank.
19. Signatories. The City and Engineer mutually
warrant and represent that the representation of each
who is executing this Agreement on behalf of the City or
Engineer, respectively, has full authority to execute this
Agreement and bind the entity so represented.
IN WITNESS WHEREOF, the parties, having read and understood this Agreement, have executed such in
duplicate copies, each of which shall have full dignity and force as an original, on the 14thday of
October 2010.

ATTACHMENT "A"
Scope of Services
Lubbock Video Inspection of Storm Sewers — Phase 2
October 2010
The ENGINEER understands the CITY has two main goals it would like to accomplish with this project: (1)
to perform CCTV inspection and assessment of the storm sewer infrastructure and (2) to develop a
geospatial database that integrates the storm sewer schematic with supporting data such as photos,
video inspections and assessment reports. The scope of services to be provided by the ENGINEER for
the project is described in the following sections:
TASK 1: DATABASE DESIGN AND PHASE 1 DATA INTEGRATION
a) Database design & documentation
ENGINEER shall conduct a project kick off meeting with the CITY Stormwater Engineering
department.
ENGINEER shall design and develop an enhanced storm water GIS database that is customized to
the CITY's specific needs. A standard naming convention will be developed for features and
attributes within the database. Final design will support attribute fields that can be used for
links to outside spatial and non -spatial data. A draft database will be presented to CITY staff for
review. A final database will be developed incorporating CITY's comments. The data will be
delivered in digital format.
b) Phase 1 Data Integration
ENGINEER shall obtain from the CITY deliverable data from the Lubbock Video Inspection of
Storm Sewers Phase 1 project including reports, databases, photos, videos, assessment sheets
and GIS layers. This data will be integrated into the new database and hyperlinked with the
corresponding reports, photos, video inspections and assessment data.
C Integrate CITY -wide datasets
ENGINEER shall review as -built construction plans showing storm water infrastructure from
CITY. Existing CITY GIS layers, including aerial photography and basemap data, shall be provided
by the CITY in digital format and integrated into the database.
d) Sample Georeferencing Workflow
ENGINEER shall perform a small pilot assessment of the effort required to perform
georeferencing tasks needed to link the digital stormwater record drawings to the GIS database.
A workflow report summarizing the required steps and results from this pilot assessment shall
be provided to the CITY to support their internal efforts in developing a georeferenced record
drawing system.
TASK 2: FIELD RECON AND SURVEY
a) Above Ground Field Reconnaissance

ENGINEER shall dispatch field crews to locate and confirm the existence and accessibility of
structures within the study area. ENGINEER shall develop a list of buried, not found, or believed
to be non-existent structures. This list will be forwarded and reviewed with the CITY in
determining whether subsequent manhole exposing activities are warranted.
b) Storm Asset Survey
Field survey of the storm water assets will be performed on manholes, inlets, headwalls, and
outfalls within the study area. The survey crews will determine the X -Y -Z spatial location of the
storm water assets using survey grade GPS equipment and collect basic measurements such as
rim elevation, flowline elevation and attribute information for each asset.
c) Process Survey and Integrate into GIS
ENGINEER will process the raw field survey data and perform QAQC on the files and features.
The QAQC'd data will be integrated it into the GIS database. A standard folder structure will be
developed for digital storage and supporting files will be organized accordingly.
Task 3: VIDEO INSPECTION & ASSESSMENT
a) Update GIS Database for Video Inspection
ENGINEER will develop a spatially referenced GIS layer that flags the assets that will be video
inspected within the scope of this project. The ENGINEER will coordinate with the CITY to assess
the study area and determine a general schedule for completing the video inspections. The
ENGINEER will coordinate with the video inspection field crew and provide a pre -populated
database of the study area.
b) CCTV Pipe Inspection
CCTV video inspection will be used to pinpoint system defects, define their magnitude, and
determine the amount of debris and sediment in the pipes. Main line structures within the
designated study area will be targeted for video inspection. Lateral pipes that connect inlet to
main line will be inspected using pole cameras. The results of these inspections will be recorded
in digital videos and photos and the condition of each pipe will be detailed in the assessment
database.
To minimize delays, the ENGINEER will coordinate with the field task leader and immediately
notify the CITY if any structural issues are encountered and to determine if pipe cleaning is
necessary.
During the performance of the work, ENGINEER shall utilize industry standard OSHA safety and
appropriate traffic control procedures. In addition, local traffic control requirements shall be
observed. ENGINEER will comply with TMUTCD standards.
c) Manhole Inspections
A visual inspection of each manhole entered during the pipe video inspection will be completed
using a pole camera. The general condition of the manhole will be noted during inspection.
d) Pipe Cleaning

Pipe cleaning shall be performed to facilitate the video inspection activities and/or to improve
system performance. ENGINEER shall proceed with pipe cleaning on main lines where heavy
debris build-up or sediment prevents the efficient release of storm water through the system or
where major blockages prevent the video inspection equipment from performing. At the start of
the project, ENGINEER shall conduct testing of the removed material. During cleaning
operations, sludge, debris, etc. shall be removed from the sewer and disposed of at a location
provided by CITY.
ENGINEER shall obtain a water meter from the Water Department to track water usage on the
project. ENGINEER shall invoice the CITY for the use of the water meter and associated water
charges. Compensation shall be applied against Video Inspection & Assessment Task.
e) Inspection Data Post Processing and QAQC
The ENGINEER will complete a QAQC assessment of the raw inspection data. ENGINEER shall
review the CCTV files to assess the quality and accuracy of the information. The final
assessment data will be processed and formatted based on the previously developed
standardized schema.
f) Integrate Inspection and Assessment Data into GIS
The ENGINEER will process the QAQC data and integrate the inspection/assessment information
into the GIS database. Each spatial line will be referenced to the inspection video, photos, PDF
reports and assessment attribute data.
TASK 4: GIS DATABASE
a) Final QAQC of GIS Database
ENGINEER will conduct a final QAQC of the digital storm drain network after the assessment
and inspection data have been integrated. The network will be validated based on
geometric network connectivity and topology rules and this review will also check the GIS
database for attribute consistency. The ENGINEER will also QAQC the reference file
attributes within the database to ensure that the digital files are accurately linked to the
correct spatial feature.
ENGINEER will present the final draft GIS database to the CITY for review. A final QAQC will
be conducted after comments from the CITY have been addressed. The final database will
be provided to the CITY in digital format. A summary report outlining the database schema
and metadata will be developed and provided with the deliverable.
b) Custom GIS Automation
ENGINEER shall development and program a custom set of tools that run within the GIS
software application environment to check the storm water network for topological and
attribute accuracy. ENGINEER will develop additional custom GIS tools, as needed, to
enhance the database deliverable and simplify the desired workflows used by CITY staff.
TASK 5: REPORTING AND TRAINING

a) Create Final Report
The ENGINEER will compile a final report that will document the procedures used in the
development of the database. Two (2) hard copies of the final report will be provided to the
CITY. A data dictionary will be created to document the spatial database schema in laymen's
terms. Metadata for features within the database will be created.
b) Basic Structural Defect Analysis
At the conclusion of the field investigation services, ENGINEER shall perform a general condition
assessment for the project area system. ENGINEER shall evaluate the system, note assets with
structural issues and provide basic improvement recommendations based on estimated level of
life remaining.
If desired by the CITY, the ENGINEER can provide detailed rehabilitation and improvement costs
for the system as an amendment to this contract or separately negotiated agreement.
c) Delivery
The ENGINEER shall compile field inspection data, surveying information, CCTV video files,
summaries and reports into an organized digital file structure.
All documentation and reports shall be delivered in Microsoft compatible format or other
formats compatible with the CITY's existing databases.
d) Training and Technical Support
ENGINEER will present the final deliverables to the CITY and provide a one (1) day on-site
training class for CITY staff. A detailed user's manual will be developed and demonstrated in the
training.
ENGINEER will provide technical assistance to the CITY for two (2) months after the final
deliverables have been accepted by the CITY. If additional technical assistance or training is
required by the CITY, the ENGINEER will furnish and perform, under an amendment or a
separately negotiated agreement, future services to supplement this work.
TASK 6: PROJECT MANAGEMENT AND COORDINATION
a) Pro iect Administration
ENGINEER shall prepare and monitor schedule of work activities.
Perform ENGINEER's internal project control procedures on a monthly basis including schedule
and budget control, quality control review, and monthly progress reports.
ENGINEER shall order and obtain services necessary to perform the project and finalize
agreements with any required subconsultants or subcontractors.
ENGINEER shall provide a weekly production schedule for the CCTV pipe inspection efforts.
These weekly schedules will inform the CITY of the areas planned for video inspection.
Regular scheduled progress reports will be provided by the ENGINEER to the CITY's Project
Manager and designated team members.
b) Meetings

A project kick-off meeting will be held with all team members at the beginning of the project.
Subsequent project status meetings will be held with designated team members based on the
current tasks being completed. Meeting minutes will be documented and distributed
throughout the project.
ENGINEER shall conduct the project status meetings with the CITY's staff on a regularly
scheduled basis, approximately every four to six (4 to 6) weeks depending on the current tasks
being performed, or at the request of the CITY. The project status meetings will 1) summarize
previous work completed, 2) outline and coordinate upcoming work tasks, 3) receive comments
and questions from CITY staff, and 4) document any project issues. Meetings will be held at
significant project milestones with written documentation of each meeting provided.
Correspondence and informal meetings will also be conducted on an as needed basis. In
addition to the meeting minutes, all milestones and major decision that require CITY approval
will be tracked in a project decision and approval log.
c) Web -Based GIS Proiect Tracker and Coordination
ENGINEER will develop a web -based GIS project tracker that will be used to coordinate the
survey and video inspection processes for the project. The GIS project tracker will be used for
internal team project work as well as external communication and coordination with the CITY to
show project status.
d) Quality Management Plan and Quality Assurance/ Quality Control
The ENGINEER will develop a Quality Management Plan that will include the standard level of
quality and the procedural framework for controlling major tasks.
The quality of the stormwater GIS database will be checked by the ENGINEER with a variety of
methods including topology verification, feature attribute value verification, network flow
direction, and random sampling.

In signing this Agreement, the CITY grants ENGINEER specific authorization to proceed under this Agreement.
ENGINEER's services shall be completed within ten (10) months of the receipt of the Notice to Proceed, unless
weather constraints do not allow for completion of specified tasks under acceptable conditions.
ENGINEER shall keep the OWNER informed of the progress and identify any circumstances that may affect the
schedule.

1. Light Cleaning is defined as 2 passes with a 120 G.P.M. Jet -Vac
2. Heavy Cleaning is defined as the additional cleaning necessary to obtain a 95% clean pipe. Mechanical cleaning
for the removal of "fixed or excessive debris, tap removal" will be negotiated on a case by case basis.
3. Reverse setup fee applies if camera will not traverse entire pipe length and a reverse is applicable
4. Mobilization/Demobilization fees are applicable for unscheduled work stoppages, schedule changes, weather
related stoppages, client/owner requested stoppages etc. Scheduled rotations or APC maintenance

ATTACHMENT "D"
SERVICES PROVIDED BY OWNER
Lubbock Video Inspection of Storm Sewers — Phase 2

Obligations of the CITY:
a) CITY Contact
Designate a person to act as CITY's representative with respect to the services to be rendered under
this AGREEMENT. Such person shall have complete authority to transmit instructions, receive
information, interpret and define CITY's policies and decisions with respect to ENGINEER'S services for
the PROJECT.
b) CITY -Furnished Data
The CITY will make available to the ENGINEER all technical data in the CITY's possession relating to the
ENGINEER's services on the project. The ENGINEER may rely upon the accuracy, timeliness, and
completeness of the information provided by the CITY. Information shall include any data prepared by
others, including without limitations previous storm sewer system reports and records and other
special data or consultations not covered in ENGINEER'S services; all of which ENGINEER may rely upon
in performing the required services.
The CITY will provide to the ENGINEER base maps and sewer maps in an electronic format. Maps will
include, but not be limited to, aerial photography, topography information, sewer layer, addresses of
all lots, streets, and street names.
The CITY will provide the ENGINEER with access to the CITY's Real Time Kinematic (RTK) GPS Survey
Network.
c) Access to Facilities and Property
The CITY will make its facilities accessible to the ENGINEER as required for the ENGINEER's
performance of its services. The CITY will assist the ENGINEER in arranging for access to and make
necessary provisions for ENGINEER to enter upon public and private property as required for
ENGINEER to perform services under this AGREEMENT.
d) Advertisements, Permits, and Access
Unless otherwise agreed to in the Scope of Services, the CITY will obtain, arrange, and pay for all
advertisements for bids; permits and licenses required by local, state, or federal authorities; and land,
easements, rights-of-way, and access necessary for the ENGINEER's services.
e) Timely Review
The CITY will examine the ENGINEER's studies, reports, sketches, drawings, specifications, proposals,
and other documents; obtain advice of an attorney, insurance counselor, accountant, auditor, bond
and financial advisors, and other ENGINEERS as the CITY deems appropriate; and render in writing
decisions required by the CITY in a timely manner in accordance with the project schedule in
Attachment B.
f) Prompt Notice

The CITY will give prompt written notice to the ENGINEER whenever CITY observes or becomes aware
of any development that affects the scope or timing of the ENGINEER's services or of any defect in the
work of the ENGINEER or construction contractors.
g) Pipe Cleaning
CITY shall provide a fresh water supply from local fire hydrants for cleaning stormwater assets.
ENGINEER shall obtain a water meter from the Water Department to track water usage on the project.
CITY shall reimburse ENGINEER for the use of the water meter and associated water charges.
CITY shall provide disposal location(s) for debris and materials removed or created as part of the
cleaning and CCTV activities and such location(s) shall be owned and operated by the CITY and within a
thirty (30) mile radius of the Project area(s). CITY shall confirm that all such debris and materials can be
properly disposed at these locations and CITY further agrees that all such debris and materials are and
shall remain the sole property of CITY.

Insurance Limit of Liability
Lubbock Video Inspection of Storm Sewers — Phase 2

General Liability:
ENGINEER's insurance shall contain broad form contractual liability with a combined single limit of a minimum
of $500,000 each occurrence and in the aggregate and shall include the following:
• Bodily Injury and Property Damage
• Broad Form Contractual Liability
• Personal Injury and Advertising Injury
• Products and completed operations
• XCU
Limits may be maintained in any amount of primary and excess coverage.
Professional Liability:
ENGINEER's insurance shall contain a limit of at least $1,000,000 per claim/annual aggregate.
Business Automobile Liability:
ENGINEER's insurance shall contain a combined single limit of at least $300,000 per occurrence, and include
coverage for but not limited to the following:
• Bodily injury and property damage
Workers' Compensation and Employers Liability Insurance:
ENGINEER shall elect to obtain workers' compensation coverage pursuant to Section 406.002 of the Texas
Labor Code. Further, ENGINEER shall maintain said coverage throughout the term of this Agreement and shall
comply with all provision of Title 5 of the Texas Labor Code to ensure that the ENGINEER maintains said
coverage. Any termination of workers' compensation insurance coverage by ENGINEER or any cancellation or
non -renewal of workers' compensation insurance coverage for the ENGINEER shall be a material breach of this
contract. The ENGINEER may maintain Occupational Accident and Disability Insurance in lieu of Worker'
Compensation. In either event, the policy must be endorsed to include a waiver of subrogation in favor of the
CITY.
Employer's Liability with limits of at least $500,000 each accident, $500,000 by disease policy limit, and
$500,000 by disease each employee shall also be obtained and maintained throughout the term of this
Agreement.
Other Insurance Requirements:
ENGINEER's general liability and auto liability insurance policies through policy endorsement must include
wording, which states that the policy shall be primary and non-contributory with respect to any insurance
carried by CITY. The certificate of insurance described below must reflect that the above wording is included in
evidenced policies. All policies, EXCEPT the Professional Liability policy, must be endorsed to include a waiver
of subrogation in favor of the CITY.

FOR ENGINEERING SERVICES
ENINEERING SER�710ES TO: Perform a video inspection and assessment of the storm sewer
infrastructure in the Arnett Benson and Ave. R drainage basins and to develop a comprehensive geospatial
database that integrates the storm sewer schematic with all supporting data, Project NO. #8070 and Contract
NO. # 9,86 hereinafter referred to as "the Project."
THIS IS AN AMENDMENT TO THE AGREEMENT dated October 14, 2010 and entered into b�- and
between the CITE' OF LUBBOCK, TEXAS, hereinafter called "Owner," and HALFF ASSOCIATES, INC.,
hereinafter called the "Engineer," of 1201 N. BoNvser Rd in Richardson, Texas. The original Agreement was
approved by City Council action on October 14, 2010, Resolution No. 2010 R0492.
This amendment is a time extension for the original agreement, such that the Agreement and Amendment
shall terminate at the close of business on November 15. 2011, unless a mutual agreement is made by the
Owner and the Engineer to extend the agreement.
This amendment does not include any fee increase or any additional compensation to the Engineer. The
extended time is needed because of changes in scope that added additional inspection and assessment of
portions of the Downtown Lubbock drainage basin to the Project. The extended time will allow the
Engineer to look at the Downtown Lubbock drainage system in more detail and conduct additional video
inspection, survey and assessment as needed in order to provide the Owner with comprehensive inventory of
the Ave. R, Arnett -Benson and Downtoxvn Lubbock drainage basins.
All other portions of the original Agreement and previous Amendments shall remain in place and are not
altered by this amendment.
Executed in three counterparts each of which is an original': on behalf of Engineer by its Vice President
shown below and on behalf of Owner this 12th dar of August. 2011.
