RESOLUTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LUBBOCK:
THAT the Mayor of the City of Lubbock is hereby authorized and directed to execute for
and on behalf of the City of Lubbock, Professional Services Contract No. 13534 for cellular phone
services and devices as per RFP 17-13534-SS, by and between the City of Lubbock and Sprint
Solutions, Inc., of Reston, Virginia, and related documents. Said Contract is attached hereto and
incorporated in this resolution as if fully set forth herein and shall be included in the minutes of
the City Council.

Service Agreement
Contract 13534
This Service Agreement (this "Agreement") is entered into as of the 7th day of December
("Effective Date") by and between Sprint Solutions, Inc. (the Contractor), and the City of Lubbock (the
"City").
RECITALS
WHEREAS, the City has issued a Request for Proposal 17-13534-SS Cellular Phone Services and
Devices.
WHEREAS, the proposal submitted by the Contractor pursuant to the pricing, terms and conditions
of the State of Texas, Department of Information Resources Contract No. DIR-TSO-3432 ("Texas DIR
Contract") has been selected as the proposal which best meets the needs of the City for this service. This
Agreement incorporates all the pricing, terms and conditions, attachments and any current or future
amendments of the Texas DIR Contract except as modified herein; and
WHEREAS, Contractor desires to perform as an independent Contractor to provide Cellular Phone
Services and Devices, upon terms and conditions maintained in this Agreement and the Texas DIR
Contract; and
NOW THEREFORE, for and in consideration of the mutual promises contained herein, the City
and Contractor agree as follows:
City and Contractor acknowledge the Agreement consists of the following exhibits which are
attached hereto and incorporated herein by reference, listed in their order of priority in the event of
inconsistent or contradictory provisions:

Scope of Work
Contractor shall provide the services that are specified in Exhibit A and B. The Contractor shall comply
with all the applicable requirements set forth in Exhibit A, B, C and D attached hereto.
Article 1 Services
1.1 The Agreement shall be for a term of one (1) year, with the option of three (3) one (1) year
extensions upon the mutual written agreement of the parties; said date of term beginning
upon formal approval. All stated annual quantities are approximations of usage during the
time period to be covered by pricing established by this proposal. Actual usage may be
more or less. Order quantities will be determined by actual need. The City of Lubbock
does not guarantee any specific amount of compensation, volume, minimum, or maximum
amount of services under this bid and resulting contract.
1.2 This Agreement shall remain in effect until the first of the following occurs: (1) the
expiration date, (2) performance of services ordered, or (3) termination for convenience of
by either party with a 30 day written notice. The City of Lubbock reserves the right to
award the canceled contract to the next lowest and best bidder as it deems to be in the best
interest of the City.
1.3 The Contractor shall not assign any interest in this Agreement and shall not transfer any
interest in the Agreement, whatsoever, without prior consent of the City except that
Contractor may assign this Agreement to a parent company, controlled affiliate, affiliate
under common control or an entity that has purchased all or substantially all of its assets
upon written notice to the City.
1.4 All funds for payment by the City under this Agreement are subject to the availability of an
annual appropriation for this purpose by the City. In the event of non -appropriation of funds
by the City Council of the City of Lubbock for the goods or services provided under the
Agreement, the City will terminate the Agreement, without termination charge or other
liability, on the last day of the then -current fiscal year or when the appropriation made for
the then -current year for the goods or services covered by this Agreement is spent,
whichever event occurs first. If at any time funds are not appropriated for the continuance
of this Agreement, cancellation shall be accepted by the Contractor on 30 days prior written
notice and the City shall not be obligated under this Agreement beyond the date of
termination.
Article 2 Miscellaneous.
2.1 This Agreement is made in the State of Texas and shall for all purposes be construed in
accordance with the laws of said State, without reference to choice of law provisions. This
Agreement is performable in, and venue of any action related or pertaining to this
Agreement shall lie in, Lubbock, Texas.
2.2 This Agreement and its Exhibits contains the entire agreement between the City and
Contractor and supersedes any and all previous agreements, written or oral, between the
parties relating to the subject matter hereof. No amendment or modification of the terms of
this Agreement shall be binding upon the parties unless reduced to writing and signed by
both parties.
2.3 This Agreement may be executed in counterparts, each of which shall be deemed an
original.
2.4 In the event any provision of this Agreement is held illegal or invalid, the remaining
provisions of this Agreement shall not be affected thereby.
2.5 The waiver of a breach of any provision of this Agreement by any parties or the failure of
any parties otherwise to insist upon strict performance of any provision hereof shall not
constitute a waiver of any subsequent breach or of any subsequent failure to perform.
2.6 This Agreement shall be binding upon and inure to the benefit of the parties and their
respective heirs, representatives and successors and may be assigned by Contractor or the
City to any successor only on the written approval of the other party except that Contractor
may assign this Agreement to a parent company, controlled affiliate, affiliate under
common control or an entity that has purchased all or substantially all of its assets upon
written notice to the City.
2.7 All claims, disputes, and other matters in question between the Parties arising out of or
relating to this Agreement or the breach thereof, shall be formally discussed and negotiated
between the Parties for resolution. In the event that the Parties are unable to resolve the
claims, disputes, or other matters in question within 30 days of written notification from the
aggrieved Party to the other Party, the aggrieved Party shall be free to pursue all remedies
available at law or in equity.
2.8 Upon reasonable prior written notice at any time during the term of the Agreement, or
thereafter, the City, or a duly authorized audit representative of the City or the State of
Texas, at its expense and at reasonable times during normal business hours at the
Contractor's business offices, reserves the right to audit Contractor's records and books
relevant to all services provided to the City under this Contract. In the event such an audit
by the City reveals any errors or overpayments by the City, Contractor shall refund the City
the full amount of such overpayments, or the City, at its option, reserves the right to deduct
such amounts owing the City from any payments due Contractor, following an independent
third -party review of the City's findings. Further, due to the highly sensitive and proprietary
nature of Contractor's records, any third party auditor acting on behalf of the City shall be
subject to prior approval by Contractor and may be required at Contractor's sole discretion
to execute Contractor's standard Non -Disclosure Agreement prior to examining, inspecting,
copying or auditing Contractor's records.
2.9 The Contractor warrants that it complies with Chapter 2270, Subtitle F, Title 10 of the
Texas Government Code by verifying that:
(1) The Contractor does not boycott Israel; and
(2) The Contractor will not boycott Israel during the term of the Agreement.
2.10 SB 252 prohibits the City from entering into a contract with a vendor that is identified by
The Comptroller as a company known to have contracts with or provide supplies or service
with Iran, Sudan or a foreign terrorist organization.
2.11 The City reserves the right to exercise any right or remedy to it by law, contract, equity, or
otherwise, including without limitation, the right to seek any and all forms of relief in a
court of competent jurisdiction. Further, the City shall not be subject to any arbitration
process prior to exercising its unrestricted right to seek judicial remedy. The remedies set
forth herein are cumulative and not exclusive, and may be exercised concurrently. To the
extent of any conflict between this provision and another provision in, or related to, this do.
2.12 The Contractor shall not subcontract or sublet the contract, or any portion of the Agreement,
without written consent from the Director of Purchasing and Contract Management, which
such consent shall not be unreasonably withheld, conditioned, or delayed. If applicable,
Contractor shall insure the Subcontractor or shall provide proof of insurance from the
Subcontractor that complies with all Agreement Insurance requirements document.

1 INTENT
A. The City of Lubbock (hereinafter called "Ciq ") is seeking proposals from interested Firms and
individuals, (hereinafter called "Proposer") to provide Cellular Phone Ser\ ices and De\ ices.

3 SCOPE

4 PROPOSER RESPONSIBILITIES
The Proposer shall bear the following responsibilities:

telecommunications services to corporate customers. The complexity of project implementation plans
varies depending on the size of the organization as well as the number and type of products you purchase.
As such, the implementation plan for The City will be customized specifically to meet your needs. Sprint
has developed detailed Methods and Procedures (M&Ps) documents for the implementation of each
product and service we offer. While these documents are considered highly proprietary and confidential,

Sprint will engage the designated implementation personnel from The Cite upon selection as your
vendor.
Dedicated Project Management for your Implementation
Depending on the complexity of the implementation, Sprint offers a National Implementation Support
group to oversee the project. A dedicated Sprint Project Manager can work w ith designated The City
personnel to de,.elop a detailed project management plan coordinating the activities for each Sprint
product and service. Our Project Managers understand all the intricacies of implementing wireless
solutions in large enterprises, and will coordinate all internal and external resources and processes
required to ensure a smooth implementation.
Your Sprint Project Manager will work from a comprehensive, time -proven project plan clearly laying
out responsibilities and timeframes w hile allow ing the flexibility for your unique requirements.
Implementation Project Plan Phases
To facilitate a smooth and comprehensive implementation, Sprint requires sponsorship at an executi'. e
level within The City to promote employee participation and general acceptance of the project.
Phase 1: Assess current sera ice needs and prioritize the implementation. Account Team
introductions and responsibilities are defined.
Phase 2: Develop a specific, tactical implementation plan.
Phase 3: Determine a suitable service order process.
..� Phase 4: Evaluate an implementation program and make adjustments as needed.
Phase 5: Provide ongoing account support, including implementation of new features and
services as they become available.
Phase 1
The Sprint Account Team w ill meet with your implementation personnel to exchange introductions and
define responsibilities. The group will assess and prioritize your current wireless service needs based
on profiles of employees. The assessment will take into consideration:
Location of employ ees
Best service plans for individual employees based on job profiles
Potential for leN eraging Shared Minutes and optional pricing packages
Wireless Internet and other w ireless data needs
Potential need to include solution partners or value-added resellers for sera ices such as custom
applications, enhancing in -building coverage or web -based ordering and fulfillment.
Phase 2
Sprint will help The City to develop a specific tactical implementation plan including, but not limited
to:
Creating a timeline for the rollout of sera ices
Identifj ing your locations that will require local sales, service, and support
Assigning and rolling out your toll -free National sales and support number
Developing a corporate -liable authorization procedure to ensure that only your employees
receive the benefits of this plan

Designing a method of communicating changes in the eligibilit) status of employees
Creating an overall marketing plan for individual users, which mad include holding Benefit and
VIP Retail Days, at your major locations or Sprint Retail Stores
Phase 3
Sprint w ill work with The City to create service order processes to enable employees to place orders
with billing properly configured to meet your requirements. This phase w ill include:
Rollout of services which coordinates wireless service availability with employees' needs,
leveraging all available order and fulfillment methods to create tnaximutn efficiency for
fulfilling your service orders
Electronic billing and reporting needs
Standard shipping and billing methods and procedures
Individual purchasing methods and procedures
Phase 4
Sprint can meet monthly or quarterly to review the agreed upon methods and procedures. Together we
will e\ aluate the implementation process and aggressively adjust practices to impro-% a the efficiency of
the program.
Phase 5
In the final phase, you begin receiving ongoing account information from Sprint. As new features
become available, we will work with The City to ensure successful implementation.
Throughout this phase, we perform periodic reviews of your account in terms of target users, usage
levels, and your o\ erall satisfaction with our service. As the needs arise, this phase may include:
Participation in w ireless User Group Seminars
Trials of emerging products and services
Discussion of future wireless applications
4.3 Pro\ ide training and appropriate documented in,,tructions to the Cit) of Lubbock for the use of its
proposed cellular 2-w aN ser\ ices.
Sprint has read, understands and will comply. Your dedicated Sprint Project Manager can work with
designated The City personnel to develop a detailed training to meet the specific needs of the Cite.
4.4 Pro\ ide fixed price services for one (1) ear, w ith the option of three (3) one (11 year extensions

4.5 Pro%ide local Customer Care Center or sere ice facilit) for all phone repairs and replacements: and
for phone accesson repair and replacements for the entire length of the contract.

repair replacement, the following options are available:
In Store Repair
Sprint service and repair facilities ensure in-store representatives and management have the tools and
capabilities necessary to provide customers with various options for handset repair, complete equipment
service and device maintenance. Mangy repairs can be resolved the same da\ and in some cases in about

an hour. These stores are also equipped with data specialists that can help customers with and technical
issues they may haN e.
Eligible services and repairs are available at no charge to customers w ith a MaaS sen ice plan. Similarly,
there is no charge for the first two repairs within a consecutive 12-month period for customers enrolled
in Total Equipment Protection (TEP) or Equipment Service and Repair Programs (ESRP). There is a
S25 non-refundable service fee for each subsequent in store repair or exchange. As an added benefit.
customers can download the Tech Expert and Sprint Protect Applications for access to expert support
plus added backup and security. For more information about TEP or TEP Plus go to
https: protection.sprint.com .
Even without a protection program, incidents can still be resolved at a repair center or by phone.

Call Customer Care for self-service and request a replacement for defective or nonworking
devices:
o 1-3 business day turnaround time (not all devices eligible*)
o Per -incident service fee of $75 charged without TEP or ESRP for mechanical and electrical
breakdown due to defects, malfunction or normal wear and tear.
o Per incident sen•ice fee of $200 charged without TEP or ESRP for cracked screen repairs.
o Per incident service fee of $350 charged without TEP or ESPP for cracked screen device
replacement
o Technical consultant will determine eligibility for a phone repair covered by the S75 or S200
service fee
Advanced Exchange Phone Replacement Program*
Sprint's Service and Repair Centers are widely considered the best resource when it comes to technical
support of your wireless device. However, if going to a Service and Repair Center is not an option,
Sprint's Advanced Exchange (AE) program allows corporate liable customers to receive warranty
technical support and exchanges over the phone.
When going to a Service and Repair Center is not feasible, The City can contact Customer Care for
assistance with technical support troubleshooting. Some issues can be resolved o,, er the phone, such as
settings or system updates. But if the issue cannot be resolved over the phone, your Customer Care
representative will ad%ise you of the option to participate in an Advanced Exchange. The Advanced
Exchange process creates an order and sends a replacement device to you by mail.
Program Requirements:
Device has a hardware or software problem that cannot be resoled with troubleshooting.
Customer is unw illing or unable to travel (snore than 30 miles) to a repair center.
Device, phone number must be active for at least 15 days.
Customer's account must be current and in good standing in the billing system.
Devices with liquid damage, Damaged Beyond Repair (DBR), devices that cannot power on,
devices reported as lost and or stolen are not eligible for this service.

Replacement Equipment:
Customer is allowed up to 3 device exchanges per subscriber/device in a rolling 12-month
period.
If exact device is not available, a comparable model with similar features and functions is
substituted.
Replacement equipment is Sprint Certified Remanufactured devices.
All orders ship via Fed Ex or UPS, arriving within 2-3 business days.
No Saturday delivery.
No shipping to PO Box addresses, U.S. Virgin Islands, Guam or International locations.
Standard shipping is free. Overnight or Next day shipping is not available through the advanced
exchanged process.
Defective phones are expected to be returned with the USPS return kit provided to avoid any
additional charges for not returning the defective phone.
*iPhones, Wads, Embedded modules, CDMA specialty and limited edition phones are not eligible for
the Advanced Exchange Replacement Program. Please visit sprint.com for complete device eligibility.
4.6 Furnish a map, indicating the location of cellular tox\er sites that \N ill be used to pro\ ide the cellular
ser\ice included in this proposal and their coverage area. If the coverage area increases in size for
other customers of the Proposer. Areas \\ here roaming charges appIN shall be clearl\ indicated.
Sprint's Coverage Map and Service Availability Sales Tool offers you an overview of our wireless
coverage on both a national and a local level. To check the coverage in your area or an area you are
traveling to, simply go to http: cox erage.sprint.com. Additional site detail per location per request.
The mapping tool gives you device specific coverage information in addition to location specific
coverage. For detailed information about signal quality and roaming, search by address. The tool will
allow you to:
Zoom in and out down to the street level
Toggle between coverage layers (Voice, Data, and Direct Connect.)
View the voice network signal strength

4.7 if a government agency in the State of Texas is eiven a lo\\ er rate during the life of this proposal.

Sprint respectfully takes exception to this provision to the extent it requires Sprint to provide Most
Favored Customer pricing. Sprint recognizes the Customer's buying power and strives to provide the
most competitive pricing available. However, offering true most favored customer pricing presents
several challenges for Sprint: (i) as a common carrier, Sprint is prohibited by law from unreasonably
discriminating between similarly situated customers; (ii) offering such pricing may trigger provisions in
other Sprint agreements compelling Sprint to provide credits or rebates to other customers or categories
of customers, which may not be commercially feasible, thereby placing Sprint in breach or default; and
(iii) providing most favored customer pricing is against Sprint corporate policy. Sprint will continue to
offer highly competitive pricing and discounts for its services in a manner in which the prices Sprint
charges its customers for the same services are not unreasonably dissimilar for similarly situated
customers with like traffic patterns, volumes, commitment levels and the like.

5 RIGHTS OF THE CITY OF LUBBOCK
The City of Lubbock resen es the right to aNN and these sen ices on the basis of responses to this RFP or

be in its best interests. The City of Lubbock resenes the right to negotiate any and all parts of the
proposals recei\ ed, reject an\ and all proposals, or to accept selected components of anN proposal. The
City of Lubbock resenes the right to award these sen ices for all existing number of phones. some of
the phones or none of the phones. %thiche\er is deemed solely b) the City to be in its best interests. If
responding Proposer or their parent company has an agreement or proposal in effect \\ ith the State of
Texas, indicate \\hat the contract'proposal is and ho\% it compares to )our proposal to the City.

7 DETAIL SPECIFICATIONS
Proposer shall indicate to �N hat extent the cellular services being proposed meet. exceed or falls short of
the stated requirements. This discussion is to folloNN each specification description. Discussion such as
"Meets all specifications" or "See attached specifications" do not qualify as explanations of what the
Proposer is proposing.
7.1 Features:

2. Explain the procedure if a phone is stolen lost on the v eekends or after hours.
If The City or one of your employees suspects a lost/stolen device for your Sprint service, your
authorized telecom manager should immediately contact your Dedicated Care Team or your employees

Technology Evolution
A. In the normal course of technology evolution and enhancement, Sprint continually updates and
upgrades its networks, Products and Services. In some instances, these efforts will result in the need to
ultimately replace or discontinue certain offerings or technologies. In such event, Sprint will undertake
such efforts in a customer -focused and commercially reasonable manner. Accordingly and
notwithstanding anything in this Agreement to the contrary, Sprint reserves the right, in its sole
discretion, after providing the notice set forth in subsection B below, to: (1) migrate The City to a
replacement technology; or (2) discontinue any Product. Service, nem ork standard, or technology
%%ithout either party being in breach of this Agreement or incurring earl) termination liability relating to
the discontinuance of the affected Product, Service, network standard, or technology..

overall assessment, establishes monitoring bridge(s), coordinates between agencies impacted by the
event, assigns tasks, gathers status information and performs executive notifications at prescribed times.
Cell Site Disaster Planning
Sprint's priorit} site restoration plan focuses resources and expedites recovery by making sure that
existing infrastructure is operating properly under normal circumstances and b) having a response plan
for abnormal circumstances. To accomplish this, Sprint has implemented a detailed preventative
maintenance program to insure all systems and redundant equipment are in proper corking order. Sprint
sites are equipped with battery backup. Some sites have fixed generators or fuel cells for additional
back-up power. Sprint maintains a fleet of mobile generators deployable to Sprint service areas. Formal
cell site classification designates all sites for criticality. Prioritization aids in properly allocating response
personnel, generators and other resources.
Cellular Network Disaster Planning
Communications from Sprint cell sites are backhauled with various combinations of Ethernet, copper.
fiber, and microwave systems. Most Sprint hub locations are placed on bi-directional fiber rings. These
rings significantly reduce the chance of network failure due to third party fiber damage, equipment
failures or other potential causes of sen ice interruptions. Sprint's radio network provides significant
,.., overlapping coverage areas vv hich often allow cell sites to fully or partially compensate for a neighboring
cell site. In an effort to minimize service impact „hen a site is down. Sprint maintains a fleet of Cell

Switch Disaster Planning
Sprint has implemented a distributed architecture for interconnection redundancy utilizing dual fiber
facilities at switch locations. Switch locations have battery backup as Nell as permanent generators. In
addition, site reco\ erg plans ha\ a been developed for all major sw itch locations. prioritizing available
options for relocation, and ensuring agility when faced with disaster recover) issues. Most switches
also have tap boxes that readily connect to the output of a portable generator in the event of primary
generator issues.
Overall Network Performance Management Efforts
The performance of Sprint's networks is monitored 24 hours a day, 7 days per week and 365 days a year
by the Network Monitoring Centers. In addition, local switching offices staffed by trained technicians
and management coordinate with these larger operations centers, to ensure that Sprint's networks are
properly maintained.
Network Restoration Prioritization
Sprint's Business Continuity Management Team Aorks as a customer advocate %%hen large net%Nork
outages occur. The team %Norks closely with network recovery teams to establish customer prioritization
once the backbone, TSP (Telecommunications Sera ice Priority) and Critical Life Circuits are re-
established. Sprint has an established cell site classification and service restoration process.

application based on the business function priority and impact to Sprint to a specific Design Class. An
Application Alignment process is used to determine the priority of the application in the recover)

If referring to Network Assets, Sprint's Network Team compliments its assets with third parties when
large network outages occur. Sprint has a very robust emergency response and disaster recovery plan
which enables quick restoration of impacted services following a disaster. Sprint mitigates congestion
risks through traffic management algorithms to handle the overload surges in traffic. Additionally,
Sprint's well trained and exercised disaster recovery response teams proactively monitor congestion and
performance of the wireless network and determine the appropriate course of action. This may include
performing parameter changes, adding additional capacity to the network via radio installations to cell
sites and/or by adding additional backhaul. Cell Site On -Wheels (COW) and Satellite On -Light -Trucks
(SatCOLT) ma) also be used to replace and/or expand Sprint's foot print or add additional capacity to
the network. Engineers use traffic history to provision network resources to support busy -hour traffic
for cellular networks. Third parties are used to perform various functions such as reconnaissance,
generator deployment refueling, equipment repair, etc.
Special Event Planning
Special events have the potential for adversely affecting the customer experience due to greatly
increased w ireless traffic demands. Sprint has a mature special events process with dedicated project
management personnel and a cross -functional management tool. Teams archive records of recurring
special events and le% erage capacity planning teams in implementing enhancements to optimize the
customer experience. Sprint has used its experience in managing very large temporary users at
NASCAR events to manage other special events. As an example, Sprint interfaces with the NCC

Sprint is committed to offering flexible billing and reporting, to meet your business needs. Our billing
system, Ensemble, can be used to provide The City with a hierarchical (tiered) account structure making
it easy to align Sprint billing accounts to The City internal accounting practices. Included will be
summary charge and usage information along with the detail you'll need to review and control usage
and costs. Several additional billing options are available to receive your billing data: eBill, paper
invoices (hard copy), Electronic Data Interchange (EDI), Data Direct, Enhanced Account Management
(EAM) and Sprint Business Invoice Analytics (SB1A).

All Sprint wireless services are detailed on one invoice per liable account. Our invoices provide itemized
monthly recurring charges and detailed information various features and usage. The standard invoice
breaks out service charges by cellular, messaging, data and third pam, Direct Connect, other and
standard service charges. A separate equipment summary section displays equipment charges and
supporting detail like PO# and subscriber number, if applicable, for both the paper and billing products.
All taxes and fees are also listed separately. Any discount, adjustment or credit applied to the account
during the billing cycle is listed in the Adjustments section at either the account or subscriber level. The
call detail section of the paper invoice lists all cellular usage detail by call, for each subscriber on the
account, providing specifics on call length, date and time. The billing products typically provide the
same type of call detail on all usage types unless specified by the customer to omit.
4. Discuss how the City will resole invoicing problems or receipt of late monthly bills.

Sprint will assign a direct contact for support services through our Assigned Care Organization. An
Assigned Care Team will handle all post -sales support with the responsibility for ongoing billing
maintenance, customer sen ice, will participate in quarterly customer discovery revieN%s and rate plan
analyses, and will also handle customer service and billing related escalations.
If The City disputes a charge in good faith, you may withhold payment of that charge if you (A) pay all
undisputed charges on or prior to the Due Date; and (B) within 30 days of the Due Date, provide Sprint
w ith a written explanation of your reasons for disputing the charge. The City must cooperate with
Sprint to resolNe promptly any disputed charge
If Sprint determines, in good faith, that the disputed charge is valid. Sprint will notify The City and,
within five business days of receiving notice, The City must pay the charge or invoke the negotiation
process in the Agreement. If Sprint determines, in good faith. that the disputed charge is invalid. Sprint
N4ill credit The City for the invalid charge.
Disputed charges for dropped calls can be credited to your account by dialing *2 or by going to our
website at �XNNN%.sprint.com. The credit is then listed in the Miscellaneous Credit portion of the invoice.

keeping existing phone numbers. The City expects that the cutoN er to these sen ices
%%ill be done N%ithout interruption of cellular 2-x%ay phone sen ices and at no cost to
the City.
Sprint has read, understand and NAM comply. The City will be required to provide the following
information to begin the process of porting your numbers to Sprint sen ice. Generally, this information
appears on an invoice.
Billing name and address
Account number or last four digits of Social Security number/Tax ID
Phone number you wish to port
Pass,Aord (if applicable)
The information provided needs to be exact. Any deviations from your account information (i.e. spelling
errors, abbreviations, etc.) may result in delays in the porting process.

Once your request has been submitted to transfer your numbers to Sprint, the information is sent
electronically to the carrier who currently carries your phone numbers. That carrier N%ill validate )our
billing or other appropriate information, as well as your phone numbers. If any of this information does
not match your current listing m ith that carrier, they may send a request back to Sprint that the phone
number cannot be released due to a discrepancy. Sprint will then contact The City to clarifj or correct
any issues.
Porting) our numbers to Sprint will also require new devices. Your port order will be timed so N% ireless
devices Hill arrive before old deices have been deacti-vated. Some carriers are providing a number -
guarding functionality which may force you to call your current carrier to get your number released.
Sprint does not subscribe to that function and will not impede your ability to choose the carrier you feel
is right for you.

the term of the contract (instigated by the proposer) shall not be liable for the expense
of the phones or accessories.
In the normal course of technology evolution and enhancement, Sprint continual!) updates and
upgrades its networks, Products and SerN ices. In some instances, these efforts will result in the
need to ultimately replace or discontinue certain offerings or technologies. In such e\ ent, Sprint
will undertake such efforts in a customer -focused and commercially reasonable manner.
Accordingly and notwithstanding anything in this Agreement to the contrary, Sprint reserves
the right, in its sole discretion, after providing the notice set forth in subsection B WON%, to: (1)
migrate The City to a replacement technology; or (2) discontinue any Product, Service, network
standard, or technolog) without either party being in breach of this Agreement or incurring earl)
termination liability relating to the discontinuance of the affected Product, Service, network
standard, or technology..

Before a telephone number previously used with another carrier can be used on the Sprint Networks,
Customer must provide information about the account with the other carrier, such as the account number,

and password, if applicable, and purchase wireless Products from Sprint. Until the port from the previous
carrier is successful, the Sprint wireless Product H ill only be able to call 911 and Sprint Customer Care.
Once the port is completed, Customer's old device will no longer work. However, due to system
limitations and issues outside Sprint's control, some requests to port a telephone number from another
carrier to Sprint, or from Sprint to another carrier, may not be successful.

prevent fraud and counter it N lien it does occur. The following is a high -lei el o\ erview of Sprint's Fraud

Fraud Prevention Procedures
Sprint's network customer authentication and registration protocols meet or exceed industry fraud
prevention standards. At a high level, Sprint's fraud monitoring, investigation, confirmation and
countermeasure processes for wireless telecommunications fraud invol,.es highly trained fraud
investigation specialists leveraging wireless usage, activity and transactional focused monitoring tools.
Sprint also instructs our Customer Care employees to bew are of common indicators of fraud during the
purchase, activation, and payment of wireless service.
To preserve the integrity of the Sprint Fraud Management program, we do not divulge the particulars of
our end -to -end fraud management processes.
Fraud Prevention Technology
CDMA technology provides a high level of security against fraudulent use of services, including
cloning. Any time a mobile phone is powered on, or a call is placed or recei,. ed, a registration request
is sent to the mobile to identify itself, and an authentication process takes place between the Home
Location Register (HRL) and serving MTX (a component of the DMS-100 switching platform). A copy
of the HLR authentication data is placed in the serving MTX's Visitor Location Register (VLR) database
for subsequent authentication. Re -registration can also be triggered based on a timer value or a change
in the mobile's location. During registration, the mobile's Mobile Identification Number (MIN) and
Electronic Serial Number (ESN) are authenticated against the HLR or VLR data.
Sprint Fraud Management also deploy s a number of activity- and transactional -focused monitoring tools
to quickly detect and mitigate fraudulent activity. To protect the integrity of our Fraud Management
-- program, Sprint does not provide specific details about these tools.
Fraud Monitoring
Sprint Fraud Management receives near -real-time usage -record visibility for the majority of Sprint
product and services. When fraud is suspected and/or confirmed. Fraud Management will place either
a sen ice hotline (redirection of all outbound transmissions) on the impacted subscription or suspend the
sen ice. The action taken depends on the type of fraud activity.
For wireless industry -specific fraud (network/technical fraud), a rule -based usage fraud profiler system
helps support the investigative process. However, the fraud investigator mad need to contact the
designated end user of the device associated with suspicious dialing activity to complete the fraud
confirmation process. Sprint reserves the right to coordinate a number change and or device change to
circumvent technical fraud activity. These changes will likely be preceded with a service
hotline/suspension.
For subscription fraud, if the entire account is confirmed as fraudulent, service suspension will occur.
If not all subscriptions under a master account are confirmed as fraudulent, then only the confirmed
fraud account(s) will be decommissioned.
Fraud Resolution Timeframes
Sprint responds to and resolves fraud activity and as quickly as possible. Resolution timeframes depend
upon the number of devices, type of fraud, and the timeframe in which the fraud activity is reported.
Sprint's Fraud Management mission is to detect and mitigate fraud early to diminish the impact to The
City.
A dedicated Fraud Victim Assistance team, coupled with customized per -fraud activity-t) pe mitigation
processes, secures a positive customer experience in the event of fraud. Fraud detection and prevention
is achieved by deploying wireline and wireless industry -specific fraud -detection measures customized
to Sprint's networks and customer base. If fraud is suspected, the countermeasure applied to stop the

fraud varies per fraud activity type. In each case, prompt and customer -focused fraud activity, mitigation
assistance is provided.
Countermeasures and Billing Credit Process
In the event The City is confirmed as a fraud victim, Sprint Fraud Management personnel will outline
countermeasures and applicable billed -fraud -activity credit processes. Fraud actiN ity countermeasures
can Nary based on fraud -activity type.
Credits for fraudulent usage that has already been applied to your Sprint bill can Nary depending on
circumstance. If the fraud occurred outside of your Home Service Area, such as in a domestic and/or
international roaming network, fraudulent -usage credit adjustments may take more than one billing
c) cle, depending on the frequency and timeliness of the roaming -market service provider's transmission
of the appropriate usage record file to Sprint.
Suspected Fraud and Lost/ Stolen Equipment Notification Process
If you have a lost or stolen wireless device or suspect fraud on an) The City account, please contact
Sprint Customer Care available 240 by dialing *2 on your wireless phone or calling 800-927-2199. If
appropriate, the Care representative will refer )ou to Fraud Management. You %%ill not be responsible
for Lost'Stolen usage after notice has been received by Sprint.
Usage Dispute Process
If your users dispute usage, the appropriate Care representative will evaluate the claim and refer to
appropriate dispute management department for follow up investigation. If the claim is affirmed,
-^ adjustments will be applied in next billing cycle.
Identity Theft Victim Assistance
Identity theft is one of the fastest gro" ing crimes in the nation. Sprint is committed to helping consumers
combat identity theft as quickly and painlessly as possible. Identity theft occurs when someone uses
your name, address, Social Security number (SSN), or other identifjing information without your
knowledge to commit fraud or other crimes. In the telecommunications industr), an account is
established using this stolen information to a%oid paying for services. This act is commonly referred to
as subscriber fraud.

SPAM Prevention
Sprint's Corporate Security group continually monitors our network for suspicious or fraudulent
activity. To date, SPAM messaging has not been reported as a common problem for our NN ireless email
or short messaging service. Message lengths of 128 characters for wireless email and 160 characters
for short message serN ice are somewhat prohibitive for SPAM messaging.

Obtaining Lower Cost Funding to Retire Higher Cost Debt
We continued to execute our financing strategy of diversifying its funding sources, lowering its cost of
capital, and reducing its future cash interest expenses. During the quarter Sprint replaced its $3.3 billion
unsecured revolving bank credit facility with a new $6 billion secured credit facility, consisting of a $4
billion seven-year term loan and a $2 billion four-year revolving bank credit facility. At closing, the
company borrowed S4 billion on the term loan facility at a rate of LIBOR plus 250 basis points, which
is about half of Sprint's current effective interest rate.
The company also retired approximately $1.6 billion of debt maturities with higher interest payments in
f the quarter, including $1 billion of 9.125 percent senior notes, $300 million associated with its Network
LeaseCo facility, and $250 million related to the early retirement of tranche 4 of its EDC facility.

II. GENERAL REQUIREMENTS
INTENT
Exhibit B
a) The City of Lubbock (hereinafter called "City") is seeking proposals from interested firms and
individuals, (hereinafter called "Proposer") to provide Cellular Phone Services and Devices.
b) Offerors are invited to submit demonstrated competence and qualifications of their firm for
providing these services.
c) The information contained within this document is intended to provide interested firms with the
requirements and criteria that will be used to make the selection.
2 CURRENT ENVIRONMENT
The City of Lubbock has approximately 230 Smart phones, 30 non -smart and 20 rugged wireless
phones in service. Based on the results of the RFP and need, the number of cellular/2-way
phones needed may change.
3 SCOPE
These specifications encompass the requirements for Proposer response via sealed proposals for
cellular/2-way phone services. The responder to this Request for Proposals shall be solely
responsible to ensure that the services offered shall meet the City of Lubbock's requirements.
4 PROPOSER RESPONSIBILITIES
The Proposer shall bear the following responsibilities:
4.1 Demonstrate, by local references, prior to acceptance of proposal that the cellular/2
way services being proposed to the City of Lubbock will perform as represented in
the proposal. (Cellular/2-way phones should be available for a trial period during the
RFP process to confirm service availability)
4.2 Provide complete, turnkey, swap -out of cellular/2-way phones and accessories (car
& wall chargers, and cases or belt clips) for the City of Lubbock without any
interruption in service.
4.3 Provide training and appropriate documented instructions to the City of Lubbock for
the use of its proposed cellular/2-way services.
4.4 Provide fixed price services for one (1) year, with the option of three (3) one (1)
year extensions.
4.5 Provide local Customer Care Center or service facility for all phone repairs and
replacements; and for phone accessory repair and replacements for the entire length
of the contract.
4.6 Furnish a map, indicating the location of cellular tower sites that will be used to
provide the cellular service included in this proposal and their coverage area. If the
coverage area increases in size for other customers of the Proposer. Areas where
roaming charges apply shall be clearly indicated.
4.7 If a government agency in the State of Texas is given a lower rate during the life of
this proposal, the lower rate will apply to this proposal.
4.8 Legal venue for this proposal will be Lubbock County and Choice of Law for this
proposal will be Texas.
5 RIGHTS OF THE CITY OF LUBBOCK
The City of Lubbock reserves the right to award these services on the basis of responses to this RFP or
with the State of Texas Contract, for cellular/2-way services, whichever is deemed solely by the
City to be in its best interests. The City of Lubbock reserves the right to negotiate any and all
parts of the proposals received, reject any and all proposals, or to accept selected components of
any proposal. The City of Lubbock reserves the right to award these services for all existing
number of phones, some of the phones or none of the phones, whichever is deemed solely
by the City to be in its best interests. If a responding Proposer or their parent company has an
agreement or proposal in effect with the State of Texas, indicate what the contract/proposal is
and how it compares to your proposal to the City.
b SELECTION CRITERIA
20% Quality of references received from business users of the Proposer's cellular/2-way services.
30% Ease of access to customer care center or service facility and coverage areas.
10% Adequacy of reporting (invoicing) to enable City to allocate charges by employee, i.e.
electronic billing. (Including allowing showing the incoming phone numbers on the bill)
30% Net monthly cost to the City for cellular/2-way services.
10% Disaster plan for Cellular/2-way services.
7 DETAIL SPECIFICATIONS
Proposer shall indicate to what extent the cellular services being proposed meet, exceed or falls
short of the stated requirements. This discussion is to follow each specification description.
Discussion such as "Meets all specifications" or "See attached specifications" do not qualify as
explanations of what the Proposer is proposing.
7.1 Features:
A. City of Lubbock is interested in the following features on some or all of the
proposed devices and will need prices for these items in the proposal

B. Service:
1. Indicate the location of your service facility and ability to provide parts and
equipment. Also, indicate the hours of operation.
2. Explain the procedure if a phone is stolen/lost on the weekends or after hours.
3. Discuss who will provide service to the City and what the response time will be for
delivery of new or replacement phones or additional accessories.
4. In the event of a major problem, provide an escalation list of personnel that can be
contacted. List name, title, location and contact phone number.
5. Explain the process when a phone model is being utilized by the City of Lubbock
gets discontinued by the proposer especially how it relates to accessories for the
phone, parts for the phone and replacement phones.
C. Emergency Situation or Weather Issues:
1. In the event of an emergency incident, such as a weather related disaster, how would
you ensure cellular/2-way phone service for our Emergency Management Team and
Public Safety Group?
2. What would be your response time in activating this plan?
3. Do you have access to mobile towers to be delivered to an area of the City in need
of coverage in this situation?
4. Describe how the Proposer ensures that Cellular/2-way phone services will always
be available to the City including during severe weather conditions.
D. Billing:
1. Discuss how charges for cellular/2-way phone calls are calculated. Will the rate be
the same for 24 hours per day 7 days a week? If not, discuss other rates and the
hours available.
2. Explain any other charges, costs, fees, etc., that the City could/will incur by using
the Proposer's Cellular/2-way services. Discuss any minimum charges that will be
incurred by the City.
3. nescribe how invoices will be detailed so as to indicate all calls placed from or
received by a telephone, including number, City and State of number, date, time of
call and cost of call. Describe how the electronic billing will be handled and the
formats available for the invoice. Describe what media billing will be provided in.
Provide samples of invoices that show the above requirements.
4. Discuss how the City will resolve invoicing problems or receipt of late monthly
bills. Where is the person located with whom the City will discuss problems? Who
will this person be?
E. Change Over Process:
1. Describe how the City will be converted to the proposed cellular/2-way services
while keeping existing phone numbers. The City expects that the cutover to these
services will be done without interruption of cellular/2-way phone services and at no
cost to the City.
F. Other:
2. Also in the situation of a mass changeover of a type of phone the City is using
during the term of the contract (instigated by the proposer) shall not be liable for the
expense of the phones or accessories.
3. Describe if the City will be able to retain the existing numbers in service. If not how
the new numbering system will take effect.
1. In the event that a cellular/2-way phone is cloned by a hacker and the number is
being used by an unauthorized user, how does your company check for this kind of
activity and what would the City's liability be?
2. If cellular device is stolen. Is there tracking capability?
3. Is there a possibility of pooling cell phone voice, data or texting usage to decrease
the amount of per phone usage costs?
4. Is there a set amount of long distance free with each phone or in a pooled plan?
Please explain.
5. List local businesses to which you provide similar cellular/2-way services that have
100 or more cellular phones. Indicate name of business, number of cellular phones,
person to contact and their telephone number.
8 GENERAL CONDITIONS
The Cellular/2-way phone services proposed must meet Federal, State and PUC
requirements. The Proposer shall be responsible for including all items required by these
regulations even though these items may not be requested in these specifications.
2. Any omissions from these specifications shall not relieve the Proposer from the
responsibility of furnishing the necessary information and costs required.
Proposer shall include one (1) original and three (3) copies of their Proposal, including
illustrative and technical data covering the proposed services. Also include a sample
contract and warranty description, if applicable.
4. Proposer shall include the financial information for the Proposer and the Proposer's parent
company, if any.
9 PROPOSAL FORMAT
9.1 Prefacing the proposal, the proposer shall provide an Executive Summary of three (3)
pages or less, which gives in brief, concise terms, a summation of the proposal. Include
descriptions of primary and alternative configurations. The proposal itself shall be
organized in the following format and informational sequence:
1. Letter of Transmittal:
The letter of transmittal should be physically signed by an officer of the firm and
include the following:
Name, address, and identification number (SSN or FEIN) of the respondent.
• Name, title and telephone number of the individual authorized to commit the
respondent, if different from above.
• Name, title and telephone number of the individual to be contracted
regarding the content of the RFP proposal, if different from above.
• City and state of respondent's corporate headquarters, if different from
above.
• A statement ensuring validity of the proposal for at least ninety (90) days.
• A statement that the respondent understands and will comply with the
various clearance procedures required by the City including equal
opportunity and tax clearance certification.
9.2 Business Organizations:
State full name and address of your organization and identify parent company if you are a
subsidiary. Specify the branch office or subordinate element, which will perform, or assist
in performing, work herein. Indicate whether you operate as a corporation, partnership, or
individual. Include the State in which incorporated or licensed to operate.
9.3 System Concept and Solution:
Define in detail your understanding of the problem presented earlier in this request for
proposal and your system solution. Provide all details required in addition to those facts
you deem necessary to evaluate your proposal.
9.4 Project Management Structure:
Provide a general explanation and chart, which specifies project leadership and reporting
responsibilities. If use of subcontractors is proposed, identify their placement in the
primary management structure, and provide internal management description for each
subcontractor.
9.5 Prior Experience:

size, complexity and type of government.

CONTRACT FOR PRODUCTS AND RELATED SERVICES
SPRINT SOLUTIONS, INC.
1. Introduction
A. Parties
This Contract for products and related services is entered into between the State of Texas,
acting by and through the Department of Information Resources (hereinafter "DIR") with
its principal place of business at 300 West 15`t' Street, Suite 1300, Austin, Texas 78701,
and Sprint Solutions, Inc. (hereinafter "Vendor"), with its principal place of business at
12502 Sunrise Valley Drive, Reston, VA 20196.
B. Compliance with Procurement Laws
This Contract is the result of compliance with applicable procurement laws of the State of
Texas. DIR issued a solicitation on the Comptroller of Public Accounts' Electronic State
Business Daily, Request for Offer (RFO) DIR-TSO-TMP-234, on December 9, 2015, for
Hardware, Software and Services for Wireless Voice, Data, Pagers and Mobile Satellite
Voice. Upon execution of this Contract, a notice of award for RFO DIR-TSO-TMP-234
shall be posted by DIR on the Electronic State Business Daily.
C. Order of Precedence
For purchase transactions under this Contract, the order of precedence shall be as follows:
this Contract; Appendix A, Standard Terms and Conditions For Products and Related
Services Contracts; Appendix B, Vendor's Historically Underutilized Businesses
Subcontracting Plan; Appendix C, Pricing Index; Appendix D, Customer Service
Agreement Terms including all Annexes; Exhibit 1, Vendor's Response to RFO DIR-TSO-
TMP-234, including all addenda; and Exhibit 2, RFO DIR-TSO-TMP-234, including all
addenda; are incorporated by reference and constitute the entire agreement between DIR
and Vendor governing purchase transactions. In the event of a conflict between the
documents listed in this paragraph related to purchases, the controlling document shall be
this Contract, then Appendix A, then Appendix B, then Appendix C, then Appendix D,
then Exhibit 1, and finally Exhibit 2. In the event and to the extent any provisions contained
in multiple documents address the same or substantially the same subject matter but do not
actually conflict, the more recent provisions shall be deemed to have superseded earlier
provisions.
2. Term of Contract
The term of this Contract shall be two (2) years commencing on the last date of approval
by DIR and Vendor. Prior to expiration of the original term, DIR and Vendor may extend
the Contract, upon mutual agreement, for up to two (2) optional one-year terms.

Additionally, the parties by mutual agreement may extend the term for up to ninety (90)
additional calendar days.
3. Product and Service Offerings
A. Products
Products available under this Contract are limited to Wireless Voice and Data Products
required for services offered in B. below as specified in Appendix C, Pricing Index.
Vendor may incorporate changes to their product offering; however, any changes must
be within the scope of products awarded based on the posting described in Section LB
above. Vendor may not add a manufacturer's product line which was not included in
the Vendor's response to the solicitation described in Section LB above.
B. Services
Services available under this Contract are limited to Wireless Voice and Data Services
as specified in Appendix C, Pricing Index. Vendor may incorporate changes to their
service offering; however, any changes must be within the scope of services awarded
based on the posting described in Section LB above.
C. Emerging Technologies and Future Acquisitions
DIR recognizes that technology is ever -evolving and advancing. DIR reserves the right
to consider the addition of emerging technology such as next generation, enhancements
and upgrades for products or services that are within the scope of Hardware, Software
and Services for Wireless Voice, Data, Pagers and Mobile Satellite Voice services.
Vendor may propose such products or services throughout the term of the contract as
long as said product or service was initially bid in Vendor's response. Pricing and terms
will be negotiated upon DIR acceptance. Any determination will be at DIR's sole
discretion and any decision will be final.
4. Pricing
Pricing to the DIR Customer shall be as set forth in Appendix A, Section 8, Pricing,
Purchase Orders, Invoices, and Payment, and as set forth in Appendix C, Pricing Index,
and shall include the DIR Administrative Fee. Telecommunications Fees, Taxes, and
Surcharges may not be included on Customer invoices unless they were submitted with
response and verified as required by statute.
5. DIR Administrative Fee
A) The administrative fee to be paid by the Vendor to DIR based on the dollar value of all
sales to Customers pursuant to this Contract is two percent (2%). Payment will be
calculated for all sales, net of returns and credits. For example, the administrative fee for
sales totaling $100,000 shall be $2,000.
B) All prices quoted to Customers shall include the administrative fee. DIR reserves the
right to change this fee upwards or downwards during the term of this Contract, upon

written notice to Vendor without further requirement for a formal contract amendment.
Any change in the administrative fee shall be incorporated in the price to the Customer.

Software License and Service Agreements
A. Software License Agreement
1) Customers acquiring software licenses under the Contract shall hold, use and
operate such software subject to compliance with the Software License Agreement set
forth in Appendix D of this Contract. No changes to the Software License Agreement
terms and conditions may be made unless previously agreed to between Vendor and
DIR. Customers may not add, delete or alter any of the language in Appendix D. Order
Fulfiller shall make the Software License Agreement terms and conditions available to
all Customers at all times.

2) Compliance with the Software License Agreement is the responsibility of the
Customer. DIR shall not be responsible for any Customer's compliance with the
Software License Agreement. If DIR purchases software licenses for its own use under
this Contract, it shall be responsible for its compliance with the Software License
Agreement terms and conditions.
B. Shrink/Click-wrap License Agreement
Regardless of any other provision or other license terms which may be issued by
Vendor after the effective date of this Contract, and irrespective of whether any such
provisions have been proposed prior to or after the issuance of a Purchase Order for
products licensed under this Contract, or the fact that such other agreement may be
affixed to or accompany software upon delivery (shrink-wrap), the terms and
conditions set forth in this Contract shall supersede and govern the license terms
between Customers and Vendor. It is the Customer's responsibility to read the
Shrink/Click-wrap License Agreement and determine if the Customer accepts the
license terms as amended by this Contract. If the Customer does not agree with
the license terms, Customer shall be responsible for negotiating with the reseller
to obtain additional changes in the Shrink/Click-wrap License Agreement
language from the software publisher.
C. Service Agreement
Services provided under this Contract shall be in accordance with the Service
Agreement as set forth in Appendix D of this Contract. No changes to the Service
Agreement terms and conditions may be made unless previously agreed to by Vendor
and DIR.
D. Conflicting or Additional Terms
In the event that conflicting or additional terms in Service Agreements or linked via
URL (excluding items covered by 7.A) or supplemental documents amend or diminish
the rights of DIR Customers or the State, such conflicting or additional terms shall not
take precedence over the terms of this Contract.
In the event of a conflict, any linked documents may not take precedence over the
printed or referenced documents comprising this Contract; provided further that any
update to such URL-linked documents shall only apply to purchases or leases of the
associated Vendor product or service offering after the effective date of the applicable
update; and, provided further, that, if Vendor has responded to a solicitation or request
for pricing, no update of such URL-linked documents on or after the date of Vendor's
final response shall apply to that purchase unless Vendor directly informs Customer of
the update before the purchase is consummated or Customer acknowledges the update
in writing at or before the time the purchase is consummated.

Vendor shall not [without prior written agreement from Customer's authorized
signatory,] require any document that: 1) diminishes the rights, benefits, or protections
of the Customer, or that alters the definitions, measurements, or method for determining
any authorized rights, benefits, or protections of the Customer; or 2) imposes additional
costs, burdens, or obligations upon Customer, or that alters the definitions,
measurements, or method for determining any authorized costs, burdens, or obligations
upon Customer. This paragraph applies to the contractual relationship between Vendor
and Customer and does not negate the provions of Paragraph 7.A. concerning
Shrink/Click-wrap License Agreements.
The foregoing requirements apply to all contracts, including, but not limited to, contracts
between Customer and a reseller who attempts to pass through documents and
obligations from its Manufacturer or Publisher.
S. Authorized Exceptions to 1) RFO; 2) Contract; and 3) Appendix A, Standard Terms
and Conditions for Product and Related Services Contracts.
A. RFO DIR-TSO-TMP-234, Exhibit A, Vendor Information Form, Section 18.2.
Wireless Voice Services and Equipment Requirements, paragraph G is hereby
replaced in its entirety with the following:
Customers will be responsible for reporting lost or stolen wireless equipment.
Vendor must have the ability to deactivate wireless equipment (within 2 hours for
voice and data services can take up to 4 hours) upon receiving notice equipment is
lost or stolen.
B. RFO DIR-TSO-TMP-234, Exhibit A, Vendor Information Form, Section 18.7.
Service Support Requirements, paragraph H is hereby replaced in its entirety
with the following:
Scheduled maintenance that will result in an outage requires an alert notification
from Vendor to DIR of at least ten (10) business days, for Vendors providing a
dedicated connection to the State of Texas network as described in Section 2.2.
Related Services. Unscheduled services outages require immediate alert
notification from Vendor to DIR. Also, whenever possible, any scheduled
maintenance periods should be conducted during a maintenance window of
midnight until 04:00 AM, preferably over weekends, beginning Friday night at
11:59 PM and extending to Monday morning at no later than 04:00 AM. All alerts
will be sent to the DIR Help Desk.
In the event Vendor provides a direct Network -to -Network Interconnect (NNI)
connection to the State of Texas Network, DIR will require notification of all

planned maintenance and service outages at least ten (10) business days in advance
of servicing said NNI connection.
C. Contract, Section 3. Product and Service Offerings, C. Emerging
Technologies and Future Acquisitions is hereby replaced in its entirety with the
following:
DIR recognizes that technology is ever -evolving and advancing. DIR reserves the
right to consider the addition of emerging technology such as next generation,
enhancements and upgrades for products or services that are within the scope of
Hardware, Software and Services for Wireless Voice, Data, Pagers and Mobile
Satellite Voice services. DIR will review any emerging technologies or future
solutions provided to DIR by Vendor and determine if they are within scope of the
original proposal. If so, DIR will seek to reach agreement with Vendor on a
contract amendment to include any approved new services/technologies and
products required to activate and use new services/technologies. Pricing and terms
will be negotiated upon DIR acceptance. Any determination will be at DIR's sole
discretion and any decision will be final.
D. Contract, Section 5. DIR Administrative Fee, B) is hereby replaced in its entirety
with the following:
All prices quoted to Customers shall include the administrative fee. DIR reserves
the right to change this fee upwards or downwards during the term of this Contract,
upon written notice to Vendor without further requirement for a formal contract
amendment. Any change in the administrative fee shall be incorporated in the price
to the Customer for subscribers activated after the new administrative fee became
effective. Existing subscribers will continue to be calculated based on
administrative fee in effect at the time of activation.
E. Contract, Section 7. Software License and Service Agreements, A. Software
License Agreement, 1) is hereby replaced in its entirety with the following:
Customers acquiring software licenses under the Contract shall hold, use and
operate such software subject to compliance with the Software License terms and
conditions set forth in Appendix D of this Contract. No changes to the Software
License terms and conditions may be made unless previously agreed to between
Vendor and DIR. Customers may not add, delete or alter any of the language in
Appendix D. Order Fulfiller/Vendor shall make the Software License terms and
conditions available to all Customers at all times.

Vendor after the effective date of this Contract, and irrespective of whether any
such provisions have been proposed prior to or after the issuance of a Purchase
Order for products licensed under this Contract, or the fact that such other
agreement may be affixed to or accompany software upon delivery (shrink-wrap),
the terms and conditions set forth in this Contract shall supersede and govern the
license terms between Customers and Vendor. It is the Customer's responsibility
to read the Shrink/Click-wrap License Agreement and determine if the
Customer accepts the license terms as amended by this Contract. If the
Customer does not agree with the license terms, Customer shall be responsible
for negotiating with the reseller to obtain additional changes in the
Shrink/Click-wrap License Agreement language from the software publisher.
If Customer does not reach agreement on such changes, Customer shall not
purchase or accept the products and/or service tied to the additional licensing
terms.
G. Appendix A, Section 4 General Provisions, D. Assignment is hereby updated in
its entirety with the following:
DIR or Vendor may assign the Contract without prior written approval to: i) a
successor in interest (for DIR, another state agency as designated by the Texas
Legislature and for Vendor, entity that has purchased all or substantially all of its
assets, and accepts all past, present, and future responsibilities under the Contract),
or ii) a subsidiary, parent company or affiliate, or iii) as necessary to satisfy a
regulatory requirement imposed upon a party by a governing body with the
appropriate authority. Each party agrees to cooperate to amend the Contract as
necessary to maintain an accurate record of the contracting parties. Assignment of
the Contract under the above terms shall require written notification by the
assigning party and, for Vendor, a mutually agreed written Contract amendment.
Any other assignment by a party shall require the written consent of the other party
and a mutually agreed written Contract amendment.
H. Appendix A, Section 5. Intellectual Property Matters, Subsections A-L is
hereby replaced in its entirety with the following:
This Contract does not contemplate, authorize or support the development or
acquisition of custom software products or services. If Vendor seeks to offer such
products or services to DIR Customers, DIR and Vendor must amend this Contract
to include such services.
I. Appendix A, Section 7. Contract Fulfillment and Promotion, A. Service, Sales
and Support of the Contract is hereby replaced in its entirety with the following:
Vendor shall provide service, sales and support resources to serve all Customers
throughout the State. It is the responsibility of the Vendor to sell, market, and
promote products and services available under the Contract. Vendor shall use its

good faith efforts to ensure that potential Customers are made aware of the
existence of the Contract. If Vendor has a written purchasing arrangement
("Purchasing Arrangement") with Customer through an existing federal,
cooperative or standalone contract held by Vendor that were executed prior to the
effective date of this Contract that allows for additional purchases ("Preexisting
Contract"), Vendor may sell to eligible DIR Customer through the Preexisting
Contract until the expiration or earlier termination of the then -current term of such
Purchasing Arrangement (Vendor shall not renew or extend such Purchasing
Arrangement). Upon the expiration or termination of the then -current term of the
Purchasing Arrangement (Vendor shall not renew or extend such Purchasing
Arrangement), if Vendor retains such eligible DIR Customer, then Vendor must
transition Customer to the DIR Contract.
J. Appendix A, Section 7. Contract Fulfillment and Promotion, E. Internet
Access to Contract and Pricing Information. 5) Use of Access Data Prohibited
is hereby replace in its entirety with the following:
If Vendor stores, collects or maintains data electronically as a condition of
accessing Contract information, such data shall only be used internally by Vendor
(and its Affiliates, agents and consultants with a need to know, if they are subject
to a confidentiality agreement) for the purpose of implementing or marketing the
Contract, and shall not be disseminated to third parties or used for other marketing
purposes except as required by applicable law. The Contract constitutes a public
document under the laws of the State and Vendor shall not restrict access to
Contract terms and conditions including pricing, i.e., through use of restrictive
technology or passwords.
K. Appendix A, Section 8. Pricing, Purchase Orders, Invoices, and Payments, C.
Customer Price, 3) is hereby replaced in its entirety with the following:
If pricing for products or services available under this Contract are provided at a
lower price to: (i) an eligible Texas Customer who is not purchasing those products
or services under this Contract or (ii) to any other Texas customer under the same
terms and conditions provided for the State for the same commodities and services
under this contract, then the available Customer Price in this Contract shall be
adjusted to that lower price. This requirement applies to products or services quoted
to Texas Customers by Vendor or its resellers for a quantity of one (1) under like
terms and conditions, and does not apply to volume or special pricing purchases or
to any purchases outside the State of Texas. This Contract shall be amended within
ten (10) business days to reflect the lower price.
L. Appendix A, Section 8. Pricing, Purchase Orders, Invoices, and Payments, D.
Telecommunications Fees and Surcharges and Taxes, (a) is hereby replaced in
its entirety with the following:

The Federal Universal Service Fund charge is an applicable FCC authorized
surcharge in effect as of the date of this Contract and will be charged on Customer
invoices. Any FCC, PUC or other authorized telecommunications taxes, fees and
surcharges applicable to any Service may only be imposed: (i) if the Vendor listed
them in Bid Package 2 upon submission of Offer, or (ii) if the tax or fee is initially
imposed by a governmental entity after the effective date of this Contract; and (iii)
in the event of (ii), DIR and Vendor shall execute a written amendment to authorize
such imposition under the Contract. Vendor acknowledges that certain Customers
that are political subdivisions of the State, are exempt from the imposition and
collection of certain State telecommunications fees, including the Texas Universal
Service Fund Charge and the Texas Infrastructure Fund assessment. In addition,
State agency Customers have additional exemptions from State
telecommunications fees, including the 9-1-1 emergency service fee, 9-1-1
equalization surcharge, poison control surcharge, and late charges imposed under
Section 55.010, Texas Utilities Code. Vendor agrees to not bill for any items which
are not mandated by the FCC, PUC or other proper authority and which are
otherwise not applicable to the Services and for which Vendor has requested and
received valid exemption certificates from Customers. Vendor agrees to promptly
correct any incorrect billings of telecommunications fees and surcharges that occur.
Vendor acknowledges that DIR makes no representations about the exemption
status of any Customers that are assistance organizations, as defined in Section
2175.001, Texas Government Code or certain private institutions of higher
education under Section 2170.004 (5), Texas Government Code. Vendor must
request and receive any exemption certificates that may apply from each such
organization directly.
M. Appendix A. Section 8. Pricing, Purchase Orders, Invoices, and Payments, K.
Changes to Prices, 1) is hereby replaced in its entirety with the following:
Price increase change requests must be requested with a signed cover letter
indicating the change in price. Price increase requests must be accompanied by a
copy of the manufacturer or publisher's price list.
N. Appendix A. Section 8. Pricing, Purchase Orders, Invoices, and Payments, K.
Changes to Prices, is hereby amended by adding a new paragraph 4) Electronic
Administrative Update (EAU) Process as follows:
The parties agree to use the Electronic Administrative Update Process (EAU) to
submit, review and implement administrative changes to Appendix C, Pricing
Index. Administrative updates may include, but are not limited to price decreases,
format corrections, or the addition of new services that were not available at the
time of submission to the RFO and that are within the original scope of the
RFO. Appendix C, Pricing Index changes shall be provided to Customers via the
Vendor's webpage and the DIR Contract web page.

O. Appendix A. Section 9. Contract Administration, B. Reporting and
Administrative Fees, 4) DIR Administrative Fee, a) is hereby replaced in its
entirety with the following:
The applicable CRF/administrative fee shall be paid by Vendor to DIR to defray
the DIR costs of negotiating, executing, and administering the Contract. The
maximum administrative fee is set by the Texas Legislature in the biennial General
Appropriations Act. Payment of the CRF fee shall be due on the seventeenth (17th)
calendar day after the close of the previous month period. If the seventeenth
calendar day falls on a non -business day, the administrative fee shall be due on the
next business day. DIR may change the amount of the administrative fee upon
thirty (30) calendar days written notice to Vendor without the need for a formal
contract amendment.
P. Appendix A. Section 10. Vendor Responsibilities, A. Indemnification, 2) is
hereby replaced in its entirety with the following:
Vendor shall indemnify and hold harmless the State of Texas and Customers,
AND/OR THEIR OFFICERS, AGENTS, EMPLOYEES, REPRESENTATIVES,
CONTRACTORS, ASSIGNEES, AND/OR DESIGNEES FROM ANY AND ALL
THIRD PARTY_LIABILITY, ACTIONS, CLAIMS, DEMANDS, OR SUITS,
AND ALL RELATED COSTS, ATTORNEY FEES, AND EXPENSES that is
alleged to have resulted, in whole or in part, from the negligent, reckless, willful,
intentional, or otherwise wrongful acts or omissions of the Vendor or its agents,
employees, subcontractors, Order Fulfillers, or suppliers of subcontractors in the
execution or performance of the Contract and any Purchase Orders issued under the
Contract. THE DEFENSE SHALL BE COORDINATED BY VENDOR WITH
THE OFFICE OF THE ATTORNEY GENERAL WHEN TEXAS STATE
AGENCIES ARE NAMED DEFENDANTS IN ANY LAWSUIT AND VENDOR
MAY NOT AGREE TO ANY SETTLEMENT WITHOUT FIRST OBTAINING
THE CONCURRENCE FROM THE OFFICE OF THE ATTORNEY GENERAL.
VENDOR AND THE CUSTOMER AGREE TO FURNISH TIMELY WRITTEN
NOTICE TO EACH OTHER OF ANY SUCH CLAIM.
Q. Appendix A. Section 10. Vendor Responsibil ties, Section S. Secure Erasure of
Hard Disk Products and/or Services
Vendor agrees that all products and/or services equipped with hard disk drives (i.e.
computers, telephones, printers, fax machines, scanners, multifunction devices,
etc.) shall have the capability to securely erase data written to the hard drive prior
to final disposition of such products and/or services, either at the end of the
Customer's wireless Product's useful life or the end of the related Service
Agreement Terms in Appendix D for such wireless Products and/ Services, in
accordance with 1 TAC 202.

Vendor represents and warrants that (i) neither Vendor nor any of its Subcontractors
within the last three years have been found liable in any administrative hearing,
litigation or other proceedings of Deceptive Trade Practices violations as defined
under Chapter 17, Texas Business & Commerce Code, and (ii) it has no officers
who have been found liable in any administrative hearing, litigation or other
proceedings of Deceptive Trade Practices violations under Chapter 17, Texas
Business and Commerce Code.
S. Appendix A. Section 10. Vendor Responsibilites, Section W. Vendor Reporting
Requirements is hereby replace in its entirety with the following:
Vendor shall comply with Subtitle C, Title 5, Business & Commerce Code, Chapter
109 as added by HB 2539 of the 83rd Texas Legislature, Regular Session requiring
computer technicians to report images of child pornography. Vendor and DIR
acknowledge this Contract is for telecommunications services.
