W I T N E S S E T H The City of Lubbock wishes the Coordinator -Consultant to perform professional services as hereinafter set forth and the Coordinator - Consultant is willing to perform such services upon the terms and conditions specified in this agreement, the parties therefore mutually agree as follows: - ARTICLE I SERVICES TO BE PERFORMED BY THE COORDINATOR -CONSULTANT The City agrees to and hereby does retain and employ the Coordinator - Consultant and the Coordinator -Consultant agrees to act as such and to perform the services hereinafter mentioned: A. The basic services to be rendered by the Coordinator -Consultant are those of coordinating all the various capita improvement and planning program projects underway within or under the juris- diction of the City of Lubbock. The coordinating services to consist of a study of the proposed development of each project and its relation to the other projects and to make such recommen- dations to the City Council as deemed proper to bring about results which benefit the City to the highest degree possible; to prevent the development of projects in directions that tend to act at cross purposes with each other; to encourage the initiation of additional programs or projects which may be necessary to realize the greatest benefit from existing programs or projects; and to make recommendations as will give direction and continuity to the development of the City for orderly development of greatest benefit to its citizenry. B. Additional services to be performed under this agreement shall be any such related tasks that may be specifically defined and spe- cifically authorized by"the City Council. ARTICLE II •A. The Basic services under this agreement shall be provided on a cost basis. The Coordinator -Consultant is to be reimbursed as described in Article III below. B. Where additional or special services are specifically authorized by the City Council the compensation for such services shall be as set forth in the specific authorization for the service to be rendered. ARTICLE III COMPENSATION OF COORDINATOR -CONSULTANT A. Amount for Basic Services: 1. The City of Lubbock shall pay the Coordinator -Consultant for all services rendered by him under this agreement as follows: a. A sum equal to 2.5 times the salary cost of personnel properly chargable to the work. Coordinator -Consultant charges for his own time in performing basic services under this agreement shall be $20.OD per hour. In addition to the foregoing, the City is to reimburse the Coordinator - Consultant for direct out-of-pocket expenses incurred necessary to the performance of the work, including but limited to the following: 1) Travel expenses outside the city 2) Long distance telephone calls in connection with the performance of the work 3) Printing and reproduction costs 4) Charges for services performed by other consultants retained upon prior written approval by the City of Lubbock as set forth in Article IV below. • 5) Any other costs and expenses deemed necessary by the Coordinator -Consultant in connection with performance of such services and approved in writing by the City of Lubbock. B. Amount for Additional and Special Services 1. The sum as set forth in the written approval for such additional or special services or in the absence of such specified sum, the sum determined by the basis for compensation for such additional or special services. ARTICLE IV ENGAGEMENT OF OTHER CONSULTANTS A. The Coordinator -Consultant may use the services of other consultants when such services are deemed necessary for the proper performance of the work under this agreement, however, such consultants shall only be engaged upon prior written approval of the City Council for such services. ARTICLE V RELATIONSHIP A. This agreement manifests the confidence and trust the City of Lubbock places in the ability, honesty and integrity in the Coordinator -Consultant, therefore: 1. It is incumbent upon the Coordinator -Consultant to perform his services so as not to violate such trust. 2. It is incumbent upon the City of Lubbock to recognize the necessity of the Coordinator -Consultant having freedom and flexibility within the framework and intent of this agreement to make such decisions as the Coordinator -Consultant deems proper and necessary to perform under this agreement. ARTICLE VI TERMINATION A. The City of Lubbock may terminate this agreement by giving written notice to the Coordinator -Consultant thirty (30) days in advance of such termination. • v B. The Coordinator -Consultant may terminate this agreement by giving written notice to the City of Lubbock thirty (30) days in advance of such termination.
