July 1970, by and between the State of Texas, acting through the Texas Highway Department, hereinafter called the "State", Party of the First Part, and -the. City of.Lubbock, Lubbock County, Texas, acting by and through its duly authorized officers under a Resolution passed the 25th day of June , 1970,- hereinafter called the "City", Party of the Second Part: *WIT'NES'SETH: WHEREAS, the.State and the City wish to cooperate, as evidenced in Minute Order 63291, dated January 29, 1970, in the purchase and installation of certain traffic signal and control devices under an Urban,"Traffic Operations Program to Increase Capacity and Safety", as set forth in*the 1968 Federal Aid Highway Act, by means of a project for a "Traffic Adjusted Signal and Control System in Lubbock Central Business District"., including signals at the intersections with locations listed.in EXHIBIT 1, PLANS, attached hereto and.made.a part hereof,.in the City: A G R E E M E N T NOW, therefore, in consideration'of the premises and of the .mutual coven- ants. and agreements of the parties hereto to be by them respectively kept and performed, as hereinafter set forth, it is agreed as follows: 1.. The complete plans and specifications for "Traffic Adjusted Signal 4 and Control System in Lubbock Central Business District", prepared by the City, supplemented by certain essential provisions for. handling by the State, and sub- sequently approved by the City and the State, as shown in EXHIBIT 2, SPECIFICATIONS, attached hereto and made a part hereof, describe the work to be done under this agreement, in compliance and conformity with applicable recognized standards of the American Association of State Highway Officials and the Institute of Traffic Engineers as referred to therein, and inconformity with other standards for materials, manufacture and performance, as referred to in EXHIBIT 2.. 2. :The City and the State hereby consent to the construction of the traffic:` i signals at the intersections as shown listed in EXHIBIT 1, and to the location and manner of construction as -shown therein and described in EXHIBIT 2. 3. The State will provide funds for the purchase of all necessary equip- ment and materials for the complete signal and control system, and for the in- r i stallation of the complete system.as provided for in the plans and specifications,. EXHIBITS 1 and 2. Since Federal funds are involved for part of the financing of this -work, the State will be responsible for records and accounts as required for compliance with the -Federal Aid; Highway Act of 1968, and regulations applicable to this Act. 4. The City will install all equipment and materials for the complete signal and control system, .using labor and supervisory personnel employed directly by the;. City, and using City -owned or leased machinery and vehicles necessary for the work, at wage, salary and rental rates consistent with those being paid or charged by the City for similar work on other construction and maintenance operations being currently carried on by the City, and subject to prior agreement between the State' and -the City as'to wage scale ranges and rental schedules. -3_ ' .5. The'City.will purchase all equipment and materials for the complete•sig= nal and control system.on competitive bids from at least two competent and reputable. suppliers, under prior approval by the State before award of the purchase contract for major items of equipment and material,;such as traffic signal controllers, I traffic signal poles, traffic signal heads; vehicle detectors, conduit, multiple, conductor cable and:single conductor wire. On other items of equipment and material, normally carried in stock by the.City, the use of City stock items will be satis- factory provided these items.were`purchased on competitive bids obtained from at ..least two competent and reputable suppliers, and provided the State.shall have given prior approval to the use of these items, All equipment and materials used for the work shall be items purchased at the low bid price submitted by approved bidders for the equipment or materials involved. r_ 6. The State shall•mike.suitable, frequent and complete inspections of all materials, equipment, and the work. ofinstallation to determine and permit certi- fication that the project and its components meet all applicable requirements of the plans and specifications forthe purpose of constituting a complete•traffic signal and control system,.in suitable condition .for operation and maintenance by - the City after its completion. The State and the City will cooperate .to provide for .inspections as required by agencies of the United States Government in adminis tering the provisions of the Federal Aid Highway'Act.of 1968 and-regulations-appli-i. cable to this Act. 7, The City will provide opportunities, facilities and representative samples to enable the State to carry on'suitable, frequent and complete inspec— tion of all materials,.equipment and installation methods, sufficient to afford determination and certification by the: State that all parts of the installation and the component materials and equipment comply with the requirements of the' ''approved plans and specifications. Tlie state will promptly notify the City of any failure of materials, equipment _or installation methods to meet the provisions of plans and specifications, and the City will take such measures as necessary to obtain acceptable system components and Installation procedures without delay. 8. The City shall keep and furnish. to the State complete and .detailed records of the cost of all labor, materials, equipment and incidental items required for the —complete system and its; installation, to permit an accurate final accounting of the cost of the system for which the State is to reimburse the City. All equipment and materials salvaged .from existing signal and control installations at the loca- tionsshown in Exhibit 1 shall be accounted for,•and if sold, returned to City stock or to .use' „in signal installations in other parts of the City, the actual de preeiated value of such items shall be accounted as a credit to this project. The f- City shall make.available to the State, and to any other agency involved in the funding of this project, the complete records covering the cost and salvage credits for all parts of the materials, equirmcnt'and work of installation of this system of signals and controls. 9. The:City will operate and maintain the traffic signals and control system b upon completion of the installation, and will pay all power costs for operating .. the system,: 10. The City.will return any and all parts of the equipment and, materials in the system,.covered by this agreement to the State should they be removed by the City for any reason other than for installation on'a State or Federal numbered ;highway route at a. location.approved by the•State. 11. The agreement between the City and the State signed for the City on June 25 has been reviewed in Austin, and certain_ features may deserve clari- fication. However, we do not think revision of the agreement is necessary, for we had thought that reimbursement to the City was covered by the High- way Commission's Minute No. 63191, accepted by the City Council by Resolu- tion passed Febraury 12, 1970. The contractor will include the provisions of this Section 11-2 in every subcontract or purchase ordervrrless exempted by rules, regulations or orders of the Secretary of Labor issued pursuant to section 204 of Executive Order 11246 of-September--24 1965, so, that such provisions will be binding upon each subcontractor -or vendor. The contractor will take such action with respect -to any, subcontract or purchase order as the State highway department or.'.. the Bureau of Public Roads may direct as a means of enforcing such provisions including sanctions for non-compliance: Provided,.6ow- ever, that in the event a contractor becomes involved in, or is threatened with litigation with a subcontractor or vendor as a result of such direction by the Bureau, the contractor may request the United States to enter into such litigation to protect the interests of the United States. _ 3. Selection of Subcontractors, Procurement of Materials, and Leasing of Equipment: During the performance of this contract, the contractor, for itself, its assignees and successors in interest (hereinafter referred to as the "contractor"), agrees as follows: a. Compliance With Regulations: The contractor will comply with the Regulations of the Department of Commerce relative to nondiscrimination in Federally -assisted programs of the Department. of Commerce (Title 15. Code of Federal Regulations, Part a,, hereinafter referred to as the Regulations), which are herein incorporated by reference and made a part of this contract. b. Nondiscrimination: The contractor, with regard to the work performed by it after award and prior to completion of the contract work, will not discriminate on the ground of race, color, or national origin in the selection and retention of subcontractors, including s procurements of materials and leases of equipment. The contractor will not participate either directly or indirectly in the discrimination prohibited by Section 8.4 of the Regulations, including employment practices when the contract covers a program set forth in Appendix A-11 of the Regulations. c. Where any information required of a contractor is In the exclusive possession of another who fails or tafilses to furnish this informatlon, the contractor shall so certify to the State highway deparWicnt, or the Bureau of Public Roads as appropriate, and shall set forth what efforts it has made to obtain the information. e,' Sanctions for Noncompliance: In the event of the contractor's noncompliance with the nondiscrimination provisions of this Section 11-3, tho-State highway department shall impose such contract sanctions as it or the•Burcau of Public Roads may determine to be appropriate, including, but nqt limited to; -(1) withholding of payments to the contractor under the contract until lie contractor complies, and/or :(2) cancellation, termination or suspension of the contract, in wholo cein part. f.
