WITNESS MY HAND this 13th day of December, 1973. ATTEST: - I s/ Lavenia Lowe, Ctiy Secretary- Treasurer APPROVED AS TO FORM: /s/ Fred 0. Senter, Jr., City Attorney CITY OF LUBBOCK /s/ Morris W. Turner, Mayor 3-32-514-1249 The City Council considered a resolution authorizing (1) the approval of revised plans, speci- fications and contract documents for the Memorial Civic Center, and (2) authorizing the issuance of Notice of Intention to receive construction bids and of the City's intention to issue Certi- ficates of'Obligation (payable from taxation) up to the maximum of $3,500,000. Paul King, Architect, appeared bef6re the City Council and explained several options and changes that could be made in the -plans., Mr. King stated that he also needed an opportunity to explain in detail to the Council the changes in these plans. Councilwoman Jordan stated to the City Council that she would like to make a statement. She was requested by the Mayor to wait until a resolution waspresented by Joe Smith of the First Southwest Company. At this time a resolution was presented by Mr. Smith, authorizing approval of the revised plans, specifications and contract documents for the Memorial Civic Center and authorizing the City of Lubbock to publish a Notice of the City's intention to receive bids for -constructing and equip- ping a Civic Center and of the City's intention to issue Certificates -of Obligation to pay a portion of the contract price. Motion was made by Councilman Campbell, seconded by Councilman Baker that the above resolution be passed. At this time, Councilwoman Jordan made the following statement: 'I 17 I Mr. Mayor, fellow Council Members. It has been two years since I stood in this place and addressed the Council on an issue of significance. At that time I was not a member of the Council. However, I am standing here today, a duly elected member of this Council, elected by people who expect me to speak out with candor on their behalf when it is necessary to do so. What I am about DEC 13 1973 r to do may be a little like an attempt to put out a raging forest fire with a bucket of water, but the actions of this Council last week compel me to speak. I feel strongly that the hasty decision made last week on the issue of the Civic Center overrun was not made in the best in- terests of our community and I would urge the Council to reconsider its decision in light of the things I am about -to say. Prior to our decision of last week, the whole community was bombarded with a campaign try- ing to establish that the Council had only two choices in this issue -- to accept the Certi- ficate of Obligation method of paying for the cost overrun or lose the whole project. An addi- tional myth being circulated was that this funding scheme would not take additional tax money. This was a take -it -or -leave -it approach, ignoring the fact that the Council was firmly committed to building the Civic Center. The issue was not -- to build or not to build -- but rather how expensively to build. The certificate ofobligation method of financing has been made part of our State laws pri- marily to cover the situation of cost overrun on a project. But gentlemen, a $4 million dollar overrun on a $6.2 million dollar project represents a '64.5% increase -- far in excess of what could'be considered a minor cost overrun. Even if the architects' estimated cuts can bring this project down $1.3 million, we are still talking about a 43.5% overrun. Your actions of last week, allowing the possible issuance of $3.5 million in Certificates of Obligation would make this project come in 56.5% over the original estimates. It would also be an open invitation to the bidders to bring in a bid $600;000 over the amount that had been negotiated between the architects and the former low bidder. We did have other alternatives from which to chose that were not thoroughly explored. Those alternatives included requesting the architects to modify their plans in the next four months in an attempt to bring the project back within the monies available. It also included the possi- bility of going to the voters for approval of additional bond funds for the cost increases due 1D inflation. But here we get to the real crux of the issue. Mr. Turner did not want to consider these alternatives because of his upcoming Mayor's race this spring. Iit five months -- and I quote from the Mayor's memoranda to the City Council --"...the Civic Center and its future could very well be the major issue in the Spring political campaigns." The implication is that some un- scrupulous candidate would use the Civic Center as an election issue -- knowing there is wide- spread dissatisfaction with the cost overrun -- and that that same candidate just might get elected. And there we have it. The concern was not over whether or not the Civic Center would be built -- because the 1970 Bond.issue insures that a Center will'be°built -- but rather, the concern was over who might get elected. In short, the Mayor'is looking out for his own politi- cal career, and in the process the citizens are out $3.5 million dollars without ample explora- tion to see if a savings would be possible. I think the Civic Center is a good project. From the statements made last week, it is obvious that a vast majority of our Civic leaders think so too. I have faith in the voters of this community that they, if approached openly with the problems of inflation and cost overrun, will continue to back this project. I think it is improper to issue bonds of this magnitude without a vote of the people. In these days of Watergate and suspicion of all elected officials, I think we should be extremely careful to see that not a hint of ;impropriety clouds this worthy project. I think Mr. Baker and Dr. Campbell are to be commended for enlightening the citizens to the fact that it will cost additional tax monies to go this proposed route.. I would urge the Council to go one step further in their -honesty with the public and give them the opportunity to vote on additional bonds for this project. A bond election now might possibly delay this project, but in view of the 3 1/2 year time span that has already elapsed since the tornado, I think it would be extremely wise to spend some additional time financing this project on a firm financial basis. I would recommend that we set in motion the process to have a bond election for approval of the additional $3.5 million in General Obligation Bonds or Certificates of Obligation to com- plete the Civic Center project and at' the 'same time instruct the architects to modify their plans and bid documents so that we will have, as Mr. Hollingsworth has suggested, several alter- native choices on pro4eeding with the building. I will purr -my recommendation in the form of a motion, with the 'note that if my motion fails, we are going on record -`as supporting the most expensive mayor's race in the City's histor; A substitute motion was made by Councilwoman Jordan that a Bond Election be held. Joe Smith was requested to give the City Council an estimate of time it would require to prepare for the Bond Election. Mr; Smith stated it would be 90 to 120 days before the election could be held. There Vo s-discussion as to whether or not a legal election should be held or an election with on: a "straw'vote". Councilwoman Jordan's motion died'for want of a second. Councilwoman Jordan then made a motion that machinery be set in motion for a "straw vote" electic to secure approval for an additional $3.5 million,it is estimated will be required to construct the Civic Center. Included in this motion was that instruction be given to architects on this project to prepare plans. This motion died for want of a second. At this time, Joe Smith of the first Southwest Company, read the resolution authorizing the City of Lubbock to publish a Notice of City's Intention to Receive Bids for Constructing and Equippin! a Civic Center and of the City's Intention to Issue Certificates of Obligation to Pay a Portion of the Contract Price. This resolution was introduced by Councilman Baker. Such Certificates of Obligation would be delivered to a Contractor based on construction estimates authorized by your architects and approved by you, and could be re- tained by him or assigned to others, such election to be made by him at the time his proposal is made to the City. In connection with these Certificates of Obligation, we propose as follows: A. We will accept delivery of not to exeeed $3,500,000 legally issued Certificates of Obligatior from -the Contractor at the price of Par Flat (face value, no accured interest), such assignment to be made in writing without recourse within 30 days after the receipt of each installment of Certificates of Obligation by the Contractor. Each installment of Certificates is to be ac- companied by a signature and no -litigation certificate executed by the Mayor and City Secretary relating to each installment of Certificates delivered. B. Our acceptance of the Certificates of Obligation is strictly subject to the following con- d itions: 1. That the Certificates of Obligation will be approved by Dumas, Huguenin, Boothman and Morrow, Bond Attorneys, Dallas, Texas, and that we will be furnished with a copy of their un- qualified approving opinion when: (a) All of the Certificates of Obligation that will be issued have been delivered to the Contractor and assigned to us by the Contractor upon payment of par flat; (b) The project has been completed and payment to the Contractor of all Certificates of Obligation and cash due him has been made. It is further understood that we will.be furnished with an.interim opinion of Dumas, Hu- guenin, Boothman and Morrow exhibiting and stating the intention of that firmto issue their final opinion described above under the conditions described in (a) and (b). It is understood and agreed that if the Certificates of Obligation are refunded into Gen- eral Obligation bonds as set forth in Section C below prior to the completion of the project, that Dumas, Huguenin, Boothman and Morrow, Dallas, Texas, will not be required to furnish a copy of their unqualified approving opinion as described above. .2. That the Certificates of Obligation are delivered to us at par flat (face, value, no accured interest) at no additional expense to us including the expense of any litigation. 3. That the Certificates'of Obligation willbe set up as follows: $3,500,000 City of Lubbock, Texas Certificates of Obligation, Series 1974; dated January 15, 1974; all Certificates to bear interest at the rates of 5-5/8% from their date to maturity or to January 15,1979, whichever is earlier and at the rate of 6% after January 15, 1979; first interest payment date January 15, 1975 and each July 15 and January 15 thereafter; interest to be evidenced by coupons; principal due January 15 of eabh year as follows: equal principal (Y20 of.final principal amount authorized) due each year 1975 through 1994; denomination - $1,000; the Certificates to be optional at any time at par and accured interest subject to 30 days notice to the Paying Agent; Paying. Agent to be Texas Commerce Bank., N. A., Lubbock, Texas. We understand that the,Certificates of Obligation will be used in payment of a portion of the cost of the construction of the project and that their issuance will be followed by payment of'cash to the Contractor until the project is.finally completed and accepted by the City. As stated above, we agree to accept Certificates 6f'0bligaiion on assignment from the Contractor in even $1,000 amounts up to $3,500,000. 4. It is understood and agreed that each installment of Certificates of Obligation will bear interest to us from the date of their delivery to the Contractor. Since interest will be paid by coupon, it will be necessary to adjust the interest due on the interest payment date immediately following the date of delivery of each Certificate. It'is agreed that adjustment may be made by either of the two following methods, with all calculations based on standard interest tables using a 360 day year: Alternative No. 1 The City may pay the full amount of the coupon that is due, to the Paying Agent, and the Paying Agent will remit to the City an amount representing the difference between (1) interest for the full period and (2) interest from the date of delivery of the Certificate to the Contrac for to the interest payment date. As an example: A $1,000, 5-5/8%, Certificate of Obligation dated January 15, 1974, is delivered to the Contractor on March 15, 1974. The next interest payment date is January 15, 1975. On January 15, 1975, the interest' -would be settled as follows: J18 :C 13 193 (1) City pays to Paying Agent interest coupon due 1-15-1975, 5-5/8%., 12 months, $1,000--------- $ 56.25 Less: (2) Interest due 3-15-1975 (delivery date), to 1-15-1975, 10 months, @ 5-5/8%, $1,000, factor 46.875----------------------------------------------------------------------- 46.88 PayingAgent remits to City -------------------------------------------------------- $ 9.37 Alternative No. 2 The paying Agent and the City may mutually agree that the City will pay the net amount of interest due; thus in the above example the City would simply remit $46.88 tothe Paying Agent. It is also agreed that any coupons that have matured prior to the delivery of: a Certificate to the Contractor will be detached and cancelled prior to delivery. C. It is understood and agreed that the City will use its best efforts, following issuance and delivery of the entire authorized amount of Certificates to a Contractor and their subsequent assignment to us, to refund the Certificates into refunding bonds which would be delivered to a purchaser in exchange for the Certificates held by us. We understand that in no event can the City effect refunding bf the Certificates until all of the authorized Certificates have been issu3i and it is also possible that refunding may not be accomplished until the entire project has been completed. D. This agreement shallbe terminated by: 1. Failure of the City to award a valid contract to a Contractor within Ninety (90) days from the date of the adoption of this agreement by the City Council; or 2. The election of the Contractor at the time he bids to retain the Certificates of obli- gation; 3. If the Contractor has elected to assign the Certificates of Obligation to us, the final delivery of the last installment of'Certificates of Obligation to the Contractor and their assignment to us followed by our receipt of the final approving opinion of Dumas, Huguenin, Boothman and Morrow upoa.completion and acceptance -of the project as referred to in Section B above,' or by the refunding of the Certificates of Obligation prior to final completion of the project. December 13, 1973 To the Honorable Mayor and City Council City of Lubbock Lubbock, Texas Gentlemen: We understand that you contemplate the authorization and issuance of legally issued Certificates of Obligation in payment of a portion of the cost of constructing a civic center for the City of Lubbock. Such Certificates of Obligation would be delivered to a.Contractor based on construc- tion estimates authorized by your architect and approved by you, and could be retained by him - or assigned to others, such election to be made by him at the time his proposal is made to the City. In connection with these Certificates of Obligation, we propose as follows: 1. We will assist you in the authorization and legal issuance of the Certificates of Obligation with the legal proceedings throughout the entire program to be prepared and directed by Dumas, Huguenin, Bogthman and Morrow, Bond Attorneys, Dallas, Texas, whom the City will employ. Dumas, Huguenin, Boothman and Morrow will be.directed to look to us for payment of their fees and charges on this matter in every respect. We agree to direct and coordinate the entire program of financing contemplated through the issuance of Certificates of Obligation and to assume and pay the expenses above enumerated. We will also pay any travel and communication expenses incurred by us in connection with this pro- gram. It is specifically understood and agreed, however, that this obligation on our part shal not cover the cost of publication of notices in newspapers or other publications or the expense of any litigation. 4. As consideration for the services rendered by us and as -reimbursement for the expenses whit we are to incur, it is understood and agreed that the City is to pay and we are to accept a caE fee to be computed as follows: the recommended minimum fee of the Municipal Advisory Council of Texas on general obliga- tion bonds as of April 1, 1970, based on the final amount of Certificates of Obligation issued plus an amount equal to additional legal fees charged by Dumas, Huguenin, Boothman and Morrow over and above their usual and regular charge for general obligation bonds. This fee will be due and payable when: (1) Dumas, Huguenin, Bothman and Morrow issue their unqualified approving opinion on Certi ficates of Obligation; or (2) the Certificates of obligation are refunded into bonds, whichever first occurs. 5. If for any reason the program contemplated under this plan of financing should not material ize so that no Certificates of Obligation are issued and delivered to a Contracto4 the City would owe us nothing. 6. This agreement shall be terminated by the final.issuance arkd delivery of the Certificates o Obligation to the Contractor, their assignment to the purchaser, ifthe Contractor has elected to do so, and the issuance by Dumas, Huguenin, Boothman and Morrow of their final unqualified approving opinion upon final completion of the project; or by the refunding of the Certificates unto bonds in advance of project completion; or by the lapse of 36 months from date of your acceptance hereof during which period no delivery of Certificates of Obligation to a Contractor was made under this agreement; however, if the Certificates of Obligation have not been so de livered within the period specified, this agreement may be extended by mutual consent. 7. Box 2000 ' Lubbock, Texas 79457 Dear Mr. McDaniel: This letter will reconfirm recent discussions between yourself and Mr. Richard Doyle of my staff concerning the additional items needed to complete our review of the City's mass transit applica- tion. These items are as follows: 00 DEC 13 1. If there has been a new City Council and/or Mayor elected since the submission of the authorizing resolution, Title VI assurance, and legal opinion, then these docu- ments should be resubmitted. 2. Since considerable time has elapsed since the City submitted its application, the City should review, and if necessary, revise its budget estimates. 3. A revised five year projection of operating revenues and expenses for transit in Lubbo must be submitted including the assumptions on which this projection is based. If operating deficits are projected, we need as assurance that such deficits will be met. 4. An assurance is needed from the City that regardless of any decision made by the privat operator to stop providing transit in Lubbock, it is the intention of the City to pre- serve transit at least over the next ten year period. 5. Please provide a copy of the proposed bus agreement between the City and Lubbock Tran- sit concerning the new buses. 6. As stated in our letter of May 10, 1973, a Submissions Statement, including an updates - Transit Development Program, must be submitted by the South Plains Association of Gove meets. This will assist us in determining whether the Lubbock area meets the planning requirements of the Urban Mass Transportation Act.
