Under the direction and legal advice of a firm of recognized municipal bond attorneys to be retained by you, and whose fees will be paid by us, we will assist you in and supervise the steps necessary to be taken in the bond election, the legal issuance of the bonds and the final delivery of the bonds to the purchaser. Legal services of the recognized municipal bond attorneys shall also include rendition of an unqualified approving opinion as to the legality of the bonds. c. At your option, fees to be paid us may be calculated pursuant to Section X, Addendum to Booklet, "Financial Advisory Services For Municipalities", copy attached hereto. In this regard, ft is understood that you will determine and advise us the desired Section to be used in computing said fee, and that such determination by you shall be trade at the time you officially determine the amount of bonds to be submitted for approval and have set the election date or dates. To assist you in making this determination, we will calculate and submit to you the estimated fee which would be due us under Section V and VI, or Section X. Such fee shall become due and payable simultaneously with delivery of the bonds to the purchaser. 5. In the event the bond election contemplated by this proposal she&ld fail, then you will owe us nothing. However, should the same or similar propositions again be submitted at an election held within 36 months from date hereof, then at our option the agreement covered by this proposal ` shall apply to any bonds authorized at such election. 6.
